GRANT AGREEMENT
THIS GRANT AGREEMENT, entered into this day
1987, by and between the State of
Department of Commerce, Division of Economic,
hereinafter referred to as the "Grantor" and the City of Miami,
hereinafter referred to as the "Grantee".
WITNESSETH:
WHEREAS, Grantor is empowered by provisions of section
288.03(22), Florida Statutes, to make grants of funds in
accordance with legislative appropriations for same, and
WHEREAS, the legislature of the State of Florida has
made an appropriation for such grant in item 215C, in the
1987-88, General Appropriations Act and Summary Statement of
Intent (a copy of the pertinent portion of such act is attached
hereto, incorporated by this reference herein and designated as
exhibit "A" for purpose of this grant agreement.)
IT IS , in consideration of the mutual undertakings
and agreements hereinafter set forth, agreed between the
Grantor and the Grantee as follows:
1.0 PARTIES:
The parties and their respective addresses for
purposes of this Agreement are as follows:

2. 0 TERM:
The term of this agreement shall commence upon
execution and continue until completion of expenditure of grant
funds for the legislatively appropriated purpose.
3.0 NOTICES:
All notices between the parties shall be by either
confirmed Telex or Certified Mail, return receipt requested,
delivered to the address.of the parties as set forth in
Section 1.0 above.
4.0 SCOPE OF WORK:
Grantee shall expend grant funds in accordance
with proviso language for item 215C set forth in Exhibit "A".
5.0 GRANT REQUIREMENTS:
Grantee Agrees:
a) To maintain financial records and reports
related to funds paid to any parties for work on the matters
which are the subject of this agreement and submit an audit
report to the Grantor covering the period of grant fund
expenditure.
b) To maintain books, records, documents and
other evidence according to generally accepted accounting
principles, procedures and practices which sufficiently and
properly reflects all costs of any nature expended in the
performance of this Agreement, and retain said copies for a
period of three (3) years after termination of this Agreement.
c) The aforesaid records, books, documents, and
other evidence shall be subject at all times to inspection,
review, or audit by State personnel of the Office of the
Auditor General,,Office of Comptroller, or other State
personnel.
d) To include these aforementioned audit and
record keeping requirements in contracts and su;bcontratts
thereto entered into by the Grantfie with any party for word:
required under terms of this Agtement.
e) To act as an independent. contractor and not as
an employee of the Grantor in the performance of the tasks and
duties which are the subject of this Agreement. Grantee shall
be liable, and agrees to be liable for, and shall indemnify,
defend, and hold Grantor harmless from all claims, suits,
judgments, or damages arising from the Grantee's performance of
the tasks and duties which are the subject of this Agreement.
6.0 PAYMENTS: r
Upon execution of this agreement and waiver of
provisions of Section 7, Chapter 87-247, Laws of Florida (1987)
by the State Comptroller, funds in the amount of $225,000 will
be made available to Grantee.
7.0 THE 'PARTIES AGREE_
a) Termination for Refusal to Grant Public access.
This Agreement may be terminated by the Grantor for refusal by
Grantee to allow public access to all documents, papers,
letters, or other material subject to the provisions of
Chapter 119,,Florida Statutes, and made or received by Grantee
in conjunction with this Agreement.
b) Availability of Funds. The Grantor's liability
under this Agreement is contingent upon the continued
availability of appropriated funds at the time of payment. The
Grantor shall be the final authority as to availability of such
funds at the time of payment.
c) Legal Requirements. With respect to its
interpretation, construction, effect`, performance, enforcement,
and all other matters, this Agreement shall be governed by, and
be consistent with, the whole law of the State of Florida, both
Procedural and substantive. Any and all litigation arising
under this Agreement shall be brought in the appropriate State
of Florida court in Leon County, Florida.

d) Njodification. This Agreement may be modified
Upon the written and mutual consent of the parties.

Blossom Classic
RECOMMENDATION:
It is respectfully recommended that the City Commission adopt the
attached emergency ordinance which establishes a new
special revenue fund (Orange Blossom Classic); appropriates $225,000
from a grant from the State of Florida, Department of Commerce,
Division of Economic Development, to be utilized for promotion of
the Orange Blossom Classic, and authorizes the City Manager to enter
into implementing agreements. The proposed resolution authorizes
the City Manager to execute an agreement with the General
Chairperson of the 1987 Orange Blossom Classic Executive Committee
for the purpose of providing $65,000 for the promotion of the 1987
Classic.
BACKGROUND:
The Department of Community Development has prepared the appropriate
legislation in connection with a $225,000 grant from the State of
Florida, Department of Commerce, for promotion of the Orange Blossom
Classic. -
Adoption of the proposed ordinance authorizes the City Manager to
accept the grant, appropriates the $225,000 grant for the purpose of _
promoting the Orange Blossom Classic and authorizes the City Manager
to enter into the necessary agreement with the State of Florida. r
