A RESOLUTION DECLARING BY AN AFFIRMATIVE VOTE
OF 4/8THS OF THE CITY COMMISSION THAT AN
EMERGENCY EXISTS AT THE OVERTOWN SHOPPING
CENTER WHICH REQUIRED THAT THERE ONLY BE A
THIRTY DAY PERIOD BETWEEN PUBLIC
ADVERTISEMENT FOR REQUESTS FOR PROPOSALS AND
(RFP) RESPONSES THERETO IN CONNECTION WITH
THE LEASE OF RETAIL SPACES AT SAID CENTER AND
AUTHORIZING THE CITY MANAGER TO ISSUE SAID
REQUESTS FOR PROPOSALS IN A FORM ACCEPTABLE
TO THE CITY ATTORNEY, FOR THE LEASE OF: (A)
14,000 SQ. FT. FOOD STORE, (B) 1,400 SQ. FT.
RETAIL SPACE AND (C) 4,000 SQ. FT. RETAIL
SPACE IN THE CENTER; AND ALSO AUTHORIZING THE
i CITY MANAGER, UPON RECEIPT OF PROPOSALS TO
EXECUTE LEASES WITH THE PROPOSERS THAT ARE
i MOST ADVANTAGEOUS AND IN THE BEST INTEREST OF
THE CITY OF MIAMI.
WHEREAS, the City of Miami holds title to the property
identified as the Overtown Shopping Center (hereinafter
"Center"), located at 1360 Northwest 3rd Avenue; and
WHEREAS, the original plan of the City to have this City -
owned facility developed and managed by the appropriate local
community development oorporation, the Overtown Eoonomio
Development Corporation, has failed and resulted in the City's
assumption of these responsibilities; and,
WHEREAS, two (2) major businesses, owned and operated by
Black entrepreneurs who were assisted in their venture by loans
from Miami Capital Development and favorable lease

considerations. have failed and abandoned their faoilities,
leaving major equipment in the Center's food store and removing
all equipment from the ooin-operated Laundromat; and
WHEREAS, vandalism occurred in these -taoant spaces, as well
as to the security gates/grids, the roof, and the breezeway area,
threatening the security of the remaining lessees and resulting
in deterioration of the facility, which was taken at the City
Manager's directive with City Commission approval; additionally,
a space designated and developed for use as a dry-cleaning
facility, but never opened, was abandoned with the Major

WHEREAS, the City Manager has made a finding based upon the
facts and reasons set forth in the preamble to this Resolution
that a valid emergency exists requiring that immediate action as

prepare the facility physically and legally to be leased; and,

WHEREAS, three spaces are currently available to be leased;
WHEREAS, in the absence of an emergency the City Code
requires that Requests for Proposals to lease City owned space be
published for a period of ninety (90) days before consideration
and acceptance of said Proposals; and
WHEREAS, conforming to normal procurement practices will
preclude a solution to the emergency situation and will eliminate
the potential to open these spaces during the Christmas season,
the busiest holiday shopping period of the year thereby creating
additional financial hardships on any vendors who will be leasing
these spaces;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA.*
Section 1. It is hereby determined and declared by an
affirmative vote of 4/5ths of the City Commission that, a valid
emergency exists at the Overtown Shopping Center and the findings
and recitals set forth in the Preamble to this Resolution are
hereby adopted by reference thereto and incorporated herein as if
fully set forth in this Section.
Section 2. The City Manager's emergency finding is hereby
ratified, approved and confirmed and he is hereby authorized to
issue three (3) Requests for Proposals, in forms acceptable to
the City Attorney, for the lease of the following spaces in the
4vertown Shopping Center on an emergency basis: (a) a 14,000 sq.
ft. food store, (b) a 1,400 sq. ft. retail space and (o) a 4,000
sq. ft. retail space, said Requests to be advertised 30 days
before the receipt and consideration of the Responses to said
Requests.

Section S. The City Manager is hereby authorized to execute
said three leases in forms acoeptable to the City Attorney with
those persons, firms or individuals whose proposals are most
advantageous and in the best interest of the City.

Upon Responses Thereto
It is respectfully recommended that the City Commission adopt the
attached resolution, by an affirmative vote of 4/5ths of the City
Commission, declaring that an emergency exists and authorizing
the City Manager to issue three (3) Requests for Proposals
(RPPs) , in forms acceptable to the City Attorney, for the lease
of: (1) a 14,000 sq. ft. food store, (2) a 1,400 sq. ft. of
retail space, and (3) a 4,000 sq. ft. of retail space in the
Overtown Shopping Center; and upon receipt of proposals to
execute leases, in forms acceptable to the City Attorney, that
are the most advantageous and are in the best interest of the
City of Miami.
BACKGROUND:
The General Services Administration Department (GSA) has been
working toward the six month goal, set by the City Commission, to
revitalize the Overtown Shopping Center. In the interim GSA has
been making the necessary repairs and renovations to the
facility, while the Law Department has been taking the legal
steps required to make the currently vacant spaces available for
lease.
The three spaces under consideration are legally and physically
ready to be leased. However, the City Code requirement that we
hold the RPPs open for ninety days would eliminate the new
vendors' potential for capitalizing on the Christmas holiday, the
largest shopping period in the year, to capture the spending
dollars of residents of Overtown and the surrounding communities.
Should the City Commission agree that a valid emergency exists?
RFPs for these spaces would be advertised on October 13, 1987 and
would be kept open for thirty (30) days. With the City
Commission's approval of the attached Resolution, I, as City
Manager, would be authorized to negotiate and execute leases, in
forms acceptable to the City Attorney, for these spaces by
December 11 1987; providing a sufficient amount of time for the
lessees to open in time for the Christmas Holiday.

Transmitted herewith, for inclusion on the October 22, 1987 City
Commission Agenda, is a Resolution for City Commission approval
to issue Requests for Proposals for leasing three (3) spaces at
the Overtown Shopping Center on an emergency basis, in order to
shorten the ninety day period between bid announcements and
acceptance required by Resolution 86-656.
As you know the Overtown Shopping Center has been only partially
occupied since the City of Miami assumed managerial
responsibility for it almost a year ago. In the interim, the Law
Department has been researching certain information required to
authorize the lease of one of the spaces; another was occupied
until recently; and the third, the Food Store had equipment
which, until recently donated by Miami Capital, prevented our
advertising to lease this space.
The Food Store is the largest space and is the anchor tenant
around which we hope to develop the rest of the Center. Current
tenants include: Metropolitan Dade County's Family and Youth
Services which is negotiating with us to expand their occupancy
to include an additional 1,000 square feet of adjacent space;
Tropical Clear Blue Laundromat, recently opened by several
minority individuals with whom we are in negotiations regarding
the terms of their pending use permit and who have requested to
appear before the City Commission regarding the terms of the
permit; Dr. Moses Grimberg who has a medical office which has not
generated a great deal of traffic because of its sporadic
opening; and Burrs Beauty Salon with whom our Property and Lease
Division is having discussions regarding its delinquent rent and
its future in the Center.
Until July 31, 1987 Miami Dade Community College and the City of
Miami's Jobs Program operated outreach centers in one of the
spaces which we intend to advertise for lease. This space, a
large corner area, was originally identified for use as a Drug
Store and the need for such was recently affirmed by a study

conducted by Miami Dade Community College. We intend to make
several local minority owned drug stores aware of our Requests
for Proposals for this space.
Our finding and conclusion that this emergency need exists is
based upon the length of time the center has been unoccupied and
the subject of vandalism; revitalization promises which we have
made to the community, largely based upon our opening of the
stores in the Center which will create jobs and income; and
requests from all of those potential entrepreneurs who have
inquired about the reopening of the center to coincide with
Christmas, a major shopping season, in order to attract shoppers
to an area which has been unavailable to them for several years.
Mr. Odio's concurrence with this emergency finding will be
required and his signature below, according to the Law
Department, will comply with City Code requirements.
The undersigned, as City Manager, hereby approves and adopts the
above findin as his own.

PUBLICNOTICE
The CITY OF MIAMI (the "City") is offering to lease approximately
4,000 sq. ft. of retail space in the Overtown Shopping Center,
located at 1490 N.W. 3rd Avenue, Miami, FL 33136.
Request for Proposal documents may be obtained from the Property and
Lease Management Division, General Services Administration
Department, 1390 NW 20 Street, Miami, Florida 33142. In response to
the Request for Proposal documents, Proposals must be submitted to
the Office of the City Clerk, first floor of the Miami City Hall,
3500 Pan American Drive, Miami, Florida 33133. Each Proposer will
be required to submit a good -faith deposit of $500. Non -Successful
Proposers will have their deposits refunded in full. The $500
submitted by Successful Proposer will be credited towards payment of
the City's cost of conducting this competition.
Prospective Proposers are alerted to the provisions of Ordinance No.
10062 - Minority/Women Business Affairs & Procurement Ordinance and
Ordinance No. 10032 which implements the "First Source Hiring
Agreement".
Questions pertaining to this Request for Proposals should be

SHOPPING CBNTRR/R6TAIL SPACS DeSCRIPTION
The City of Miami, through the Department of General Services
A9ministration, is soliciting proposals for the leasing, operation
and maintenance of approximately 4,000 sq. ft of retail space at the
Overtown Shopping Center located at 1490 NW 3 Avenue, Miami, FL
33136. The Shopping Center was built five years ago to improve the
delivery of commercial retail services to the Overtown neighborhood,
to create jobs, and to contribute to the economic revitalization of
this community. The entire center occupies 2.53 acres of land and
has parking for 102 cars.
Currently, of the ten originally envisioned retail spaces, five are
occupied. One lessee is a nonprofit service agency - Dade County
Family and Youth Services Agency. There is one commercial lease
currently in effect which is a coin -operated laundromat. Three
additional vacant spaces are being prepared so that the City may
request proposals at a later date for its use, including a food
store.
The City provides grounds maintenance services for the exterior
parking areas, breezeway and walkways. All space entrances have
hurricane doors and the front and rear breezeway entrances have
security gates.
Successful Proposer will be required to operate and maintain the
approximately 4,000 sq. ft space and will have the flexibility of
proposing any type of commercial usage which is consistent with the
requirements of this Request for Proposals.
A primary service area of one square mile has been delineated: to
the north by NW 22 Street, to the south by NW 5 Street, to the east
= by the Florida East Coast Railroad and to the west by 7 Avenue.
The Overtown neighborhood is one of the oldest in the City of Miami
and is centrally located. In 19860 the population for Overtown was
estimated as 12,000 residents. A secondary service area, delineated
in Appendix A has a population of 6,000. The City estimates that
this market potential will be enhanced by the development of Phase I
of the Southeast Overtown/Park West Redevelopment which will produce
250,000 sq. ft. of office space and 900 residential units to the
adjacent area during the next five (5) years. Appendix B shows the
location of this redevelopment effort.

Tho Shopping Center is adjacent to the Culmer Neighborhood Service
C+sntuc which houses major social service agencies serving the
Overtown community. This center houses thirteen agencies, including
the City of Miami's Overtown police Mini Station and should provide
market potential for the Shopping Center, the more developed it
becomes.
Because of the continuing decline in population and economic
activity in the Overtown community, residents have had to transact
normal household buying of food and other products at varying
distances from their homes and from the community boundaries. The
City is concurrently seeking to lease a food store which along with
the retail space are designed to recapture the community's retail
spending.

III
INSTRUCTIONS TO MPOSSRS
Proposal Submission: Prospective Proposers should submit a Proposal
in response to the City's Request for Proposal containing the
following sections:
a) Declaration, form to be fully executed.
b) Proposal, form to be fully executed.
I. Description of the operation, marketing and
management of the proposed commercial business.

II. Description of the Proposer's experience in the
proposed commercial business. (Exhibit B)
III. Description of the Proposer's financial resources
available for the proposed commercial business.

IV. Description of the minority participation in the
entity making the Proposal and/or the entity's
Affirmative Action Plan. (Exhibit D)
where forms are furnished as titled above, please complete per the
form's instructions and submit same. Additional documentation
submitted by the Proposer relating to any of these sections should
be attached to the completed form where applicable.
Submission Date: Whether forwarded by mail or personally delivered,
the bid envelope must be received by the Office of the City Clerk,
City of Miami, City Hall, 3500 Pan American Drive, Dinner Key,
Miami, Florida 33133, on or before the date and time stated in the
Public Notice.

of interest which may be of embarrassment to the City of Miami.

Performance Bond: The City reserves the right to demand of the
Successful Proposer a performance bond in the amount sufficient to
guarantee faithful performance of the terms and conditions of the
Lease Agreement. A cash deposit with the City will also meet this
requirement.
Rejection of Proposals: The right is reserved by the City of Miami
to waive any irregularities in any proposals, to reject any or all
proposals, or to readvertise for proposals, if desired. In making
such determination, the City's consideration shall include, but not
be limited to, the requirements as described in the RBQO` NTS
section.
Withdrawal of Proposal: Any proposal may be withdrawn prior to the
final time for receipt, as scheduled in the Public Notice.
Rent Structure: A base rental fee of $14#000 per year, payable in
equal monthly fees of $1,166.66 per month, will be the minimum
required rent. The Successful Proposer will be required to proffer
a check for $2,000 as security; $1,000 will be held as a last
month's rent and $1,000 will be applied towards the first month's
rent which will begin with the opening date of the storefront.
Proposers may propose a larger base rental fee to be returned to the
City. Any bids below the minimum base rental or percentages of
gross receipts indicated will be disqualified.
At the end of the two years, the City will negotiate a higher base
rent structure for the exercise of one five-year renewal option.
Interpretation of Proposal Documents: Each Proposer shall
thoroughly examine the Proposal Documents and judge for him/herself
all matters relating to the location and character of the services
he/she agrees to perform. If the Proposer should be of the opinion
that the meaning of any part of the Proposal Documents is doubtful,
or obscure, or contains errors or omissions, he/she is invited to
request clarification from Property & Lease Management, G.S.A.
Department.
Acceptance and Award: After evaluating the proposals, a lease shall
be awarded to the responsible and responsive Successful Proposer,
whose proposal offers the City the highest total compensation, as a
authorized in Article V, Section 18-78 of the City of Miami Code.

property of the City.
The City Manager reserves the right to require in any contract
document such terms and conditions as he deems necessary for the
proper protection of the City of Miami.
The City reserves the right to require submission of the following
documents:
a) Personal Financial Statement
b) Personal History Form
c) Personal/Corporate Income Tax Report for two years
d) Corporate Balance Sheet less than ninety days old
e) Current Business Income and Expense Statement
The City reserves the right to require submission of a background
check on all employees working for Successful Proposer.

The CITY OF MIAMI (the "City") is offering to lease approximately
1,400 sq. ft. of retail space in the Overtown Shopping Center,
located at 1490 N.W. 3rd Avenue, Miami, FL 33136.
Request for Proposal documents may be obtained from the Property and
Lease Management Division, General Services Administration
Department, 1390 NW 20 Street, Miami, Florida 33142. In response to
the Request for Proposal documents, Proposals must be submitted to
the Office of the City Clerk, first floor of the Miami City Hall,
3500 Pan American Drive, Miami, Florida 33133. Each Proposer will
be required to submit a good -faith deposit of $500. Non -Successful
Proposers will have their deposits refunded in full. The $500
submitted by Successful Proposer will be credited towards payment of
the City's cost of conducting this competition.
Prospective Proposers are alerted to the provisions of Ordinance No.
10062- Minority/Women Business Affairs & Procurement Ordinance and
Ordinance No. 10032 which implements the "First Source Hiring
Agreement".

The City of Miami, through the Department of General Services
Administration, is soliciting proposals for the leasing, operation
and maintenance of approximately 1,400 sq. ft. of retail space at
the Overtown Shopping Center located at 1490 NW 3 Avenue, Miami, FL
33136. The Shopping Center was built five years ago to improve the
delivery of commercial retail services to the Overtown neighborhood,
to create jobs, and to contribute to the economic revitalization of
this community. The entire center occupies 2.53 acres of land and
has parking for 102 cars.
Currently, of the ten originally envisioned retail spaces, five are
occupied. One lessee is a nonprofit service agency - Dade County
Family and Youth Services Agency. There is one commercial lease
currently in effect which is a coin -operated laundromat. Three
additional vacant spaces are being prepared so that the City may
request proposals at a later date for its use, including a food
store.
The City provides grounds maintenance services for the exterior
parking areas, breezeway and walkways. All space entrances have
hurricane doors and the front and rear breezeway entrances have
security gates.
Successful Proposer will be required to operate and maintain the
approximately 1,400 sq. ft. space and will have the flexibility of
proposing any type of commercial usage which is consistent with the
requirements of this Request for Proposals.
A primary service area of one square mile has been delineated: to
the north by NW 22 Street, to the south by NW 5 Street, to the east
by the Florida East Coast Railroad and to the west by 7 Avenue. „I
The Overtown neighborhood is one of the oldest in the City of Miami
and is centrally located. In 19868 the population for Overtown was
estimated as 12,000 residents. A secondary service area, delineated
in Appendix A nas a population of 6,000. The City estimates that :
this market potential will be enhanced by the development of Phase I;
of the Southeast Overtown/Park West Redevelopment which will produce
2501,000 sq. ft. of office space and 900 residential units to the
adjacent area during the next five (5) years. Appendix B shows the
location of this redevelopment effort.

Tile Shopping Center is adjacent to the Culmer Neighborhood Service
Center which houses major social service agencies serving the
Overtown community. This center houses thirteen agencies, including
the City of Miami's avertown police Mini Station and should provide
market potential for the Shopping Center, the more developed it
becomes.
Because of the continuing decline in population and economic
activity in the avertown community, residents have had to transact
normal household buying of food and other products at varying
distances from their homes and from the community boundaries. The
City is concurrently seeking to lease a food store which along With
the retail space are designed to recapture the community's retail
spending.

INSTRUCTIONS TO PROPMEAS
Proposal Submission: Prospective Proposers should submit a Proposal
in response to the City's Request for Proposal containing the
following sections: I
a) Declaration, form to be fully executed.
b) Proposal, form to be fully executed.
I. Description of the operation, marketing and
management of the proposed commercial business.
(Exhibit A)
Ii. Description of the Proposer's experience in the
proposed commercial business. (Exhibit B)
III. Description of the Proposer's financial resources
available for the proposed commercial business.
(Exhibit C)
IV. Description of the minority participation in the
entity making the Proposal and/or the entity's
Affirmative Action Plan. (Exhibit D)
Where forms are furnished as titled above, please complete per the
form's instructions and submit .;3-e. Additional documentation �
submitted by the Proposer relating to any of these sections should
be attached to the completed form where applicable.
Submission Date: Whether forwarded by mail or personally delivered,
the bid envelope must be received by the Office of the City Clerk,
City of Miami, City Hall, 3500 Pan American Drive, Dinner Key,
Miami, Florida 33133, on or before the date and time stated in the
Public Notice.
Qualifications: Prospective Proposers shall have no record of
pending lawsuits or criminal activities and shall not have conflicts
of interest which may be of embarrassment to the City of Miami.

notarized affidavit to this effect with the proposal submission.
One Proposal: Only one proposal from an individual, firm, z
partnership, corporation or joint venture will be considered'' in
response to this Request for. Proposals. If it is found that` -.a
Proposer is interested in more than one proposal, all proposals in
which such a Proposer is interested will be rejected.
Price Proposals: Prices shall be stated in both words and figures
in the appropriate places in the bid document. In the event that
:there is a discrepancy between the price written in words and the
price written in figures, the former shall govern.

Si r ature_ of Pro ose.t_: Prospective Proposer must sign the Proposal
in the space provided for signature. It the Proposer is a
partnership, the word "Partner" shall appear after the signature of
the partner. If the Proposer is a corporation, the required
signature will be of the officer(s), or individuals authorised by
its bylaws or the Board of Directors, with the official corporate
seal affixed thereto.
Performance Bond: The City reserves the right to demand of the
Successful Proposer a performance bond in the amount sufficient to
guarantee faithful performance of the terms and conditions of the
Lease Agreement. A cash deposit with the City will also meet this
requirement.
Rejection of Proposals: The right is reserved by the City of Miami
to waive any irregularities in any proposals, to reject any or all
proposals, or to readvertise for proposals, if desired. In making
such determination, the City's consideration shall include, but not
be limited to, the requirements as described in the REQUIREMENTS
section.
Withdrawal of Proposal: Any proposal may be withdrawn prior to the
final time for receipt, as scheduled in the Public Notice.
Rent Structure: The City of Miami will ren,:-,ire a minimum base
rents of $5,600 per year, payable in equal monthly installments.
In return, Successful Proposer will be required to assume the
responsibility for all expenses related to operating this facility,
including but not limited to water, gas, electricity, taxes,
insurance and maintenance and repair costs related to the internal
areas of this facility. A deposit of $400 will be held as security;
$450 will be held as a last month's rent and $450 will be applied
towards the first month's rent which will begin, with the opening
date of the storefront. Successful Proposer will agree to the
City's right to monitor receipts as regularly as deemed necessary.
Any bids below the minimum base rental or percentages of gross
receipts indicated will be disqualified.
At the end of the two years, the City will negotiate a higher base
rent structure for the exercise of one five-year renewal option.
Interpretation sof Proposal Documents: Each Proposer shall
thoroughly examine the Proposal Documents and judge for him/herself
all matters relating to the location and character of the services
he,'she agrees to perform. If the Proposer should be of the opinion '
that the meaningof
any part of the Proposal Documents is doubtful, ;
or obscure, or contains errors or omissions, he/she is invited to
request clarification from Property 6 Lease Management, G.S.A.

Successful Proposer will receive an official letter from the City of
Miami notifying him/her of the acceptance of this proposal and
awarding him/her the privilege of executing a tease Agreement to be
prepared by the City.
Any proposal which is incomplete, conditional, obscure or which
contains irregularities of any kind, may be cause for rejection of
the proposal. In the event of default of Successful Proposer, or
his/her refusal to enter into the City of Miami lease, the City

Successful Proposer will be required to strictly comply with the
City of Miami's Ordinance #10062 - Minority and Women Business
Affairs and Procurement Program. A minimum of fifty-one (51%)
percent minority/women participation will be required. A submittal
of a narrative description of minority participation in the entity
making the proposal and/or the entity's Affirmative Action plan is
required. (Exhibit D)
Successful Proposer will be required to pay all costs, including.but
not limited to appraisals, surveys and advertising expenses incurred
by the City in the process of this solicitation of proposals.
Successful Proposer will be re uired to be responsible for all
utility charges incurred in their operation, including but not
limited to electricity and water charges.
Successful Proposer will be required to be responsible for all
necessary maintenance and repairs related to the operation and
management of the retail space. All custodial and janitorial
services required to maintain the interior of the leased premises in
a clean, safe and sanitary condition shall be furnished at .the sole
expense of the Successful Proposer.

Successful proposer will be reguired to provide insurance coverage
at limits designated by the City. The policy shall name the City as
an additional insured, and a copy of the certificate shall be filed
with the City before the Lease Agreement is executed.
Successful Proposer will be required to undertake NO construction,
repairs, alterations or improvements upon the premises unless the
plans:
1. Be first submitted to Property Lease Management
Division for presentation and review by all
appropriate departments and offices with
jurisdiction.
2. Be approved by the City Manager of the City of Miami,
Dade County, Florida.
3. Be in compliance with all State, County and City
rules and regulations and any other agency that may
have jurisdiction in these matters.
Successful Proposer will be required, at the expiration of the Lease
term, to relinquish any and all claims for construction, repairs,
alterations, or improvements to the leased premises undertaken by
Successful Proposer at his/her sole expense and shall become the
property of the City.
The City Manager reserves the right to require in any contract
document such terms and conditions as he deems necessary for the
proper protection of the City of Miami.
The City reserves the right to require submission of the following
documents:
a) Personal Financial Statement
b) Personal History Form
c) Personal/Corporate Income Tax Report for two years
d) Corporate Balance Sheet less than ninety days old
e) Current Business Income and Expense Statement
The City reserves the right to require submission of a background
check on all employees working for Successful Proposer.

SDOPPING CROUP/ FOOD STORE OUSCRIPTION
The Overtown Shopping Center was built five years ago to improve the
delivery of commercial and retail services to the Overtown
Neighborhood, to create jobs, and to contribute to the economic
revitalization of this community. The entire center occupies 2.53
acres of land and has parking for 102 cars.
The City provides grounds maintenance services for all common areas
including parking, breezeway and walkways. All space entrances
have hurricane doors and the front and rear breezeway entrances have
security gates.
The approximately 14,000 sq. ft. food store has two entrances, one
at the front and one in the side breezeway area. The space contains
a security system, a small manager's area, a rear delivery entrance
and storage space, and refrigeration and shelving equipment. it
will be the responsibility of the Successful proposer to negotiate
with the City of !Mimi for the lease of this equipment in an as is
condition. Any cost associated with the maintenance of this
equipment and space will be the responsibility of the Successful
Proposer.
Tne Successful Proposer will be required to operate and maintain the
approximately 14,000 sq. ft. food store with flexibility of
subdividing and managing the food store operation in a manner
consistent with the requirements of this Request for Proposals.
The Overtown neighborhood is one of the oldest in the City of Miami
and is centrally located. in 1986, the population for Overtown was
estimated at 12,000 residents. Because of the continuing decline in
population and economic activity in the Overtown community,
residents have had to transact normal household buying of goods and
services at varying distances from their homes and from the
community boundaries.
A primary market area of one square mile has been delineated: to the
north by NW 22 Street, to the south by NW 5 Street, to the east by
the Florida East Coast Railroad and to the west by 7 Avenue. A
secondary service area, delineated in the Appendix section has `a
population of 6,000. The City estimates that this market potential
will be enhanced by the development of Phase I of the Southeast
Overtown/Park nest Redevelopment which will produce 2500000 - sq -' ft
of office space and 900 residential units to the adjacent area
during the next five (5) years. The appendix shows the location of
this redevelopment effort. =}.
The Shopping Center is adjacent to the Dade County owned CuIme' r
Neighborhood Service Center, This center houses thirteen agencies,
including the City of Miami's Overtown police Mini Station and Major
social service, agencies serving the Overtown community, and should
provide market potential for the Shopping Center. '

INSTRUCTIONS TO PROPOSERS
Proposal Submission: Prospective Proposers should submit a Proposal
in response to the City's Request for Proposal containing the
following sections:
a) Declaration, form to be fully executed.
b) Proposal, form to be fully executed.
I. Description of the operation, marketing and
management of the proposed commercial business.
(Exhibit A)
II. Description of the Proposer's experience in the
proposed commercial business. (Exhibit B)
III. Description of the Proposer's financial resources
available for the proposed commercial business.
(Exhibit C)
IV. Description of the minority participation in the
entity making the Proposal and/or the entity's
Affirmative Action Plan. (Exhibit D)
Where forms are furnished as titled above, please complete per the
form's instructions and submit same. Additional documentation
submitted by the Proposer relating to any of these sections should
be attacned to the completed form where applicable.
Submission Date: Whether forwarded by mail or personally delivered,
the bid enve ope must be received by the Office of the City Clerk,
City of Miami, City Hall, 3500 Pan American Drive, Dinner Key,
Miami, Florida 33133, on or before the date and time stated in the
Public Notice.
Qualifications: Prospective Proposers shall have no record of
pending lawsuits or criminal activities and shall not have conflicts
of interest which may be of embarrassment to the City of Miami.
This latter qualification may be satisfied by submission of a
notarized affidavit to this effect with the proposal submission.
One Proposal: Only one proposal from an individual, *firm,
partnership, corporation or joint venture will be considered in
response to this Request for Proposals. If it is. found that ,a
Proposer is interested in more than one proposal, all proposals in
which such a Proposer is interested will be rejected.
Price Proposals: Prices shall be stated in both words and. figures
in the appropriate places in the .bid document. In.the event. that
there is a discrepancy between the price written in words:and'the
price written in figures, the former shall govern.
Signature of Pro oser : Prospective Proposer must sign the Proposal,
in the space provided for signature. If the Proposer is a
partnership, the word "Partner" shall appear after the signature.of
the partner. If the Proposer is a corporation, the required.

signature will be of the officer(s), or individuals authorized by
its bylaws or the Board of Directors, with the official corporate
seal affixed thereto.
Per formance__.Bond: The City reserves the right to demand of the
Successful Proposer a performance bond in the amount sufficient to
guarantee faithful performance of the terms and conditions of the
Lease Agreement. A cash deposit with the City will also meet this
requirement.
Rejection of Proposals: The right is reserved by the City of Miami
to waive any irregularities in any proposals, to reject any or all
proposals, or to readvertise for proposals, if desired. In making
such determination, the City's consideration shall include, but not
be limited to, the requirements as described in the REQUIREMENTS
section.
Withdrawal of Proposal: Any proposal may be withdrawn prior to the
final time for receipt, as scheduled in the Public Notice.
Rent Structure: A base rental fee of $12#000 per year (payable
monthly at $1,000 per month), or for the first 24 months of lease,
one half (.5%) percent of monthly gross receipts, whichever amount
is greater, will be the minimum required rent. The Successful
Proposer will be required to proffer a check for $2,000 as security;
$1,000 will be held as a last month's rent and $1,000 will be
applied towards the first month's rent which will begin with the
opening date of the foodstore. Proposers may propose a larger base
rental fee or a larger percentage of the annual gross receipts, or
both, to be returned to the City. Any bids below the minimum base
rental or percentages of gross receipts indicated will be
disqualified.
At the end of the two years, the City will negotiate a higher base
rent structure, and/or a greater percentage of the gross receipts
for the exercise of one five-year renewal option.
Interpretation of Proposal Documents: Each Proposer shall
thoroughly examine the Proposal Documents and judge for him/herself
all matters relating to the location and character of the services
he/she agrees to perform. If the Proposer should be of the opinion
tnat the meaning of any part of the Proposal Documents is doubtful,
or obscure, or contains errors or omissions, he/she is invited to
request clarification from Property 6 Lease Management, G.S.A.
Department.
Acceptance and Award: After evaluating the proposals, a lease shall
be awarded to the responsible and responsive Successful Proposer,
whose proposal offers the City the highest total compensation, as
authorized in Article V, Section 18-78 of the City of Miami Code.
The Successful proposer will receive an official letter from the
City of Miami notifying him/her of the acceptance of this propoeal
and awarding him/her the privilege of executing a Lease Agreement to
be prepared by the City.
Any proposal which is incomplete, conditional, obscure or which
contains irregularities of any kind, may be cause for rejection of
the proposal. In the event of default of the Successful Proposer,
or his/her refusal to enter, into the City of Miami lease, the City
reserves the right to accept the proposal of any other Proposer. or
readvertse using the same or revised documentation, at its sole
discretion.

Successful Proposer will be required to strictly comply with the
City of Miami's Ordinance #10062 - Minority and Women Business
Affairs and Procurement Program. A minimum of fifty-one (51%)
percent minority/ women participation will be required. A submittal
of a narrative description of minority participation in the entity
making the proposal and/or the entity's Affirmative Action plan is
rewired. (Exhibit D)
Successful Proposer will be required to pay all costs, including but
not limited to appraisals, surveys and advertising expenses incurred
by the City in the process of this solicitation of proposals.
Successful Proposer will be required to be responsible for all
utility charges incurred in their operation, including but not
limited to electricity and water charges.
Tne Successful Proposer will be required to be responsible for all
necessary maintenance and repairs related to the operation and:
management of the food store. All custodial and janitorial services
required to maintain the interior of the leased premises in a clean,
safe and sanitary condition shall be furnished at the sole expense
of the Successful Proposer.

The Successful Proposer will be required to provide insurance
coverage at limits designated by the The policy shall name

The Successful Proposer will be required to undertake NO
construction, repairs, alterations or improvements upon the premises
unless the plans:

jurisdiction.
2. Be approved by the City Manager of the City of Miami,
Dade County, Florida.
3. Be in compliance with all State, County and City
rules and regulations and any other agency that may
have jurisdiction in these matters.
Successful Proposer will be required, at the expiration of the Lease
term, to relinquish any and all claims for construction, repairs,
alterations, or improvements to the leased premises undertaken by
the Successful Proposer at his/her's sole expense and shall become
the property of the City.
The City Manager reserves the right to require in any contract
document such terms and conditions as he deems necessary for the
proper protection of the City of Miami.
The City reserves the right to require submission of the following
documents:
a) Personal Financial Statement
b) Personal History Form
c) Personal/Corporate Income Tax Report for two years
d) Corporate Balance Sheet less than ninety days old
e) Current Business Income and Expense Statement
The City reserves the right to require submission of a background
check on all employees working for the Successful Proposer.
