A RESOLUTION AUTHORIZING THE ISSUANCE OF
A REQUEST FOR PROPOSAL, IN A FORM
ACCEPTABLE TO THE CITY ATTORNEY, FOR THE
LEASE OF A 2,271 SQUARE FOOT CAFETERIA
AND VENDING CONCESSION IN THE MIAMI
POLICE DEPARTMENT BUILDING, LOCATED AT
400 NW 2 AVENUE, MIAMI, FLORIDA.
WHEREAS, the Miami Police Department, located at 400 NW 2
Avenue, has a 2,271 square foot cafeteria and vending concession
(premises) for lease; and
WHEREAS, the previous concessionaire, H & H Food Service,
had a lease agreement which expired in 1981 but continued
operating thereafter on a month -to -month basis; and
WHEREAS, H & H Food Services finally vacated the premises in
December 1986; and
WHEREAS, proper food service is essential to the efficient
and effective operations of Miami Police Department; and
WHEREAS, several food service providers were visited and
interviewed with the intent of installing one of them in the
premises on an interim basis; and
WHEREAS, in March 1987 an interim concessionaire was allowed
to operate the cafeteria until such time as a Request for
Proposals was prepared and the premises could be competitively
bid; and
WHEREAS, Section 3(f) of the City Charter delineates powers
with respect to the acquisition and disposition of City -owned
real property; and
WHEREAS, Article V, Section 18-78 of the City Code governs
the methods and procedures for sale and lease of City -owned real
property;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized to issue a
Request for Proposals, in a fora acceptable to the City Attorney,

It is respectfully recommended that the City Commission adopt the
attached resolution authorizing the City Manager to issue a Request
for Proposals (RFP), in a form acceptable to the City Attorney, for
the lease of a 2,271 square foot cafeteria and vending concession
in the Miami Police Department building.
BACKGROUND:
The General Services Administration Department has been working
towards procuring a concessionaire for the Miami Police Department
building cafeteria. The previous concessionaire, H & H Foods,
operated the cafeteria since 1978 through December 1986, when they
vacated the premises upon short notice, leaving the Miami Police
Department without food services and creating a hardship on police
personnel.
Shortly thereafter Chief DicKson appointed a cafeteria committee,
who, in conjunction with the Property and Lease Manager, inspected
several cafeteria operations and interviewed several
concessionaires. This was in order to select an interim vendor to
provide immediate service to accommodate police personnel, many of
whom have only thirty minutes for lunch.
In March 1987, an interim concessionaire was allowed to operate the
cafeteria. It was understood that this was only. on a temporary
basis, until such time as the RFP was prepared and the premises
were competitively bid. The attached RFP would be issued after it
has been reviewed by the Law Department. As soon as the RFP is
approved, General Services Administration will commence the
competitive bidding process.

PUBLIC NOTICE
The CITY OF MIAMI (the "City") is offering to lease approximately
2,271 sq. ft. of space on the third floor of the Miami Police
Department Building, located at 400 N.W. 2nd Avenue, Miami,
Florida, for the operation• and management of a cafeteria and
vending concession. The use of the premises shall be for an
initial two-year period, with an option to renew for one
additional five-year option, if in the sole judgment of the City
Manager the operations of the lessee during the initial two years
have been satisfactory.
Request for Proposal documents may be obtained from the Property
and Lease Management Division, General Services Administration
Department, 1390 NW 20 Street, Miami, Florida 33142. In response
to the Request for Proposal documents, Proposals must be
submitted to the Office of the City Clerk, first floor of the
Miami City Hall, 3500 Pan American Drive, Miami, Florida 33133.
Each Proposer will be required to submit a good -faith deposit of
$500. Non -Successful Proposers will have their deposits refunded
in full. The $500 submitted by Successful Proposer will be
credited towards payment of the City's cost of conducting this
competition.
Prospective Proposers are alerted to the provisions of Ordinance
No. 10062- Minority/Women Business Affairs & Procurement
Ordinance and Ordinance No. 10032 which implements the "First
Source Hiring Agreement".
Questions pertaining to this Request for Proposals should be

Proposals will be received by the City Clerk of the City of
Miami, Florida at 2:00 P.M. on the day of , 1987,
at the City Clerk's Office, First Floor, Miami City Hall, 3500
Pan American Drive, Dinner Key, Miami, Florida, 33133.
The City of Miami reserves the right to accept any proposal
deemed to be in the best interest of the City, to waive any
irregularities in any proposals, to reject any or all proposals
and/or to readvertise for proposals.

CAFETERIA AND VENDING CONCESSION DESCRIPTION
The cafeteria and vending concession are situated on the third
floor of the Miami Police Department Building, located at 400 NW
2 Avenue, Miami, Florida. The cafeteria is a 2,271 square foot
area comprised of a 194 square foot kitchen, 472 square foot
serving area, 1472 square foot dining area, 37 square foot trash
area and a storage area of 96 square feet. it includes certain
furniture fixtures and equipment set forth in the attached
Personal Property sheet. (Exhibit I). Any cost associated with
the maintenance of this equipment and space will be the sole
responsibility of the Successful Proposer.
The Successful Proposer will be required to operate and maintain
the approximately 2,271 sq. ft. cafeteria operation in a manner
consistent with the requirements of this Request for Proposals.
Tne clientele that this cafeteria and vending concession will
serve are employees of the City of Miami's Police Department, who
number about 1500.

INSTRUCTIONS TO PROPOSERS
Proposal Submission: Prospective Proposers should submit a
Proposal in response to the City's Request for Proposals
containing the following sections:
a) Declaration form, to be fully executed.
b) Proposal form, to be fully executed.
I. Description of the operation and management of
the proposed cafeteria and vending concession.
(Exhibit A)
II. Description of the Proposer's experience in
operating a cafeteria and vending concession.
(Exhibit H)
III. Description of the Proposer's financial resources
available for the proposed cafeteria and vending
concession. (Exhibit C)
IV. Description of the minority participation in the
entity making the Proposal and/or the entity's
Affirmative Action Plan. (Exhibit D)
There forms are furnished as titled above, please complete per
the form's instructions and submit same. Additional
documentation submitted by the Proposer relating to any of these
sections should be attached to the completed form where
applicable.
Submission Date: Whether forwarded by mail or personally
delivered, the bid envelope must be received by the Office of the
City Clerk, City of Miami, City Hall, 3500 Pan American Drive.
Dinner Key, Miami, Florida 33133, prior to the date and time
stated in the Public Notice.
Qualifications: Prospective Proposers shall have no record of
pending lawsuits or criminal activities and shall not have
conflicts of interest which may be of embarrassment to the City
of Miami. This latter qualification may be satisfied by
submission of a notarized affidavit to this effect with the
proposal submission.

One Proposal: Only one proposal from an individual, firm,
partnership, corporation or joint venture will be considered in
response to this Request for Proposals. If it is found that a '.
Proposer is interested in more than one proposal, all proposals
in which such Proposer is interested will be rejected.
Price Proposals: Prices shall be stated in both words and
figures in the appropriate places in the bid document. In the
event that there is a discrepancy between the price written in
words and the price written in figures, the former shall govern.

Signature of Proposer: Prospective Proposer must sign the
Proposal in the space provided for signature. If the Proposer is
a partnership, the word "Partner" shall appear after the
signature of the partner. If the Proposer is a corporation, the
required signature will be of the officer(s), or individuals
authorized by its bylaws or the Board of Directors, with the
official corporate seal affixed thereto.
Performance Bond: The City' reserves the right to demand of the
Successful Proposer a performance bond in the amount sufficient
to guarantee faithful performance of the terms and conditions of
the Lease Agreement. A cash deposit with the City will also meet
this requirement.

Rent Structure: A base rental fee of five (5%) percent of
monthly gross receipts will be the minimum required rental fee.
The Successful Proposer will be required to proffer a check for
$500 as security: $250 will be held as a last month's rent and
$250 will be applied towards the first month's rent which will
begin with the opening date of the cafeteria. Proposers may
propose a larger percentage of the annual gross receipts to be
returned to the City. Any bids below the minimum 5% percent of
gross receipts indicated will be disqualified.
Interpretation of Proposal Documents: Each Proposer shall
thoroughly examine the Proposal Documents and judge for
him/herself all matters relating to the location and character of
the services he/she agrees to perform. If the Proposer should be
of the opinion that the meaning of any part of the Proposal
Documents is doubtful, or obscure, or contains errors or
omissions, he/she is invited to request clarification from
Property & Lease Management, G.S.A. Department.
Acceptance and Award: After evaluating the proposals, a lease
shall be awarded to the responsible and responsive Successful
Proposer, whose proposal offers the City the highest total
compensation, as authorized in Article V, Section 18-78 of the
City of Miami Code.
The Successful Proposer will receive an official letter from the
City of Miami notifying him/her of the acceptance of this
proposal and awarding him/her the privilege of executing a Lease
Agreement to be prepared by the City.

Any proposal which is incomplete, conditional, obscure or which
contains irregularities of any kind, may be cause for rejection
of the proposal. In the event of default of the Successful
Proposer, or his/her refusal to enter into the City of Miami
Contract, the City reserves the right to accept the proposal of
any other Proposer or readvertise using the same or revised
documentation, at its sole discretion.

Successful Proposer will be required to submit a narrative in
support or explanation of the proposed operation and management
of cafeteria and vending concession business to be conducted on
the premises offered for lease by the City. The narrative must
be attached to the fully completed proposal form. (Exhibit A)

business, accompanied by any relevant documentation, i.e.
letters, financial statements, etc. (Exhibit C)
Successful Proposer will be required to strictly comply with the
City of Miami's Ordinance #10062 - Minority and Women Business
Affairs and Procurement Program. A minimum of fifty-one (51%)
percent minority/women participation will be required. A
submittal of a narrative description of minority participation in
the entity making the proposal and/or the entity's Affirmative
Action plan is required. (Exhibit D)
Successful Proposer will be required to pay all costs, including
but not limited to appraisals, surveys and advertising expenses
incurred by the City in the process of this solicitation of
proposals.
The Successful Proposer will be required to be responsible for
all necessary maintenance and repairs related to the operation
and management of the cafeteria and cafeteria equipment listed in
Exhibit I. All custodial and janitorial services required to
maintain the leased premises in a clean, safe and sanitary
condition shall be furnished at the sole expense of the
Successful Proposer.

The Successful Proposer will be required to provide insurance
coverage at limits designated by the City. The policy shall name
the City as an additional insured, and a copy of the certificate
shall be filed with the City before the Lease Agreement is
executed.
The Successful Proposer will be required to undertake NO
construction, repairs, alterations or improvements upon the
premises unless the plans:
1. Be first submitted to Property & Lease
Management Division for presentation and
review by all appropriate departments
and offices with jurisdiction.
2. Be approved by the City Manager of the
City of Miami, Dade County, Florida.
3. Be in compliance with all State, County
and City rules and regulations and any
other agency that may have jurisdiction
in these matters.
Successful Proposer will be required, at the expiration of the
Lease term, to relinquish any and all claims for construction,
repairs, alterations, or improvements to the leased premises
undertaken by the Successful Proposer at his/her's sole expense
and shall become the property of the City.
The City Manager reserves the right to require in any contract
document such terms and conditions as he deems necessary for the
proper protection of the City of Miami.
The City reserves the right to require submission of the
following documents:
a) Personal Financial Statement
b) Personal History Form
c) Personal/Corporate Income Tax Report for two years
d) Corporate Balance Sheet less than ninety days old
e) Current Business Income and Expense Statement
The City reserves the right to require submission of a background
check on all employees working for the Successful Proposer.
