HomeMy WebLinkAboutR-88-0214J-88-182 2/2 4/88 RESOLUTION NO. 88--214 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF MIAMI, FLORIDA, APPROVING THE ASSIGNMENT AND TRANSFER OF THE AGREEMENT FOR BUS BENCHES FROM MIAMI DADE MARINE INVESTMENTS, D/B/A BUS BENCH COMPANY, TO STEVE MARTIN 6 ASSOCIATES, INC., SAID APPROVAL BEING CONDITIONED UPON THE EXECUTION OF AN ASSIGNMENT AGREEMENT IN A FORM ACCEPTABLE TO THE CITY ATTORNEY. WHEREAS, on November 2, 1983, an agreement was duly entered into between the City and Bus Bench Company which was granted the right to install bus benches approved by the City for the convenience of the traveling public, in accordance with certain terms and conditions; and WHEREAS, said Bus Bench contract had an initial term of three (3) years, which expired on November 2, 1986, and which provided in Section 1 therein that it could be extended for an additional two (2) year period; and WHEREAS, the term of the foregoing contract was extended by Resolution 86-855, adopted November 2, 1986, for an additional two (2) year term, commencing November 2, 1986, through and including November 2, 1988; and WHEREAS, Miami Dade Marine Investments, Inc., d/b/a Bus Bench Company, is desirous of selling the assets of its business which include said contract to Steve Martin and Associates, Inc., a Florida corporation; and WHEREAS, it appears that the Bus Bench Company is current on all payments due the City and is otherwise in compliance with the terms of its contract with the City; and WHEREAS, the Bus Bench Company has written to the City Manager, by and through its legal counsel, and has requested that the City Commission approve the assignment of the Bus Bench contract to Steve Martin and Associates, Inc.; and CITY COMMISSION MEETING OF MAR 110 1988 ESOLUTION Na. S-214 WARKS WHEREAS, the assignment shall be made in a form acceptable to the City Attorney; and WHEREAS, the City Manager has recommended to the City Commission that it consent to and approve the foregoing assignment of the Bus Bench contract; and WHEREAS, Section 19 of the Bus Bench contract requires that the City Commission approve any sale or assignment of this agreement upon the recommendation of the City Manager; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The assignment and transfer of the November 2, 1983 Agreement for Bus Benches is hereby approved with the understanding that the Assignee, Steve Martin & Associates, Inc., will assume, faithfully perform and discharge all terms and conditions of said agreement including, without limitation, payment of applicable consideration to the City; said approval being conditioned upon the execution of an assignment agreement in a form acceptable to the City Attorney. Odio City Manager RECOMMENDATION: DATE MAR ' 1910 PILE 33 SUOJECT Agenda Item Commission Meeting of March 10, 1988 REFERENCES Bus Bench Company Contract ENCLOSURES It is respectfully recommended that the attached Resolution approving the assignment and transfer of the agreement for bus benches from Miami Dade Marine Investments, D/B/A Bus Bench Company, to Steve Martin b Associates, Inc., be approved. BACKGROUND: Bus Bench Company (the Company) was granted by the City the right to install bus benches for the convenience of the travelling public. The Company has requested the assignment of its contract with the City to Steve Martin b Associates, Inc. This City agreement which expires on November 1, 1988, requires the City Commission approval of the assignment upon recommendation of the City Manager. It is hereby recommended that the contract be assigned to Steve Martin i Associates, Inc., upon the execution of an assignment - agreement in a form acceptable to the City Attorney. cc: Law Department 33 98=214
