A RESOLUTION WAIVING THE REQUIREMENTS FOR
COMPETITIVE SELECTION PROCEDURES FOR THE
SELECTION OF A CONSULTANT TO PROVIDE
ARCHITECTURAL, F,NGINEF,RING AND PROJECT
MANAGEMENT SERVICES FOR THE "ORANGE. BOWIE
MODERNIZATION PROJECT"; RATIFYING, APPROVING
AND CONFIRMING THE CITY MANAGER'S WRITTEN
FINDING THAT A VALID PUBLIC EMERGENCY EXISTS
JUSTIFYING SUCH WAIVER FOR SAID PROJECT;
AUTHORIZING THE CITY MANAGER TO EXECUTE AN
AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY, WITH KUNDE, SPRECHER, YASKIN 6
ASSOCIATES, INC., AS SAID CONSULTANT FOR THE
PURPOSE OF PREPARING PLANS AND SPECIFICATIONS
FOR FAST -TRACK COMPLETION OF PHASE I OF SAID
PROJECT; ALLOCATING AN AMOUNT NOT TO EXCEED
$60,000 FROM THE SPECIAL REVENUE FUND
ENTITLED "METRO-DADE TOURIST BED TAX",
PROJECT NO. 195001, FOR SAID CONSULTANT'S
FEES FOR THE INITIAL PHASE OF SAID PROJECT,
AND FURTHER AUTHORIZING THE CITY MANAGER TO
MAKE ARRANGEMENTS FOR SHORT-TERM AND/OR LONG-
TERM FINANCING FOR THE CONSTRUCTION OF THE
TOTAL PROJECT AND FOR THE BALANCE OF
CONSULTANT FEES, SUBJECT TO THE REVIEW AND
APPROVAL OF SUCH FINAL ARRANGEMENTS BY THE
CITY COMMISSION.
WHEREAS, existing Orange Bowl Stadium use agreements with
its two major tenants, the University of Miami and the Orange
Bowl Committee expire in 1990 and 1991, respectively; and
WHEREAS, the City desires to enter into new long-term
agreements with said tenants for playing their football games in
the Orange Bowl Stadium; and
WHEREAS, during several public hearings, both the
University of Miami and the Orange Bowl Committee have stated
that major improvements to the Orange Bowl Stadium are conditions
precedent to their executing any subsequent long-term use
contracts; and
WHEREAS, the City has initiated a project for said stadium
improvements which includes press box renovations, revamping the
elevator system, installation of a new communications system in
the press areas and a new public address system, and construction
of new ramps, concourses, concession stands and restrooms; and

WHEREAS, said project has been liviled into two phases: the
first pertaining to press box and elevator improvements at a
proposed construction cost of $g5010001 and the second
encompassing the balance of elements prev i-)usly described at a
proposed construction cost of $14,050,000; and
WHEREAS, said tenants require c,:)mpl Ntion (-)f Phase I of said
project by September 1, 1988 anil completion of Phases II by
September 1, 1989; and
WHEREAS, the architectural and engineering firm of Kunde,
Sprecher, Yaskin & Associates, Inc., has successfully served as
consultant for eight (8) Orange Bowl projects over the past 21
years; and
WHEREAS, Kunde, Sprecher, Yaskin & Associates, Inc., is
fully qualified and has adequate financial, personnel and other
such resources to perform the require(I work for said Project, and
to complete said work within the stated deadlines with respect to
Phase I; and
WHEREAS, failure of the City to show a good faith effort in
making stadium improvements will result in the tenants not
entering into long-term agreements and will further result in
major revenue losses to said facility causing undue and
unnecessary financial hardship to the City; and
WHEREAS, the City Manager has made a written finding that a
valid public emergency exists under the above facts; and
WHEREAS, funds for presently engaging Kunde, Sprecher,
Yaskin & Associates exist in the Special Revenue Fund, entitled
"Metro -Dade Tourist Bed Tax", Project No. 195001;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
SECTION I. The recitals contained in the preamble to this
Resolution are hereby incorporated by reference thereto and
adopted as if fully set forth in this Section.
SECTION 2. The City Manager's finding that a valid public
emergency exists justifying such waiver for said Project is
hereby ratified, approved and confirmed.

SECTION 3. By an affirmative vote of 4/5ths of the
members of the City Commission, the requirements for Competitive
Selection Procedures for the selection of a consultant to serve
as architect,
engineer
and project manager
for the "Orange Bowl
Modernization
Project"
are hereby waive1.
SECTION
4. The City Man,iger is
hereby authorized to
execute an agreement,
in a form acceptable
to the City Attorney,
between the
City of
Miami and Kunde,
Sprecher, Yaskin 6
Associates, Inc., as consultant, for the purposes of preparing
plans and specifications and for the fast -track completion of
Phase I of the Project.
SECTION 5. An amount not to exceed $60,000 is hereby
allocated from the Special Revenue fund entitled "Metro -Dade
Tourist Bed Tax", Project No. 195001, for said consultant's fees
for Phase I of said project.
SECTION 6. The City Manager is hereby further authorized
to make arrangements for short-term and/or long-term financing
for the construction of the total project and for the balance of
consultant fees, subject to final review and approval of the City
Commission.

SUBJECT Resolution for Orange Bowl
Modernization Project

ENCLOSURES
It is respectfully recommended that the City Commission adopt the
attached resolution which waives the competitive selection
procedures for the selection of a consultant to serve as
architect, engineer and project manager for the "Orange Bowl
Modernization Project" based on the City Manager's written
finding that a valid public emergency exists justifying such
waiver. The resolution also authorizes the City Manager to
execute an agreement with Kunde, Sprecher, Yaskin & Associates,
Inc., the proposed consultant, to prepare plans and
specifications for the entire project and to fast -track
completion of Phase I of the project, with funds in the amount of
$60,000 to be allocated from the Special Revenue Fund entitled
"Metro -Dade Tourist Bed Tax" for consultant fees for this phase.
The City Manager would also be authorized to identify financing
for construction of the total project and the balance of
Consultant fees.
BACKGROUND:
The City Administration, after public meetings with the two major
tenants of the Orange Bowl Stadium, the University of Miami and
the Orange Bowl Committee, has determined that there exists an
emergency need to carry out a new project entitled the "Orange
Bowl Modernization Project". The Administration held three
separate recorded meetings with said tenants and other interested
parties at the Athletic Club in the Orange Bowl Stadium on
February 5, March 14, and March 25, 1988. The result of these
meetings is that the University of Miami and the Orange Bowl
Committee are both desirous of entering into new long term
agreements (15-year term) with the City, if the City will meet
their Orange Bowl improvement and modernization demands, which
include:
1. 3rd, 5th and 6th level press box renovations and
improvements,
2. Revamping of existing elevator system and the addition of
a new elevator system to the press box levels,

3. A new communications system throughout the four press box
areas,
4. A new stadium public address system,
5. New ramps and concourses,
6. New concession areas and new restroom facilities.
The above elements have been divided into two phases as follows:
Phase I - Press Boxes and Elevators

The University of Miami and the Orange Bowl Committee require
that the Phase I portion be completed no later than September 1,
1988 and that Phase II be completed by no latter than SontamhPr t.
1989. The negotiation and execution of subsequent long term
agreements with these tenants is conditioned upon the City's good
faith effort to complete the project. Failure of the City to
comply with the above mentioned demands by the deadlines imposed
would place undue and unnecessary financial hardship on the City
because of the absence of these tenants and subsequent,
disastrous revenue loss.
To demonstrate the City's good faith effort, an architectural and
engineering firm must be immediately engaged as consultant to
meet the September 1, 1988 deadline completion date for Phase I
of the project. With the consultant on board at this time,
completion deadline for the subsequent construction phase can be
easily met.
The Administration recommends the selection of Kunde, Sprecher,
Yaskin & Associates, Inc., to provide the architectural design
and engineering and fast -track construction management services
for the "Orange Bowl Modernization Project". Kunde, Sprecher,
Yaskin & Associates, Inc., has been providing the City with

architectural design and engineering services for the Orange Bowl
Stadium over the past 21 years as follows:

With their years of Orange Bowl experience, Kunde, Sprecher,
Yaskin & Associates, Inc., are able to commence work immediately
using Orange Bowl plans and records already in their files to
develop the plans and specifications needed to prepare
construction documents in time to meet the deadlines mandated by
the University of Miami and the Orange Bowl Committee. Kunde,
Sprecher, Yaskin & Associates, Inc., has sufficient architects,
engineers, designers, draftsmen and fast -track project managers
on its staff to immediately mobilize on this project. Over the
years, Runde, Specher, Yaskin & Associates, Inc., has worked with
the University of Miami and the Orange Bowl Committee and
understands their needs at the Orange Bowl.
Funding in the amount of $60,000 to cover consultant fees for the
initial phase is available in the Special Revenue Fund entitled
"Metro -Dade Tourist Bed Tax", project No. 195001. The attached
resolution would further authorize the City Manager to identify
financing for the construction of the entire "Orange Bowl
Modernization Project" and for the balance of consultant fees for
subsequent phases. An amendment to the Capital Improvements
Ordinance No. 10347, adopted October 22, 1987, will be submitted
at a future Commission Meeting, along with contracts for
construction of the project.

Based on demands made by the two major Orange Bowl Stadium
tenants, the University of Miami and the Orange Bowl Committee,
at three public meetings attended by these tenants, City staff
and other interested parties on February 5, March 14 and March
25, 1988, I have determined that there exists a valid public
emergency requiring the protection of the welfare and convenience
of the City of Miami by means of a waiver of the requirements for
Competitive Selection Procedures for the selection of a
consultant for the subject project. Said consultant is to
provide architectural, engineering and project management
services for said project, to prepare plans and specifications
for the work, and to fast -track completion of Phase I of the
project by no later than September 1, 1988 as mandated by said
tenants.
Additional justification for this finding of an emergency is
based on the fact that Pwiatino rnntrAntg with said tenants will
expire by 1991 and upon said tenants' position that negotiation
and execution of subsequent long-term agreements are conditioned
upon the City's good faith effort to meet such demands and
complete the project as they require. Failure of the City to
comply with said stadium improvement demands will jeopardize the
long-term agreements and will result in a disastrous revenue loss
to the Orange Bowl Stadium.
