A RESOLUTION APPROVING THE DONATION TO THE CITY OF A COMPUTERIZED SCOREBOARD/MESSAGE BOARD SYSTEM, TO BE CONSTRUCTED BY AMERICAN SIGN AND INDICATOR CORPORATION (AS&11 AT FOUR (4) CITY OF MIAMI PUBLIC FACILITIES; AUTHORIZING THE CITY MANAGER TO SUBMIT A LETTER OF ACCEPTANCE, IN SUBSTANTIALLY THE ATTACHED FORM, AND TO EXECUTE SUCH DOCUMENTS, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, AS MAY BE NECESSARY TO IMPLEMENT SAID DONATION, WHICH DONATION RESULTS FROM THE CONCERTED EFFORT BY COOGAN ENTERPRISES, INC., AN AUTHORIZED REPRESENTATIVE OF AS&I, SAID REPRESENTATIVE BEING AUTHORIZED TO SECURE, AT NO COST TO THE CITY, APPROPRIATE SPONSORS/DONORS OF SAID SYSTEM; SAID ACCEPTANCE BEING SUBJECT TO THE PROVISIONS AS SET FORTH IN SAID LETTER OF ACCEPTANCE AND IN THE ATTACHED SCHEDULE. WHEREAS, the Department of Parks, Recreation and Public Facilities has determined that improved visual communications at the Orange Bowl Stadium will enhance overall stadium operations and marketability, and make events more attractive to attendees; and WHEREAS, said Department and the Department of Conferences and Conventions have further determined that a state-of-the-art, computerized message board system will improve the marketability of City facilities and serve to increase promotions for scheduled events; and WHEREAS, American Sign and Indicator Corporation (AS&I) has offered to design and construct, at no cost to the City, a state- of-t'he-art, computerized Scoreboard/Message Board System at four (4) City of Miami public facilities: the Orange Bowl Stadium, the Miami Marine Stadium, the Coconut Grove Exhibition Center and the City of Miami Convention Facility at the James L. CITY COMMISSION MEETING OF APR 14 11988 {tk' `,0' UI VJN NOC �7S-30r, 1 t.',1Akh� WHEREAS, said system will consist of one (1) color animated and one (1) black -and -white animated scc-_)reboard inside the Orange Bowl Stadium, one (1) color animated message board in said Stadium parking lot, and three (3) ad1 itional color animated message boards, one at each of the following: the Marine Stadium, the Exhibition Center and the Convention Facility; and WHEREAS, the total estimated value of said System is $4.3 million; and WHEREAS, Coogan Enterprises, Inc., an authorized representative of AS&I, has offered to secure, again at no cost to the City, up to eight (8) major sponsorships for the donation of said System; and WHEREAS, contributions from such sponsorships will be sufficient to defray the entire cost of the Scoreboard/Message Board System and will entitle said sponsors to certain advertising rights within the System; and WHEREAS, the City Manager shall have Prior approval over all prospective sponsorship, and the design and location of all System components; and WHEREAS, similar sponsorship offers have been accepted and implemented by other local and state public agencies, including Miami -Dade Community College (South Campus gym and baseball field) and Leon County's Civic Arena; and WHEREAS, the System offered by AS&I and Coogan Enterprises has been reviewed by appropriate City staff and found to meet the City's needs for visual, computerized communications that are suitable for City public facilities; and WHEREAS, both AS&I and Coogan Enterprises have been found to be well -qualified in the communications industry with excellent reputations for projects of similar size and scope, and have adequate resources for the implementation, operation and support of the proposed City of Miami Scoreboard/Message Board System; and - 2 - *0 WHEREAS, said System will enable the Department of Parks, Recreation and Public Facilities to not only increase overall revenue production but to provide public service announcements for the benefit of the community; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section I. The donation of a computerized Scoreboard/Message Board System, to be constructed by AS&I at four (4) City of Miami public facilities, is hereby approved. Section 2. The City Manager is hereby authorized to submit a letter of acceptance, in substantially the attached form, and to execute such documents, in a form acceptable to the City Attorney, as may be necessary to implement said donation. These periods may be extended by City under mutually agreed upon terms. CITY APPJWALS The City of Miami shall have prior approval rights for the final design of the System, for individual sponsorships secured by Coogan Enterprises, for location of each panel, sign and board, and for individual ad copy And/or graphics desired by sponsors. s. Further, the City of Miami hereby grants to Coogan Enterprises, Inc., as an authorised representative of American Sign and Indicator Corporation, subject to the provisions of said resolution the exclusive right for a period of 180 days from the date of this letter to seek an appropriate sponsor or sponsors who shall purchase from Coogan Enterprises, Inc. said System, comprised of the Orange Bowl Stadium scoreboards and four (4) remote message boards, subject to applicable provisions of existing and/or future facility use agreements and to the following conditions: 1. The City of Miami Scoreboard/Message Hoard System shall be described in approved print numbers W- 185, W-186, W-187, W-188-A-1, W-188A. 2. Sponsor shall have exclusive non-competitive advertising rights on specified Orange Bowl Scoreboard Panels and for specific advertising time on the Scoreboard Displays. Exclusive non- competitive rights do not extend to remote message boards, nor exclude event sponsor advertising elsewhere on the Orange Bowl Scoreboard. The term of rights shall be ten (10) years with the option to renew such rights under terms mutually acceptable to the City of Miami and the sponsor. 3. Sponsor shall be entitled to display its corporate logo and message on the advertising panels) of the Orange Bowl Stadium scoreboards, and limited advertising rights on the remote message boards. 4. All advertising copy shall be subject to approval by the City of Miami. 5. Coogan Enterprise, Inc., shall be responsible for operator training. Rg"?0r R9-30S,. lJ Jerry Coogan Page: Two G. The City of Miami will provide a programmer/operator for all activities during which the System will be in use. 7. The City of Miami shall bear the risk of loss and shall secure public liability and property damage insurance on the System. S. American Sign and Indicator Corporation will commence manufacture of the System upon receipt of an executed agreement(s) between the City of Miami, the sponsor(s), and/or Coogan Enterprises, Inc., and after obtaining all necessary permits, variances, approvals and inspections. 9. In the event that Coogan Enterprises, Inc., fails to secure a suitable sponsor or sponsors within the 180 day period, the City of Miami at its option, may extend the exclusive right for an additional period or may cancel. 10. It shall be the responsibility of Coogan Enterprises, Inc., as authorized representative of American Sign and Indicator Corporation, to install the System. City Manager ENCLOSURES RZC014MSNDATION: It is respectfully recommended that the City Commission adopt the attached proposed resolution approving the donation of a computerized Scoreboard/Message Board System, to be constructed by American Sign and Indicator Corporation (AS&I) at four (4) City public facilities, and authorizing the City Manager to submit a letter of acceptance and to execute the necessary documents to implement said donation, which results from the efforts of Coogan Enterprises, Inc., an authorized representative of AS&I, which will secure, at no cost to the City, major sponsorships for the donation of said system. The value of this donation is approximately $4.3 million. BACKGROUND: The Department of Parks, Recreation and Public Facilities has determined that improved visual communications at the Orange Bowl Stadium will enhance overall operations, marketability and revenue at that facility, and will make its events more attractive to the public at large. Additionally, exterior message board signage at the Orange Bowl and other major City facilities would further improve their marketability and provide continuous promotion of scheduled events and activities, resulting in significant revenue increases. To meet these needs, the Department and other affected City staff have met with a representative of American Sign and Indicator Corporation. This firm has offered to design and construct a state-of-the-art Scoreboard/Message Board System at four (4) City of Miami facilities. All components would be computerized, electronic communication boards, and are as follows: One (1) 58' x 35' electronic scoreboard with color panels, color -animated matrix and message boards, and one (1) 58' x 18' electronic scoreboard with black -and -white animated message board -- both to be located inside the Orange Bowl Stadium. 39 -/ R9-305, Honorable Mayor and Members of the City Commission Page 2 Four (4) remote 26' x 14' color animated message boards, to be located on the exterior of each of these facilities: the Orange Bowl, the Miami Marine Stadium, the Coconut Grove Exhibition Center, and the City of Miami Convention Facility at the James L. Knight Center. While the value of the system is estimated at $4.3 million, the entire system will be donated to the City of Miami through Coogan Enterprises, Inc., an authorized representative of AS&I. Coogan Enterprises will secure,.at no cost to the City, up to eight (8) major sponsors, whose contributions will defray the System's cost. With the prior approval of the City Manager, these sponsors will be granted controlled advertising rights within the confines of the System. The administration has closely reviewed the offer of AS&I, located in Spokane, Washington, and finds their offer highly attractive and more than adequate to meet the communications and revenue needs of the City's public facilities. The firm is well qualified and has an excellent reputation for implementation, operation and support of similar projects. Furthermore, similar sponsorship offers have been accepted and implemented by other public agencies, including Miami -Dade Community College (South Campus Gym and Baseball field) and Leon County (Civic Arena). The Scoreboard/Message Board System will consist of the following phases: Phase I: Coogan Enterprises, Inc., will develop and secure corporate sponsorships for the System, expected to be in excess of $4.3 million. All prospective clients for sponsorship will be approved by the City Manager. Sponsorship contributions will be made to Coogan Enterprises, Inc. Phase II: The City Manager will approve necessary documents for each corporate sponsor, which will effect the donation and grant controlled advertising privileges within the System for a specific period of time. Phase III: AS&I, with final City Manager approval, will custom design the System's equipment, including sponsor panels, and deliver and install at each site. The City will provide electrical current to the signs, necessary trenching, conduit to the structure and an electrician to perform the hookup. • FI Honorable Mayor and Members of the City Commission Page 3 The attached resolution would approve this donation and authorise the Manager to affect its implementation, via a letter of acceptance and other necessary documentation acceptable to the City Attorney. A schedule is also enclosed which highlights the terms of such donation. It should be noted that the Scoreboard/Message Board System was a topic during the general public meetings held for the Orange Bowl Modernization Project, and was endorsed during those meetings by the stadium's two (2) major tenants, the University of Miami and the Orange Bowl Committee. In discussions with the College purchasing area, the Vice President for Administration, and a review by the College's attorneys ve have determined that it is not necessary for the College to utilize any purchase orders or bid procedures in this project. As the project's foundation is based on a corporate contribution or donation of the proposed equipment, this procedure is not relevant. As soon as the Miami -Dade Community College Board of Trustees gives us the okay, ve will be able to issue you a letter of intent as agreed to expedite and implement the project.
