A RESOLUTION ACCEPTING THE BID OF
SOUTHEAST BANK, N.A. FOR THE PROVISION
OF BANKING SERVICES FOR A ONE YEAR
PERIOD SUCH COMPENSATION FOR SERVICES TO
BE PAID BY THE CITY MAINTAINING
UNINVESTED MONEYS ON DEPOSIT DURING THE
CONTRACT TERM IN AMOUNTS DERIVED FROM
THE ACTUAL VOLUME OF SERVICES PERFORMED
ND THE INTEREST RATE OF NEWLY ISSUED
REASURY BILLS; FURTHER AUTHORIZING THE
CITY MANAGER TO EXECUTE A CONTRACT WITH
SAID BANK IN ACCORDANCE WITH THE TERMS
AND CONDITIONS OF THE SUBMITTED BID.
WHEREAS, the City Code requires that the Finance Director
request competitive bid quotations from Federal and State
chartered Banks located within the City for the provision of
Banking Services; and
WHEREAS, sealed bids were received on March 31, 1988 for the
provision of Banking Services for the City of Miami; and
WHEREAS, a review committee approved by the City Commission
reviewed the submitted bids for Banking Services and has made a
recommendation to the City Manager; and
WHEREAS, the City Manager concurs with the recommendation of
the Review Committee;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The Bid of Southeast Bank, N.A. for the
provision of banking services to the City of Miami for a one year
period is hereby accepted.
Section 2. The compensation to be paid by the city for said
services shall be paid from uninvested moneys maintained or
deposit during the contract term in amounts based on the actual
volume of services performed and the interest rate on newly issue
Treasury Bills.

AGREEMENT
THIS AGREEMENT, made and entered into this day of
, by and between the City of Miami
(hereinafter referred to as 'THE CITY'), and Southeast Bank, N.A.
(hereinafter referred to as 'THE BANK').
WITNESSETH:
WHEREAS, the City Commission by Resolution No. passed
and adopted September 8, 1988, authorized and directed the City
Manager to execute a contract for banking services; and
WHEREAS, the City Commission selected the BANK to render
said services for a period of one (1) year, beginning

NOW, THEREFORE, the CITY and the BANK for the considerations
hereinafter set forth, agree and covenant, one on to the other as
follows:

D. Additional Accounts
The CITY will attempt to limit the number of bank
accounts it uses; however, where legal requirements
dictate separate bank accounts must be maintained. In
addition, the CITY may deem that additional DDA or time
deposit accounts would be administratively more efficient.
These additional accounts may be established at any time
and would operate under service specifications and at
such costs to the CITY as mutually deemed reasonable by
the CITY and the BANK.
II. COMPENSATORY BALANCE CALCULATION
For the service authorized in Section I, the CITY agrees to
maintain an uninvested amount of monies on deposit with
Bank. Such amount is to be called balance required to
support that service and to be calculated as described
below:
Monthly, the bank will prepare a billing for services render
ed. This billing must be presented in a format similar to
the bidding form with a total for all the service charges
for the month.
The total service charges thereby evaluated will then be
converted to a "Balance Required to Support Service". This,

III. GENERAL PROVISIONS OF THE AGREEMENT
A. Termination of the agreement for cause.
If either party does not comply to the terms of the
agreement, the City Manager or the BANK may give notice
of the defaults in writing. If the defaults are not
corrected within thirty (30) days, the contract is
terminated thirty (30) days from the written notice of
defaults, by the City Manager of the BANK.
B. Right to Audit.
The City, from time to time, has the right to audit the
BANK'S books and records with regard to the accounts and
services to City to ensure that all aspects of the
Agreement are being met.
Changes.
The City Manager may, from time to time, require changes
in the scope of services of the BANK to be performed
hereunder. Such changes, which are mutually agreed upon

by and between the CITY and the BANK shall be
incorporated in written amendments to this Agreement.
Equal Employment Opportunity.
The BANK will not discriminate against any employee or a ;
applicant for employment because of race, color,>.
religion, sex or national origin. The Bank shall take
affirmative action to ensure that applicants are

The BANK agrees to post in conspicuous places available
to employees and in applications for employment notices
setting forth the provisions of this non-discrimination
clause. The BANK will in all solicitations or
advertisements for employees placed by or on behalf of
the BANK state that all qualified applicants will
receive consideration for employment without regard to
race, color, religion, sex or national origin. The BANK
will cause the foregoing provisions to be inserted in
all sub -contracts for any work covered by this contract
so that such provisions will be binding upon each sub-
contractor, provided that the foregoing provisions shall
not apply to contracts or sub -contracts for standard
commercial supplies or raw materials. The BANK shall
keep such records and submit such reports concerning
racial and ethnic origin of applicants for employment
and employees as the Secretary of Labor of the United
States requires. The BANK agrees to comply With such
rules, regulations or guidelines as the Secretary may
issue to implement these requirements.
E.
Both Parties shall comply with all applicable laws,

ordinances and codes of Federal, State and Local,
Governments applicable to that Party.
F.
In the even of conflict between the terms of this
Agreement and any terms or conditions contained in any
attached documents, the terms in this Agreement shall

No waiver or breach or any provision of this Agreement
shall constitute a waiver of any subsequent bres'oh

modified to the extent necessary in order to conform
with such laws, and to the extent they can not be so
modified, then same shall be deemed severable, and in
either event, the remaining terms and provisions of this
Agreement shall remain unmodified and in full force and
effect.
I. That the obligations undertaken by BANK pursuant to this
Agreement shall not be delegated or assigned to any
other person or firm unless CITY shall first consent in
writing to the performance or assignment of such service
or any part thereof by another person or firm. E
J. That BANK has not employed or retained any person employ
ed by the CITY to solicit or secure this Agreement and
that he/she has not offered to pay, paid, or agreed to
pay any person employed by the CITY any fee, commission
percentage, brokerage fee, or gift of any kind
contingent upon or resulting from the award of this
Agreement.
K. This Agreement shall be construed and enforced according
to the Laws of the State of Florida.
L. BANK shall indemnify and save CITY harmless from and
against any and all claims, liabilities, losses, and
causes of action which may arise out of BANK'S
negligence under this Agreement, including any employee
acting for and on the BANK'S behalf, and from and
against any orders, judgements, or decrees which may be
entered and from and against all costs, attorney's fees

expenses and liabilities incurred in the defense of any
such claims, or in the investigation thereof.,

any time prior to the completion of the services
required pursuant to paragraph I hereof without penalty
to CITY. In that event, notice of termination of this
Agreement shall be in writing to BANK, who shall be paid
for those services performed prior to the date of its
receipt of the notice of termination. In no case,
However, will CITY pay BANK an amount in excess of the
total sum provided by this Agreement.

On yesterday, March 318t, 1988, this office received a telephone
call from Annette DeLara (Finance Department) that our office
would be receiving at 4 pm responses to an invitation to bid for
the provision of banking services for the City of Miami. No.
DeLara during her conversation with Ms. Mendoza of my office, had
explained that there was a gentleman who provided a paper which
stipulated that bid opening was at 5 pm and not 4 pm We agreed
to cooperate with them on this one occasion, but this office
finds it impossible to continue, at times, to operate under
circumstances such as the ones just described.
I respectfully request that you assist us in drafting appropriate
administrative procedures, to be signed by the City Manager which
would inform all department directors that this office will no
longer proceed to open bids unless we have been duly informed at
least two weeks prior to the bid opening. Needless to say, if
you feel one week is reasonable, we will abide by any
recommendation you may have. We simply feel that the above cited
practice is too dangerous on an issue as sensitive as bid
opening.

It is respectfully recommended that the attached resolution
accepting the bid of for the provision of Banking
Services for a three year period approved.
BACKGROUND:
At the January 14, 1988 City Commission meeting, Resolution No.
88-42.1 authorizing and instructing the Finance Director to
advertise and distribute a Invitation of Bid for Banking
Services was approved. The resolution additionally appointed a
committee to evaluate responses and to make a recommendation to
the City Manager based upon the criteria as defined in the
invitation of bid.

III. Information requested of responding bank, in addition to the
"BID QUOTATION FOR SERVICES TO BE PROVIDED", included- the
following:
1. Provisions for compliance with the City's minority
procurement ordinance, including the bank's
affirmative action plan and employment statistics.
2. Evidence of compliance with the Federal Community
Reinvestment Act, including documentation of type of
investments in low income areas.
3. Evidence of participation in City sponsored projects,
such as Southeast Overtown/Parkwest Redevelopment
Project and the Bayside Minority Business Program.

V. The following recommendations were made by the Selection
Committee:
Southeast Bank was selected as the first choice of the
committee for servicing of all four accounts. (The !lain
Depository Account, Main Operating Account, Payroll Account and
Workers' Compensation Account). This recosscendation was base
upon having the lowest overall bid and meeting all the writer►
as defined in the Invitation to Bid. Placing all the accounts 14,

SUBJECT Review of M/W Business
Participation in Bids
for Bank Services
REFERENCES
ENCLOSURES.
Following is an evaluation of Minority/Women Business
participation and the Affirmative Action Plans/Programs- of the.
banks which recently submitted proposals for Banking Services for
the City of Miami. These reviews consider employment data,
Affirmative Action and/or Equal Employment Policies, community
involvement and the Community Reinvestment Act activities, and
participation in City -sponsored projects and/or programs.
Barnett Bank
Barnett Bank submitted an Affirmative Action Statement, but did
not submit employment statistics which would indicate the extent
to which their policy was producing the end result of hiring and
promoting women and/or minorities. In addition to their
Affirmative Action Policy, the bank has a minority vendor program
which encourages the use of minority businesses in their
procurement process. Barnett has created a Minority Business
Loan Program which is housed in the Hialeah branch and about
which we have heard some positive results. The bank participates
extensively in City of Miami Housing and Commercial redevelopment
activities and maintains a working liaison relationship with
Miami Capital Development Corporation. Barnett is in compliance
with the Federal Community Reinvestment Act.
Consolidated Bank
Consolidated provided their Affirmative Action Plan with
supporting statistics on employees. According to their
employment statistics the bank employes a majority of Hispanic
males and females at all levels. They listed AWW4rv*� ,•
involvement in and contributions to a large number of Kapp
educational and civic organizations. There was not ioval, s
indicated in City projects nor was.inform4tion provided-reqi "
the Bank's compliance with the Federal ComunAty ReLav_ A,

southeast provided their Affirmative Action POILOY
employment date which indicated that they had a
mix of Black, Hispanic and female employees at all levels.
During the period between 1986-1988, there was a decline in the
number of black employees, however it was not significant.
Southeast submitted a considerable amount of supporting data
regarding their involvement in and support of community
activities. In addition, they have fully complied with the
Federal Community Reinvestment Act and have received
commendations and media recognition for their efforts in this
area.
Sun Bank
Sun Bank submitted their Affirmative Action Plan and their annual
Reaffirmation of the Equal Employment Opportunity Policy which is
signed and issued by the Chairman and CEO annually. Their
supporting employment statistics indicated that 73% of their
employees were female, spread relatively evenly throughout the
various employment categories. Hispanics comprise 54% of their
work force and Blacks, 10%. Blacks and Hispanics are not highly
represented in the managerial and professional jobs at the bank.
Their report on CRA activities indicated that from 1986-1987,
they contributed $450,000 to various civic and educational
programs. As it related to their involvement in city -sponsored
activities Sun indicated that they had participated in financing
for Southeast Overtown and Bayside Minority Funding.
Capital Bank
Capital Bank indicated that a majority of their routine banking
activities were with minorities. According to their reports, 71%
of their commercial loans and 45% of their installment loans were
at their branches service Black and Hispanic customers. In
addition, they indicated that in the six (6) year'period between
1981 and 1987 over $100 million in mortgages to Black and
Hispanic customers. Capital included their Affirmative Action
Plan and supporting statistics indicating that approximately one-
third of their managerial and professional staff was Hispanic.
Blacks are under represented in these classes. The bank
contributes to a significant number of civic and educational
organizations in the community. Capital submitted numerous media
articles indicating their compliance with the Federal Community
Reinvestment Act.
Florida National Bank
Florida National submitted their Affirmative Action Policy A j
provided employment data which indicated a large number ofd!
employees in all categories, a large number of Hispanic eop1A v
and a representative number of Black employees. T#sese s
were also represented among their officers and proftssii,r.
The Board of Directors has approved the CAA policy of tbo

funding up to $lmil for the county's Documentary Stamp Surtax
Program. News articles were submitted to verify this
information.
NCNB National Bank of Florida
NCNB submitted their Affirmative Action policy Statements and
supporting employment statistics. Their employment statistics
indicated a lack of significant involvement of minorities in
their professional and managerial categories. Their involvement
in city sponsored projects indicated participation in Bayside's
minority loans, a $6mil letter of credit for Southeast overtown
and a $1.2mi1 commitment for loans for the Melrose and other City
sponsored scattered site housing projects. The bank's CRA .
activities did not distinguish their City of Miami involvement'in x
various mortgage programs.

these items the City will have some day use. However, Barnett will
not collect the funds on these State Treasurer and Dade County checks
on a some day basis. This could possibly result in the City of Miami
being charged for uncollected charges at the prime rate on their
monthly Account Analysis.

Barnett has a Personal Computer Based Funds Transfer product called
CENTRIC. With this product the City of Miami would have the ability
to initiate Moth preformatted funds transfers, as well as free form
funds transfers. The pricing for this service will be $25/month base
j charge and $2 per each transaction report after the 1st one each
day. The cost of outgoing funds transfer is $10.00.
Barnett Hank of South Florida, N.A.'s Funds Transfer service would
enable the City of Miami to designate the Harnett accounts that
they wish to use for funds transfer via their personal computer, or
as in the following scenario by telephone.
lh order for the City of Miami to utilise this service it would be nec-
essary for them to complete the Funds Transfer Agreement in addition
to the Funds Transfer Authorised Caller Form. no Funds Transfer
Authorised Caller Form enables the City of Miami to assign specific
authorized callers to reuyiest funds transfers, the account numbers
for which each is authorized, and a maximum dollar limit per request.
Upon receipt of this complete form, Barnett would assign a PIN to

each caller to be used when requesting a transfer.

If the City of Miami has outbound transfer requests made routinely
with instructions remaining the some except for that amount, they
would need to complete a Repetitive Dwwfer Authorisation Form.
Upon receipt of this completed form, Barnett will assign a Repeat

Code and will send a copy to the City of Miami designated contact
All funds transfer calls are tape recorded. This section applies only
to domestic wires.

MicroLink
MicroLink is a computerized information delivery system offered by Florida National
Bank to enhance and simplify a company's financial management. Each banking day,
pertinent information for the City of Miami's bank accounts would be consolidated
in MicroLink's central computer. By dialing a local telephone number, the City
would electronically receive the bank account information; once the information
is resident on your system's hard disk the MicroLink software automatically con-
verts data to the required format, updates reports and daily worksheets and stores
the data in the database on your hard disk for your use at anytime in the future.

MicroLink's communications software allows you to access bank information in
either of•two ways: unattended transmission (transfers data to your microcomputer
automatically) or autodial (enables you to have data transferred to your micro-
computer immediately, or at a later time of your choice). Other on-line inform-
ation services, such as the Dow Jones News Retrieval and CompuServe, may also be
accessed via MicroLink's communications software. .
MicroLink's Cash Manager is an automated system which gives Customers issdiate
access to bank account information. The primary components of the Cash Manager are:
• Bank Account Reporting - provides multibank reporting of balances
and transactions. It allows the User to display, print and
customise reports. Since the data is resident in the systam's
hard disk, the Customer will not incur any usage or timesharing
charges.
° Daily Worksheet - acts as a cash -flow projection tool which the
City could use repeatedly to generate daily worksheets.
Spreadsheet Interface - allows the User to move bank account data
from MicroLink to another software package (Lotus 1-2-3, Symphony,
etc.). It creates an ASCII file with a format for each data type.
Money Transfers - enables the City of Miami to initiate per -
arranged and freeform wire transfers from your office.
MicroMail allows the User to create and send massages to Florida
National Bank and MicroLink Customer Service. Messages from the
Bank and Customer Services to the City could also be transmitted
via MicroMail.
Automated Payment* and Collections - utilises the Automated Clearing Mwa ("ACV")
system to transfer funds between preauthortsed accounts. Sons s�lieati400 9AW

installation of the system is simplified by a thorough "hands-on" computer -based
diskette training. A professional customer service team is available via toll.
free number to answer questions or resolve problems through remote viewing and
diagnostic capability. The transmission of raw data (versus formattted reports),
a local -access telephone number and off-line composition and approval of trans-
actions help maintain MicroLink's affordable price. Security is controlled by
a designated System Manager, the City of Miami employee responsible for assigmiag
access by, module and function. Unique codes and passwords provide multiple levels
of security and ensure that only authorized personnel have access to pertinent data.
Presently, MicroLink-requires a minimum hardware configuration of 512K Random
Access Memory, 384K of which is required to run MicroLink.
MicroLink"s monthly charge is transaction -based. ♦ price list is attacked as
Exhibit C for your review. However, based on the activity volume as provided
on the Bid Form for the City of Miami Depository Account, Exhibit III, below is
