WHEREAS. CITY acknowledges reoeipt of a Grant in the amount of $300,000 from the State of Florida, Department of Commeroe, Division of Eoonomio Development, for the speoifio purposes of Promoting and facilitating automobile racing event and. specifically the Miami Grand Prix; and WHEREAS. GRANTEE annually stages the Grand Prix. NOW, THEREFORE the CITY and GRANTEE do mutually agree as follows: TM: The. term of this Agreement shall commence upon exeoution.aad, continue, until completion of expenditure of ,grant funds for the legislatively appropriated purpose. Said written a000unting shall also include: (1) The total funds received by Grantee from Grantor Pursuant to this Agreement. (2) The total income, interest and other revenues obtained from the investment of funds. (3) The total project oosts paid from funds made available by the Grantor pursuant to this p s Agreement. C. To maintain books, records, documents and other evidence according to generally accepted accounting principles, prooedures and practices which sufficiently and properly reflect all costs of any nature expended in the performance Of this Agreement, and retain said copies for a period of - three (3) years after termination of this Agreement. D. To maintain financial records and reports related to funds paid to any parties for work on the matters which are the subjeot of this Agreement and submit an independent audit 4- report as required pursuant to law to the Grantor, covering t: i the period of grant fund expenditures. IV. GRANT: } A. The CITY shall pay the GRANTEE as maximum compensation for A. the services outlined pursuant to Paragraph III hereof, Three Hundred Thousand Dollars ($300,000). B. Said compensation shall be paid in full to GRANTEE upon execution of this Agreement. C. CITY shall have the right to review and audit the time records and related records of GRANTEE pertaining, to,,. 2 ' payments by CITY.y t d� rIL tr r / t y MMSp ia4 'jj1 RR i 1 l CITY retains the right to terminate this Agreement at any time prior to the completion of the services required pursuant to Paragraph III hereof without penalty to CITY. In that event, notice of termination of this Agreement shall be in writing to GRANTEE. who shall be paid for expenses incurred prior to the date of the reoeipt of the notice of termination. In no case, however. shall CITY pay GRANTEE an amount in excess of the total sum provided by this Agreement. It is hereby understood by and between CITY and GRANTEE that any payment made in accordance with this Section to GRANTEE shall be made only if said GRANTEE is not in default under the terms of this Agreement. If GRANTEE is in default. then CITY shall in no way be obligated and shall not pay to GRANTEE any sum whatsoever. VI. • A. All notices or other oommunioations which shall or may be-, S { given pursuant to this Agreement shall be in writing and shall be delivered by personal service, or by registered ._ mail addressed to the other party at the address indicated herein or as the same may be changed from time to time.
