HomeMy WebLinkAboutBack-Up DocumentsAMENDMENT #3 TO MANAGEMENT AGREEMENT FOR THE PUBLIC PARKING GARAGE AT THE JAMES L. KNIGHT INTERNATIONAL CENTER BETWEEN THIS THIRD AMENDMENT TO THE MANAGEMENT AGREEMENT ("Amendment") is made effective as of day of , 2022 by and between THE CITY OF MIAMI, a municipal corporation of the State of Florida (the "CLty",), and THE DEPARTMENT OF OFF-STREET PARKING of the City of Miami, an agency and instrumentality of the City of Miami, Florida ("DOSP"). RECITALS WHEREAS, On March 16, 1982, the City and DOSP entered into the Management Agreement for the Public Parking Garage at the James L. Knight International Center (the "Agreement") to manage and operate the parking facility servicing the James L. Knight International Center property, more specifically described (or depicted) in Attachment 1 hereto; and WHEREAS, the City owns the property known as the James L. Knight International Center, including the adjacent parking garage structure and wishes to extend the management and operation services of DOSP; and WHEREAS, the existing Agreement expired on April 30, 2017 and the City and DOSP wish to retroactively extend the Agreement for an additional period of five (5) years, with a new expiration date of April 30, 2022; and WHEREAS, the existing Agreement expired on April 30, 2017 and the City and DOSP wish to retroactively approve the five (5) year extension through April 30, 2022 and further extend the Agreement for an additional period of five (5) years, with a new expiration date of April 30, 2027; and WHEREAS, the City Manager has determined it to be in the best interest of the City to extend the Use Period of the Agreement with a new expiration date of April 30, 2027. NOW, THEREFORE, in consideration of the covenants and agreements herein set forth and other good and lawful consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto, intending to be legally bound, agree as follows: 1. The foregoing recitals are true and correct and are hereby incorporated in this Agreement by reference. 2. The term is retroactively extended, as authorized in Article 1, Section 1.01 of the Agreement, to expire on April 30, 2022. 3. The term is further extended, as authorized in Article 1, Section 1.01 of the Agreement, to expire on April 30, 2027. Page 1 of 4 4. All other terms, conditions, and existing amendments remain in effect in accordance with the Agreement(s). 5. This Amendment may be executed in one or more counterparts, each of which will treated as an original copy of this Amendment and all of which, when taken together, will be deemed to constitute one and the same instrument. The exchange of copies of this Amendment and of signature pages by facsimile transmission or by electronic mail in PDF format will constitute effective execution and delivery of this Amendment as to the parties and may be used in lieu of the original instrument for al purposes. Signatures of the parties transmitted by facsimile or by electronic mail in PDF format will be treated as their original signature for al purposes. This Amendment may also be executed by use of electronic signatures as determined by the Florida Electronic Signature Act or other applicable laws.
