ORDINANCE NO. 1.0609 ~
AN ORDINANCE AMENDING SECTION 2-422 OF THE
CODE OF THE CITY OF MIAMI, FLORIDA, AS
AMENDED, CONCERNING THE INTERNATIONAL TRADE
BOARD, BY ADDING FIVE (5) ALTERNATE MEMBERS;
PROVIDING A METHOD TO DISMISS BOARD MEMBERS
WHO FAIL TO ATTEND MEETINGS; CONTAINING A
REPEALER PROVISION AND SEVERABILITY CLAUSE.
WHEREAS, the International Trade Board, which was
established on May 12, 1988, by Ordinance No. 10437, consists of
seventeen (17) members; and
WHEREAS, the membership is comprised of individuals who
enjoy an outstanding reputation with the City and are devoted to
the betterment and advancement of international trade in the City;
and
WHEREAS, the Board members are very active in numerous
community and civic associations, as well as being committed to
their various professions and occupations, which often require
them to be out of the City; and
WHEREAS, this amendment is intended to facilitate the
conduct of regular meetings by the Board by adding five (5)
alternate members to the Board who will attend the Board's
meetings and shall be available to replace any member who may be
absent, in order to allow the Board to vote on the matters before
it and do all things necessary to enhance the Board's ability to
promote the City as an international trade center;
NOW, THEREFORE, BE IT ORDAINED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. Section 2-422 of the Code of the City of
Miami, Florida, as amended, is hereby amended in the following

"Sec. 2-422. Membership.
(a) The board shall be advisory and shall consist
of seventeen (17) members and five (5) alternate
members appointed by the city commission with nine (9)
members constituting a quorum for the purpose of
convening any board meeting. All meetings of the board
shall be open to the public. An affirmative vote of
five (5) members is required for any board action to be
taken. Alternate members shall attend all board
meetings and upon being_ so designated by the
chairperson shall serve as a regular member during
mpg in which a regular member is absent.
(b) The board shall be constituted as follows:
(3) Fifteen (15) members and five (5) alternate
members whose original terms of office shall
expire June 30, 1990. Such members and alternate
members may be reappointed for three (3)
additional terms. The mayor and each city
commissioner shall each have the right to nominate
three (3) persons to serve as board members and
one (1) -person to serve as an alternate member.
Members and alternate members shall be eligible
for reappointment as provided herein. Commencing
July 1, 1990, the terms of office for these
fifteen (15) members and five (5) alternate
members shall be for periods of one (1) year. No
member or alternate member shall be eligible for
reappointment if said reappointment results in the
member or alternate member serving for more than
five (5) consecutive years.
Section 2. If any section, part of section, paragraph,
clause, phrase, or word of this Ordinance is declared invalid, the
remaining provisions of this Ordinance shall not be affected.
Section 3. All ordinances or parts of ordinances insofar
as they are inconsistent or in conflict with the provisions of
this Ordinance are hereby repealed.

remaining provisions are now in effect and remain unchanged.

It is recommended that the City Commission adopt the attached
ordinance amending Section 2-422 of the code of the City of Miami
concerning the International Trade Board by adding five (5)
alternate members, reducing the required quorum from nine (9) to
seven (7) members, reducing the number of affirmative votes
required for Board action from five (5) to four (4) votes, and
providing a method to dismiss members who fail to attend
meetings.
BACKGROUND:
The International Trade Board, which was established on May 12,
1988 by Ordinance No. 1043.7, consists of seventeen (17) members
selected mostly from the international business community.
Because Board members are active in various civic associations
and committed to'their professions which require that they travel
extensively, it has been difficult to meet the present quorum
requirement of nine (9) members for the Board's monthly meeting.
The proposed amendments are intended to facilitate the conduct of
regular meetings and allow the Board to vote on matters before
it.

MENT PROJECT" NO. 331350 IN THE AMOUNT OF $95,000;
APPROPRIATING FUNDS FOR SAID PROJECT IN THE
AMOUNT OF $10,000 FROM THE PROPERTY AND LEASE
MANAGEMENT ENTERPRISE FUND, AND IN THE AMOUNT
OF $85,000 FROM INTEREST EARNINGS ON CAPITAL
IMPROVEMENT FUNDS; CONTAINING A REPEALER PRO-
VISION AND A SEVERABILITY CLAUSE.
