A RESOLUTION, WITH ATTACHMENTS, AUTHORIZING
THE CITY MANAGER TO EXECUTE AN AMENDMENT TO
AN AGREEMENT, IN SUBSTANTIALLY THE ATTACHED
FORM, WITH W.R.T., INC., A CORPORATION, IN AN
AMOUNT NOT TO EXCEED $159,560 FOR STAGES I
AND II PROFESSIONAL AND TECHNICAL SERVICES
RELATED TO THE SOUTHEAST OVERTOWN/PARK WEST
9TH AND 7TH STREET MALLS; FURTHER AUTHORIZING
COMPENSATION FOR SERVICES FROM MONIES
ALLOCATED IN THE FISCAL 1988-89 CAPITAL
IMPROVEMENTS PROGRAM.
WHEREAS, the City proposes to create two pedestrian malls at
Northwest 7th and 9th Streets which will provide identity, unity,
and a central space for the Southeast Overtown/Park West area;
and
WHEREAS, the City Commission adopted Resolution No. 86-907
on November 13, 1986, which approved the selection of W.R.T.,
Inc. as the most qualified firm to provide technical and planning
services for the development of two pedestrian malls in Southeast
Overtown/Park West; and
WHEREAS, the City Manager executed an agreement with W.R.T.,
Inc. on September 2, 1987 for the provision of Phase I of said
services; and
WHEREAS, the second phase of said services is now required
to complete the technical and planning implementation of the two
mall projects;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized to
execute an amendment, in substantially the attached form, to the
Agreement dated September 2, 1987, with W.R.T., Inc., a
corporation, for Stages I and II professional and technical
services related to the Southeast Overtown/Park West 9th and 7th
Street Malls, in an amount not to exceed $159.560. with said

PROFESSIONAL SERVICES AGR9614ENT
This AMENDMENT, made this day of , 1989, by
and between the City of Miami, a muriicipal corporation of the
State of Florida, (hereinafter referred to as the "CITY"O and
WRT► Inc, a for profit corporation, of the State of Florida
(hereinafter referred to as the "CONSULTANT").
RECITAL
WHEREAS, the CITY proposes to create two pedestrian Malls at
N.W. 7th and N.W. 9th Streets improvements which will provide
identity, unity and a central space for the Southeast
Overtown/Park West area; and

WHEREAS, the CITY desires to engage an architectural firm to

render the necessary professional and technical services for the
planning, design and construction consultation upon the terms,
=
conditions and provisions hereinafter set forth; and
WHEREAS, by Resolution No. 85-400, passed and adopted on
April 11, 1985, the City Commission approved the designation of
—
the planning and design services for the development of two
Pedestrian Malls in Southeast Overtown/Park West as a Category
-4
"B" Project and appointed Herbert J. Bailey, Assistant City
Manager, as Chairman of the Competitive Selection Committee in
accordance with Ordinance No. 8965; and
WHEREAS, the City, through public advertisement and direct
mailing, solicited expressions of interest from qualified
consultants; and
WHEREAS, the Competitive Selection Committee solicited
expressions of interest from qualified consultants, evaluated the
qualifications of those firms who resporided to its inquiry, and
then selected the firms most qualified to provide professional
architectural, landscape architectural, engineering and planning
services for the development of two pedestrian malls in Southeast
Overtown/Park West, all in accordance with the Competitive
Negotiations Act as defined in Florida Statutes, Chapter 287 and
in City of Miami Code, Chapter 18-52.2 for the acquisition of
professional services; and
WHEREAS, the tey Commission, by Reso utitNo, 96--001 dated
November 13, 1986 approved the selection of W.R.T., Inc., as the
most qualified firm to provide along with the designated
aubconsultants, professional architectural, landscape
architectural, engineering acid planning services for the
development of two pedestrian malls in Southeast Overtown/Park
West and has also authorized the City Manager to negotiate an
Agreement with it for the professional and technical services
required.
WHEREAS, the City Manager executed said agreement with
W.R.T. , Inc., on September 2tid, 1987; and
WHEREAS, on , 1989, the City Commission approved
Resolution No. , authorizing the City Manager to execute an
amendment to the agreement dated September 2, 1987 for an amount
not to exceed $159,560 for Stages I and II professional and
technical services rel#ted to the .Southeast Overtown/Park West
9th and 7th Street malls;
NOW, THEREFORE, THE PARTIES AGREE TO AMEND THE AGREEMENT AS
FOLLOWS:
SECTION I DEFINITIONS:
Amend SECTION J. PROJECT, subsection 2) Ninth Street Mall to
read as follows: (added language underlined)
The Public -Right -Of -Way alorig NW 9th Street from the I-95
right-of-way to N.W. 3rd Avenue acid on to Biscayne Boulevard
including areas within fifty feet of the centerline of NW 9th
Street at the intersections of NW 3rd Avenue; NW 2nd Court; NW
2nd Avenue; NW 1st Avenue; North Miami; NE 1st and 2nd Avenues
and Biscayne Boulevard, and the public Right -Of -Way along NW 2nd
Cour` from NW 9th Street to NW loth Street.
SECTION II GENERAL:
Replace SECTION C in its entirety with a new SECTION C to
read as follows:
The CITY may proceed on some or all of the portions of the
7th acid 9th Street Malls that are indicated in Subsection D, in a
sequence that the CITY determines to be in its best interest.
Add new subsections D, E, and F as follows:

E. The CITY has budgeted the amount of $159,560.00 to cover
the cost of certain professional planning and design services
anticipated for Stages I and II which have and will be performed,
as follows:
STAGE 1:
1. $32,500 FEE for the CONSULTANT,
STAGE II:
1. $127,060 for design services including:
a. $60,400 FEE for the CONSULTANT for the 7th Street
Mail.
b. $66,660 FEE for the CONSULTANT for the 9th Street
Mall.
2. $152,310 allowatice for project costs to be used on
the basis of actual expenditures, as follows:
a. $132,000 project expenses for inspections,
sgrveys, soil investigations, testing, administration,
printing, advertising, bidding and related costs.
b. $20,310 additional project costs.
3. $1,065,400 for construction costs including:
a. $1,015,400 as the construction cost for the 7th

accept as payment in full for all professional and technical
services rendered, as outlined in Section III - Professional
Services herein, the FEE of One Hundred Fifty Nine Thousand .Five
Hundred and Sixty Dollars ($159,560).
SECTION III PROFESSIONAL SERVICES:
In subsection STAGE II, delete the following phrase: Werk i" `t-
Amend subsection STAGE II, subsection C. DESIGN DEVELOPMENT
PHASE, paragraph I. to read as follows: -
Based on the approved Schematic Design Documents including
any adjustments and modifications authorized by the PROJECT
MANAGER, the CONSULTANT shall prepare Design Development
Documents for the 9th Street Mall consisting of drawings
including plans (at a scale of 1 inch = 20 feet), sections, and
elevations, cost estimates, outline specifications and other
documents to fix and describe the size, scope, and character of
the entire project. The drawings shall include and illustrate
the final treatment of NW 9th Street between I-95 right-of-way
and Biscavne Boulevard and NW 2nd Court between 9th and 10th
Streets.
Amend subsection PHASE II, subsection D. CONSTRUCTION DOCUMENT
PHASE, to read as follows:
1. Based on the approved Schematic Design Documents for the
7th Street Mall and the approved Design Development Documents for
the 9th Street mall, including any modifications and changes
directed.by the PROJECT MANAGER, the CONSULTANT shall prepare all

mall, which may be bid separately or together, as follows%

N. Miami Avenue and ai scay•ne Boulevard; and the section
of NW 2nd Court between 9th and loth Streets.
7. The CONSULTANT shall submit to the project Manager for
detailed review and approval:
a. the construction contract plans, specifications acid
bid documents for the 7th Street Mall at the 30%, 65%,
and 95% completion points.
b the Design Development Documents for the 9th Street
Mall at the 50% and 95% completion points.
Amend PHASE II, subsection J. SCHEDULE OF WORK, to read as
follows:

3. Design Development Phase:
The CONSULTANT shall complete the Design Development
Phase for all sections of the 9th Street Mall within Sixty
(60) days after receipt of written authorization from the
PROJECT MANAGER to begin WORK on this Phase.
4.-Construction Document Phase:

Replace SECTION IV COMPENSATION in its entirety with a new
SECTION IV COMPENSATION to read as follows:
A. The Consultant shall be paid its FEE for the
Professional Services for STAGES I and lI required pursuant to y
Section III hereof, amounts not to exceed Thirty Two Thousand
Five Hundred Dollars ($32,500) for Stage I and One Hundred and
Twenty seven thousand and sixty dollars ($127,060) for Stage II.
B. Said Fee shall be paid on the following basis_:

performed based on an invoice submitted by the CONSULTANT and
approved by the PROJECT MANAGER. The CONSULTANT may invoice on a
monthly basis.
D. The CONSULTANT'S separate monthly invoices for the 7th
and 9th Street Malls shall include the following information as
separate items.
I. Current stage of PROJECT.
2. Current phase of PROJECT.
3. Total Payment for Phase and Stage.
4. Amount due in fees for the billing period.
5. Balance unpaid in fees remaining for Phase.

AMEND SECTION XV INSURANCE, to read as follows:

All insurance policies shall be issued by companies
authorized to do business under the laws of the State of Florida;
and which are approved according to specifications of the Risk
Management Division of the City, naming the City of Miami as
additional insured.
It is further understood that all conditions outlined under
the original agreement dated September 2, 1987, shall remain in
full force and effect except as modified herein.

RECOMMENDATION:
It is respectfully recommended that the City Commission adopt the
attached Resolution authorizing the City Manager to execute an
amendment, in substantially the form attached, to the agreement
with W.R.T., Inc, dated September 2, 1987, in an amount not to
exceed $159,560 for Stages I and II professional design services
related to the Southeast Overtown/Park West 9th and 7th Street
Malls, further authorizing compensation for services from monies
allocated in the fiscal 1988-89 Capital Improvements Program. i
BACKGROUND:
The Department of Development recommends the adoption of the
attached Resolution to permit implementation of the Southeast
Overtown.Park West Mall Projects. This amendment authorizes
Consultant preparation of construction documents for the 7th
Street Mall and final design of the 9th Street Mall and Overtown
Historic Folk Life Village Mall in accordance with the City's
obligations pursuant to the Southeast Overtown/Park West
Redevelopment Project.
On November 13, 1986 the City Commission approved Resolution No.
86-907 authorizing the Manager to execute a contract with the
firm of W.R.T., Inc. for the Phase I Design of the Southeast
Overtown/Park West Malls. Phase I is complete and the second and
final contract design phase is needed to complete the required
professional design services.
