HomeMy WebLinkAboutO-10632J-89-477 8/22/89 ORDINANCE NO. 1.063Z AN EMERGENCY ORDINANCE, WITH ATTACHMENT, OF THE MIAMI CITY COMMISSION AUTHORIZING AND APPROVING THE EXECUTION OF A PARTICIPATION AGREEMENT IN SUBSTANTIALLY THE FORM ATTACHED, TO EVIDENCE THE LOANING OF FUNDS IN AN AMOUNT NOT TO EXCEED $6,500,000.00 FROM THE FIRST MUNICIPAL LOAN COUNCIL'S POOLED LOAN PROGRAM TO THE CITY OF MIAMI, FLORIDA, FOR THE DEPARTMENT OF OFF-STREET PARKING. WHEREAS, the City Commission of the City of Miami, Florida, has previously determined pursuant to Resolution No. 89-153 that the City of Miami desired to join the First Municipal Loan Council by executing the Interlocal Agreement, as amended, in order to obtain low cost funds to finance and refinance certain qualifying capital projects; and WHEREAS, the Department of Off -Street Parking of the City of Miami now desires to borrow funds in an amount not to exceed Six and One-half Million Dollars ($6,500,000.00) for a qualifying capital project (the "Project") consisting of the construction of a parking garage in the Coconut Grove area, as shall be more particularly described in the form of the Participation Agreement (the "Participation Agreement") to be executed by and between the City of Miami, Florida (the "Public Agency") and the First Municipal Loan Council (the "Council") in a form acceptable to the City Attorney of the City of Miami; and WHEREAS, the Six and One-half Million Dollars ($6,500,000.00) being borrowed pursuant to the Participation Agreement will be subordinated to the Sixteen Million Two Hundred and Seventy-five Thousand Dollars ($16,275,000.00), City of Miami, Florida, Parking System Revenue Bonds, Series 1986; and WHEREAS, the Six and One-half Million Dollars ($6,5UU,000.00) being borrowed pursuant to the Participation Agreement will be on a parity with $2,000,000 The City of Miami, Florida Subordinated Parking System Revenue Bonds, Series 1986; 10632, $2,500,000 The City of. Miami, Florida Subordinated Parking System Revenue Bonds, Series 1988; and $1,000,000 The City of Miami, Florida Subordinated Parking System Revenue Bonds, Second Series 1988; and WHEREAS, Ordinance No. 10115, which approved the issuance of the Parking System Revenue Bonds, Series 1986, requires that an ordinance be adopted by the City of Miami, Florida, in order for subordinated debt to be incurred; and WHEREAS, the conditions precedent to the incurrence by the City of Miami of Subordinated Debt pursuant to Section 718 of Ordinance No. 10115 have been or will be complied with, the requirements of Section 18 of Ordinance No. 10186 have been or will be complied with; and WHEREAS, Barnett Bank of South Florida, N.A., the holder of the entire aggregate principal amount of the Subordinated Parking System Revenue Bonds, Series 1988, and Subordinated Parking System Revenue Bonds, Second Series 1988, had consented to the incurrence by the City of Miami of additional subordinated debt; and WHEREAS, the Department of Off -Street Parking will take the necessary steps to arrange for the financing of indebtedness with respect to such Project under the Participation Agreement; NOW, THEREFORE, BE IT ORDAINED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Ordinance are hereby adopted by reference thereto and incorporated herein as if fully set forth in this Section. Section 2. The City Commission of the City of Miami hereby approves the execution of the Participation Agreement by the City Manager and City Clerk of the City of Miami in substantially the form attached, as that form may be modified to make it acceptable to the City Attorney. 10G32t -2- "`1 Section 3. The City Commission also authorizes the incurrence of subordinate debt contemplated herein in accordance with the provisions of Ordinance No. 10115. Section 4. This Ordinance is hereby declared to be an emergency measure on the grounds of urgent public need for the preservation of peace, health, safety, and property of the City of Miami. Section 5. The requirement of reading this Ordinance on two separate days is hereby dispensed with by an affirmative vote of not less than .four -fifths of the members of the Commission. Section 6. This item has been scheduled as an emergency ordinance because the bond closing will occur prior to September 1, 1989. The bond monies will be held in escrow until the ordinance is forwarded to the Florida League of Cities. As you will recall, a similar action, in the form of a resolution (Resolution No. 89-153), was passed by the City Commission in May 1989 and immediately forwarded to the Florida League of Cities Bond Counsel. Last week, Bond Counsel for the Florida League of Cities notified the Department that an ordinance is required rather than 'a resolution. These monies are for the Coconut Grove Playhouse Project (garage financing). The availability of Florida League of Cities loan pool monies will be exhausted as of September 1, 1989.
