EXHIBIT "A", ISSUING A MAJOR USE SPECIAL
PERMIT, PURSUANT TO ARTICLE 28, ZONING
ORDINANCE NO. 9500, THE ZONING ORDINANCE OF
THE CITY OF MIAMI, FLORIDA, AS AMENDED,
APPROVING WITH CONDITIONS, THE GRAN CENTRAL
PROJECT LOCATED AT APPROXIMATELY 101-109
NORTHWEST 1ST STREET; 104-250 NORTHWEST 1ST
AVENUE AND 100-110 NORTHWEST 3RD STREET,
MIAMI, FLORIDA, (MORE PARTICULARLY DESCRIBED
HEREIN) PROPOSED BY THE GRAN CENTRAL
CORPORATION, BY MAKING FINDINGS, SPECIFICALLY
THAT THE DEVELOPMENT IS CONSISTENT WITH THE
DOWNTOWN MIAMI DEVELOPMENT OF REGIONAL IMPACT
DEVELOPMENT ORDERS (RESOLUTION 87-1148 AND
87-1149, DECEMBER 10, 1987); PROVIDING THAT
THE MAJOR USE SPECIAL PERMIT SHALL BE BINDING
ON THE APPLICANT AND SUCCESSORS IN INTEREST;
PROVIDING FOR RELIANCE ON THE APPLICATION,
AND PROVIDING AN EFFECTIVE DATE.
WHEREAS, the Gran Central Project qualifies as a Major Use
Special Permit pursuant to Artlole 28, Major Use Special Permits
of Zoning Ordinance No. 9500, the Zoning Ordinance of the City of
Miami, Florida, as amended; and
WHEREAS, Gran Central Corporation has submitted an
application for a Major Use Special permit for the Gran Central
Project; and
WHEREAS, the Miami Planning Advisory Board, as its meeting
of September 6, 1989, Item No. 1, following an advertised
hearing, adopted Resolution No. PAB 40-89 by a vote of 7 to 0
RECOMMENDING APPROVAL of issuance of the Major Use Special Permit
for Gran Central Project; and
WHEREAS, the City Commission, during a public hearing, has
considered the Application for Major Use Special Permit; and
WHEREAS, it is the intent that the Major Use Special Permit
shall be the instrument for implementing by one action,
subsequent to City Commission authorization, all changes in the
adopted Comprehensive Plan, zoning distriot classifications,

other zoning actions or other City ordinances that would
otherwise be necessary to the accomplishment of the objectives
sought in the application for Major Use Special Permit; and
WHEREAS, the City Commission deems it advisable and in the
best interest of the general welfare of the City of Miami to
issue a Major Use Special Permit, as hereinafter set forth;
NOW, TIiEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. A Major Use Special Permit, attached hereto as
Exhibit "A" and made a part hereof by reference, is hereby

approved for the Gran Central Project (hereinafter referred to as

"PROJECT") to be developed by the Gran Central Corporation at

approximately 101-109 Northwest 1st Street; 104-250 Northwest 1st

Avenue and 100-110 Northwest 3rd Street, more particularly

described as a portion of the F.E.C. Railroad right-of-way
between Northwest 1st and Northwest 3rd Street and that portion
of Lots 10 to 15, Block 106N, and a portion of Lots 10 to 15,
Block 97N, of FLORIDA EAST COAST RAILWAY COMPANY, according to
the plat thereof, recorded in Plat Book 2, at Page 61 of the

Public Records of Dade County, Florida.
Section 2. The following findings of fact are hereby made
with respect to the PROJECT:
a. the PROJECT is in conformity with the adopted Miami
Comprehensive Neighborhood Plan 1989-2000, as amended;
and
b. the PROJECT is in accord with the district zoning
classification of Zoning Ordinance No. 9500, the Zoning
Ordinance of the City of Miami, Florida, as amended
(with a grant of special exception); and
e. pursuant to Section 2305 of the Zoning Ordinance of the
City of Miami, Florida, the specific site plan aspects

of the PROJECT, i.e., ingress and egress, offstreet
parking and loading, refuse and service areas, signs

and lighting, utilities, drainage and control of
potentially adverse effects generally have been
considered and will be further considered
administratively during the process of issuing a Class
C special permit, a building permit and certificate of
occupancy; and
d. the PROJECT is expected to cost $97.6 million,
employing 977 workers during construction (FTE man-
years), and will result in the creation of 2,226
permanent new jobs; and
s.
e. the PROJECT is consistent with the Downtown Miami

Development of Regional Impact Development Orders
(Resolutions 87-1148 and 87-1149, December 10, 1987);
and
f. the City Commission further finds that:
(1) the PROJECT will have a favorable impact on the
economy of the City; and
(2) the PROJECT will efficiently use public
transportation facilities; and
(3) the PROJECT will favorably affect the need for
people to find adequate housing reasonably
accessible to their places of employment; and
(4) the PROJECT will efficiently use necessary public
facilities; and
(5) the PROJECT will not negatively impact the
environment and natural resources of the City; and
(6) the PROJECT will not adversely affect living
conditions in the neighborhood; and
(7) the PROJECT will not adversely affect public
safety;
(8) the public welfare will be served by the PROJECT;
and

(9) any potentially adverse effects of the PROJECT
will be mitigated through oonditions of this Major
Use Speoial Permit and the requirements of the
Downtown Miami Development of Regional Impaot
Development Orders.
Seotion 3. The subjeot Major Use Speoial Permit, as
approved, shall be binding upon the applioants and any suooessors
in interest.
Seotion 4. The applioation for Major Use Speoial Permit
dated February, 1989, as submitted by the applioant, on file with
the Planning Department of the City of Miami, Florida, shall be
relied upon for administrative interpretations.
Seotion 5. This Resolution shall beoome effective thirty
(30) days after adoption.

GRAN CENTRAL MAJOR USE SPECIAL PERMIT
Let it be known that pursuant to Section 380.06, Florida
Statutes, the Commission of the City of Miami, Florida, has
considered in a public hearing held on , 1989, the
issuance of a Major Use Special Permit for the Gran Central
development, pursuant to Zoning Ordinance 9500 and the Downtown
Development of Regional Impact to be located in the City of
Miami, at the northwest corner of N.W. 1st Street and N.W. 1st
Avenue being
a portion of the F.E.C. Railroad right of way
between N.W. 1st and N.W. 3rd Street and that
portion of lots 10 to 15 of Block 106N and
lots 10 to 15 Block 97N of Florida East Coast
Railway Company, according to the plat
thereof recorded in Plat Book 2 at Page 61 of
— the Public Records of Dade County, Florida.
(as described in the survey submitted
pursuant to the application for MUSP).
ALL OF THE FOREGOING SUBJECT TO any
dedications, limitations, restrictions,
reservations or easements of record;
and after due considerationi of the recommendations of the
Planning Advisory Board and after due consideration of the
consistency of this proposed development with the Miami
Comprehensive Neighborhood Plan, the Downtown Development of
Regional Impact Resolutions 87-1148, 87-1149, State of Florida

Downtown Development Order, the Commission takes the following
actions:

The project conforms to the requirements of Zoning District

contained in Zoning Ordinance 9500; the applicant has been
granted a special exception for construction of a parking garage
within the CBD-1/9 district by ZB 89-89, subject to this Major
Use Special permit and with a time limitation of 12 months within
which a building permit must be obtained. The project also
reflects suggestions received at the Miami Large Scale
Development committee meetings of September 13, and October 18,
1988. The project will be constructed substantially in
accordance with plans and design schematics on file prepared by

Downtown Development Order, the Commission takes the following

Smallwood, Reynolds, Stewart, Stewart and Associates dated
January 20, 1989. (See site plan and elevation attached.)
The project will be constructed in two phases. Phase I of the
project will include approximately 554,149 gross square feet of
office and retail space as well as a parking structure for
approximately 754 automobiles. Phase II, not included in this
Major Use special permit, is planned to contain approximately
750,000 gross square feet of office and retail space and provide
an additional 445 parking spaces. Gran Central Center is located
adjacent to the government center transit station and will
provide direct pedestrian linkage from the lobbies of both Phase
I and Phase II buildings to the ground level concourse of the
station. This will permit direct access to both the north -south
transit line and the downtown people mover, and the future east -
west transit line without requiring pedestrians to leave the
protection of a weather cover. Phase I will have a large plaza
area immediately south of the front entrance as an extension of
the plaza area now located on the south side of the government
center. Phase II is designed to be integrated from the transit
arcade and Phase I, in terms of vehicular and pedestrian traffic
circulation. Gran Central Center will provide Class A office
space for both large and small companies who view the amenities
of the transit system and convenient access to government
agencies of primary importance for the successful functioning of
their businesses. Support retail functions will be located on
the ground level, accessible not only by pedestrian traffic on
First Avenue but also pedestrians passing through the project to
and from the government center station.
The development as proposed is consistent with the summary and
recommendations contained in the Downtown Development of Regional
Impact under which Gran Central will be allocated development
credits.

The project, as defined immediately above, meets the requirements
for the issuance of a Development. Order pertaining to a
Development of Regional Impact as required under Florida Statute
380.06.
THE APPLICANT, ITS SUCCESSORS, AND/OR ASSIGNS, JOINTLY OR
SEVERALLY, SHALL
I. Meet all requirements pursuant to the Downtown
Development of Regional Impact Development Order,
all applicable building codes, land development
regulations, ordinances and other laws, and in
addition,
2. Prior to issuance of building permit, provide:
a. a City Commission resolution approving a final
plat of the property and recordation number
and a copy of the final plat;
b. the location of the pedestrian easement on the
abandoned portion of N.W. 2 Street;
C. an easement for the existing Florida Power and
Light Company duct bank required at N.W. 2
Street and N.W. 1 Avenue where it encroaches
onto the Gran Central site;
3. Prior to issuance of building permit, provide
copies of properly recorded legal documents between
the County and Gran Central including:
a. an east -west transit airspace easement from
Gran Central to Dade County for the
construction of a train guideway and
associated work for a station platform. This

transit airspace easement will be above
abandoned N.W. 2nd Street.
b. a document providing permission from Dade
County to Gran Central to construct a portion
of the proposed parking structure over Dade
County property and to utilize the surface of
such property for service access.
C. an agreement for pedestrian protection during
construction by means of a canopy or other
similar weather -protection amenities
connecting Gran Central and Metro -Dade Center;
and
d. below -grade foundation easements from Dade
County to for Gran Central project, if
necessary.
It is understood that the City of Miami is not
obligated, nor does it intend to, grant below -grade
foundation easements that encroach into the public
right-of-way.
4. Designate gratis space in design plans of the roof
for a communications antenna and supporting
structure for the City's emergency and general
government communications system, including
sufficient space near/under the roof for necessary
support equipment. The applicant and City must
mutually agree to the location, number and size of
any such equipment, installation or space
designation. Such aerials, antennas and
appurtenances will be installed and maintained at
the expense of the City of Miami. The applicant
will retain the right of architectural review and
approval, which shall not be unreasonably withheld.

Applicant, however, reserves the right to reject
the installation of equipment that requires
additional structural support under the roof
system.
5. a. Prior to commencement of construction of the
project, submit a letter of approval from the
State of Florida Department of Health and
Rehabilitative Services for the location of a
day care facility in the building and submit
details of the proposed day care center.
Section 2036.4 of Zoning Ordinance 9500
requires outdoor play area of a minimum size
of 500 square feet or 45 square feet per
child, whichever is greater and the National.
Fire Protection Association (N.F.P.A.) 101
Life Safety Code requires a minimum of thirty-
five (35) square feet per child of indoor
floor area; design plans for the day care
facility shall be revised to accommodate these
minimum requirements. It is understood and
agreed that the appicant will provide this
facility rent-free to a day care service
provider. Within twenty-four (24) months from
approval of a certificate of occupancy or when
the building is 50% occupied, whichever comes
first, ensure that a day care center is open
during normal work week hours and continuously
operating with a minimum capacity for one
hundred (100) children, unless the Planning
Advisory Board relieves the Applicant of all
or part of such requirements upon a showing
that there is insufficient demand to justify
the operation of such day care facilities; and

b. prior to the issuance of a Certificate of
Occupancy, implement the design which has been
mutually agreed upon by the City for the
triangular decorative plaza property owned by
the City of Miami in the median of N.W. 1st
Avenue, in substantial accordance with the
attached Exhibit "A".
6. Within six (6) months from the issuance of the
Major Use Special Permit, provide a list of
agencies from which approvals and/or permits must
be obtained prior to initiation of development and
the permit or approval required of each.
7. Prior to issuance of a building permit, allow the
Miami Police Department to conduct a security
survey, at the option of the Department, and make
recommendations concerning security measures and
systems. Submit a report to the Planning
Department, prior to commencement of construction,
demonstrating how the Police Department
recommendations, if any, have been incorporated
into the project security and construction plans,
or demonstrate to the Planning Director how such
recommendations are impractical.
8. Within six (6) months from the issuance of the
Major Use Special Permit, provide a letter
indicating coordination with members of the Fire
Plan Review Section to discuss the scope of the
project, owner responsibility, building development
process and review procedures, as well as specific
requirements for fire protection and life safety
systems, exiting, vehicular access and water
supply.

9. Within six (6) months from the issuance of the
Major Use Special Permit, install hydrants,
necessary because of the planned relocation of N.W.
1 Avenue, as required by the Fire Prevention Bureau
unless agreements between Gran Central and the City
prior to this Major Use Special Permit, provide
that the City shall install such improvements.
10. Within six (6) months from the issuance of the
Major Use Special Permit, provide a letter assuring
that Gran Central has addressed all concerns of the
Solid Waste Department.
11. Prior to issuance of a building permit, implement
the design which has been mutually agreed upon by
the City for the ground level public plaza in
substantial accord with the attached Exhibit "B".
12. Prior to issuance of a building permit, provide an
agreement with Metropolitan Dade County Transit
Agency (MDTA) addressing the following during
construction of the Gran Central Center;
a. Non -disturbance of current public ingress or
egress for transit patrons and for fire -rescue
equipment.
b. Identification of contact person for liaison
with Safety Office.
c. Identification of contact person for liaison
with Metrorail train operators through Central
Control.
d. Provision of advance notice for any activity
to be performed within five feet (horizontal)
of, or over the Metrorail or Metromover

guideways, and coordination of these
activities with Central Control.
e. Provision for access by Metro Dade inspectors.
f. Provision of an MDTA flagman during
construction.
g. Placement and location of a construction
elevator.
h. Construction, use and placement of a tower
crane.
13. Prior to the issuance of a temporary or permanent
Certificate of Occupancy, fund the construction of
two bus stop facilities of a design and at a
location to be approved by the Metro Dade County
Transit Agency (MDTA) and concurred in by the City.
14. Prior to the issuance of a building permit for
Phase II, dedicate land by plat which is indicated
on presently pending tentative plat for Gran
Central Corporation prepared by Bechamps Aylward
and Associates shown as project No. 87-135 and fund
the construction of an additional eastbound lane
on N.W. 3rd Street to create a continuous four -lane
section on N.W. 3rd Street from N.W. 2nd Avenue to
N.W. 1st Avenue.
15. Hereby agree that if a Transportation Control
Management (TCM) Ordinance is subsequently adopted
as required by the Downtown Miami DRI Development
Orders (Resolutions 87-1148 and 87-1149) and it is
retroactively applied, Gran Central shall comply
with its provisions.

16. Unless previously submitted, prepare a Minority
Participation and Employment Plan to be submitted
within ninety (90) days of the issuance of this
Major Use Special Permit; it being understood that
the City's Minority/Women Business Affairs and
Procurement Ordinance 10538 is a guide.
17. Unless previously submitted, prepare a Minority
Contractor/Subcontractor Participation Plan within
ninety (90) days of the issuance of this Major Use
Special Permit;
it being

18. a. Prior to issuance of a certificate of occupancy
for Phase I, Gran Central with the agreement
and concurrence of the City, agrees to fund
$100,000 for various public improvement
projects in the immediate geographic vicinity
of Phase I, the public improvement projects
include: firstly, those set out in Paragraph 5b
hereof; secondly, those set out in Paragraph 13
hereof. Gran Central shall furnish to the
Planning Department evidence of such $100,000
payment or funding; for any deficiency, Gran
Central shall pay to the City on the date of
the certificate of occupancy for Phase I the
variance of such funded amount from $100,000.
Such public improvements do not include,
however, improvements required by the platting
process, improvements required by paragraphs 2
and 3 hereof or damage to existing public
improvements caused by the negligence of Gran
Central, its agents, employees or contractors.

18. b. Prior to issuance of a certificate of occupancy
for Phase II, Gran Central, with the agreement
and concurrence of the City, agrees to fund
$100,000 for those public improvements set out
in paragraph 14 hereof. Gran Central shall
furnish to the Planning Department evidence of
such $100,000 payment or funding; for any
deficiency, Gran Central shall pay to the City
on the date of the certificate of occupancy for
Phase II the variance of such funded amount
from $100,000 to be spent for physical public
improvements in the vicinity of the Project.
Such public improvements do not include,
however, improvements required by the platting
process or damage to existing public
improvements caused by the negligence of Gran
Central, its agents, employees or contractors.
THE CITY SHALL:
19. Meet all City of Miami obligations pursuant to the
Downtown Development of Regional Impact Development
Order (City of Miami Resolutions 87-1148, 87-1149,
State of Florida Administrative Hearing Settlement
Case Number 88-1638, and City of Miami Ordinances
10461 and 10543), all applicable building codes,
land development regulations, ordinances and other
laws, and in addition,
20. Establish the effective date of the Major Use
Special Permit as the date the thirty (30) day
appeal period for such permit ends, subject to
prior payment of all applicable DRI mitigation
fees.

21. Reserve the Development Credits, issued
simultaneously with the Major Use Special Permit
and subject to payment of all applicable DRI fees.
These credits shall be subject to revocation
pursuant to Ordinance 10543, adopted January 26,
1989, or in the event that construction work, as
defined in Ordinance 10543, does not commence
within two (2) years of the Major Use Special
Permit effective date.
22. Subsequently issue a Class C special permit, as
requested by the applicant and as required by
Zoning Ordinance 9500, at the time of issuance of
building permit, to assure compliance generally but
principally to insure that the construction
documents presented with the application for
building permit conform to this permit.
CONCLUSIONS OF LAW
The Gran Central Project, proposed by the Gran Central
Corporation, complies with the Miami Comprehensive Neighborhood
Plan 1989-2000, is consistent with the orderly development and
goals of the City of Miami, and complies with local land
development regulations.
The proposed development does not unreasonably interfere with the
achievement of the objectives of the adopted State Land
Development Plan applicable to the City of Miami; and
The proposed development is consistent with and shall comply with
the Downtown Miami Development of Regional Impact Development
Orders (Resolutions 87-1148 and 87-1149, State of Florida
Administrative Hearing Settlement Case Number 88-1638, and City
of Miami Ordinances 10461 and 10543) and thus with the
considerations and objectives set forth in Chapter 380, Florida
Statutes. - 12 -
Changes in the project which do not exceed development parameters
set forth in the Downtown Development of Regional Impact
Application for Development Approval and Report and
Recommendations of the Regional Planning Council shall not
constitute a substantial deviation under Chapter 380 Florida
Statutes, notwithstanding City zoning approvals which may be
required. Additionally the administration may permit minor non -
substantial changes of square footage for various uses or minor
changes in the number of parking spaces provided, without a
further public hearing.

It is intended that major use special permits be required where specified uses and/or
occupancies involve matters deemed to be of etty-wide or area -wide importance.
The City Commission shall be solely responsible for determinations on applications

The Downtown Development of Regional Impact (DRI) development order
(Resolutions 87-1148 and 87-1149) and the Southeast Overtown/Park best
Development of Regional Impact (DRI) development order (Resolutions 88-110 and
88-111) prohibit the City of Miami from issuing building permits, certificates
of occupancy, and certificates of use unless certain rules and regulations are
followed, which are intended to protect the environment, conserve resources,
and minimize traffic congestion.
Many of the rules and regulations in the DRI development orders are already
covered by existing laws and will be automatically enforced as your
application is reviewed. Other DRI requirements will be carried out by the
City. However, the DRI requirements on this checklist are primarily the
responsibility of the developer and/or property owner.
The permit/certificate # . for which you have applied includes

1. Mulch or plant grass in areas where 5,000 square feet or more
of ground area will be exposed for more than 90 days; or where
such areas will be routinely disturbed by construction

prevent airborne dust.
2. Place temporary screens, berms, and/or rip -rap around the
• construction site to filter or retain stormwater runoff during
construction. The Construction Inspection Division of the
Public Works Department must approve plans for -compliance with
this item.
3. In vegetated stormwater retention areas, limit application of
pesticides and fertilizers to once per year for preventive
maintenance and to emergencies, such as uncontrolled- insect
infestation.
4. Vacuum sweep at least once per week all parking lots of eleven
or more vehicle spaces and private roadways serving the parking
lots.
- 5. Obtain a Hazardous waste permit from Dade County DERM (Dept: of
Environmental Resources Management) for all uses listed on
Attachment 1. Notify any tenant generating wastes of the
penalties for improper disposal of hazardous waste pursuant to
F.S. 403.727.
