RESOLUTION NO.
A RESOLUTION, WITH ATTACHMENT, AUTHORIZING
THE CITY MANAGER TO EXTEND THE EXISTING
AGREEMENT, WITH THE PUBLIC HEALTH TRUST OF
DADE COUNTY, FLORIDA, WHICH OPERATES JACKSON
MEMORIAL HOSPITAL, FOR THE COORDINATION OF
EMERGENCY MEDICAL SERVICES PROVIDED BY THE
RESCUE DIVISION OF THE CITY OF MIAMI FIRE,
RESCUE AND INSPECTION SERVICES DEPARTMENT,
SAID EXTENSION TO BE FOR AN ADDITIONAL PERIOD
OF NINETY (90) DAYS UP TO MARCH 1, 1990.
WHEREAS, the City and the Public Health Trust of Dade
County, Florida, which operates Jackson Memorial Hospital, desire
to cooperate to provide services in connection with the Emergency
Medical Services provided by the Rescue Division of the City of
Miami Fire, Rescue and Inspection Services Department; and
WHEREAS, on December 16, 1987, the City and the Public
Health Trust of Dade County, Florida which operates Jackson
Memorial Hospital, entered into the attached agreement for the
- coordination of the Emergency Medical Services provided by the
Rescue Division of the City of Miami Fire, Rescue and Inspection
Services Department, said Agreement being for a period of two (2)
years, 1987/88 and 1988/89, with an annual compensation of
$40,000 for the first year and $44,000 for the second year, with
- funds being provided in the Fire, Rescue and Inspection Services
Department's General Operating Budget; and
WHEREAS, funds will be provided in the Fire, Rescue and
- Inspection Services Department's General Operating Budget; and
WHEREAS, City Commission is desirous of extending said

agreement for a period of ninety (90) days up to March 1, 1990;
_ NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITYIM

Section 1. The City Manager is hereby authorized to
extend the existing attached agreement, with the Public Health
Trust of Dade County, Florida, which operates Jackson Memorial
Hospital, for the coordination of.the Emergency Medical Services
provided by the Rescue Division of the City of Miami Fire, Rescue
and Inspection Services Department, said extended agreement to
run for an additional period of ninety (90) days to March 1,
1990, with funds to be provided in the Fire, Rescue and
Inspection Services Department's General Operating Budget.
Section 2. This Resolution shall become effective
immediately upon its adoption.

"HOSPITAL").

NOW THOSPOR29 in connideration of the promises and the mutual '
covenants and agreements herein oontained, the parties hereto
agree as follows:. .
A. The TRUST agrees:
t. In recognition of its desire to provide 'appropriate
training opportunities, to provide support in the form of

licensed house staff members from HOSPITAL9 each of whoa
is qualified to practice medioioe at HOSPITAL and fluent
in the English language. Said physicians will ,be

available on a 24 hour basis for prompt response to
emergency medLeal radio transmissions from. CITY: hire

Department -.Rescue Units.
2. To designate a• qualified physician on the medical staff
of the HOSPITAL to be the 01*4r-Rsgoue Nedical Director,
said designation which shali;be adceptabl+i to the' CITY*
Support shall be provided by the Medical Director in
accordance with applicable state and local laws and
regulations dealing with emergency medical. services..
Said Medical Director (or alternate' shalt supervise
house staff members of HOSPITAL who are provided by the
TRUST for prompt response to emergency_ medical radio.

endeavor to insure that qualified relief supervision is
always provided during the Medical Director's abmenae

Medical Director in the performance of his/her
reponsibilities.
B. The 012T egreest
1. To pay to the TR198T as compensation for services, the
amount of $40,0O0 (lorty Thousand dollars) the first
year« And $44,000 (fort? lour Thousand dollars) .the
second year, to be used as deemed appropriate by the
TRUST*
2. That all paramedical personnel assigned to advanced life
support vehicles will be approved by the Medical Direotor
and the Chief of the Messue Division.
3• To provide to the Medical Director a list of equipment
carried on the advanced life support vehAales which shall
be in accordance with the equipment required by
regulations of the Department of Health and
Rehabilitative Services and the State of llorida Statutes
401 and HIS Rules IOD•66.
4. To carry said equipment on all fire rescue vehicles used.

In the event that the Medical Director determines that
the equipment listed does not most the requirements of
the regulations, the CITY agrees that it will innediatoly
take the necessary action to brine the equipment carried

1. The CITY, as allowed by law, shall indemnity and hold_
harmless Dade County and the TRUST against any all
liabilities arising out of the nogligence by employees
and/or personnel of the CITY which may arise during the

the hands of a rescue company of the Rescue Division and,
at Its ova cost and espenses.,ohall defend Dade Oounty,
the TRUST, and any of their respective officers, trus teea

x. Tho TRUST* so allowed by law, agrees to indemnify and
hold harmless the CITY, against any and all liabilities
arisiag out of the negligence by employees and/or
personnel of the TRUST which may arise during the period
that oarot custody and control of a patient is in the
hands of a rescue company of the Rescue Division and, at
its own cost and espense shall defend the CITY, and any
of their respective officers, trustees or employees
against any such aiaia brought against any of them. .
3. It is further provide& that in no event shall the agents,
aostractors, officers, servants or employee• of the CITY'
be considered to be agents, officers, servants or --
employees of the TRUSS.
It is further provided that in no event shall -the -agents,
bontraotors, offiogrs, servants or employees of the TRUST ,
be oonsidered-.to. be agents, officers, eervanis or
employees of the 012Y.
4 •. All 'parties,; *Ll . comply .'with any . applicable. state or
local legislation governing the provision of emergency
medical services.
3. That this . ACRUBHSUT shall *oaten** on Oo jober I, it90—nand -
shall terminate on. September. 309 1999� provided howevero
that any .party may cancel the ACRESKgNT by giving sixty
.460) days notice in writing to all other parties by
certified mail, return receipt requested. Notl.ce is

6. Upon osecution, this A0RORNSNT shall b` in offset for
twenty lour months. It may be renewed for txo additional
two year periods by mutual agreement of the parties
indicated in writing sixty (60) days prior to the
expiration date. The rate of compensation can be
renegotiated for each of the optional 24 month extension

writing and delivered by certified mail to all parties at
their respective addresses as follows:

RECOMMEMDATIOM:
It is respectfully recommended that a Resolution be passed
authorizing an agreement between the City of Miami and Public
Health Trust. Compensation is set at $48,400 for the period
- October 1, 1989 thru September 309 1990, and $53,240'for the
period October 19 1990 thru September 30, 1991. This represents -
an increase of 10% in cost per year over the previous agreement.
BACKGROUND:
The City of Miami Department of Fire, Rescue and Inspection
-i Servfcep and the -Public Health Trust of Dade County, Florida,
_A which operates Jackson Memorial Hospital, have had an agreement'
for more than a -decade in provision of certain services in
connection With the Emergency Medical Services provided by the
Rescue` Division, Florida State Statute 401.265 mandatea` that any
emergency medical service system which employs or utilizes
- paramedics to perform advanced life support procedures sham.}r�
employ, or contract with, a Medical Director.

Besides the 10% increase in compensation, the only other �..
