R9-1110 A RESOLUTION, WITH ATTACHMENT, ENDORSING THE DOWNTOWN DEVELOPMENT AUTHORITY ("DDA") BOARD'S POLICY FOR SELECTING AND NOMINATING INDIVIDUALS FOR POSITIONS ON THE DDA BOARD; FURTHER EXPRESSING THE INTENT OF THE COMMISSION TO COOPERATE WITH THE DDA BOARD IN THE IMPLEMENTATION OF THIS POLICY. WHEREAS, the timely, orderly filling of vacancies on the Board of the Downtown Development Authority (DDA) is essential to the efficient and effective performance of the functions and duties of the Authority; and WHEREAS, it is in the best interests of the Downtown area, the City of Miami, and the Downtown Development Authority that a DDA Board nominating policy be adopted which recognizes the need for a oomprehensive, equitable distribution of Board positions among the various professional, economio and social interests in eaoh of the geographic areas that comprise the Downtown Development District; and WHEREAS, the DDA Board has adopted the attached "DDA Board Nomination Policy" which reoognizes the need for ongoing dialogue with the members of the City Commission on prospective Board appointments; and WHEREAS, the DDA Board, through its Resolution No. 17/89 has requested the City Commission's endorsement of the "DDA Board Nomination Polioy"; and WHEREAS, the "DDA Board Nomination Policy" is not inconsistent with Sections 14-26 and 14-27 of the City Code regarding DDA Board composition. nominations and qualifications; NOW, THEREFORE. BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section I. The recitals and findings contained in the Preamble to this Resolution are hereby adopted by reference CITY COMMISSION MEETING OF DEC 7, 1909 thereto and incorporated herein as if fully set forth in this Section. Section 2. The Miami City Commission hereby endorses the "DDA Board Nomination Policy", in substantially the attached form, for selecting and nominating individuals for membership on the DDA Board. Section 3. The City Commission hereby declares its intent to cooperate with the Downtown Development Authority in implementing its "DDA Board Nomination Policy." Section 4. F8 ANDEZ JEM/db/M1292 0 DDA BOARD NOMINATION POLICY Existing Board Members At the April Board meeting each year, members whose terms expire June 30th of that year will be reviewed by the Board for nomination for an additional four year term. If the Board does nominate a member for an additional term, that name will be submitted to the City Commission for confirmation at the May Commission meeting. If an existing Board member is not renominated, the vacancy created will be filled using the procedure set forth below for "New Nominations to the Board". New Nominations to the Board At the April Board meeting each year, vacancies created due to Board failure to renominate members whose terms expire June 30th of that year, will be handled as follows. The board will suggest three names to fill each vacancy to each City Commissioner for consideration via a memo from the Executive Director. Each Commissioner will be asked to rank the three names for each position in order of preference. The Executive Director will tabulate the rankings and will report same to the Board Nominating Committee which will meet prior to the full Board meeting in May to review the rankings and interview the candidate(s) with the highest ranking. The Nominating Committee will make its Board appointment recommendation(s) to the full Board at the R9--1110 May meeting. The Board will then officially nominate one person for each vacancy and submit that name to the full City Commission for confirmation at its June commission meeting. If vacancies occur on the Board during the year due to resignations, death, or removal for cause, the Board will fill the vacancy using the procedure set forth immediately above, beginning the process at the first Board meeting following knowledge of the vacancy. Qualifying Individuals to Serve on the Board From time to time during each year, a Board Nominating Committee, to be appointed by the Mayor, will interview individuals who have expressed interest in serving on the Board, as well as individuals suggested by various City Commissioners for Board membership. An ongoing list of individuals found acceptable by the Board Nominating Committee will be kept and drawn from whenever the full Board begins the process to nominate new members to the Board. Every effort should be made to qualify individuals for Board =� membership that reflect the full spectrum of downtown's attributes and interests. Downtown bankers, retailers, hoteliers, and other — professionals as well as residents should be considered. — Representation from the various geographic areas of downtown should be generally gauged by the percentage of DDA tax revenues received from each geographic area. Background In an effort to insure that composition to the DDA Board is reflective of the many professional, economic, and social interests in Downtown Miami and that members have a genuine interest in actively participating on the Board, the DDA Board, adopted the attached "DDA Board Nominating Policy". The policy recognizes the need for ongoing dialogue between the City Commission and the DDA in the selection of Board members.. DDA Resolution No. 17/89 requests the City Commission to endorse the ={ "DDA Board Nominating Policy". The policy is not inconsistent with Ji Sections 14-26 and 14-27 of the City Code regarding Board composition and nomination and qualifications of Board members. CO/cs Encl. 0 0.6--
