A RESOLUTION, WITH ATTACHMENTS, AUTHORIZING
THE CITY MANAGER TO EXECUTE A GRANT
AGREEMENT, IN SUBSTANTIALLY THE ATTACHED
FORM, WITH THE STATE OF FLORIDA, DEPARTMENT
OF COMMERCE, DIVISION OF ECONOMIC
DEVELOPMENT, IN THE AMOUNT OF $250,0001
PROVIDING FOR THE FUNDING OF THE PASS -THROUGH
GRANT FOR THE STAGING OF THE 1990 GRAND PRIX;
FURTHER AUTHORIZING THE CITY MANAGER TO
EXECUTE A GRANT AGREEMENT, IN SUBSTANTIALLY
THE ATTACHED FORM, WITH MIAMI MOTORSPORTS,
INC., TO EFFECTUATE SUCH STATE GRANT.
WHEREAS, the State of Florida, Department of Commerce,
Division of Economic Development, has awarded the City of Miami a
pass -through grant in the amount of $250,000 for promoting and
facilitating the Miami Grand Prix; and
WHEREAS, Miami Motorsports, Inc. annually stages the Miami
Grand Prix;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized to
execute a Grant Agreement'l, in substantially the attached form,
with the State of Florida, Department of Commerce, Division of
Economic Development, in the amount of $250,000, providing for
the funding of the pass -through grant for the staging of the 1990
Grand Prix.
Section 2. The City Manager is hereby further authorized
to execute a Grant Agreements/, in substantially the attached
form, with Miami Motorsports, Inc., to effectuate such herein
State grant.
The herein authorization is further subject to compliance
with all requirements that may be imposed by the City
Attorney, including but not limited to those prescribed by
applicable City Charter and Code provisions.

GRANT_ AGREEMENT
This Agreement entered into this day of ,
1989, by and between the City of Miami, a municipal corporation
of the State of Florida, hereinafter referred to as "CITY", and
Miami Motorsports, inc., a Florida for profit corporation,
hereinafter referred to as "GRANTEE."
WHEREAS, CITY acknowledges receipt of a Grant in the amount
of $250,000 from the State of Florida, Department of Commerce,
Division of Economic Development, for the specific purposes of
promoting and facilitating automobile racing event and
specifically the Miami Grand Prix; and
WHEREAS, GRANTEE annually stages the Grand Prix.
NOW, THEREFORE the CITY and GRANTEE do mutually agree as
follows:

The term of this Agreement shall commence upon execution and

_ continue until completion of expenditure of grant
funds for the
legislatively appropriated purpose, and until
there has been

complete compliance by the Grantee of all
the terms and
provisions hereof.

B. Annually, until the Grant Funds are totally expended, the
Grantee shall provide the Grantor a written accounting of
actual expenditures in comparison with the proposed
expenditures. Said written accounting shall also includes

(2) The total income, interest and other revenues obtained
from the investment of funds.
The total project costs aid from funds made available

by the Grantor pursuant to this Agreement.
C. To maintain books, records, documents and other evidence
according to generally accepted accounting principles,
-= procedures and practices which sufficiently and properly
reflect all costs of any nature expended in the performance of this Agreement, and retain said copies for a period of
three (3) years after termination of this Agreement.
• D. To maintain financial records —and reports related to funds
paid to any parties for work on the matters which are the
subject of this Agreement and submit an independentaudit
report as required pursuant to law to the Grantor, covering
the period of grant fund expenditures.
IV.
GRANT:
A. The CITY shall pay the GRANTEE as maximum compensation for
the services outlined pursuant to Paragraph III hereof, Two
Hundred and Fifty Thousand Dollars ($250,000). W
B. Said compensation shall be paid in full to GRANTEE upon=a
execution of this Agreement.
C. CITY shall have the right to review and audit the time
records and - related records of GRANTEE 'pertaining'

CITY retains the right to terminate this Agreement at any
time prior to the Completion of the services required pursuant to
Paragraph III hereof without penalty to CITY. In that event,
notice of termination of this Agreement shall be in writing to
GRANTEEt who shall be paid for expenses incurred prior to the
date of the receipt of the notice of termination. In no case,
however, shall CITY pay GRANTEE an amount in excess of the total
sum provided by this Agreement.
It is hereby understood by and bDtween CITY and GRANTEE that
any payment made in accordance with this Section to GRANTEE shall

be made only if said GRANTEE is not in default under the terms of

Agreement. If GRANTEE is in default, then CITY shall in no

be obligated and shall not pay to GRANTEE any sum whatsoever.

GRANTEE warrants that it has not employed or retained any
person employed by the CITY to solicit or secure this Agreement

person employed by the CITY any

VIII.

A. CITY and State personnel of the Office of the Auditor
General, Office of Comptroller, or other State personnel
reserve the right to audit thg,-records of GRANTEE at any
time during the performance of this Agreement and for a
period of three years after final payment is made under this

- substantiating the expenditure of funds. Said documentation

connection with this Agreement has any personal financial
interests, direct or indirect, with CITY. GRANTEE further
covenants that, in the performance of this Agreement, no
person having such conflicting interest shall be employed.
Any such interests on the part of GRANTEE or its employees,
must be disclosed in writing to CITY.
B. GRANTEE is aware of the conflict of interest laws of the
City of Miami (City of Miami Code Chapter 2, Article V),
Dade County Florida (Dade County Code Section 2-11.1) and
the State of Florida, and agrees that it shall fully comply
in all respects with the terms Qf-said laws.
XIV.
INDEPENDENT CONTRACTOR:
GRANTEE and its employees and agents shall be deemed to be
independent contractors, and not agents or employees of CITY, and
• shall not attain any rights or benefits under the Civil Service

or Pension Ordinances of CITY, or any rights generally afforded
classified or unclassified employees; further GRANTEE, its
employees and agents shall not be deemed entitled to the Florida
Workers' -Compensation benefits as an employee of CITY.

GRANTEE agrees that it shall not discriminate as to race,
sex, color, creed, national origin, or handicap in connection

No waiver of any provision hereof shall be deemed to have
been made unless such waiver be in writing signed by the City
Manager. The failure to CITY to insist upon the strict

the future any such covenants or conditions but the same shall

continue and remain in full force and effect.
XIII.
CONTINGENCY CLAUSES
Funding for this Agreement is contingent on the availability
of funds and continued authorization for program activities and

is subject to amendment or termination due to lack of funds, or
authorization, reduction of funds, and/or change in regulations.

ASSURANCES AND CERT`rC_ATION:
GRANTEE assures and certifies that:
A. All expenditures of fund shall be made in accordance with
the proposal and Line Item Budget (both of which are
attached as Exhibits 2 and 3).
B. Expenditures of CITY funds shall be properly documented and
such documentation will be maintained.
C. Periodic progress reports as requested by CITY shall be
provided.
D. No activity under this Agreement shall involve political
activities.
E. GRANTEE possesses legal authority to enter into this
Agreement; and a resolution, motion, or similar action has
been duly adopted or passed as an official act of GRANTEE's
governing body, authorizing the person identified as the

official representative of GRANTEE to act in connection with
GRANTEE and to provide
such additional information as may be
required.

Agreement, which description shall be made a part hereof by
attachment hereto. The description may only be amended by prior
approval of the Grantor.
(b) Annually, until the transferred funds are totally
expended, the Grantee shall provide the Grantor a written

(f) To include the aforementioned audit and record
keeping requirements in contracts and subcontracts thereto
entered into by the Grantee with any party for work required
under terms of this Agreement. --
(g) To act as an independent contractor and not as an

7.0 THE PARTIES AGREE:
(a) Public. Access.
Grantor shall allow public access
_
to all documents, papers, letters or other material subject to
the provisions of Chapter 1191 Florida Statutes, and made or
received by the Grantee in conjunction with this Agreement.
(b) Terminati2n. This Agreement shall be terminated -by
i
Grantor in the event of any breach of the conditions contained>
'
herein by Grantee and specifically tar failure of the Grantee to r{
allow'public access as set forth in (a) above. In the event of

`termination, Grantee shall return to Grantor any and all unspent t
grant funds. 1
(c) Reversion. All funds transferred herein shall
revert to the Grantor if not expendedor•otherwise obligated,by�

June 30, 1990. All unexpended funds, even if obligated but not R
expended on December 31, 1990 must be promptly returned to =

Grantor.
(d) &ailability of Funds. The Grantor's liability,
