RESOLUTION 90-0334 _
A RESOLUTION, WITH ATTACHMENT, OF THE CITY OF MIAMI
COMMISSION, AUTHORIZING THE CITY MANAGER TO ENTER INTO =-
AN AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, WITH
THE "WYNWOOD SKID PARTNERSHIP," A FLORIDA GENERAL
PARTNERSHIP, FOR PROFESSIONAL PLANNING SERVICES IN
CONNECTION WITH THE TECHNICAL ASSISTANCE TASKS
REQUIRED UNDER FLORIDA DEPARTMENT OF COMMUNITY AFFAIRS
(DCA) CONTRACT NO. 89-SN-17-11-23-02-010, DATED JUNE -
29, 1989 (THE "SNID AGREEMENT") FOR THE PERIOD FROM
JULY 1, 1989 THROUGH JUNE 30, 1990, AT A MAXIMUM FEE
OF $30,000, WITH MONIES THEREFOR AVAILABLE FROM THE FYI,
89-90 STATE: OF FLORIDA SAFE NEIGHBORHOOD PROGRAM GRANT
FUNDS.
WHEREAS, the City of Miami has authorized the formation of the Wynwood
Safe Neighborhood Improvement District ("SNID") pursuant to Section
163.501-163.523, Florida Statutes and City Ordinances No. 10405, No. 10406 and
No. 10522; and
WHEREAS, the Wynwood SNID in connection with the award of the Safe
Neighborhood Improvement Grant from Florida Department of Community Affairs
("DCA") has at all times contemplated that consultants would be necessary to
provide specialized services for the preparation of the Wynwood Safe
Neighborhood Improvement District Plan as indicated in City of Miami
Resolutions No. 88-1102, No. 88-1039, No. 89-577, and No. 89-577.1, and Dade
County Commission Resolution No. R-376-89; and
WHEREAS, the Wynwood SNID shall at all times be the entity preparing and
acting as the sole author of the Wynwood SNID plan; and
WHEREAS, the City Commission is desirous of securing the unique
professional services of the Wynwood SNID Partnership for the performance by

the Wynwood SNID of the terms and conditions of the contract between the CITY
and the Florida DCA, Contract No. 89-SN-17-11-23-.02-010 (the SNID Agreement or —
the "Technical Assistance Agreement") in an amount not to exceed $30,000; and
WHEREAS, the Consultant holds the academic professional qualifications, _
and experience required to perform these services and is able to perform these
services within the time allowed by the SNID Agreement; and
WHEREAS, the Consultant is capable and desirous of performing such
services and other allied tasks as might be desired by the Wynwood SNID Board;
and
WHEREAS, Section 18-52.2(a)(2)(ii) of the City Code exempts this
contract from competitive negotiations; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the preamble to the =-
Resolution are hereby adopted by references thereto and incorporated herein as
if fully set forth in this section.
Section 2. The City Manager is hereby authorized to enter into an
agreement, in substantially the attached form with the "Wynwood SNID
Partnership" for professional planning services in connection with the
completion of Tasks as required by Florida Department of Community Affairs
("DCA") Technical Assistance Contract No. SN-17-11-23-02-010, for the period
covering July 1, 1989 through June 30, 1990, at a maximum amount of $30,000,
with monies therefor available from the FY 89-90 State of Florida Safe
Neighborhood Program Grand funds.
Section 3. This Resolution shall become effective immediately upon its
adoption.

CONSULTANT AGREEMENT
This Agreement entered into this _ _ clay of
19 , bV and between the City of Miami, a.
municipal corporation of the State of Florida, in its capacity as
the Wynwood SNID Board of Directors, ( the "CITY") , and The "Wynwood
SNID Partnership", a Florida general partnership (the
"CONSULTANT").
R E C I T A L S: —
WHEREAS, the City of Miami has authorized the formation of
the Wynwood SNID pursuant to Florida Statutes Sections 163.501-
163.523 (1988 Supp.) and City Ordinances No. 10405, No. 10406 and
No. 10522; and '!
WHEREAS, the Wynwood SNID in connection with the award of the
Safe Neighborhood Improvement Grant from Florida DCA has at all
times contemplated that consultants would be necessary to provide
specialized services for the preparation of the Wynwood Safe
Neighborhood Improvement District Plan as indicated in City of
Miami Resolutions No. 88-1102, No. 88-1039, and"No. 89-577 and No.
89-577.1, and Dade County Commission Resolution No. R-376-89; and
WHEREAS, the Wynwood SNID shall at all times be the entity -
preparing and acting as the sole author of the Wynwood SNID plan;
and
WHEREAS, the CITY on behalf of Wynwood SNID Board is desirous
of securing the unique professional services of the CONSULTANT for
the performance by the Wynwood SNID of the terms and conditions of
the contract between the CITY and the Florida DCA, Contract No. 89-
SN-17-11-23-02-010 (the "SNID Agreement") in an amount not to
exceed $30,000.00; and
WHEREAS, the CONSULTANT holds the academic, and professional
qualifications and experience required to perform these services
and is able to perform these services within the time allowed by
the SNID Agreement; and
WHEREAS, the CONSULTANT is capable and desirous of performing
such services and other allied tasks as might be desired by the
Wynwood SNID Board;
NOW, THEREFORE, in consideration of the mutual covenants and
obligations herein contained, and subject to the terms and
conditions hereinafter stated; the parties hereto understand and
agree as follows:
ARTICLE I. RECITALS
The recitals and findings contained in the preamble to this
Agreement are hereby adopted by reference hereto and incorporated
herein as if fully set forth in this section.
ARTICLE II. TERM
The term of this Agreement shall be from July 1, 1989 through
June 30, 1990.
ARTICLE III. SCOPE OF SERVICE
The CONSULTANT shall, under the supervision of the Miami City
Manager acting in his capacity as the Chief Fiscal Officer of the
Wynwood SNID, provide consulting services related to the
performance of the SNID Agreement as follows:
I. The CONSULTANT agrees:
A. To utilize the funds provided herein to act as technical
experts in the field of crime prevention through environmental
design, environmental security, and defensible space. In specific
the CONSULTANT agrees to complete the following tasks:

( 1) Task- 1. Make a.ny recommendations for
organizational structure that ensure coordination _ -
between consultants and the various planning staff;
make recommendations to planning coordinators from

the City's Planning Department, the City's Police
Department, the Wynwood Community Economic -
Development Corporation (WCEDC), and the Wynwood •_�
Safe Neighborhood Improvement District (District)
regarding the Utilization of Crime Prevention
Through Environment Design (CPTED) techniques and
the organizational arrangement and work program for
these four agencies; advise regarding the form and
validity of the methods being proposed for the
assemblage of crime statistics; advise, and report
on, the proper format for analysis of land use data, —
zoning data, traffic data, and crime data as it
relates specifically to the District; make
recommendations on methods and scheduling to ensure
interaction between community representatives, the
District board, the Planning advisory board, the
zoning board, and the Miami City Commission; advise _-
regarding the frequency and scope of public meetings
and'_.public hearings within the District. _
(2) Task 2. Develop a working arrangement between
Police Department personnel and the various CPTFJ)
consultants; review Police Department proposals for
the reduction of crime in the District; advise local
staffs as to viable analytic tools for the
measurement of future reductions of crime within the
District; advise, in CPTED terms, how to relate
analysis of transportation systems to the needs of
existing Wynwood employers, and to the goal of
attracting new industries.
(3) Task 3. Review alternative crime prevention
strategies prepared by local star-. ; -vise as to
the nationwide experience in regal ,sibility
of alternative security methods apl::_..:le to all
types of District structures, and propose methods
for informing industrial, commercial, office, and
residential property owners of these alternative
security methods; advise as to the national
experience in promoting the Safe Neighborhood
Improvement District and its utilization of CPTED
concepts through the press, television,
illustrations, models and renderings.
( 4 ) Task 4. Advise as to legal implications of the use
of a special taxing district, special assessments,
and functions permissible to the WCEDC during the
plan implementation phase, and implications of
Florida and Federal Enterprise Zones for the
promotion of industrial and business activity within
the District; review estimates of costs applicable
to the implementation of the plan.
II(B) Audit and Records
(1) Maintain books, records, and documents in accordance
with generally accepted accounting procedures and
practices. These books, records, and documents in
accordance with generally accepted accounting

documents shall sufficiently and properly document
all expenditures of funds provided by the Department
under this agreement for a preaudit and postaudit
thereof.

(2) A.ssi,a that these records shall be available at a
reasonable time for inspection, review, or audit by
State personnel. and others duly authorized by the
Department. "Reasonable" shall be construed
according to circumstances but ordinarily shall mean
during normal business hours.
(3) Retain all financial records, supporting documents,
statistical records, and any other documents
pertinent to this contract for a period of three
years after termination of this agreement. Or, if
an audit has been initiated and audit findings have
not been resolved at the end of three years, the
records shall be retained until resolution of the
audit findings.
II(C) Task Completion Reports
Maintain and file with the CITY to be forwarded for
approval by the Florida Department of Community
Affairs at least four task completion reports. Task
Completion Reports shall be completed as follows:
(1) The first report is due May 4, 1990, and shall
include a detailed explanation and
documentation of the actions taken to complete
the tasks set forth in Section I. (A) (1) of
this agreement;
(2) The second report is due May 4, 1990, and must
include a detailed explanation and
documentation of the actions taken to complete
the tasks set forth in Section I. (A) (2 ) of this
agreement.
(3) The third report is due May 4, 1990, and must
include a detailed explanation and
documentation of the actions taken to complete
the tasks set forth in Section I . (A) (3 ) of this
agreement.
(4) A final report is due on May 21, 1990, and
shall include a detailed explanation and
documentation of the actions taken to complete
the tasks set forth in Sections I.(A)(4) of
this agreement.
(S) Documentation for the purposes of this section
shall include but not limited to reports,
findings, and drafts, and documentation of
expenditures for both match funds and grant
funds.
B. The CITY and the Wynwood SNID agree to supply to the
Wynwood Partnership, as might be readily available or necessary for
performance of the SNID Agreement the following information:
1. Background information on the area designated
for the Wynwood Safe Neighborhood Improvement
District including available reports, and
photographs.
2. The City of Miami's in -kind matching contribution
as provided in the original SNID Application.
3. Copies of all reports and documents including but
not limited to time reports, and other City of
Miami generated or received and maintained reports

C. The CON- 1,"TANT shall provide its own_ office and work
space and may retain its own legal counsel when necessary.
ARTICLE IV. PREPARATION OF THE WYNWOOD SNID PLAN
A. Using the information developed by the CONSULTANT the
Wynwood SNID will prepare and deliver a safe neighborhood plan
that meets the requirements of Section 163.516, Florida Statutes.
1. The plan must include documentation of District
plan consistent with the comprehensive plans for
the City of Miami and Dade County, in compliance
with the Florida Local Government Comprehensive
Planning and Land Development Regulation Act, and
confirmed by resolution by the City Commission.
2. The plan must also include maps and text indicating
land acquisition, demolition, street modifications,
redevelopment, and rehabilitation proposed for the
District, and proposed crime reduction techniques
and methods for measuring reduction in District
crime.
B. Audit and Records - The CITY shall also be responsible
for the following in connection with the preparation of the safe
neighborhood plans
1. Maintain books, records, and documents in
accordance with generally accepted accounting
procedures and practices. These books, records„
and documents shall sufficiently and properly
document all expenditures of funds provided by the
Department under the DCA Wynwood SNID Agreement for
a preaudit and postaudit thereof.
2. Assure that these records shall be available at a
reasonable time for inspection, -idit by
State personnel and others duly ::v the

ARTICLE V. COMPENSATION
A. The CITY shall pay CONSULTANT, as maximum compensation
for the services required, pursuant to Article III hereof, THIRTY
THOUSAND DOLLARS ($30,000.00) as provided in Exhibit A - Wynwood
SNID Agreement.
B. Such compensation shall be deposited in the City of
Miami's separate Wynwood SNID account as provided in the SNID
Agreement and shall thereafter be paid by the CITY to the
CONSULTANT upon receipt and approval by the Florida DCA and the
Wynwood SNID Board of each required Task Completion Report
required by the SNID Agreement. The review and approval by the
Wynwood SNID Board shall be conducted by the City Manager acting
in his capacity as the Chief Fiscal Officer of the Wynwood SNID.

ARTICLE VI. COMPLIANCE WITH FEDERAL_, 5TATE AND LOCAL LAWS
Both parties shall comply with all applicable laws,
ordinances and codes of federal, state and local governments.
ARTICLE VII. GENERAL CONDITIONS
A. All notices or other communications which shall or may
be given pursuant to this Agreement shall be in writing and shall
be delivered by personal service, or by registered mail addressed
to the other party at the address indicated herein or as the same
may be changed from time to time. Such notice shall be deemed
given on the day on which personally served; or, if by mail, on
the fifth day after being posted or the date of actual receipt,
whichever is earlier.

B. Title and paragraph headings are for convenient
reference and are not a part of this Agreement.
C. No waiver or breach of any provision of this Agreement
shall constitute a waiver of any subsequent breach of the same or
any other provision hereof, and no waiver shall be effective
unless made in writing.
D. Should any provisions, paragraphs, sentences, words or
phrases contained in this Agreement be determined by a court of
competent jurisdiction to be invalid, illegal or otherwise
unenforceable under the laws of the State of Florida or the City
of Miami, such provisions, paragraphs, sentences, words or phrases
shall be deemed modified to the extent necessary in order to
conform with such laws, or if not modifiable to conform with such
law, then same shall be deemed severable, and in either event, the
remaining terms and provisions of this Agreement shall remain
unmodified and in full force and effect.
ARTICLE VIII. COMPLIANCE WITH FLORIDA DCA CONTRACT
WITH WYNWOOD SNID, CITY OF MIAMI
A. All parties to this Agreement agree to be bound by the
terms and conditions of the Wynwood SNID Agreement dated June 29,
1989 agreement No. 89-SN-17-11-23-20-011, the terms of which are
hereby incorporated by reference.
B. The CONSULTANT shall hold the Florida DCA and the
Wynwood SNID harmless against all claims of whatever nature by the
CONSULTANT or a third party arising out of the performance of work
under this Agreement.
C. Funding for this contract is contingent upon approval of
this contract by the Florida Department of Community Affairs.
D. All parties further agree that any Florida State

E . The CONSULTANT agrees that all works and: products
produced under this Agreement shall b2 works made for hire as
defined in 17 United States Code section 101, and that. the
Consultant shall have no interest in such work and products
capable of copyright protection.
ARTX E IX. OWNERSHIP OF DOCUMENTS
All documents developed by CONSULTANT under this Agreement
shall be delivered to the Wynwood SNID by said CONSULTANT upon
completion of the services required pursuant to Article III hereof
and shall become the property of the Wynwood SNID, without
restriction or limitation on its use. CONSULTANT agrees that all
documents maintained and generated pursuant to this contractual
relationship between the Wynwood SNID and CONSULTANT shall be
subject to all provisions of the Public Records Law, Chapter 114,
Florida Statutes.
It is further understood by and between the parties that any
information, writings, maps, contract documents, reports or any
other matter whatsoever which is given by the Wynwood SNID to
-- CONSULTANT pursuant to this Agreement shall at all times remain
the property of` the Wynwood SNID and shall not be used by
CONSULTANT for any other purpose whatsoever without the written .
consent of the Wynwood SNID.
ARTICLE X SUB -CONTRACTING k;Y CONSULTANT
That the obligations undertaken by CONSULTANT pursuant to
this Agreement may be sub -contracted to other persons or firma. -as..
may be necessary for the performance of the terms of the SNID
Agreement.
The CONSULTANT agrees that there shall be copies of all
subcontracts in connection with this Agreement which shall be
provided to the Wynwood SNID and that all ,uch subcontractors
shall be governed by the terms and intent of this agreement and
the SNID Agreement. Any liability which may be associated in any
manner with the sub -contracting by the CONSULTANT of its
performance responsibilities herein shall at all times remain the
sole and exclusive liability and responsibility of the CONSULTANT.
Nothing stated herein will create an obligation on the part of the
City of Miami or the Wynwood SNID to compensate the subcontractor.
AgTICpg XI. AWIT RIOTS
The City of Miami and the Wynwood SNID reserve the right to
audit the records of CONSULTANT at any time during the performance
of this Agreement and the SNID Agreement for a period of three
years after final payment is made under this Agreement.
ARTICLE XII. AWARD OF AGREEMENT
The CONSULTANT warrants that it has not employed or retained
any person employed by the City of Miami to solicit or secure this
Agreement and that it has not offered to pay, paid, or agreed to
pay any person employed by the City of Miami any fee, commission
percentage, brokerage fee, or gift of any kind contingent upon or
resulting from the award of this Agreement.
ARTICLE XIII. CONSTRUCTION OF AGREEMENT
This Agreement shall be construed and enforced according to
the laws of the State of Florida.

This Agreement shall be binding upon the parties herein their
heirs, executors, legal representatives, successors, and assigns.
ARTICLE XV. INDEMNIFICATION
The CONSULTANT shall indemnify and save the CITY and the
Wynwood SNID harmless from and against any and all claims,
liabilities, losses, and causes of action, which may arise out of
the CONSULTANT's activities under this Agreement, including all
other acts or omissions to act of the CONSULTANT, including any
person acting for or on its behalf, and from and against any
orders, judgments or decrees which may be entered, and from and
against all costs, attorney's fees, expenses and liabilities
incurred in the defense of any such claims, or the investigation
thereof.
ARTICLE XVI. CONFLICT OF INTEREST
The CONSULTANT covenants that no person under its employ who
presently exercises any functions or responsibilities in
�,. connection with`.t-his Agreement or has any personal financial
_ interest, direct or indirect, in the work product of this
- Agreement. The CONSULTANT further covenants that, in the
performance of this Agreement, no person having such conflicting
interest shall be employed. Any such interests on the part of the
CONSULTANT or its employees must be disclosed in writing to the
Wynwood SNID. The CONSULTANT, in the performance of this
Agreement, shall be subject to the most restrictive law and/or
guidelines regarding conflict of interest of those promulgated -by.
federal, state or local government.
The CONSULTANT is aware of the conflict of interest laws of
the City of Miami (City of Miami Code Chapter 2, Article V), Dade
County Florida (Dade County Section 2-11.1) and the State of
Florida, and agrees that it will fully comply in all respects with
the terms of said laws.
XVII. INDEPENDENT CONTRACTOR
The CONSULTANT and its employees and agents shall be deemed
to be independent contractors, and not agents or employees of.
City of Miami or the Wynwood SNID, and shall not attain any rights
or benefits under the Civil Service or Pension Ordinances of City
of Miami, or any rights generally afforded classified ox-
unclassified employees; further he/she shall not be deemed
entitled to the Florida Workers' Compensation benefits as
employees of the City of Miami or the Wynwood SNID,
ARTICLE XVIII. TERMINATION OF CONTRACT
The Wynwood SNID retains the right to terminate this
Agreement at any time prior to the completion of the services
required pursuant to Article II hereof without penalty to the
Wynwood SNID. In that event, notice of termination of this
Agreement shall be in writing to CONSULTANT, who shall be paid for
those services performed prior to the date of its receipt of the
notice of termination. In no case, however, will the Wynwood SNID
pay CONSULTANT an amount in excess of the total sum provided by
this Agreement.
It is hereby understood by and between the Wynwood SNID and
CONSULTANT that any payment made in accordance with this Section
to CONSULTANT shall be made only if said CONSULTANT is not in
default under the terms of this Agreement. If CONSULTANT is in
default, then the Wynwood SNID shall in no way be obligated and
shall not pay to CONSULTANT any sum whatsoever.

A CLE XIX_. NONDISCRII�INATl
The CONSW.TANT agrees that it shall not discriminate as to
race, Sax, color, creed, national origin, age or handicap in
connection with its performance under this Agreement.
Furthermore that no otherwise qualified individual shall, -_
solely by reason of his/her race, sex, color, creed, national
origin, age or handicap, be excluded from the participation in, be
denied benefits of or be subjected to discrimination under any
program or activity receiving federal financial assistance.
ARTICLE XX. MINORITY PROCUREMENT CQMLIAIQE
The CONSULTANT acknowledges that it has been furnished a copy
of Ordinance No. 10538, the Minority Procurement Ordinance of the
City of Miami, and agrees to comply with all applicable
substantive and procedural provisions therein, including any
amendments thereto.
ARTICLE XXI. CONTINGENCY CLAUSE
Funding for^-ghis Agreement is contingent on the availability
of funds and continued authorization for program activities and is
-_ subject to amendment or termination due to lack of funds, or
authorization, reduction of funds, and/or change in regulations a#.
the same may be from time to time promulgated, amended,
terminated, interpreted or revised by the State of Florida DCA.
ARTICLE XXII. DEFAULT PROVISIQN
In the event that CONSULTANT shall fail to -comply with each
and every term and condition of this Agreement or fails to perform -
any of the terms and conditions contained herein, then the Wynwood
SKID, at its sole option, upon written notice to CONSULTANT may
cancel and terminate this Agreement, and all payments, advances,
or other compensation paid to CONSULTANT by the Wynwood SNID while
CONSULTANT was in default of the provisions herein contained,
shall be forthwith returned to the Wynwood SNID.
ARTICLE XXIII. ENTIRE AGREEMENT
This instrument and its attachments constitute the sole and
only Agreement of the parties hereto relating to said Safe
Neighborhood. Improvement Grant and correctly sets forth they.
rights, duties, and obligations of each to the other as of its
date. Any prior agreements, promises, negotiations, or
representations not expressly set forth in this Agreement are of
no force or effect.

It is respectfully recommended that the City Commission approve the attached
resolution authorizing the City ;tanager to execute an agreement, in substantially
the form attached hereto, and subject to the City Attorney's approval as to fora
and correctness, with the 'dY"1WOOD SFiID PARTNERSHIP, for Crime Prevention Through
Environmental Design (CPTED) professional planning services for the :lynwood Safe
4eighborhood Improvement District For the period July 1, 1989 to June 30, 1990, at
a naximum fee of S30,000 to be received fron FY 89-99 Florida Safi Neighborhood
Program Grant Funds.
BACKGROUND:
Section 163.517(c)(2) Florida Statutes provides that each safe neighborhood
improvement district is,eligible to receive an allocation of up to $30,001 to
employ the services of experts in the field of Crime Prevention Through
Environmental Design, or defensible space. As stipulated in Contract No. 89-SN-
17-11-23-01-010, between the City of Miami and the Florida Department of Community
Affairs (DCA), the City has agreed to utilize the funds provided to obtain these
services. The City does not gave persons Nith this typa of expertise :available in
the civil services; these technical experts must be recognized by the Florida
Department of Con.nunity Affairs and the Florida Office of the Attorney General.
`:le City Code ( Section 18-52.2(a) (2) (i i) ) exempts this con"ract from competitive
negotiations. The City Administration has received experience records and letters
from three firms expressing their interest in providing technical assistance to
the 'Idynwood Safe Neighborhood Improvement District, as follows:

Each firm was analyzed on the basis of their minority ownership; knowledge of City
organizational structure; police department organization and capabilities; police
statistical resources; experience in applying CPTED techniques; use of crime
statistics in plan preparation; ability to establish a working relationship with
the City of Miami Police Department; previous applications of alternative security
methods; local application of security methods; previous experience in formulating
methods for dissemination of information to industrial, commercial, office, and
residential property owners about alternative security methods; legal familiarity
with local legal structure and ability to relate use of the Florida and Federal
enterprise zone legislation to the Wynwood Safe Neighborhood improvement District.
The Wynwood SKID Partnership is composed of three principals:
1. Albaari and Associates - is a Wynwood based architectural, planning and
design firm, aving—been involved in a variety of social service,
educational, and housing projects in Miami, and the southeast. The Firm
is familiar with local governmental procedures and CPTED techniques. The
firm's office is located within. the Wynwood 0 target area, and has been
issued Certificata No. 38-99-17 Minority Business Enterprise -Certificate
by the City of Miami.
2. Captain Paul Urschelitz - is a Captain in corynand of the Crime Prevention,
Planning ana Research Unit, City of Fort Lauderdale Police Department. He
is a nationally recognized expert on crime prevention techniques and Crime
Prevention Through Environmental Design (.CPTED) techniques. Captain
Urschelitz has assisted in the development of the legislation supporting
CPTED (Florida Safe Neighborhood Act). Also, he is a CPTED lecturer for
the Florida Office of the Attorney General and Department of Community
Affairs.
3. `lark Gallegos, Esq. of the law firm of Mitrani, Rynor and Gallegos, P.A.
'r. a egos as been counsel to the Wynwood Comnunity Economic
Development C(,rporation, and is directly conversant with all the legal
aspects of the Safe ?teighborhood Program, the Florida and Federal
Enterprise Zones, and Foreign Trade Zone legislation. Also, Mr. Gallegos
has had extensive experience in the areas of small and minority
businesses, corporate and securities law, foreign investment, public
offerings, foreign businesses and government, immigration, and is
currently president of the Hispanic National Bar Association.
Other members of the Firm provide additional expertise in real estate law,
commercial and business law. Foreign trade, and structural engineering.
Two of the three principals are minority persons.

Based on the criteria of the Technical Assistance contract, the Wynwood SUID
Partnership has the expertise to provide the CPTED professional planning services
needed to fulfill the City's contractual requirements. (See attachment A).
Atlas Safety & Security Design, Incorporated - is a female owned enterprise and
holds a women business enterprise certificate with the City of Miami. The primary
services provided by the company are Safety and Security Design, Correctional
Facilities Architectural Programming and Analysis of Design, Expert '4itness
Testimony, and Design Research.
The major thrust of the firm's experience indicates a major emphasis on
corrections related projects, security design and evaluation, fire safety
evaluation, police structure related studies and evaluations, and commercial and
hotel security.
This firm has limited direct employee capabilities in the areas of community
organization, community economic development, community -scale site planning, or
legal analysis capabilities related to the implications of the Safe Neighborhood
Program, the State and Federal Enterprise Zone legislation, and Foreign Trade Zone
legislation, as they might impact the Wynwood Safe Neighborhood District. This
firm has been issued Certificate No. 99-031 Minority Business Enterprise
Certificate by the City of Miami. (See Attachment 3).

still interested in participating in a second level consultant role. His primary
strength is in urban design, housing area programs, conservation and research on
various environmental and human behavior themes. The demands of the Wynwood S1JID
program are heavily with the creation of crime reduction methods, structure
security, and various legal aspects of enterprise zones, special taxing districts,
and foreign trade zones. This firm has no capability in these areas. The firm
has no minority or female employees. (See Attachment C).

MARK S . GALLEGOS
I am in private Practice in my own law Of f ice - MITRMI , R NOR
GALLEGOS, P.A., in Miami, Florida. I was formerly with the law
office of Reisman G Bryn in Miami, Florida.
I was awarded a joint degree in Economics and Political
Science from Yale University in 1977 and completed the Yale
University Teacher Preparation Program and was certified in
Secondary Education in 1977. Upon graduation from Yale, I accepted
a position as an Economic Research and Planning Analyst with a
community development corporation in Phoenix, Arizona, serving
primarily as a business consultant, expanding small and minority
businesses in the Phoenix area. I thereafter attended Georgetown
University Law Center where I obtained my juris doctorate degree
in May 1982. While attending Georgetown University Law Center, I
participated in the development of the Georgetown University
1=igration Law Journal. I served as the student faculty financial
aid liaison, and was employed in the Georgetown University Law
School Admissions Office.
Since graduating from Georgetown, I have practiced corporate
and international law in Miami, Florida. The scope of my practice
has evolved from corporate and securities law to include a broad
range of foreign investment, real estate and corporate finance.
I have acted as general counsel, in connection with numerous public
and private offerings and have participated in numerous :vergers
and acquisitions. I have also represented many foreign
businessmen, foreign government representatives, the clergy and
political refugees in immigration matters.
I am currently President of the Hispanic National Bar
Association and have acted in various capacities in that
Association, namelyt In 1987 1 was the Convention Chairperson and
Regional president; in 1985-86 1 sei-ved as National Secretary; and
in 1983-84 and 1984--85 I served as Regional President. On behalf
of that Association, I have made presentations and spoken at
numerous national and international conferences, including the bi-
annual conference of the Collegio de Abogados in San Salvador, E1
Salvador and have acted as the liaison to the Collegio de Abogados
in Honduras and Costa Rica. In 1986 and 1987 I was selected as one
of the Outstanding Young Men of America and in 1988 I was selected
for Who's who in American Law. Both my business and professional
involvement require that I travel extensively through Central and
South America, working with U.S. Embassies and foreign government
officials.

Province President for Phi Deltas Phi, the International Legal
Fraternity. In addition, I ara active in the greater Miami

American League Against Discrimination, the Coalition of Hispanic
American Women, the American Jewish Community, ASPIRA Youth
Leadership Project, the Mexican American Arts & Cultural Council;
the Miami Mayor's Economic Development Advisory Board, and I speak
frequently on TV, radio and to community organizations on various
topics of current concern to the commmunity. I was recently
appointed to the Pan American Hospital Pharmaceutical Research
Institution Institutional Review beard in Miami, Florida. I was
also recently appointed by the President of American Bar
Association to the ABA Commission on Opportunities for Minorities
in the Legal Profession.
My most significant accomplishment to date is most certainly
the formation of my own law office in Miami. With Cuban -born Isaac
J. Mitrani and Miami. -born Jeffrey A. Rynor and myself of Mexican -
American heritage, we are a unique combination of educational
background and legal talent who came together to realize the
American Dream. Our combined experience of twenty-two years in the
practice of law in a dynamic city like Miami involves us in
banking, real estate, insurance defense, securities, commercial
litigation and international law including immigration. As I talk
to young people in Miami, I always emphasize that In this country

Dear Mr. Olmedillo:
It is with great pleasure that Atlas Safety Security Design, Inc. submits
our qualifications to you to perform technical assistance to the safe
neighborhood plan for the Wynwood Safe Neighborhood District.
Our firm is extremely familiar with the Wynwood Area as I live and work in
vicinity. Our knowledge of the City, and Wynwood area is firsthand; and one of
our offices is located just a few blocks from the core of the area.
We have highly qualified individuals to strategically approach this study and
provide invaluable assistance to Wynwood Development Corporation. Atlas Safety
s Security Design,Inc. a City of Miami Certified Minority/Women Business
Enterprise, has extensive environmental criminolgy and environmental design
experience with projects in Poinciana Industrial Center, NW neighborhood in
Ft. Lauderdale, South Beach(Miami Beach), and crime prevention neighborhood
planning and crime analysis and technical assistance for Opa Locka Safe
Neighborhood Districts.
Janet Atlas,president of Atlas Safety & Security Design,Inc. has extensive
real estate experience with the Wynwood Area and has a background in Crime
Prevention Through Environmental Design. She has been active in the Miami
community for 27 years and participates in many Greater Miami Chamber of
Commerce functions for attracting developments and businesses.
Randall Atlas has a doctorate of criminology, is a registered architect, a
nationally recognized expert and published in environmental criminology and
OPTED. Dr. Atlas has extensive criminal justice experience with City of Miami
(Little Havana and Liberty City Police Stations) and programming for Metro
pretrial detention TGK center, and other pzo;ects with Capital Improvements
under Hill Johnson. Dr. Atlas is a professor in criminal justice at FIU and
the University of Miami, and will have access to all resources, computor;, and
expertise that the universities offer to benefit this project.
Dr. Atlas is chairman of the Omni -Venetia Security Subcommittee with the
Greater Miami Chamber of Commerce, and participated in the creating of Omni as
a special taxing district. He is a graduate of the Leadershio Miami program,
and used as a technical assistance consultant by the Federal Bureau of

Ann Jackson,in association with post Buckley Schuh Jernigan,Inc. was deputy
director of Growth Management Dept. of the City of Pompano Beach. Ms. Jackson
had oversight responsibilities for development of comprehensive planning and
policies, development review, federally funded community development programs,
and capital improvement programming. She is entirely familiar with the
intracacies of enterprise zones,special taxing districts, special assesments,
matching funds criteria,and promotion of industrial activity. Ms. Jackson
drafted the Safe Neighborhood -grant application in Pompano Beach, the
Enterprise Zone application, and drafted local legislation for the
Redevelopment plan. Post Buckley and Atlas Safety & Security Design Inc. have
previously worked together on the Opa Locka Safe Neighborhood Districts and
Hollywood projects.
Currently, our workload is just finishing up several criminal justice
projects, including a study of barricades as a crime prevention strategy, a
CPTED study on South Beach, a CPTED anlysis for a housing development in Ft.
Lauderdale, and design of the State Attorney's Office building with Ran
Frazier AIA. As of February, Atlas Safety & Security Design, Inc. is able to
devote its full attention and time committment to meet the schedule and
deadlines through June.
Atlas Safety & Security Design,inc. is prepared to provide whatever technical
assistance is required within the $30,000 set budget, and complete all reports
within the new June 1,1990 deidline. We enjoy clear communication and a strong
professional relationship with Roger Wilburn of Dept. of Community Affairs,
Chief Perry Anderson and planning chief Lt. Longuiera, and look forward to
working with the Wynwood Community Economic Development Corporation, the City
of Miami and all staff and consultants.
Atlas Safety & Security Design,Inc. will complete all tasks defined in the
proposal which include evaluating methodology, reviewing proposals and
reports, review CPTED strategies, interface between police personnel and
various consultants and staff,and keep excellent records for full
documentation and auditing. Our previous experience with the complexity and
peculiarity of the Safe Neighborhood report submittal process will assist the
planning team and technical assistance component in the preparation of reports
to DCA for approval and payment.

Thank you for the information on the Wynwood Safe Neighborhood
Improvement District. I have read over a copy of the Agreement with
DCA and I would like to respond positively. I am interested in
being involved with the project, but not as the lead consultant.
I shall be on sabbatical leave from the University of Miami from
about July to December this year and thus would not be in a
position to coordinate and be responsible for the management,
security, legal, and other aspects of the work.
I would be interested in assisting any other team of
consultants on the planning, data, and environmental design
considerations of the crime prevention facets of the project. For
this purpose, I summarize below what I would be able to offer :
A. KNOWLEDGE
Theories of territoriality, environmental perception, personal
space, defensible space. I cover these topics in undergraduate
and graduate classes that I teach at the School of
Architecture, University of Miami.
Concepts and principles of human spatial behavior. including
access, surveillance, and territorial reinforcement. These are
also topics in my university classes.
