FOR THE PROVISION OF BANKING SERVICES FOR A THREE YEAR PERIOD, WITH COMPENSATION FOR SAID SERVICES TO BE PAID BY THE CITY THROUGH ITS MAINTAINING UNINVESTED MONIES ON DEPOSIT DURING THE AGREEMENT TERM IN AMOUNTS DERIVED FROM THE ACTUAL VOLUME OF SERVICES PERFORMED AND THE INTEREST RATE OF NEWLY ISSUED TREASURY BILLS; FURTHER AUTHORIZING THE CITY MANAGER TO ENTER INTO AN AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, WITH SAID BANK IN ACCORDANCE WITH THE TERMS AND CONDITIONS OF THE SUBMITTED PROPOSAL. WHEREAS, the City of Miami Code requires that the Finance Director request competitive quotations from Federal and State chartered banks located within the City of Miami for the provision of banking services; and WHEREAS, sealed bids were received on May 4, 1990, for the provision of banking services for the City of Miami; and WHEREAS, tabulation of sealed bids based on estimated volume of transactions identified Southeast Bank, N.A. as the lowest - bidder; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: �a Section 1. The recitals and findings contained in the Preamble to this Resolution is hereby adopted by reference thereto and incorporated herein as if fully set forth in this Section. Section 2. The proposal of Southeast Bank, N.A. is - hereby accepted for the provision of banking services for a three year period, with comperisation for said services to be paid by the City in the form of uninvested monies being maintained on deposit during the agreement term in amounts based on the actual volume of services performed and the interest rate on newly issued Treasury Bills. Section 3. The City Manager is hereby authorized to enter .into an ag.reementi/ with Southeast Bank, N.A. in substantially the attached form, in accordance with the terms and conditions of the proposal submitted by said bank. (hereinafter referred to as 'THE BANK'). RECITAL WHEREAS, the City Commission by Resolution No. }gassed and adopted authorized and directed the City Manager to execute a contract for banking services; and WHEREAS, the City Commission selected the BANK to render - said services for a period of three (3) years, beginning 1990. NOW, THEREFORE, the CITY and the BANK for the considerations hereinafter set forth, agree and covenant, one on to the other as follows: I. SERVICES TO BE RENDERED, A. Additional Accounts The CITY will attempt to limit the number of bank accounts it user;; however, where legal requirements dictate, separate bunk accounts must be maintained. In addition, the CITY may deem that additional DDA or time deposit accounts would be adcatnistratively more efficient. These additional accounts may be established at any time and would operate under service specifications and at such costs to the CITY as mutually deemed reasonable by the CITY and the BANK. II. COMPENSATORY BALANCE, CALCULATION For the services authorized in Section I, the CITY agrees to maintain an uninvested amount of monies on deposit with the BANK. Such amount is to be called "Balance Required to Support Service" and to be calculated as described below: Monthly, the BANK will prepare a billing for services rendered. This hitting must be presented in a format similar to the bidding form with a total for all the service charges for the month. The total service charges thereby evaluated will then be converted to a "Balance Required to Support Service". This balance will be calculated by dividing the total service charges incurred by the monthly average yield' on 13—week Treasury Bills issued during that month, as explained in Section III (b) of the Request for Proposals for Banking Services of the City of Miami. If at the end of any three month interval the net earnings credit accumulated since the inception of the contract is a negative amount (value of services provided by the BANK has exceeded value of compensating balances maintained by the CITY), The CITY will pay the BANK such an amount. Subsequent positive net earnings credits, as of the end of future three month-, intervals, will require the BANK to refund the CITY up to the total amount paid by the CITY to the BANK for this concept. e ItI. GENERAL PROVISIONS OF THE AGREEMENT A. Termination of the agreement for cause. I.f either party does not comply with terms of this Agreement, the City Manager or the BANK, as the case may -3- 90— 437 be, give notice to the defaulting p:-irty of the specific default in writing. If the default is/are not correct- ed within thirty (30) days, the contract shall be terminated thirty (30) days from the written notice of default, by the non -defaulting party, B. Right to Audit. The City, from time to time, has the right to audit the BANK'S books Hnd records with regard to the accounts and , services to CITY to ensure, that all aspects of the Agreement are being met. C. Changes. The City Manager may, from time to time, require changes =- in the scope of services of the BANK to be performed r lie reunder. Such changes, which are mutually agreed upon by itnd between the CITY and the BANK shall be Incorporated in written amendments to this Agreement. D. Equal Employment Opportunity Non Discrimination The BANK will not discriminate against any employee or a applicant for employment because of race, color religion, Sex, national origin or handicap. The BANK shall take affirmative action to ensure that applicants are employed and that employees are treated fairly during employment without regard to race, color, religion, sex, Natural origin or handicap. -- Such actions shall include, but not be limited, to the following: Employment, upgrading, demotions or transfers, recruitment or recruitment advertising; layoff or terminations; rates of pay or other forms of compensation; selection for training including apprenttceship; and participation in recreational and educational activities. The BANK agrees to post in conspicuous places available to employees and in applications for employment notices a -4- 9a- 47 settiny, firth the provisions of this non-,discrtmIiation clause. The BANK will. in all solicitations or advertisements for employees placed by or on behalf of the HANK State that ntl qualified applicants w t I I receive consideration for employment without regard to race, color, religion, sex, national origin or handicap. The BANK wilt cause the foregoing provisions to he inserted in all s►►b-contracts for any work covered by this contract so that such provisions will be binding upon each sub -contractor, provided that the foregoing provisions shall not apply to contracts or sub -contracts for Standard commercial supplies or raw materials. The BANK shalt keep such records and submit such reports concerning racial and ethnic origin of applicants for employment and employees as the Secretary of Labor of the United States requtres. The BANK agrees to comply with such rules, regulattons or guidelines as the Secretary may issue to implement these requirements. E. Both Parties shall comply with all applicable laws, ordinances and codes of Federal, State and Local Governments applicable to that Party. F. I the event of conflict between the terms of this Agreement and any terms or conditions contained in any attached documents, the terms in this Agreement shall rwile. G. No waiver or breach or any provision of this Agreement shall constitute a waiver of any subsequent breach of the same or any other provision hereof, and no waiver shall be effective unless made in writing. H. Should any provisions, paragraphs, sentences, words or phrases contained in this Agreement be determined by a court of competent jurisdiction to be invalid, illegal or otherwise unenforceable under the laws of the State 90- 437 W of Florida or the City of Miami, such provIrinns, paragraphq, sentences, words or phrases shall be deemed miid1.fied to the extent necessary in order to conf.or.m with such laws, and to the extent they can not be so modified, then game shall be deemed severable, and in either event, the remaining terms and provisions of. this Agreement shalt remain unmodified and to full force and effect. 1. That the obligations undertaken by BANK pursuant to this Agreement shall. not be delegated or assigned to any other person or firm unless CITY shall first consent in writing to the performance or assignment of such service or any part thereof by another person or firm. .1. That BANK has not employed or retained any person employed by the CITY to solicit or secure this Agreement and that it has not offered to pay, paid, or ag reed to pay any person employed by the CITY any fee, commission, percentage, brokerage fee, or gift of any kind contingent upon or resulting from the award of this Agreement. K. This Agreement shall be construed and enforced according to the Laws of the State of Florida. L. BANK shall indemnify and save CITY harmless from and against any and all claims, liabilities, losses, and cauaes of action which may arise out of BANK'S negligence under this Agreement, including any employee acting f or and on the BANK" S behalf, and f rocs . and against any orders, ,judgements, or decrees which may be entered and from and against all costs, attorney's fees, oxpenses and liahili.ties incurred in the defense of any such claims, or in the investigation thereof. M. HANK is aware of the conflict of interest laws of the City of Miami (City of Miami Code Chapter 2, Article V), [3ade County Florida (Dade County Code Section 2-11.1) 90- 437 'N, and thF, State of Florida, and agrees that RANK will fully comply in a t I respects with the terms of said laws. N. CITY retains the right to terminate this Agreement at i any time prior to the completion of the services required pursuAnt to paragraph I hereof without penalty to CITY. In that event, notice of termination of this Agreement shall be in writing to BANK, who shall be paid for those services performed prior to the date of its receipt of the notice of termination. In no case, However, will CITY pay BANK an amount in excess of the total sum provided by this Agreement„ 01 in the event that BANK shall fail to comply with each and `very term and condition of this Agreement or fails to perform any of the terms and conditions contained herein, then CITY shall have the rights set out in Paragraph III A, above. BANK acknowledges that it has been furnished a copy of Ordinance No. 10062, the Minority Procurement Ordinance of the City of Miami, and shall comply with all applicable substantive and procedural provisions ;herein, including any amendments thereto. Odio City Manager ENCLOSURES: RECOMMENDATION: It is respectfully recommended that the attached resolution accepting the proposal of Southeast Bank, N.A. for the provision of banking services for a three year period, such compensation for services to be paid by the City maintaining uninvested monies on deposit during the contract term in amounts derived from the actual volume of services performed and the interest rate of newly issued treasury bills; further authorizing the City Manager to execute a contract with said bank in accordance with the terms and conditions of the submitted proposal. BACKGROUND: City Code 18-2 requires the Director of Finance to advertise and distribute a Request for Proposals (RFP) for Banking Services. This RFP followed a two step process as recommended by the City Commission: First Step: Determination of qualified proposers: In accordance with the procedures outlined in the banking services RFP, the Bank Selection Committee reviewed the proposals submitted to the Cit• by Barnett Bank, S,)utheast Bank and SunBank. Majors Vice -Mayor Dawkins Luisa Garcia -Toledo Commissioner Alonso Manuel Alonso-Poch Commissioner De Yurry Howard Gary, Chairman Commissioner Plummer 90- 437 m City Banking Services May 1990 Page 2 The selection committee determined that all three banks were deemed to be qualified as they complied with the requirements listed below: 1. Qualified by State of Florida as a Certified Depository. 2. Located within the City of Miami limits. 3. Provisions for compliance with the City's minority procurement ordinance, including the bank's affirmative action plan and employment statistics. 4. Evidence of compliance with the Federal Community Reinvestment Act, including documentation of type of investments in low income areas. 5. Evidence of participation in City sponsored projects, such as Southeast Overtown/Parkwest Redevelopment Project and the Bayside Minority Business Program. 6. Willingness and capability to meet the City's service requirements. Second Step: Sealed Bid Process: During the meeting of April 26, 1990, the City Commission instructed the administration to continue the selection process with the qualified banks by requesting sealed bids in accordance with the RFP. A summary of the tabulation of the bids received is as follows: Barnett Bank a 144,351.00 Southeast Bank 112,048.50 Sun Bank 140,221.00 Attachments detail bid tabulations. Compensation for the services will be paid by maintaining uninvested monies on deposit during the contractual term of three years. These compensating balances will be determined by the actual volume of services performed and the interest rate of newly issued treasury bills. _ :he Finance Department recommends accepting the proposal of.
