HomeMy WebLinkAboutR-91-0450J-91-511 6/12/91 RESOLUTION NO. _ 450 A RESOLUTION AUTHORIZING THE*CITY MANAGER TO ISSUE A REQUEST FOR PROPOSALS, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, TO SELECT A FIRM THAT HAS EMPLOYED PROVEN AEROBIC COMPOSTING TECHNOLOGIES AND HAS THE CAPABILITIES TO DESIGN, CONSTRUCT, ACCEPTANCE TEST, FINANCE, OWN/OPERATE A SOLID WASTE PROCESSING FACILITY FOR THE CITY; WITH SAID SELECTION TO BE PRESENTED TO THE CITY COMMISSION FOR ITS REVIEW AND APPROVAL PRIOR TO EXECUTION OF ANY CONTRACT WITH SAID FIRM. WHEREAS, the City of Miami's goal is to minimize the use of sanitary landfills; and WHEREAS, while recognizing that sanitary landfills are a necessary method of solid waste management, the City of Miami is concerned about long-term environmental effects associated with landfills' increased construction and operational costs to meet environmental regulation, and conservation of existing landfill capacity; and . WHEREAS, the City's intent is to provide its citizens with an environmentally -sound and economically -feasible integrated solid waste management system; and WHEREAS, it is in order at this time to procure a contract for the provision of these services; and WHEREAS, it is in the City's best interest to have a Committee review and evaluate the responses to the City's Request for Proposals (RFP) based upon the criteria as described in the RFP; and WHEREAS, said Selection Committee will, subsequent to the review and evaluation of the submitted proposals, make a report to the City Manager of.its ranking of proposers; and WHEREAS, the City Manager will make a recommendation to the City Commission regarding the Provider of the Composting Facility; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF TIME CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby adopted by reference thereto and incorporated herein as if fully set forth in this Section. Section 2. The City Manager is hereby authorized and directed to issue a Request for Proposals (R�P)1/, in a form acceptable to the City Attorney, for the selection of a firm that has employed proven aerobic composting technologies and has the capabilities to design, construct, acceptance test, finance, own/operate a solid waste processing facility for the City. As soon thereafter, as practicable, the City Manager shall process its recommendation to the City Commission for its review and approval prior to execution of any contract with said firm. Section 3. Odi City Manager ENCLOSURES: It is respectfully recommended that the City Commission adopt the attached resolution authorizing the City Manager to issue a Request for Proposals in a form acceptable to the City Attorney, to select a firm that has employed proven Aerobic Composting Technologies and has the capabilities to design, construct, acceptance test, finance, own/operate a solid waste processing facility for the City. Said selection to be presented to the City Commission for its review and approval prior to execution of any contract with said firm. It is in order at this time to initiate the procurement of contract for the provision of these services. Attachments 9 LEGAL ADVERTISEMENT Request for Proposals will be received by the City of Miami City Clerk at her office located at 3500 Pan American Drive, Miami, Florida 33133 not later than p.m. June `, 1991 to select a firm that have the capabilities to design, construct, acceptance test, finance, own/operate a solid waste processing facility. This RFP is only for companies employing proven aerobic composting technologies. RFP submitted past such deadline and/or submitted to any other location or office shall be deemed not responsive and will be rejected. Ordinance No. 10062 established a goal of Awarding 51% of the City's total dollar volume of all expenditures for All Goods and Services to Black, Hispanic and Women Minority Business Enterprises on an equal basis. Minority and women vendors who are interested in submitting bids and who are not registered with the City as minority or women vendors are advised to contact the City of Miami Minority/Women Business Office, 1390 NW 20th Street, Second Floor, Miami, Florida 33142, Telephone 575-5174. Odio City Manager CITY OF MIAMI, FLORIDA 1, SCOPE AND PURPOSE It is the intention of the City of Miami to select a company that have the capabilities to design, construct, acceptance test, finance, own/operate a solid waste processing facility. This RFP is only for companies employing proven aerobic composting technologies. The City will not be responsible for any expenses incurred by a vendor in preparing and submitting this RFP. The response shall provide a straightforward, explanation of your capabilities to satisfy the requirements of this request. Six (6) complete copies of the RFP must be submitted. 2. ACCEPTANCE/REJECTION The City of Miami reserves the right to accept or to reject any or all responses and to select the response(s), who in the opinion of the City will be in the best interest of and/or the most advantageous to the City. The City of Miami also reserves the right to reject the response of any vendor who has previously failed in the proper performance of an award or to deliver on time contracts of a similar nature or who is not in a position to perform properly under the specifications. 3. CONFLICT OF INTEREST The selection is subject to provisions of State Statutes and City Ordinances. All responses must disclose the name of any officer, director, or agent who is also an employee of the City of Miami. Further, all proposers must disclose the name of any City employee who own, directly or indirectly, an interest of five (5) percent of more in the firm or any of it's branches. 4. LEGAL REOUIR .MF.NTS Federal, State, County and local laws, ordinances, rules and regulations that in any manner affect the items covered herein apply. Lack of knowledge by the vendors shall in no way be cause for relief from responsibility. a) Vendors doing business with the City are prohibited from discriminating against any employee, applicant, or client because of race, creed, national origin, sex, or age with regard to but not limited to the following: employment practices, rates of pay or other compensation methods, and training selection. 5. QUALIFICATIONS a) Responses will be considered only from firms that are regularly engaged in the business of providing the goods and/or services as described in this Proposal, that have a page 1 of 4 E RFQ NO. 90-91-098 SPECIAL CONDITIONS (C inued) record of performance for a: reasonable period of time; and that have sufficient financial support, equipment and organization to insure that they, can satisfactorily execute the services if awarded a Contract under the terms and conditions herein stated. The term "equipment and organization" as used herein shall be construed to mean a fully equipped and well established industry as determined by the proper authorities of the City of Miami, Florida. b) An inspection of the firm's facilities and/or equipment may be made prior to award. c) Firms shall be fully licensed to perform the work described herein, and shall provide all information requested. 6. EVALUATION Upon receipt of the RFP and pertinent data, the City shall initiate the evaluation. This process shall be conducted by an Evaluation Committee whose members shall be City employees to be determined by the City. Responses will be evaluated based on the following criteria: 1). Composting and solid waste experience 2) Financial stability and strength 3) Technical approach 4) General Management & Marketing Criteria will be weighted as follows: Item 1) = 35% Item 2) = 20% Item 3) = 25% Item 4) = 20% The Evaluation Committee may interview contractor and require further clarification of information submitted; clarification and/or responses to questions re arding references; prior contracts and quality of work and%gor compliance; etc. The Committee, upon evaluation and consideration of all information regarding the above will proceed to qualify the companies. 7. IRREGU ESPONSES Any response which is incomplete, conditional, obscure or which contains irregularities of any kind, may be cause for rejection. A minority business enterprise is defined as a business firm" ... in which at least 51 percent of said enterprise is owned by Blacks, Hispanics, or Women whose management and daily business operations are controlled by one or more Blacks, Hispanics or Women. To achieve the goal established by Ordinance No. 10062, participation in providing goods and services to the City by minorities is being encouraged in a number of ways. All vendors doing business with the City are encouraged to include the participation of minority firms in their proposals. In evaluating proposals for determination of awards, minority participation may be a factor. Failure to adequately involve minority firms may be a basis for rejecting any and all proposals. Possible ways to include minority participation would involve: 1. Joint venture with a minority firm(s) 2. Utilizing minority firm(s) as subcontractor(s). 3. Utilizing minority firm(s) to supply goods and/or services. 4. .Successful implementation of well defined affirmative action program. 5. Other forms of minority participation, if properly documented. Included in this package is a copy of Ordinance No. 10062 Additionally, a special Information Sheet has been provided to assist Proposers in presenting information concerning minority participation. Minority business firms are encouraged, but not required, to register with the City prior to submitting proposals. The Procurement Office will provide the necessary forms and instructions upon request. ALL VENDORS ARE URGED TO SUBMIT PROPOSALS FOR ANY GOODS OR SERVICES THAT THEY ARE ABLE TO SUPPLY, REGARDLESS OF MINORITY CLASSIFICATION. However, compliance with all requests for information regarding Minority Status or Participation is required. Proposer's cooperation is greatly needed to aid the City in achieving its goal. 9. RESOLUTIO-N OF PROTESTS Attention is directed to the attached Section 18.56-1 of the City Code. DEBARMENT AND SUSPENSION Attention is directed to the attached Section 18-56.4 of the City Code and certification which must be executed and returned with the Acknowledgement Sheets. page 4 of 4 61 CITY OF MIAMI, FLORIDA • This request for proposal (RFP) is being issued by the City of Miami to solicit proposals from companies that have the capabilities to (1) design, (2) construct, (3) acceptance -test, (4) finance, (5) own/operate a solid waste processing facility. This RFP is ONLY for companies employing proven aerobic composting technologies. Composting (aerobic composting) is the production of a highly stabilized marketable and/or usable organic product which has resulted from the processing of Acceptable Waste by using a combination of mechanized equipment and aerobic decomposition. Aerobic composting means decomposition of organic matter in the presence of air. The City of -Miami's goal is to minimize the use of sanitary landfills. While recognizing that sanitary landfills are a necessary method of solid waste management, the City of Miami is concerned about long-term environmental effects associated with landfills' increased construction and operational costs to meet environmental regulation, and conservation of existing landfill capacity. The City's intent is to provide their citizens with an environmentally -sound and economically -feasible integrated solid waste management system. The City of Miami recognizes that the private sector may have the capabilities to best design, construct, finance, own and operate the facility. The City will offer cooperation in these matters; the company will be responsible for the task required to design, construct, finance and operate the facility. The City desires to minimize its risks associated with the facility implementation and long-term operations. For these reasons the City intends to select companies that have demonstrated technical expertise and financial resources to assure that guarantees to the City will be met throughout the term of the design, construction and operation contract. Private ownership of the Facility is a consideration of this RFP. Prior to submitting an RFP, companies should be prepared to address the facility location, ability to obtain letters of credit, use(s) of compost product and recovered recyclable materials, operational guarantees such as facility processing througput, force majeure, and processes for damages in the event facility does not meet guarantees. page 1 of 10 RFP NO. 90-91-098 SPECIFICATIONS (Contued) 1.0 EVALUATION CRITERIA The RFP responses described below: will be evaluated in the five areas 1.1 General Management The company will be evaluated on the basis of its demonstrated overall management and experience as reflected in the successful implementation of an Aerobic Composting Facility, from the design, construction, start-up/testing, to ongoing facility operation. The City will consider only those companies that have built and operated, or currently operate, a facility within the continental United States of America that are in full compliance with the appropriate jurisdictional rules and regulations established by the appropriate regulatory agency in the State wherein the facility is located. The company must provide proof of said compliance. If the facility is located outside of the State of Florida, the company must be able to demonstrate that the facility is operated in such a fashion that, if located in the State of Florida, the facility would meet the minimum standards for MSW compost production required by the State of Florida Department of Environmental Regulation per Rule 17.709 (attached). The company must also demonstrate its ability to obtain the necessary approvals required by the State of Florida to effectively market the compost end products. Company must provide test results and approval letters from the appropriate State regulatory agency of the State wherein the facility is operated regarding compost produced as to quality of product, type of product and grading classification. 1.2 Financial Stability and Strength The company will be evaluated on the basis of its overall financial strength, liquidity, credit worthiness, ability to secure adequate project financing, letters of credit and bonding procurement as an indication of their ability to establ-sh and meet operational guarantees and maintain a financially - sound, efficient facility. 1.3 Composting and Municipal Solid Waste Experience The company will be evaluated on the basis of its demonstrated experience in the design, construction, start-up/testing and continued operations of an Aerobic Composting Facility, and construction management. The City will give particular attention to the performance data provided for the respondent's reference plant(s), page 2 of 10 E RFP NO. 90-91-098. SPECIFICATIONS (Conk ued) coupled with historical data indicating the company's expertise and operational capability to comply with and meet the guidelines outlined in State of Florida, Department of Environmental Regulations, Rule 17.709.1 governing the classification and ultimate use of the finished product. 1.4 Technical Approach The company's technical approach will be evaluated in terms of its effectiveness in meeting local needs. Evidence of a technically -sound, reliable and proven approach to the design, construction and operation of an Aerobic Composting Facility. If company's process utilizes specialized products, patents, required licenses, or performs through the existence of proprietary inoculates, company must provide written and verifiable evidence, acknowledging the contractual relationship and its ability to provide these special or proprietary ingredients or services for the expected operational life of the facility. Unproven technologies will not be acceptable in response to this RFP. 1.5 Marketing The company will be evaluated on its demonstrated knowledge of and experience with types of markets. Special emphasis will be placed on the company's ability to guarantee the sale of the end products, and shall be responsible for the sale and disposal of any unsold products. 1.6 Integrated Long Range Strategies The company will be evaluated on its perceptions of long range operational requirements with regard to anticipated population growth in the City and the accompanying ability for the New Facility to meet such increases in throughout capacity. While this area of evaluation is based entirely on hypothetical projections, the City seeks to engage by contract a company which can meet the needs of the City over the long term. In preparation of responses in these areas, respondents are encouraged to suggest several options for the City's consideration. 2.0 REQUIRED INFORMATION The following information is required from an interested company in response to this RFP. The company must respond to items 2.1 through 2.5 in the format outlined herein. page 3 of 10 0 91.- 450 M RFP NO. 90_91_098.,'F SPECIFICATIONS (Conk,_Hued) 2.1 General Management Key contact person -provide the name, address, and telephone number, of the company and key contract person. Type of organization ---describe the type of organization (corporation, partnership, joint venture, etc.), history, and the ownership and organizational background and structure of the company. List full names and business addresses of all officers and directors. List full names and business addresses of all partners or stockholders who hold ten percent (10%) of ownership. If the responding company is a partially -owned or fully -owned subsidiary of another firm, a statement of the levels of corporate management that will have to approve any subsequent contracts resulting from this project must be appended. Provide comparable data for each member of a partnership or joint venture. Describe the company's intention regarding the subcontracting of major portions of either design, construction, or operation of the proposed system. If other subcontractors are involved, give the names, proposals, and degree of involvement of the intended subcontractors. The same information is required if joint ventures are intended. Describe the role of each subcontractor in the project. If the company holds a license for an aerobic compost technology to market in the United States or utilizes special ingredients or components such as inoculates or enzymes, provide legal documentation describing the license agreement with terms and conditions, indicating the company's ability to provide such on an ongoing basis, insuring the City of Miami, of uninterrupted operations. 2.2 Financial Qualification The financial information must be submitted for the company to qualify for the Request for Proposal process. The company must submit all required financial information. These criteria are designed to ensure that the company will be capable of performing and meet all design, construction, financing and operational guarantees. . page 4 of 10 F RFP NO. 90-91-099 SPECIFICATIONS (Con. .cued) a) A copy of the company's latest Form 10-K and 10-Q filed with the Securities and Exchange Commission (SEC), and a statement regarding any material changes that have occurred since the filing must be submitted. b) Any company not required to file 10-K's or 10-Q's must submit equivalent information and disclosures in the form of annual certified audited financial statements, acknowledged by an officer of the corporation as to accuracy. Any additional information necessary to clearly demonstrate the company's financial strength and capability to design and construct an Aerobic Compost Facility and operate it over a sustained period must be submitted. c) Copies of the latest quarterly financial reports, if any. d) A copy of the latest annual report, if any. e) Provide information and any material changes in the mode of conducting business, bankruptcy proceedings, and mergers or acquisitions within the past three years. f) A description of any contractual arrangements (affiliation or association) that may have a bearing.on the financing of the proposed facility with respect to: * Corporate guarantees * Affiliations * Partnerships and/or joint ventures * Other sources of guarantees that may exist g) The rating of outstanding debt,- if any has been issued, with copies of the rating agency reports on that outstanding corporate date. h) Explain the company's intent, sources, and methods of arranging for financing the facility or equity; as well as estimates of any related fees for letters of credit. Company should provide verifiable proof of its, ability to secure adequate long-term project financing, such as letters of credit, credit enhancements, commitment letters, financing letters, etc. page 5 of 10 // RFP NO. 90-91-099. SPECIFICATIONS (Cont_iued) i) The obligation of the company to provide information concerning financial proposals is continuous, any material change must be reported to the City in a timely fashion throughout the course of the RFP and subsequent design, construction, and operations of the New Facility. 2.3 Municipal Solid Waste Experience Describe the company's technical experience as it relates to the design, construction, and operations of an Aerobic Composting Facility. List all Aerobic Compost Facilities designed, built and operated or currently under construction by your firm (or team). The list must identify the City, physical address and telephone number for each facility. Provide information on the facility, its' processing capacity, operational start-up date, hours of operation, contractual arrangement, ownership and other pertinent information. Describe the Company's experience and/or the experience of its staff as it relates to the operation of aerobic windrow composting facilities and the marketing of compost products and other recovered materials. Give the names and telephone numbers of market references ,.for all posted projects and/or those intended to be utilized in conjunction with the operation of the proposed new facility. List the expected key in-house management, technical and marketing personnel who would be assigned to this project should your firm be qualified and describe their experience and expertise. If your company does not have direct experience in aerobic windrow composting, but does have closely related experience in other areas of waste processing, then complete information must be provided regarding experience comparable to that requested hereinabove. The City of Miami requires that company have at a minimum two year experience, in the operation and management of an Aerobic Composting Facility, to be considered for this RFP. Company and or its, officers must have been "directly involved" in the development, construction, start-up and operation of facility. "Directly involved" shall be defined as corporate level management, (officer/director) responsible for implementation of the above referenced duties. page 6 of 10 t A. RFP NO. 90-91+-098. SPECIFICATIONS (Cont. .ued) 2.4 Reference Facility Technical Data The company must submit data on at least one currently operating operating plant as a reference facility with which the Company and/or its staff are able to evidence their proven capabilities and direct experience in processing mixed municipal solid waste, yard waste, and/or wastewater sludge or a combination of these wastes. The reference plant must have been in continuous operations for at least one year and currently be in operation. The following information regarding the reference facility must be provided: a) Location of facility. b) Project participants and contractual parties. c) Name, address and telephone number of vendor responsible for design, construction, start- up/testing and initial operations. d) Commencement date of operations (date facility began commercial operations or actual start-up date). e) Description of equipment. f) Description of operations. g) Design capacity in TPD, TPW, TPY. h) Highest record throughput capacity (actual) TPD and TPW, recorded as average of one operating week. i) Average weekly throughput capacity. j) Total MSW processed and composted in TPY for a minimum, average, and maximum annual tons processed for each year of reported operations. k) Listing of staff by job classification, including member and essential staff for operation that may be provided by others. 1) Percent of unscheduled facility down -time -on an annual basis. m) Solid waste type delivered to the reference facility (residential, commercial, industrial, etc.) Indicate TPD of each type of the total solid waste delivered and processed. Provide quantities of wastewater sludge, if processed. page 7 of 10 L3 h RFP NO. 90-91-098, F-I n w.t SPECIFICATIONS (Cont. .ued) n) Give the minimum .percent of solid waste entering the facility that is recovered as compost product. o) Describe the recyclable materials recovery system. p) Describe the completed compost product composition, including moisture content, maximum particle size, and glass particle content and particle size. q) Indicate percentage of involvement of the company in each of the following areas (if the company was not directly involved, indicate who performed each): * Conceptual design and process layout * Detailed design . * Architectural design * Engineering * Site preparation * Facility construction and equipment installation * Construction Management * Quality assurance testing and lab work * Compost product marketing * Preparation and marketing of other recovered materials r) Company shall state that the system described as "The Referenced Facility" will be the same technology employed for this Request for Proposal. Any exceptions for this swtatement must be clearly identified and reasons for the exceptions must be given. 2.5 Marketing Describe the procedure which the company intends to use for marketing compost products and recovered recyclable materials. Also describe in detail the company's recent experience and capabilities in marketing compost products and recovered recyclables, and its, ability to secure guaranteed markets and users for all materials recovered or generated through the operation of the facility. 3.0 DESCRIPTION OF MINIMUM WORK TO BE PERFORMED Respondents to this RFP will be bidding a specific, minimum amount of work to be performed. Such work will include, but at the discretion of the responding Company, not necessarily limited to, the acquisition of approximately fifteen acres of land, the permitting of same for the purposes of construction and operations of an aerobic windrow compost page 8 of 10 APP NO. 90-91-098 SPECIFICATIONS (Cont ued) staging area (compost pads, holding areas, and screening facilities), the engineering of same, the construction of same, the acceptance testing of same, and the subsequent operations on the site. 3.1 Land Acquisition The company will be required to acquire the necessary amount of acreage sufficient to meet current and future MSW flow rates. The City estimates that approximately fifteen acres will be needed, however the final determination of necessary acreage will relate to the technology to be employed by the Company. 3.2 Permitting The Company will be required to cause the completion and submittal of any and all permits required by FDER and/or other State or local law. The City will only provide readily available information to the entire permitting process. 3.3 Engineering The Company will be required to engage a qualified, acceptable engineering firm to complete any and all engineering studies, drawings, and/or other engineering requirements necessary to complete the design and construction of the proposed New Facility. 3.4 Construction The Company will be required to cause the construction of the proposed New Facility in accordance with any and all State and local laws and in accordance with completed engineering designs after their acceptance by the City. All necessary insuring and bonding (including contractor's performance bonding) shall be the responsibility of the Company. The Company will be required to hold the City free from any liabilities whatsoever incurred in the construction of the proposed New Facility. 3.5 Acceptance Testing The Company will be responsible for any and all acceptance testing required by State or local law with regard to the ability of the proposed New Facility to meet all criteria necessary to ensure an environmentally safe operation. The Company will be responsible for resolving any and all environmental issues. All OSHA standards, FDER regulations, and other environmental or worker safety standards will be taken into account during the City's final evaluation page 9 of 10 I 91- 450 RFP NO. 90-91-098. SPECIFICATIONS (Cont ued) of the results of acceptance testing. If results, in the sole and absolute discretion of the City, of the acceptance testing are unacceptable, the Company will be contractually bound to affect any remedial actions necessary to bring the unacceptable items into compliance with acceptable standards for the operation of the New Facility. 3.6 Operations The Company may elect to submit in its proposal the option for the City to engage the Company by contract for the long term management of the New Facility.
