A RESOLUTION, WITH ATTACHMENT, AUTHORIZING THE
CITY MANAGER TO EXECUTE AN AGREEMENT, IN
SUBSTANTIALLY THE ATTACHED FORM, WITH THE PUBLIC
HEALTH TRUST OF DADE COUNTY, FLORIDA, WHICH
OPERATES JACKSON MEMORIAL HOSPITAL, FOR THE
COORDINATION OF EMERGENCY MEDICAL SERVICES
PROVIDED BY THE RESCUE DIVISION OF THE CITY OF
MIAMI FIRE, RESCUE, AND INSPECTION SERVICES
DEPARTMENT, FOR A PERIOD OF TWO (2) FISCAL YEARS,
1991/92 AND 1992/93, WITH AN ANNUAL COMPENSATION
OF $58,560 FOR THE FIRST YEAR AND $63,250 FOR THE
SECOND YEAR, WITH FUNDS THEREFOR BEING ALLOCATED
FROM THE FIRE, RESCUE, AND INSPECTION SERVICES
DEPARTMENT'S GENERAL OPERATING BUDGET ACCOUNT CODE
NO. 280501-260, SUBJECT TO THE AVAILABILITY OF
FUNDS.
WHEREAS, the City and the Public Health Trust of Dade
County, Florida, which operates Jackson Memorial Hospital, desire
to cooperate to provide services in connection with the Emergency
Medical Services provided by the Rescue Division of the City of
Miami Fire, Rescue, and Inspection Services Department; and
WHEREAS, funds will be provided in the Fire, Rescue, and
Inspection Services Department's General Operating Budget Code
No. 280501-260;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set forth in this
Section.
Section 2. The City Manager is hereby authorized to execute
an Agreement, in substantially the attached forut, with the Public
Health Trust of Dade County, Florida, which operates Jackson
Memorial Hospital, for the coordination of the Emergency Medical
Services provided by the Rescue Division of the City of Miami
Fire, Rescue, and Inspection Services Department, said Agreement

to run for a period of two (2) fiscal years, 1991/92 and 1992/93,
at an annual compensation to be paid to the trust of $58,560.00
for the first year and $63,250.00 for the second year, with funds
therefor hereby allocated from the Fire, Rescue and Inspection
Services Department's General Operating Budget Code No. 280501-
2 6 0, subject to the availability of funds.
Section 3. This Resolution shall become effective
immediately upon its adoption.

BETWEEN
CITY OF MIAMI
AND
PUBLIC HEALTH TRUST OF DADE COUNTY, FLORIDA
THIS AGREEMENT, entered into this day
of , 19 , by and between City of Miami,
A municipal corporation of the State of Florida,
(hereinafter referred to as the "CITY") and the Public
Health Trust of Dade County, Florida, an agency and
instrumentality of Dade County, Florida (hereinafter
referred to as the "TRUST") which operates Jackson Memorial
Hospital (hereinafter referred to as "HOSPITAL") .
WITNESSETH
WHEREAS, the CITY, and the TRUST desire to cooperate to
provide certain services in connection with Emergency
Medical Services provided by Rescue Division, City of Miami
Fire, Rescue and Inspection Services Department.
NOW THEREFORE, in consideration of the promises and the
mutual covenants and agreements herein contained, the
parties hereto agree as follows:

The TRUST agrees:
1. In recognition of its desire to provide
appropriate training opportunities, to provide
support in the form of licensed house staff
members from HOSPITAL, each of whom is qualified
to practice medicine at HOSPITAL and fluent in the
English language. Said physicians will be
available on a 24 hour basis for prompt response
to emergency medical radio transmissions from CITY
Fire Department Rescue Units.
2. To designate a qualified physician on the medical
staff of the HOSPITAL to be the Fire Rescue
Medical Director, said designation which shall be
acceptable to the CITY. Support shall be provided
by the Medical Director in accordance with
applicable state and local laws and regulations
dealing with emergency medical services. Said
Medical Director (or his/her alternate) shall
supervise house staff members of HOSPITAL who are
provided by the TRUST for prompt response to
emergency medical radio transmissions from CITY
Fire Department Rescue Units.

3. To support the Medical Director by providing the
facilities for training sessions and Quality
Assurance meetings for system paramedics.
4. To provide alternate physicians, acceptable to the
Medical Director, TRUST, and to CITY, in order to
endeavor to insure that qualified relief
supervision is always provided during the Medical
Director's absence from the system.
5. That the Medical Director and his/her alternates
shall be fluent in the English language and
qualified to practice medicine at HOSPITAL.
6. To the extent appropriate, providing legal
services as may be required by the Medical
Director in the performance of his/her
responsibilities.
The CITY agrees:
1. To pay to the TRUST as compensation for services,
the amount of $58,560 (Fifty Eight Thousand Five
Hundred and Sixty Dollars) the first year. And
$63,250 (Sixty Three Thousand Two Hundred and
Fifty Dollars) the second year, to be used as
deemed appropriate by the TRUST.
. That all paramedical personnel assigned to advance
life support vehicles will be approved by the
Medical Director and the Chief of the Rescue
Division.
3. To provide to the Medical Director a list of
equipment carried on the advanced life support
vehicles which shall be in accordance with the
equipment required by regulations of the
Department of Health and Rehabilitative Services
and the State of Florida Statutes 401.
4. To carry said equipment on all fire rescue
vehicles used. In the event that the Medical
Director determines that the equipment listed does
not meet the requirements of the regulations, the
CITY agrees that it will immediately take the
necessary action to bring the equipment carried on
the advanced life support vehicles into compliance
with the regulations.

S. To support the Medical Director by providing the
personnel needed in each division to support
training of EMS personnel (paramedics, EMT's
EMD's), to support protocol development and review
in conjunction with the Medical Director, and to
support Quality Assurance review in each division
in keeping with regulations of the Department of
HRS 10-D-66 and Florida Statute 401. In the
Rescue Division, necessary support positions
include those of a fulltime Paramedic Trainer and
of a fulltime Quality Assurance Officer. In the
Firefighting and Communications Divisions, ongoing
support responsibilities for training, protocol
development, and Quality Assurance reviews will be
assigned to specific personnel in either existing
or new positions.
C. Both parties agree that:
1. The CITY, as allowed by law, shall indemnify and
hold harmless Dade County and the TRUST against
any and all liabilities arising out of the
negligence by employees and/or personnel of the
CITY which may arise during the period that care,
custody and control of a patient is in the hands
of a rescue squad of the Rescue Division and, at
its own cost and expenses, shall defend Dade
County, the TRUST, and any of their respective
officers, trustees or employees against any such
claim brought against any of them.
2. The TRUST, as allowed by law, agrees to indemnify
and hold harmless the CITY, against any and all
liabilities arising out of the negligence by
employees and/or personnel of the TRUST which may
arise during the period that care, custody and
control of a patient is in the hands of a rescue
squad of the Rescue Division and, at its own cost
and expense shall defend the CITY, and any of
their respective officers, trustees or employees

them.
3. It is further provided that in no event shall the
agents, contractors, officers, servants or
employees of the CITY be considered to be agents,
officers, servants or employees of the TRUST.

It is further provided that in no event shall the
agents, contractors, officers, servants or
employees of the TRUST be considered to be agents,
officers, servants or employees of the CITY.
4. All parties will comply with any applicable state
or local legislation governing the provision of
emergency medical services.
5. That this AGREEMENT shall commence on October 19
1991, and shall terminate on September 30, 1993,
provided however, that any party may cancel the
AGREEMENT by giving sixty (60) days notice in
writing to all other parties by certified mail,
return receipt requested. Notice is effective
upon receipt.
6. Upon execution, this AGREEMENT shall be in effect
for twenty four months. It may be renewed for two
additional two year periods by mutual agreement of
the parties indicated in writing sixty (60) days
prior to the expiration date. The rate of
compensation can be renegotiated for each of the
optional 24 month extension periods.

Notices shall be effective upon receipt by
certified mail, return -receipt -requested.
S. All parties agree that this AGREEMENT contains the
entire agreement of the parties and that there are
no conditions or limitations to this undertaking
except those stated herein. After the execution
hereof, no alteration; change or modification
hereof shall be binding or effective unless
executed in writing and signed by all parties
hereto.

RECOMMENDATION:
It is recommended that a Resolution be passed authorizing the
agreement between the City of Miami and the Public Health Trust.
Compensation is set at $58,560 for the period of October 1, 1991
thru September 30, 1992 and $63,250 for the period of October 1,
1992 thru September 30, 1993.
BACKGROUND:
The City of Miami Department of Fire, Rescue and Inspection
Services and the Public Health Trust of Dade County, Florida,
which operates Jackson Memorial Hospital, have had an agreement
for the past thirteen years for provision of certain services
in connection with the Emergency Medical Services provided by the
Rescue Division. Florida State Statute 401.265 mandates that any
emergency medical service system which employs or utilizes
paramedics to perform advanced life support procedures shall
employ, or contract with, a medical director.
Funds are provided in the Fire, Rescue and Inspection Services
Department's General Fund; Budget Code 280501-260.
