RESOLUTION NO.
A RESOLUTION, WITH ATTACHMENT(S), AUTHORIZING
THE CITY MANAGER TO EXECUTE AN AMENDMENT TO
THE AGREEMENT DATED AUGUST 3, 1990, IN
SUBSTANTIALLY THE ATTACHED FORM, WITH
SHARPTON, BRUNSON & COMPANY, P.A., CERTIFIED
PUBLIC ACCOUNTANTS, INCREASING COMPENSATION,
IN AN AMOUNT NOT TO EXCEED $1,256.25, FOR
SERVICES RENDERED PURSUANT TO A REQUEST BY
THE CITY RELATED TO PERFORMING ADDITIONAL
ANALYSES OF THE FINANCIAL CAPABILITIES OF THE
SELECTED DEVELOPER (BAYSIDE SEAFOOD
RESTAURANT, INC. AND VIRGINIA MARINA, INC.)
TO DEVELOP THE VIRGINIA KEY BASIN PROPERTY;
ALLOCATING FUNDS THEREFOR FROM FY 1991-'92
BUDGETED FUNDS OF THE DEPARTMENT OF
DEVELOPMENT AND HOUSING CONSERVATION, ACCOUNT
NO. 590101-280.
WHEREAS, Resolution No. 90-449 selected the certified public
accounting firm of Sharpton, Brunson and Company in association
with Aldo Lastra, to analyze proposals submitted by developers
and render a written report of its finding to the City Manager

for the Virginia Key Basin project (the "Project"); and

WHEREAS, in February, 1991, said certified public
accountants submitted a written report for the one (1) proposal

submitted by Bayside Seafood Restaurant, Inc. and the Virginia

Key Marina, Inc. in response to the Virginia Key Basin Request

for Proposals; and

WHEREAS, additional services were requested in analyzing
subsequent financial information received from the selected
i
developer to demonstrate the development team's ability to

implement the proposed Project;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:

Section 1. The recitals and findings contained in the
Preamble to this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set forth in this

Section 2. The City Manager is hereby authorized to
execute an amendment to the agreement dated August 3, 1990 in
substantially the attached form, with Sharpton, Brunson and
Company, P.A., Certified Public Accountants, increasing
compensation, in an amount not to exceed $1,256.25, for services
rendered pursuant to a request by the City related to performing
additional analyses of the financial capabilities of the selected
developer (Bayside Seafood Restaurant Inc. and Virginia Key
Marina, Inc.) to develop the Virginia Key Basin property, with
funds for said services being hereby allocated from FY 1991-192
budgeted funds of the Department of Development AND HOUSING
CONSERVATION, Account No. 590101-280.
Section 3. This Resolution shall become effective
immediately upon its adoption.

AMENDMENT NO. I

THIS AMENDMENT, made this day of ,
1991, to an Agreement dated August 3, 1990 by and between the
CITY OF MIAMI, a municipal corporation of the State of Florida,
hereinafter referred to as the "CITY", and Sharpton, Brunson &
Company, P.A., Certified Public Accountants, (hereinafter
referred to as "CONSULTANT").
RECITAL
WHEREAS, Resolution No. 90-449 adopted June 7, 1990
authorized the City Manager to execute an Agreement with
Sharpton, Brunson & Company, P.A., Certified Public Accountants
to analyze proposals to be submitted in response to the Request
for Proposal for the Virginia Key Basin Project.
WHEREAS, the City of Miami required additional analysis
for the selected developer for the Virginia Key Basin Project.
NOW, THEREFORE, THE CITY AND THE GRANTEE MUTUALLY AGREE TO
AMEND THE AGREEMENT DATED AUGUST 3, 1990 AS FOLLOWS.

The City shall pay the Consultant, as a maximum
compensation for the services performed, a fee not to exceed
$23,256.25.
j IT IS FURTHER UNDERSTOOD THAT ALL CONDITIONS OUTLINED
UNDER THE ORIGINAL AGREEMENT OF AUGUST 31 1990, SHALL REMAIN IN
FULL FORCE AND EFFECT WITHOUT MODIFICATION EXCEPT TO THE EXTENT
MODIFIED HEREIN.

ENCLOSURES of October 3, 1991.
It is respectfully recommended that the City Commission adopt the
attached Resolution amending an Agreement, in substantially the
form attached with Sharpton, Brunson and Company, P.A., Certified
Public Accountants in an amount not to exceed $1,256.25, from
1991-92 funds allocated to the Development Division of the
Department of Development and Housing Conservation (590101-280),
for services requested by the City related to performing
additional financial analyses of the selected developer's
(Bayside Seafood Restaurant, Inc., and the Virginia Key Marina,
Inc.) capabilities to develop the Virginia Key Basin Property.

The Department of Development and Housing Conservation recommends
adoption of a Resolution authorizing the execution of an
Amendment to Sharpton, Brunson and Company contract in the amount
of $1,256.25, from 1991-92 funds allocated to the Development
Division of the Department of Development and Housing
Conservation (590101-280).
Resolution No. 90-449 selected the certified public accounting
firm of Sharpton, Brunson and Company in association with Aldo
Lastra, to analyze proposals and render a written report of it's
finding to the City Manager for the Virginia Key Basin project.
The City Commission through Resolution 91-276 adopted in
principle the selection of Bayside Seafood Restaurant, Inc. and
Virginia Key Marina Associates, Inc. as the successful proposer
for the Virginia Key Basin Property. The developer was required
to submit additional financial information to demonstrate the
development team's capabilities to complete the planning and
design, construction, lease and management of the Restaurant
project. Sharpton, Brunson and Company was requested to perform
the analysis of the additional financial information.
The attached amendment represents the final payment for those
services.
