A RESOLUTION, WITH ATTACHMENTS, AUTHORIZING THE CITY MANAGER TO EXECUTE AN AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, WITH THE HISPANIC AMERICAN BUILDERS ASSOCIATION ("HABA"), WHICH ACCEPTS HABA'S DONATION OF LABOR AND MATERIALS AGGREGATELY VALUED AT APPROXIMATELY $97,462 FOR THE COMPLETION OF THE BAYFRONT PARK CHALLENGER VII SHUTTLE MEMORIAL PROJECT ("PROJECT"); REQUIRING THAT SAID COMPLETION AND AGREEMENT COMPLY WITH THE TERMS OF THE CITY-LAMAR LOUISE CURRY GIFT AGREEMENT RELATIVE TO SAID MEMORIAL; APPROVING THE CITY'S CONTRIBUTION OF "IN -KIND SERVICES" TOTALING APPROXIMATELY $20,573; AND DESIGNATING AND AUTHORIZING THE BAYFRONT PARK MANAGEMENT TRUST AND THE NEW WORLD CENTER FOUNDATION, INC. TO JOINTLY RECEIVE THE LAMAR LOUISE CURRY DONATION ON BEHALF OF THE CITY OF MIAMI AND MANAGE AND DISTRIBUTE SAID FUNDS TO COMPLETE THE PROJECT. WHEREAS, on March 18, 1986, the City Commission adopted Resolution No. 86-198, endorsing the construction of a Challenger VII Shuttle Memorial in honor of the astronauts who heroically lost their lives, and designated the southwestern corner at Chopin Plaza and Biscayne Boulevard in Bayfront Park as the site for the Challenger VII Shuttle Memorial (the "PROJECT"); and WHEREAS, the City Commission, through Resolution No. 90-976, on October 18, 1990, authorized the City Manager to execute a Gift Agreement with Lamar Louise Curry, as the donor of Sixty Nine Thousand Five Hundred Dollars ($69,500.00) which would be CITY COMMISSION MEETING OF o u 24 1991 9 i -- 773 Marna llo. - ■ used to complete the Project, and an additional Two Hundred Thousand Dollars ($200,000.00) for establishment of a trust to continue beautification and landscaping maintenance of said memorial, all to be consistent with the terms of said Gift Agreement; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby adopted by reference thereto and incorporated herein as if fully set forth in this Section. Section 2. The City Manager is hereby authorized to execute an agreement, in a form acceptable to the City Attorney, with the Hispanic American Builders Association ("HABA"), which accepts HABA's donation of labor and materials in an amount of approximately $97,462.00 (as detailed on Attachment "A" hereto), to be used in completing the second and final phase of construction of the Challenger VII Shuttle Memorial project now located in Bayfront Park (the "Project"). Section 3. Said Agreement and Phase II construction shall adhere to and comply with the terms of the Gift Agreement dated November 27, 1989, as amended, between Lamar Louise Curry and the City of Miami. Section 4. The City Commission also hereby approves and authorizes the City Manager to provide certain specified "in -kind services" to HABA in support of HABA's munificent efforts to complete Phase II of the Project. Such in -kind services related -2- 9 1 -- 773 to the Project and encompassed by said authorization includes waiver of all construction permit fees; the furnishing of site fill by the City's Public Works Department; testing, land and soil sealants and caulkings; and electrical, sewer and water lines. The estimated costs of approximately $20,573.00 for these items are detailed on Attachment "A" hereto. Section 5. The Bayfront Park Management Trust and the New World Center Foundation, Inc. (herein collectively referred to as the "Foundation") are hereby jointly designated and authorized to receive the aforementioned Lamar Louise Curry Challenger Memorial donation of Sixty Nine Thousand Five Hundred Dollars ($69,500.00) on behalf of the City of Miami. The Foundation shall manage and distribute said donation's proceeds as necessary to pay for the Project's authorized Phase II construction costs, which shall include reimbursement to HABA for requisite hard and soft costs not shown on Attachment "A", hereto, as donations, nor contemplated as donations. Section 6. Neither the City nor the Foundation shall incur expenses or expend any funds on the Project in excess of the amount available pursuant to the Lamar Louise Curry $69,500 donation, with the exception of the aforementioned in -kind services.
