RESOLUTION NO.
A RESOLUTION APPOINTING CERTAIN INDIVIDUALS
TO THE BOARD OF DIRECTORS OF THE PERFORMING
ARTS CENTER TRUST (PACT).
WHEREAS, on April 2, 1991, the Metropolitan Dade County
Commission approved a Governance Plan which provides that the
"new" Performing Arts Center Trust will consist of a 24-member
board operating in the "sunshine"; and
WHEREAS, the Governance Plan further provides for
appointment of the Board of Directors as follows:
- The Board of County Commissioners shall appoint 9
members;
- The City of Miami Commission shall appoint 3 members;
- The City of Miami Beach Commission shall appoint 3
members;
- The Designated Primary Artistic Organizations, as
listed below, shall each appoint 1 voting Director
(hereinafter referred to as "Designated Director"):
a) Greater Miami Opera
b) Florida Philharmonic Orchestra
c) New World Symphony
d) Miami City Ballet
e) Concert Association of Florida

artistic organization and 1 appointment by a Hispanic
American artistic organization;
2 appointments to be made by the first 22 members; and
WHEREAS, the one Designated Director from each of the
primary artistic organizations shall serve on the Board of
Directors at all times; and
WHEREAS, the remaining 19 initial appointees shall draw lots
to determine the length of their term: 7 shall serve 1 year, 6
shall serve 2 years, and 6 shall serve 3 years;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:

appointed as members of the Board of Directors of the Performing
Arts Center Trust:

from the City Attorney, dated October 22, 1991 on legal
requirements concerning Conflict of Interest and Dual Office
Holding circumstances which may prohibit your membership in said

RECOMMENDATION:
It is respectfully requested that the City Commission make three
(3) appointments to the Board of Directors of the Performing Arts
Center Trust.
The members of the Board are expected to devote time,
professional knowledge, personal influence, money and/or a
combination thereof to attain the goals of the Performing Arts
Center Trust.
The term of the Directors is 3 years. There shall be an
appointment of approximately one-third of the Directors at each
annual meeting, provided however that the initial 19 appointees
shall draw lots to determine the length of their terms: 7 shall
serve 1 year, 6 shall serve 2 years and 6 shall serve 3 years.
BACKGROUND:
The governance plan passed by the County Commission provides that
the "new" Performing Arts Center Trust will be a 24 member board
operating in the "sunshine" and having the following designated
directors:
- The Board of County Commissioners shall appoint 9
members;
- The City of Miami Commission shall appoint 3 members;
- The City of Miami Beach Commission shall appoint 3
members;
- The Designated Primary Artistic Organizations, as
listed below, shall each appoint 1 voting Director:

An ad hoc Nominating Committee consisting of "old" Trust
representatives and some recently appointed "new" Trust
members met on October 28, 1991 to prepare a list of
recommendations for remaining slots on the "new" Trust.
