A RESOLUTION, BY AN AFFIRMATIVE VOTE OF
4/5THS OF THE MEMBERS OF THE CITY
COMMISSION, WAIVING FORMAL COMPETITIVE
SEALED BID PROCEDURES FOR SPECIFIED REPAIRS
AND IMPROVEMENTS TO THE ORANGE BOWL STADIUM
FOR THE 1990 COLLEGE FOOTBALL SEASON;
RATIFYING, CONFIRMING AND APPROVING THE CITY
MANAGER'S FINDING THAT A VALID PUBLIC
EMERGENCY EXISTED JUSTIFYING SAID WAIVER;
RATIFYING, CONFIRMING AND APPROVING THE CITY
MANAGER'S ACTION IN AWARDING BIDS, IN
EXECUTING THE NECESSARY CONTRACTS, AND IN
ISSUING THE NECESSARY PURCHASE ORDERS FOR
SAID REPAIRS AND IMPROVEMENTS TO THE VENDORS
IDENTIFIED HEREIN WITH FUNDS THEREFOR IN THE
AMOUNT OF $1,859,511 ALLOCATED FROM THE
CAPITAL IMPROVEMENT PROJECT NO. 404238,
ENTITLED "ORANGE BOWL MODERNIZATION
PROJECT - PHASE II" AND IN THE AMOUNT OF
$73,195 ALLOCATED FROM THE FY'90 ENTERPRISE
FUND OPERATING BUDGET OF THE ORANGE BOWL
STADIUM, FOR A TOTAL AMOUNT OF $1,932,706.
WHEREAS, pursuant to a duly advertised public hearing, the
City Commission adopted Resolution No. 90-451 on June 7, 1990,
approving the City Manager's finding of an emergency and
authorizing structural repairs and improvements in an amount not
to exceed $500,000 to the Orange Bowl Stadium (the "Stadium") for
the 1990 college football season; and
WHEREAS, during- the course of construction, it became
apparent that significant additional repairs and improvements to
the Stadium, including fence relocation, painting, railing and
safety panel repairs, additional restroom facilities and
amenities in the West End Zone, a new fire escape, added
structural repairs (joist and deck replacements), and related
testing and structural inspections, were also needed; and
WHEREAS, the condition of the Stadium was sufficiently
hazardous so as to require immediate attention prior to the start
of the football season; and

WHEREAS, the university of Miami, pursuant to its Agreement
with the City dated June 22, 1990, also advised at that time that

it would exercise its option under said Agreement to purchase a
new scoreboard system for the Stadium for use in the upcoming
season; and
WHEREAS, under the terms of said Agreement, the City bears
the full responsibility for the installation of said scoreboard
and an integrated sound system; and
WHEREAS, the University offered to administer and construct
the entire scoreboard/sound system as a single turnkey project in
order to complete this work prior to the first game in September,

1990; and
WHEREAS, sufficient time did not exist for formal
competitive sealed bidding procedures for said additional repairs
and improvements and for the completion of this work prior to the
first Hurricane football game; and
WHEREAS, the City Manager had made a finding, that the
immediate -repair and improvement of additional Stadiumstructures
and amenities and the procurement of the concomitant services,
materials- and/or equipment for the same were necessary to
safeguard the property, welfare and convenience of the'. City,
thereby constituting.a valid public emergency and justifying the
waiver. -of formal sealed bid procedures; and
WHEREAS; at its meeting of July 26, 1990, the City
Commission- adopted` Resolution No. 90-594, endorsing the 'City
Manager's finding of an emergency regarding these additional
repairs and improvements and his intention to complete this work
using`modified'procurement procedures; and
WHEREAS, Sections 18-52.5 and 18-52.6 of the Code°'of the
City of Miami, Florida, as amended, provides for the City Manager
to waive competitive sealed bidding requirements based on,. -a
finding of an emergency and directs that such procurement be made

with as much competition as is practicable under the

WHEREAS, funds for said additional repairs and improvements
were available in the amount of $1,859,511 from the Capital
Improvement Project No. 404238, entitled "Orange Bowl
Modernization - Phase II" and in the amount of $73,195 from the

Fiscal 'Year 1989-90 Enterprise Fund operating budget of the
Orange Bowl Stadium; and
WHEREAS, the herein Resolution has been the subject of a
properly advertised public hearing before the City Commission;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY-
OF-MIAMI, FLORIDA:
Section 1. The recitals contained in the Preamble to this
Resolution are hereby adopted by reference thereto and

incorporated herein as if fully set forth in this Section._

Section 2. By an affirmative vote of four -fifths (4/5ths)
of the members of the City Commission, the City Manager's written
finding that a valid public emergency existed justifying the
waiver of formal competitive sealed bid procedures for specified

ratified, confirmed and approved, and formal competitive sealed
bid procedures for the procurement of such services, material and
equipment necessary for said repairs and improvements are hereby
waived:.'.
Section. 3. The actions of the City Manager in awarding
bids, in executing the necessary contracts, and in issuing the
necessary purchase orders, to the vendors identified below for
said repairs and improvements are hereby ratified, confirmed and

It is respectfully recommended that the City Commission adopt the
attached resolution which ratifies the City Manager's finding of
a valid public emergency and the waiver of formal bid procedures
for specified repairs and improvements to the Orange Bowl Stadium
required for the start of the 1990 football season, as originally
endorsed by Resolution No. 90-594. The subject resolution would
also ratify and approve the City Manager's actions in executing
the necessary contract's and issuing purchase orders for the
required goods and services (construction, materials, and
equipment) to various vendors and contractors, with funds
allocated from the Orange Bowl Modernization Project - Phase II
(C.I.P. No. 404238) in the amount of $1,859,511 and from the
FY190 Enterprise Fund operating budget of the Orange Bowl Stadium
in the amount of $73,195.
For the better part of a year, the Public Works Department and
the Department of Conferences, Conventions and Public Facilities
has worked with the City Manager's Office and the Law Department
to resolve issues relating to comprehensive improvements to the
Orange Bowl Stadium and new long term agreements with the major
stadium users. As a result, the City's contractual relationships
with the University of Miami and the Orange Bowl Committee are
firmly predicated on the City 's commitment to completing these
improvements in a timely matter.
At its meeting of July 26, 1990, the City Commission adopted
Resolution No. 90-594, endorsing the City Manager's finding of an
emergency regarding additional repairs and improvements and his E
intention to complete this work using modified procurement
procedures. This authorization was subject to subsequent formal
review by the Commission of the emergency finding and the action
taken, which is now being presented. `}

Going back to the spring of 1990, the Administration identified
the need for certain structural repairs and improvements to the
Stadium that were of an urgent nature, in order to safeguard the
property, welfare and convenience of the City. These were
presented to the City Commission on June 7, 1990 in a duly
advertised public hearing. Resolution No. 90-451 was adopted on
that date, ratifying the emergency finding of the City Manager
for the waiver of formal bids, and authotixing that this
structural work, up to $500,000, proceed immediately -for
completion prior to the first college football game. This work
was subsequently awarded to MET Construction, Inc. using informal
bid procedures.
During the course of this construction, additional repairs
improvements were identified that also warranted immediate
attention from the standpoint of safety and welfare. This
included the relocation of the perimeter (orange) fence, painting
exterior railings and metal work, the repair and re -welding of
safety railings and panels in the stands and along access ramps,
additional restroom facilities and amenities in the West End Zone
area, a new fire escape, added structural repairs (joist and deck
replacements), and related structural inspections and testing.
At this time, the University also advised that it wanted to
exercise its option under its June 22, 1990 agreement to purchase
a new scoreboard for the Stadium for use during the upcoming
season. Under the terms that agreement, it was the City's
obligation to assume responsibility for the installation of the
scoreboard and to provide an integrated sound system. Because of
the limited time available before the first game, the University
offered to administer and construct the entire scoreboard/sound
system as a single turnkey project in order to complete this work
before September 29, 1990. -
Sufficient time did not then exist for formal bid procedures for
these additional repairs and improvements and for the completion
of this work before the heavy use period of the Stadium. On this
basis, the City Manager made a finding that these repairs and
improvements constituted a valid public emergency and required
particular action to protect the health, safety and welfare of
residents and the property and convenience of the City,

On July 26, 1990, the City Commission adopted Resolution No.
90-594, endorsing the City Manager's emergency finding concerning
these additional repairs and improvements and his intention to
complete this work using modified procurement procedures. The
presentation today complies with applicable City Code provisions
and that Resolution and constitutes formal review by the
Commission of the emergency finding and the action taken by the
Administration in securing the needed goods and services.
It was recommended that formal bid procedures be waived for this
work, in accordance with Sections 18-52.5 and 18-52.6 of the City
Code. The Code also directs that such procurement be made with
as much competition as is practicable under the circumstances,
thus informal bids were obtained whenever possible for the work
identified below. The repairs and improvements were completed to
the satisfaction of the Administration, utilizing funds from the
Orange Bowl Modernization Project - Phase II (C.I.P. No. 404238)
in the amount of $1,859,511 and from the FY190 Enterprise Fund
operating budget of the Orange Bowl Stadium in the amount of
$73,195.

This memorandum serves as the written finding of a valid public
emergency for additional repairs and improvements to the Orange
Bowl Stadium. These improvements consist of the relocation of
the perimeter (orange) fence, painting exterior railings and
metal work, the repair and re -welding of safety railings and
panels in the stands and along access ramps, additional restroom
facilities and amenities in the West End Zone area, a new fire
escape, added structural repairs (joist and deck replacements,
steel channel repairs), and related structural inspections and
testing. This finding is based upon the following:
* Additional structural inspections are mandated under the
City's agreement with the University of Miami and were
required to secure the commitment of the Orange Bowl
Committee.
* Additional structural members, decks, joists and steel
channels were found to be in a severely deteriorated
condition during these investigations and related testing was
required to determine the manner of repair.
* The number restroom fixtures and facilities and the amount of
open space in the west end zone area were far below industry ,
standards for large gatherings of people in a stadium venue.
* The University of Miami chose to exercise its option under

* The condition of safety railings and panels in the stands and
along access ramps warranted immediate repair, re -welding and
painting to ensure the safety of Stadium patrons.
* Said repairs and improvements have been included .in the
orange Bowl Modernization Project - Phase II, however, due to
unforeseeable delays in the execution of the agreements with
Stadium users, timely implementation of this Project has not
been possible.
* It was appropriate that these repairs take place before the
heavy use period of the Stadium, which began on September 29,
1990 with the first game of the University of Miami Hurricane
football season.
* Said deadline did not allow sufficient time to meet the
normal requirements of formal competitive sealed bid
procedures.
Such conditions indicated the need for extraordinary measures to
safeguard the property, safety, welfare and the convenience of
the City. In order to initiate and complete these improvements
by September 29, 1990,.formal competitive sealed bid procedures
shall .be waived for the procurement of goods and services
construction materials and/or a ui mant re uired for this
project, pursuant to Sections 18-52.5 and .6 of the City Code.

subject, which was prepared at the direction of the City

NOTICE OF PUBLIC HEARING
A Public Hearing will be held by the Commission of the City of
Miami, Florida on Thursday March-28, 1991 at 10:15 am. in the
City Commission Chambers at City Hall, 3500 Pan American Drive,
Miami, Florida. The hearing will be conducted for the purpose of
considering a waiver of the requirements for formal competitive
sealed bid procedures for the procurement of goods and services
(construction services, materials, and equipment) needed for
certain repairs and improvements to the Orange Bowl Stadium,
located at 1501 NW 3rd Street, Miami, Florida, for the 1990
college football season. This work included structural
improvements (the repair and replacement of joists and decks),
fence relocation, new fencing, painting, railing and safety panel
repairs, additional restroom facilities and amenities, the
complete installation of a new integrated scoreboard and sound
system, an electric transformer, and related testing and
structural inspections. This hearing will further consider the
City Manager's written finding of a valid public emergency as it
relates to such waiver, and ratification of his action in
awarding bids and contracts to various vendors and contractors in
the total (combined) amount of $11932,706.
All interested parties are invited to appear and be heard
11 concerning such waiver and procurement. The Hearing will be held
at the time and place specified above.
Should any person desire to appeal any decision of the City
Commission with respect to any matter considered at this Hearing,
that person shall ensure that a verbatim record of the proceeding
is made, and includes all testimony and evidence upon which any
appeal may be based.
