RESOLUTION NO. 91 W 1- 8 8
A RESOLUTION RATIFYING AND APPROVING THE
ACTION TAKEN BY THE CITY MANAGER AND CITY
ATTORNEY IN AUTHORIZING HOLLAND & KNIGHT TO
RENDER PROFESSIONAL AND LEGAL SERVICES
RELATED TO THE IMPLEMENTATION OF CERTAIN
PROJECTS IN THE SOUTHEAST OVERTOWN/PARK WEST
COMMUNITY REDEVELOPMENT DISTRICT; ALLOCATING
FUNDS.THEREFOR IN AN AMOUNT OF $51,706 FROM
THE SOUTHEAST OVERTOWN/PARK WEST
REDEVELOPMENT TRUST ACCOUNT (ACCOUNT NO.
689001) TO PAY FOR SAID SERVICES.
WHEREAS, the City Commission by Resolution No. 82-755
approved the Southeast Overtown/Park West Redevelopment Plan; and
WHEREAS, the Metropolitan Dade County Board of Commissioners
by Ordinance No. 82-155 created the Southeast Overtown/Park West
Redevelopment District ("District"); and
WHEREAS, the Metropolitan Dade County Board of Commissioners F'
by Resolution No. 4-467-83 delegated certain redevelopment powers>

to the City of Miami; and #.
WHEREAS, the Southeast Overtown/Park West Interlocal
Cooperation Agreement ("Agreement") was executed on
March 31, 1983 between the City of Miami and Metropolitan Dade
County; and
WHEREAS, City Ordinance No. 9590 established the Southeast

Overtown/Park West Community Redevelopment Trust Account
("Trust"); and
WHEREAS, by Resolution No. 85-1143 the Southeast Overtown
Park/West Community Redevelopment Plan ("Plan") was amended to
incorporate additional properties located south of Northwest 5th
Street along Northwest lot Avenue; and
WHEREAS, the District began to generate the first tax
increment revenues in Fiscal Year 1986; and
WHEREAS, the United States Congress adopted the 1986 Tax
Reform. Act, introducing sweeping changes in the tax exempt
fJ4jtncJng of publicly initiated projects; and

WHEREAS, the City, in its capacity as the community
redevelopment agency, intended to issue debt instruments for the
purpose of refinancing existing debt and financing new projects
in the District; and
WHEREAS, it became acutely necessary to seek expert opinion
to verify that all legislative and administrative actions taken
by the County and City, as the Community Redevelopment Agency,
were in full conformance with the law, and to resolve any and all
legal problems relating to such legislative and administrative
actions, prior to issuing any debt instruments; and
WHEREAS, prior to issuance of said debt instruments Holland
& Knight provided a broad spectrum of professional and legal
services which included reviewing all legislation and agreements
and correcting any and all legal problems relating to such
legislative and reviewing administrative actions taken over the
years;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The Miami City Commission hereby ratifies and
approves the action of the City Manager and City Attorney in
authorizing Holland & Knight to render professional and legal
services related to the implementation of certain projects in the

Southeast Overtown/Park West Redevelopment District.
Section 2. Funds in amount of $51,706 are hereby
allocated from the Southeast Overtown/Park West Trust Account
(Account No. 689001) to pay for said services
Section 3. This Resolution shall become effective

It is respectfully requested that the City Commission adopt the
attached Resolution ratifying and approving the action taken by
the City Manager and City Attorney in authorizing Holland &
Knight to conduct professional and legal services related to the
implementation of certain projects in the Southeast Overtown/Park
West Community Redevelopment District; and allocating an amount
of $51,706 from the Southeast Overtown/Park West Redevelopment
Trust Fund to pay for the said services.
The Department of Development recommends the approval of the
attached Resolution to pay Holland & Knight for the professional
services provided for the Southeast Overtown/Park West (SEOPW)
District.
Prior to issuance of the first debt securities for SEOPW, it was
necessary to seek legal expertise to determine whether the
creation and administration of SEOPW redevelopment agency were in
full conformance with all applicable laws. Holland & Knight
examined all agreements between the Community Redevelopment
Agency, City of Miami and Metropolitan Dade County. The impact
of the 1986 Tax Reform Act on the tax exempt status of existing r
projects and planned developments was also scrutinized. k;
