HomeMy WebLinkAboutR-92-0690a-92-859 10/22/92 RESOLUTION NO. 9 2- 6 9 U A RESOLUTION MAKING A FINDING OF A VALID PUBLIC EMERGENCY AS IT RELATES TO THE NEED FOR MANAGEMENT SERVICES FOR THE CITY -OWNED PROPERTY KNOWN AS THE DINNER KEY BOAT YARD, LOCATED AT 2640 SOUTH BAYSHORE DRIVE, MIAMI, FLORIDA; AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE AN AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, AND SUBJECT TO CONDITIONS STIPULATED HEREIN, WITH BOATS YARD MANAGEMENT COMPANY, INC., FOR THE MANAGEMENT, MAINTENANCE AND OPERATION OF SAID BOAT YARD ON AN EMERGENCY INTERIM BASIS; FURTHER DIRECTING THE ADMINISTRATION TO AMEND THE EXISTING REQUEST FOR PROPOSALS (RFP) FOR THE UNITED DEVELOPMENT PROJECT FOR SAID FACILITY TO INCLUDE MINORITY OWNERSHIP AS A REQUIREMENT OF PROSPECTIVE DEVELOPMENT TEAMS. WHEREAS, pursuant to Resolution No. 92-488, adopted July 16, 1992, the City has issued an RFP for a Unified Development Project (UDP) for the development of a full -service boat yard facility, marina, and optional marine -related use(s) on the City -owned property known as the Dinner Key Boat Yard (formerly Merrill -Stevens), located at 2640 South Bayshore Drive, Miami, Florida; and WHEREAS, due to Hurricane Andrew, said property has suffered significant physical damage, including the destruction of existing marina wet slips, which has impaired proper functioning and operation of this facility at a time when light marine CITY Comesslom MEETING OF OCT 2 2 1992 Rweladon No. 92- 690 industrial and repair services are most needed by the boating community; and WHEREAS, the extent of said damage has further necessitated a delay in the receipt of said proposals until January, 1993, as provided under Motion 92-886; and WHEREAS, management services of the type required to operate this unique commercial facility under the present circumstances of peak industry need and post-Hurrioane recovery are not available within City personnel resources; and WHEREAS, the City has received a proposal from Boat Yard Management Company, Inc. under which said firm would become responsible for the day-to-day management and operation of this facility on an interim basis for as long as the City has need of such services or until the City has completed the UDP process and the successful proposer to said RFP takes occupancy of this site; and - WHEREAS, Boat Yard Management Company, Inc. has been found to be qualified to provide such interim management services specifically for light marine industry and repair operations required by the City; and WHEREAS, the proposal of Boat Yard Management Company, Inc. has been found to provide significant revenue to the City, as well as needed assurances and controls for the proper functioning of the facility and for the protection of the City and users of this property, subject to such additional considerations and limitations prescribed herein by the City Commission, and as may be prescribed by the City Manager and the City Attorney; _2_ 92- 690 a ffi� NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby adopted by reference thereto and incorporated herein as if fully set forth in this Section. Section 2. The need for professional management services at the City -owned property known as the Dinner Key Boat Yard (formerly Merrill -Stevens), located at 2640 South Bayshore Drive, 1' Miami, Florida, is hereby found to constitute a valid public i emergency due to: a) the current severely damaged physical condition of the property as a result of Hurricane Andrew and consequent operational impairment; b) the delay in the City Is receipt of proposals for the Unified Development Project (UDP) for this facility; e) the largely increased need of the boating community and boating industry for light marine industrial and repair services as a result of Hurricane Andrew; and d) the unavailability of such management services from within City personnel resources. Section 3. The City Manager is hereby authorized-" to negotiate and execute an agreement, in a form acceptable to the City Attorney, with Boat Yard Management Company, Inc. for the management, maintenance and operation of the Dinner Key Boat Yard on an emergency interim basis, subject to and conditioned upon The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. -3- 92 690 the limitations and requirements stipulated herein below, and to such additional limitations and requirements as may be prescribed by the City Manager and the City Attorney: a) that Boat Yard Management Company, Inc. agree to pay a minimum monthly fee of $13,000 plus ten percent (10%) of gross receipts over $50,000; b) that said firm must satisfy the liability and other insurance requirements of the City; o) that corporate officers and/or executives of said firm pass a background investigation; and d) that the management services provided under said agreement be subject to termination by the City upon thirty (30) days advances notice, while the City would agree to honor all permits, licenses, and/or agreements entered into by said firm with individual boat owners, permittees and/or licensees for a period of ninety (90) days after receipt of notice issued by said firm. Section 4. The Administration is hereby directed to amend the Request for Proposals for the UDP for said facility, as issued pursuant to Resolution No. 92-488, adopted July 16, 1992, said amendment to include participation of minority -owned firms as a requirement of prospective development teams. Section 5. This Resolution shall become effective immediately upon its adoption. PASSED AND ADOPTED this 22nd day of 992.
