A RESOLUTION RATIFYING AND REAFFIRMING THE DOWNTOWN
DEVELOPMENT AUIHORITY'S SELECTION OF THE WI(ENiUT
CORPORATION FOR THE PROVISION OF ARMED PRIVATE
SECURITY SERVICES FOR THE FL AGLM/CORE MA SECURITY
DISTRICT SPECIAL IMPROVEMENT DISTRICT AND THE

IMPROVEMENT DISTRICT EXPANSION DISTRICT; MAKING SAID
SELECTION SUBJE('T TO c"LIANCE WITH THE REQUEST FOR
PROPOSAL'S MANDATED DOCUMENTATION AND GrHER
CONDITIONS; FUNDING FOR SAID SERVICES M BE PROVIDED
BY A SPECIAL ASSESSMENT ON PROPERTIES WITHIN SAID
DISTRICT; FURTHER AUTHORIZING THE CITY MANAKER TO
NEGOTIATE A CONTRACT WITH SAID PROVIDER.
WHEREAS, the Downtown Development Authority (DDA) has canpleted the
Request for Proposals process for Anmed Security Services for the Flagler/Core
Area Security District Special Improvement District and the Flagler/Core Area
Security District Special Improvement District Expansion District; and
WHEREAS, the DDA has determined The Wackenhut Corporation to be the
lowest qualified and most responsive bidder to provide the proposed services;

WHEREAS, funding for said services shall be provided by a special
assessment on properties within said districts;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAML,
FIARIDA:
Section 1. The recitals and findings contained in the Preamble to this
Resolution are hereby adopted by reference thereto and incorporated herein as
if fully set forth in this Section.

Section 2. The City Commission hereby ratifies and reaffirms the DDA's
selection, subject to the provisions of Section 3 hereinbelow, of The
Wackenhut Corporation as the lowest qualified and most responsive bidder for
provision of anmd security services for the Flager/Core Area Security
District Special Improvement District and the Flagler/Core Area Security
District Special Improvement District Expansion District, with funding for
said services provided by special assessment on properties situated within
said districts.
Section 3. Said contract shall have a provision allowing the City to
cancel, without penalty, for any reason prior to the scheduled expiration
date.
Section 4. This Resolution shall become effective imrediately upon its
adoption.

Recommendation
It is respectfully requested that the City Commission approve the
attached Resolution accepting the recommendation of the Selection
Committee for provision of Security Services in the Flagler/Core
Area.
Background
On July 9, 1992, the City Commission passed Resolution No. 92-471
authorizing the Downtown Development Authority to issue a Request
For Proposals (RFP) for the provision of armed private security
services in the Flagler/Core Area and further authorizing the
establishment of a selection committee to evaluate said proposals
and to report said committee's findings to the City Commission
for final action.
The Selection Committee carefully considered every aspect of the
proposals; focusing on the number of Special Protection Officers
and vehicles to be provided within the budget, the background and
reputation the companies, insurance, minority participation and
comprehensiveness of the proposed services (See Attached
Comparison Sheet).
The Selection Committee based its recommendation of Wackenhut on
the following points:
1. The unit cost/Special Protection Officer
2. The fact that there are Special Protection Officers
already trained and ready to go to work
3. The Comprehensiveness of Insurance protection available
and already provided by the company
4. A strong Affirmative Action Program and minority
participation that exceeds the City's minimum
requirements
5. The overall reputation of the company

In considering the use of Off Duty City of Miami Police (See
Attached Memo), two points were considered; the cost per officer
and the fact that the officers patrolling the area would have
already put in a full 40 hour work week.
The Selection Committee carefully weighed each proposal for its
comprehensiveness and specific attention to all aspects of the
Request For Proposals and found that the Wackenhut Corporation
either met, supplemented or exceeded the minimum requirements
requested.
Therefore, the Selection Committee respectfully requests that the
City Commission authorize the negotiation of a contract with the
Wackenhut Corporation, for the provision of Security Services for
the Flagler/Core Area for a period beginning October 1, 1992 and
ending March 7, 1993. Funding for the Security Services will be
provided by a special assessment on properties within the
district.

CERTAIN COMPETITIVE 'BIDDING FUNCTIONS BY
AUTHORIZING THE DOWNTOWN DEVELOPMENT
AUTHORITY ("DDA") TO ISSUE A REQUEST FOR
PROPOSALS ("RFP"), IN SUBSTANTIALLY THE
ATTACHED FORM, FOR THE PROVISION OF ARMED
PRIVATE SECURITY SERVICES IN THE DOWNTOWN
AREA; AND AUTHORIZING THE ESTABLISHMENT OF A
SELECTION. COMMITTEE TO EVALUATE SAID
PROPOSALS AND TO REPORT SAID COMMITTEE'S
FINDINGS TO THE CITY COMMISSION FOR ITS
ACTION. .
WHEREAS, on June 7, 1989, by Resolution No. 89-548, the
City Commission declared the Flagler/Core Area Security District
tc be a Special Improvement District for the provision of the
security services in accordance with applicable provisions of
Chapter 170, Florida Statutes, as amended; and
WHEREAS, said Flagler/Core Area Security .District has been
deemed a success in efforts toward stabilizing and improving the
Flagler/Core retail area; and
WHEREAS, on April 11, 1991, by Resolution No. 91-292, the
City Commission, .after a public hearing extended the term of the
Flagler/Core Area Security District for an additional year; and.
WHEREAS, on April 30, 1992, by Resolution No. 92-249, the
City Commission, after a public hearing, extended the term of the
Flagler/Core Area Security District for an additional ninety (90)
days to allow for additional owners input regarding the subject
program; and

WHEREAS, subsequent to said City Commission approval, the
property owners along with the Downtown Development Authority
(DDA) and the Downtown Miami Business Association (DMBA) held
three open meetings to discuss various security concerns and
alternatives; and
WHEREAS, at the conclusion of said Property Owners Committee
meetings, a vote was taken among the property owners or their
designated representatives in favor of continuing the
Flagler/Core Area Special Assessment District and its resultant
special assessment district through March 7, 1993, for a period
of One Hundred Ninety -Two (192) days, subject, and subsequent, to
issuance of a Request .,for Proposals for armed private security
services for the Flagler/Core Area Special Improvement District
and extending the City of Miami Police Ranger Program through
September 30, 1992, at which time it would- be supplanted .by the
armed private security service; and
WHEREAS, it is the intent of the City Commission, DDA, DMBA,
and affected downtown property owners that the Flagler/Core
Security District Special Improvement District Expansion
.District, which was established pursuant to Resolution
No. 91-670, also be included in the geographical area to be
served pursuant to the subject RFP;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble- to this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set -forth in this
Section.

Section 2. The Downtown Development Authority ("DDA") is
hereby authorized to issue a Request For Proposals ("RFP"), in
substantially the attached form, for .the provision of armed
private security services in the downtown area now serviced by
the Downtown Rangers Program.
Section 3. The DDA is further hereby authorized to
establish a Selection Committee which shall evaluate submitted
bid proposals and report said Committee's findings to the City
Commission for its action. Said Selection Committee shall be
comprised of one representative each from Downtown Development
Authority, Downtown Merchants Business Association, Miami Police
Department, and four property owner representatives from the
Flagler/Core Area Security District Special Improvement
Districts' Special Assessment Organization.
Section 4. This Resolution shall become effective
immediately upon its adoption.

The Downtown Development Authority (DDA) of the City of Miami is
seeking Security Services for the Downtown Miami Vlagler/Core
Area Security Discrict-Special Improvement District.
11, P11RPO9R AND INTENT
The Flagler/Core Area Security District Special. rmpxovement
District is being, provided security at present by "Rangers".
The Ranger Program in presently bef.ng funded by a special tax on
commorcial properties within the definod district boundaries.
The Rangers are without "Polico Powers" and. operate as a npecial
unit which patrols Downtown during the late eve.ni►tg and early
morning hour. The Rangers are only to "observe and reports' any
security problems they see.
They report any irregularities or security problems to the Polito
Department and the Police Department acts on their observations.
The Xangers are not armed and are not uutpowered to mako arrests.
The Downtown Property Ownero who are paying the opecia l tax to
support the program are desirous of investigating the
possibility, both financially and operationally, of whether a
private security force with additional powere would be more.
effective in patrolling and responding to any problem situations
within the District.
III. SCOPP, Or SERVICES
Proposals to be submitted by Qualified Security Providcra shall
be based on the following required winimal services.
A. The District shall be patrolled between the houra of
5100 PM and brUU AM, sevon dayu a' week, by armed
individuals with the power to make an arre.atj a citizens
arrest or an official police arrest.
R. Patrols may be undertaken by car, bicycle or on font.

C. patrol vehicles uhall be individually manned.
D, Clock -stations shall be located throughout the area and
alternative routes shall be proposed.
E. Reports shall be submitted by the Security Provider at
least once a week.
F.. A single emergency phone number is to be established for
contact with security personnel.
C. Proposal.* shall include man hours, number of guard@&
bottom line costs including benefits, back up personnel
and detailed ineuratice coverage information.
H. Proposed communication plans for coordination with the.
city of MiHmi Police Department.
I. A commitment by the Security Provider that security,
personnel will be permanently assigned to the District
and not subject to change without prior notification to
the client.

V. EVALUATION
Qualified Proposers shall make, at their expenae, a preeentation
to the Selection Committee upon determination that the Proposers
are qualified to provide the requcated aervicen.
Proposers shall be evaluated according to the following criteria:

VI. PROPOSAL PACKAGE SUBMISSION
A. The original plus 12 copies of the proposal shall be
submitted in a sealed envelope.
B. On the face of the envelope, the Company's name and
business address *hall appear in the upper left hand
corner.
C. Across the center of the envelope the Words "REQUEST
FOR PROPOSALS FOR SECURITY SERVICES" shall appear.
D. Froposal packages shall be received by the DDA at
their offices, Suite 1818, One Biscayne Tower, Miami,
Florida, 33131, on or before 5100 PM, Friday, August
1992.
F. The DDA reserves the rigbL to accept or reject any,
or all, proposals not submitted according to the
above stipulations.

A, The ADA may, at its discretion, reject any and all, or parts
of any and all, proposals; re-advertioo this RFP; postpone or
cancel, at any time, this Rrp process; or waive Any
irregularities in this RFP or in the proposal packages received
as a result of this RFP. _No conditional proposals shall be
accepted.
B. The determination of the criteria and process whereby
proposals are evaluated, the decision as to whom shall roceive a
contract award, or whether or not an award shall ever be made cc
a result of this RFP, shall be at the oole and absolute
discretion of the DDA.
G• In the event that the DDA cannot negotiate A satie£Retory
contract with the top ranked company, or said company dote not
oxecute a contract With the DDA within 30 days of its selection,
or said company does not satisfy contracting requirements, the
DDA may give notice to said company of intent to negotiate a
contract with the next most qualified company, and then the next,
and so on, or if it so chooses, call for new pruposal rackagea.
D. The submittal of a proposal by A company will be oonsidered
by the DDA as constituting an offer by that company to perform.

E. In no event will the DDA permit modi.ficatiotts to proposal
packages after they have been submitted.
F. Tho submission of a proposal package shall be taken as prima
facie evidence that the company has familiarited itself with the
contents of this RFP and with these terms and conditions,' in
particular.
C. The failure or omission by any company• to receive or examine
this RFP shall in no spay relive the company of any obligation
with.respeet to its submission, or any term or -condition of this
RFP.
It. The ensuing contract betweon the City of Miami, through the
DDA, and the selected company shall be for a ninety (90) day
trial period.
Z. ,lt the discretion of the DDA and with agreement of the
company, the contract may be extendod for a mutually agreed upon
period.

J. Zither the company or the DDA may cancel the eticuing contract
with or without cause after giving fifteen (15) prior days
written notice to the other party.
K. Under the Florida Public Records Act and the Florida
"Sunohine Laws", materials submitted by a company and the resulte
of DDA'a evaluation are open to public inspection. Companiea
should take special note of this as it relates to any proprietary
information that might be included in their proposal package.
L. Companies agree that there Will be no discrimination as to
race, sex, religion, age, handicaps, color, creed, or national
origin with regard to obligations, work, and services performed
under the terms of any contract ensuing from this RIP.
M. Companies agree- to comply with Executive Order No. 11246
entitled "Equal Employment Opportunity" as amended by Executive
Order No. 11375, as supplemented by the Department of Labor
i Regulations (41CFR, Part 60) and the City of Mi'anti, Affirmative
Action Ordinance.
N. The selected company shall be required to indevinify and save
harmleas, the DDA and City of Miami, from any and all claims,
liability, losses and causes of action which may arise out of the
fulfillment of Lhe ensuing contract.
0. The Company shall pay any and all claims and losses of any
iiature whatever in connection therewith,. and shall defend all
suits, in the name of the DDA and City of Mic+rii when applicable.,
and shell pay all costs and judgments which may ensue there from,
except those caused by the sole negligence of the DDA; officers
and employees.
P. No proposal packages shall be accepted from, nor will any
contract be awarded to, any person or firm which ha-s defaulted on
any previous contract with the DDA.
Q. The successful company shall comply with all laws, ordinances
and regulations applicable to the services contemplatud herein.
R. Consultants are presumed to be familiar with oll federal,
state and local laws, ordinances, code rules and regulations that
may in any way affect the servicoa.
S. The Selected Company shall furnish to the DDA CertSficates
of insurance, subject to review and approval by the City of Miami
Insurance Coordinator, which muRt be in effect at the time of
contract award and remain in effect during the proposed contr-a S

Workers Compensation for All employees of tha Company,
as required by Florida Statute 440.
Public Liability Insurance (The DDA and City of Miami
shall be named as additional insured with respect to
this coverage)i Bodily Injury Insurance of $50000,000
for each occurrence and $51000,000 aggregatei Property
Damage Liability of $5,000,000 for each occurrence and
$5,000,000 aggregatei and personal Injury Cuveragc of
�5►000,000 combined single limit and $5,000,000
Aggregate.
Automobile Liability Insurance (Updated and on file
with the DDA throughout the life of the 'contract) in
the amount of $•5,000,000 combined single limit for
bodily injury and property damAge.
T. The successful company shall not enter into subcontracts,
r o t a i n consultants, or assign, transfer, convey, aublet, or
otherwise dispose of the ensuing contract, or any of its right,
title or interest herein, or its power to execute such contract
to any person, company or corporation without prior written
convent of the DDA.
U. The Company must complete and submit an Affidavit Attesting
To Bidder 's Business Activities And Investments in South Africa
and Namibia. An authorized representative of the Company must
identify whether the organization has business activities or
investments in South Africa of Namibia, must list these if
applicable and agree to terminate these interests by not later
than one week prior to the date of the proposal submission.
Failure to complete and submit the Affidavit may render the
proposal package non-reaponsive.
V. The successful company shall be in compliance with applicable
Conflict •Of Interest Regulations and shall not be allowed to
contract With the DDA until such time as it is determined that
said company is, in Taut, in compliance.
