A RESOLUTION AUTHORIZING THE CITY MANAGER TO
ENTER INTO A PROFESSIONAL SERVICES AGREEMENT,
IN A FORM ACCEPTABLE TO THE CITY ATTORNEY,
WITH PEAT MARWICK MAIN & COMPANY, CERTIFIED
PUBLIC ACCOUNTANTS, WITH THE PARTICIPATION OF
THE MINORITY -OWNED ACCOUNTING FIRM OF GRAU &
COMPANY, TO ANALYZE THE FINANCIAL VIABILITY
OF PROPOSALS TO BE SUBMITTED ON
NOVEMBER 101 1992, IN RESPONSE TO THE REQUEST
FOR PROPOSALS (REP) FOR THE UNIFIED
DEVELOPMENT PROJECT ON CITY -OWNED PROPERTY
LOCATED BETWEEN SOUTHWEST 2ND AND 3RD STREETS
ALONG SOUTHWEST NORTH RIVER DRIVE, MIAMI,
FLORIDA; AUTHORIZING COMPENSATION FOR
PROFESSIONAL ACCOUNTING SERVICES IN AN AMOUNT
NOT TO EXCEED $26,100, BASED ON AN $8,700 FEE
PER PROPOSAL FOR THE EVALUATION OF UP TO
THREE PROPOSALS, PLUS OUT-OF-POCKET EXPENSES
NOT TO EXCEED TEN PERCENT (10%) OF THE SAID
ACTUAL FEE PAID; FURTHER ALLOCATING SAID
COMPENSATION FROM FUNDS AVAILABLE IN THE
PROFESSIONAL SERVICES ACCOUNT OF THE
DEPARTMENT OF DEVELOPMENT AND HOUSING
CONSERVATION FY 1992-93 BUDGET; SAID FUNDS TO
BE REIMBURSED TO THE CITY BY THE SUCCESSFUL
PROPOSER UPON EXECUTION OF A NEGOTIATED LEASE
AGREEMENT.
WHEREAS, the City Commission adopted Resolution No. 92-326
on May 14, 1992, authorizing the issuance of a Request for
Proposals for the Unified Development Project on City -owned
property located between Southwest 2nd and 3rd Streets along
Southwest North River Drive, Miami, Florida; and
WHEREAS, Section 29-A(c) of the City Charter requires the
City Commission to select a certified public accounting firm to
analyze proposals based on certain specific evaluation criteria

defined in the Request for proposals and to render a written
report of its findings to the City Manager; and
WHEREAS, by the adoption of Resolution No. 92-326 on May 14,
1992, the City Commission further selected the certified public
accounting firm of Peat Marwick Main and Company, with the
participation of minority -owned accounting firm of Grau and
Company, to analyze proposal submissions; and
WHEREAS, the due date for proposal submissions for the
Unified Development of the Southwest North River Drive Property
is November 10, 1992 and it is now necessary to enter into a
professional services agreement with Peat Marwick Main and

Company with the participation of Grau and Company, to analyze
the financial viability of proposals;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY

Section 1. The recitals and findings contained in the
Preamble to this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set forth in this
Section.
Section 2. The City Manager is hereby authorized1/ to

enter into a Professional Services Agreement, in a form
acceptable to the City Attorney, with Peat Marwick Main &
Company, certified public accountants, with the participation of
the minority -owned accounting firm of Grau and Company, to

analyze the proposals to be submitted on November 10, 1992 in
response to the Request for Proposals for the Unified Development
of the City -owned property located between Southwest 2nd and 3rd
' Streets along Southwest North River Drive, Miami, Florida,
whereby the firm will analyze the financial viability of the
proposed development teams and financing strategies, assess the
short and long range economic and fiscal return to the City, and
render a written report of its findings to the City Manager for
consideration.
Section 3. Compensation for said professional accounting
services is hereby allocated from the Professional Services
Account of the Department of Development and Housing Conservation
PY 1992-93 Budget, to be reimbursed to the City by the successful
proposer upon execution of a negotiated lease agreement, in an
amount not to exceed $26,100 based on an $8,700 fee per proposal
for the evaluation of up to three (3) proposals to be submitted
November 10, 1992, plus out-of-pocket expenses not to exceed ten
percent (10%) of the actual fee paid for the period commencing

said professional services.

Section 4. This Resolution shall be effective
immediately upon its adoption.

It is respectfully recommended that the City Commission adopt the
attached Resolution authorizing the City Manager to enter into a
Professional Services Agreement, in a form acceptable to the City
Attorney, with the certified accounting firm of Peat Marwick Main
& Company in association with the minority -owned firm of Grau &
Company, to analyze the financial viability of proposals to be
submitted for the Unified Development Project (UDP) on City -owned

The Department of Development recommends that the attached
Resolution be adopted by the City Commission on July 9, 1992,
thereby authorizing the City Manager to enter into an agreement
for the acquisition of professional accounting services for the

the Unified Development Project (UDP) on City -owned property

Section 29-A(c) of the City Charter requires analysis of
proposals by a certified public accounting firm. Resolution No.
92-326 further selected the accounting firm of Peat Marwick Main
and Company in association with the minority -owned accounting
firm of Grau and Company, to perform the analysis.
The scope of services to be performed by the accounting firms
f include an analysis of the financial viability of the development
teams, the proposed financing strategies, and an assessment of
r the short and long range economic returns to the City.
Compensation for said services in an amount not to exceed $26,100
will be determined based on an $8,700 fee per proposal for the
evaluation of up to three proposals to be submitted September 8,
1992, plus out-of-pocket expenses not to exceed 10% of the actual
fee paid. 50% of the amount of fees to be paid will be received
by the minority -owned firm of Grau and Company for their
participation in the analysis of proposal submissions. Funding is
available from. the professional services account of the
Department of.Development FY 1992-93 Budget.
The successful proposer of this -Unified Development Project, upon
execution of a 'negotiated lease agreement with the City, is
required to reimburse the City the full cost of professional
accounting services, as stated in the Request for Proposals
document.
