A RESOLUTION, WITH ATTACHMENT(S), DELEGATING
CERTAIN COMPETITIVE BIDDING FUNCTIONS BY
AUTHORIZING THE DOWNTOWN DEVELOPMENT
AUTHORITY ("DDA") TO ISSUE A REQUEST FOR
PROPOSALS ("RFP"), IN SUBSTANTIALLY THE
ATTACHED FORM, FOR -THE PROVISION OF ARMED
PRIVATE SECURITY SERVICES 19 THE DOWNTOWN
AREA; AND AUTHORIZING THE ESTABLISHMENT OF A
SELECTION COMMITTEE TO EVALUATE SAID
PROPOSALS AND TO REPORT SAID COMMITTEE'S
FINDINGS TO THE CITY COMMISSION FOR ITS
ACTION.
WHEREAS, on June 7, 1989, by Resolution No. 89-548, the
City Commission declared the Flagler/Core Area Security District
to be a Special Improvement District for the provision of the
security services in accordance with applicable provisions of
Chapter 170, Florida Statutes, as amended; and
WHEREAS, said Flagler/Core Area Security District has been
deemed a success in efforts toward stabilizing and improving the
Flagler/Care retail area; and
WHEREAS, on April 11, 1991, by Resolution No. 91-292, the
City Commission, after a public hearing extended the term of the
Flagler/Core Area Security District for an additional year; and
WHEREAS, on April 30, 1992, by Resolution No. 92-249, the
City Commission, after a public hearing, extended the term of the
Flagler/Core Area Security District for an additional ninety (90)
days to allow for additional owners input regarding the subject
program; and

WHEREAS, subsequent to said City Commission approval, the
property owners along with the Downtown Development Authority
(DDA) and the Downtown Miami Business Association (DMBA) held
N three open meetings to discuss various security concerns and
—j alternatives; and
WHEREAS, at the conclusion of said Property Owners Committee
meetings, a vote was taken among the property owners or their
designated representatives in favor of continuing the
Flagler/Core Area Special Assessment District and its resultant
special assessment district through March 7, 1993, for a period
of One Hundred Ninety -Two (192) days, subject, and subsequent, to
issuance of a Request for Proposals for armed private security
services for the Flagler/Core Area Special Improvement District
and extending the City of Miami Police Ranger Program through
September 30, 1992, at which time it would be supplanted by the
armed private security service; and
WHEREAS, it is the intent of the City Commission, DDA, DMBA,
and affected downtown property owners that the Flagler/Core
Security District Special Improvement District Expansion
District, which was established pursuant to Resolution
No. 91-670, also be included in the geographical area to be
served pursuant to the subject RFP;
-� NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set forth in this
Section.

Section 2. The Downtown Development Authority ("DDA") is
hereby authorized to issue a Request For Proposals ("RFP"), in
substantially the attached form, for the provision of armed
private security services in the downtown area now serviced by
the Downtown Rangers Program.
Section 3. The DDA is further hereby authorized to
establish a Selection Committee which shall evaluate submitted
bid proposals and report said Committee's findings to the City
Commission for its action. Said Selection Committee shall be
comprised of one representative each from Downtown Development
Authority, Downtown Merchants Business Association, Miami Police
Department, and four property owner representatives from the
Flagler/Core Area Security District Special Improvement
Districts' Special Assessment Organization.
Section 4. This Resolution shall become effective
immediately upon its adoption.

The Downtown Development Authority (UDA) of the City of Miami is
seeking Security Services for the Downtown Miami Flagler/Core
Area Security District Special Improvement District.
11.0 P11$P09R AND INTENT
The Flagler/Core Area Security District Speci•1 Improvement
District is being provided security at present by "Rangers".
The Ranger Program is prubetitly bef.ng funded by a special tax on
commercial properties within the defined district boundaries.
Tile Rangers are without "Police Powerb" osid operate as a special
unit which patrols Downtown during the late evenistg and early
morning hour. The Rangers are only to "observe and reports any
security problems they see.
They report any irregularities or security problems to the Police
Department and the Police Department acts on their observations.
The Rangers are not armed and are not e91powered to make arrests.
The Downtown Property Owners who are paying the apeeta1 tax to
support the program are desirous of investigating the
possibility, both financially and operationally, of whether a
private security force with additional powers would be more
effective in patrolling and responding to any problem situations
within tho District.

Proposals to be submitted by qualified Security Providers shell
be based on the following required minimal services.
A. The District shall be patrolled between the hours of
6t00 PM and 6tUO AM, sevon day" a week, by Armed
Individuals with the power to make an arrests a citisens
arrest or an oftis;ial police arrest.
A. Patrols may be undetrtaken by car, bicycle or on foot.

C. Patrol Vehicles s1ia11 be individually manned.
D. Clock -stations shall be located throughout the area and
alternative routes aliali be proposed.
E. Reports shall be submitted by the Security Provider at

P. A single emergency phone number is to be established for
contact with security personnel.
0. Proposals shall include man hours, number of guards.
bottom line costs including benefits, back up personnel
and detailed insurance coverage information.
H. Proposed communication plans for coordination with the
City of Miami Police Department.
I. A commitment by the Security Provider that security
personnel will be permanently assigned to the District
and not subject to change without prior notification to
the client.

Qualified Proposers shall make, at their expense, a presentation
to the Selection Committee upon determination that the Proposers
are qualified to provide the requested services.

A. The original plus 12 copied of the proposal shall be
submitted in a sealed envelope.
B. On the face of the envelope. the Company's %Name and
business address shall appear in the upper left hand
corner.
C. Across the center of the envelope the words 1'RRQUEST -_
FOR PROPOSALS FOR SECURLTY SERVICES" shall appear.
D. Proposal packages shall be received by the DDA at i
their offices, Suite 1818, One Biscayne Tower, Miami,
Florida, 33131, on or before $s00 PH, Friday, August
1992.
R. The DDA reserves the right to occapt or reject any,
or all$ proposals not submitted according to the
above stipulations.

A, The DDA may, at its discretion, reject any and all, or ports
of any and all, proposals$ re-advertiee this RPPi postpone or
cancel, at any time, this RFP process; or waive Any
irregularities in this RFP or in the proposal packages received
as a result of this RPP. No conditional proposals shall be
accepted.
H. The determination of the criteria and process whereby
proposals are evaluated, the decision as to whom shall receive a
contract award, or whether or not an award shall ever be made as
a result of this RFP, shall be at the sole and absolute
discretion of the DDA,
G. In the event that the DDA cannot negotiate a satisfactory
contract with the top ranked company, or said company does not
oxecute a contract with the pus within 30 days of its selection,
or said company does not satisfy contracting requirements, the
DDA may give notice to said company of intent to negotiate a
contract with the next most qualified company, and then the next,
and so on, or if it to chooses, call for new proposal packages.
D. The submittal of a proposal by a company will be considered
by the DDA as constituting an offer by that company to perform
the required services.
A. In no event will the DDA permit modifications to proposal
potksgea after they have been submitted.
P. The submission of a proposal package shall be taken as prim
facia evidence that the company has familiarised itself with the
contents of this RVP and with these terms and conditions, in
particular:
0. The failure or omission by any company to receive or estamine
this RFP shall in no way relive the company of any obligation
with respect . to its submission, or any term or condition of this
RFP.
lt. The ensuing contract between the City of Miami, through the
DDA, and the selected company shall be for a ninety (90) day
trial period.

K. Under the Florida Public Accords Act and the Florida
"Sunalline Laws", materials submitted by a company avid the results
of DDA Ia evaluation are open to public inspection. Companies
should take special note of this as it relates to any proprietary
Information that might be included in their pruposal package.
L. Companies agree that there will be no discrimination as to
race, sex, religion, age, handicaps, color, creed, or national
origin with regard to obligations, work, and services performed
under the terms of any contract ensuing from this RIP.
M. Companies agree to comply with Executive order No. 11246
entitled "Equal Employment Opportunity" as amended by Executive
Order No. 11373, as supplemented by the Department of Labor
Regulations (+41CPR, Part 60) and the City of Miami, Affirmative
Action Ordinance.
N. The selected company shall be required to indemnify and save
harmless, the DDA and City of bIiami, from any and all claims,
liability, losses and causes of action which may arias out of the
fulfillment of Llie ensuing contract.
0. The Company shall pay any and all elaimu and losses of any
nature whatever in connection therewith, and shall defend all
suits, in the name of the DDA and City of Miens when applicable,
and shall pay all costs and judgment* which may ensue there from,
except those caused by the sole negligence of the DDA; officers
and employees.
P. No proposal packages shall be accepted from, nor will ary
contract be awarded to, any person or firm which has defaulted on
any previous contract with the DDA.
Q. The successful company shall comply with all laws, ordinances
and regulations applicable to the services contemplated herein.
R. Consultants are presumed to be familiar with all federal,
state and local laws, ordinances, code rules and regulations that
may in any way affect the services.
S. The Selected Company shall furnish to the DDA Certificates
of Insurance, subject to review and approval by the City of Miami
Insurance Coordinator, which must be in effect at the time of
contract award and remain in effect during the proposed contract
period for the following miniausn amounts,

Workers Compensation for All employees of the Company,
as required by Florida statute 440.
Public Liability Insurances (The DDA and City of Miami
shall be named as additional insured with respect to
this coverage); Bodily Injury Insurance of $5,000,000
for each occurrence and $5,000,000 aggregates property
Damage Liability of $5,000,000 for uech occurrence and
$5,000,000 aggregates and Personal Injury Coverage of
$510001000 combined single limit and $5,000,000
Aggra$ete.
Automobile Liability Insurance (Updated and or filts
with the DDA throughout the life of the contract) in
the amount of $5,000,000 combined single limit for
bodily injury and property d*vtago.

T• The successful company shall not enter into subcontracts,
retain consultants, or assign, transfer, convuy, sublet, or
otherwise dispose of the ensuing contract, or any of its right,
title or interest herein, or its power to execute suet) contract
to any persons company or corporation without prior written
consent of the DDA.
U. The Company trust complete and submit an Affidavit Attesting
To Bidder's Business Activities And Investments in south Africa
and Namibia. An authorised representative of the Company must
identify whether the organization has business activities or
Investments in South Africa of Nataibis, must list these if
applicable and agree to terminate these interests by not later
than one week prior to the date of the proposal submission.
Failure to complete and submit the Affidavit may render the
proposal package non -responsive.
V. The successful company shall be in compliance With applicable
Conflict Of Interest Regulations and shall not be allowed to
contract with the DDA until such time as it is determined that
said company Les in fact, in compliance.

It is respectfully requested that the City Commission approve the
attached Resolution delegating certain competitive bidding
functions by authorizing the Downtown Development Authority
("DDA") to issue a request for proposals ("RFP"), in
substantially the attached form, for the provision of armed
private security services in the Downtown area; and authorizing
the establishment of a Selection Committee to evaluate said
proposals and to report said Committee's findings to the City
Commission for its action.
Background
On June 7, 1989, the City Commission established the Flagler/Core
Area Security District Special Improvement District by adopting
Resolution No. 89-548, as amended.
On September 141 1989, the City Commission determined, by Resolution
No. 89-828, that security and street maintenance and similar services
be provided for the period of one (12) year in the Flagler/Core Area
Security District Special Improvement District and further levied
special assessments against properties in said district: benefited
through the provision of such services in accordance with the final
assessment roll filed with the City Clerk. The budget for this
district is $344,000.00 annually.
On April 11, 1991, the City'Commission approved Resolution No. 91-292
extending the Flagler/core Area Security District Special Improvement
District for one (1) additional year.
Since.the- adoption and through. the extension of the above, the "City
Ranger- Program" has been in operation and to this date, has had a
significant, positive impact on crime in the area. The success of
.this program prompted additional property owners to request -an
expansion of the district. This expansion was approved by the City
Commission on June 20, 1991 by Resolution No. 91-468 and confirmed on
September 11, 1991 by Resolution No. 91-670. Additional City Rangers
began patrolling in the expanded district on March 8, 1992. The
budget for the expansion is $84,000.00 annually.
