A RESOLUTION, WITH ATTACHMENT, AUTHORIZING THE CITY MANAGER TO APPROVE A LETTER OF UNDERSTANDING AND BINDING AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, BETWEEN THE DEPARTMENT OF FIRE, RESCUE AND INSPECTION SERVICES AND THE DEPARTMENT OF PUBLIC WORKS, WHEREBY THE DEPARTMENT OF PUBLIC WORKS SHALL ACT AS GENERAL CONTRACTOR, PROJECT MANAGER AND ARCHITECTURAL/ENGINEERING CONSULTANT FOR THE HISTORIC PRESERVATION AND RESTORATION PROJECT FOR OLD FIRE HOUSE NO. 2, LOCATED AT 1401 NORTH MIAMI AVENUE, MIAMI, FLORIDA; FURTHER BY AMENDING RESOLUTION NO. 90-271, ADOPTED APRIL 12, 1990, BY RESCINDING SECTIONS 3-6 IN THEIR ENTIRETY, BY REVOKING THE DESIGNATION OF THE PLANNING AND DESIGN SERVICES FOR THE RESTORATION OF OLD FIRE HOUSE NO. 2 AS A CATEGORY "B" PROJECT, THE APPOINTMENT OF A CERTIFICATION COMMITTEE, THE APPOINTMENT OF CHIEF W. WATERS AS CHAIRMAN OF THE COMPETITIVE SELECTION COMMITTEE, AND THE AUTHORITY GIVEN THE CITY MANAGER TO ADVERTISE FOR PROFESSIONAL SERVICES AS PART OF A "DESIGN BUILT" REQUEST FOR PROPOSALS. WHEREAS, the City of Miami desires to restore and adaptively reuse Old Fire House No. 2, located at 1401 North Miami Avenue, Miami, Florida, in the Central/Downtown Community Development Target Area, for a Fire Museum and Fire Prevention Education Facility; and WHEREAS, pursuant to Resolution No. 90-271, adopted April 12, 1990, the City Commission designated the planning and E17 fs figs r, Ci`��? Waters, Management Services, as Chairman of the Competitive Selection tee and authorized the City Manager to advertise for Commit nest for professional services as part of a "design built" Req p and Proposals (RFP) for the proposed restoration; WHEREAS, pursuant to Resolution No. 91-05, adopted January 10 1991, the City Commission accepted a grant-in-aid in the amount of $229,425 from the Florida Department of State, Division of Historical Resources, Bureau of Historic Preservation, for partial funding of said restoration; and WHEREAS, pursuant to Resolution No. 92-135, adopted ebruar 13, 1992, the City Commission authorized that a F Y contribution in the amount of $100,000 be allocated from the 16th contra Fund y Year Community Development Block Grant Program Contingency d for the first phase restoration of Old Fire House No. 2; an WHEREAS, an additional amount is available to unt of $30,000 the 1976 Fire 'all fund the proposed restoration from partially i General Obligation Bonds; and WHEREAS, an additional amount of $100,000 shall be made available to partially from the - fund the proposed resubject �i 18th Year Community Development Block Grant Program Fund, J - Pursuant to Resolution No. 92-190.1, i to availability of funds, p adopted March 12, 1992; and WHEREAS, the funding for Phase I of the project of res toration of Old Fire House No. 2 is now in place; and -2- g2-- 200 IWIN i P ! 0 WHEREAS, the Department of Fire, Rescue and Inspection Services is desirous of having the Department of Public Works act as General Contractor, Project Manager and Architectural/Engineering Consultant for the renovation project; and WHEREAS, the Department of Public Works desires to provide the aforementioned services, which shall include the coordination of bids, construction administration and inspection and project management; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby adopted by reference thereto and incorporated herein as if fully set forth in this Section. Section 2. The City Manager is hereby authorized to approve a Letter of Understanding and Binding Agreement, in substantially the attached form, between the Department of Fire, Rescue and Inspection Services and the Department of Public Works, whereby the Department of Public Works shall act as General Contractor, Project Manager and Architectural/Engineering Consultant for the historic preservation and restoration project for Old Fire House No. 2, located at 1401 North Miami Avenue, Miami, Florida. Section 3. Resolution No. 90-271, adopted April 12, 1990, is hereby amended by rescinding Sections 3-6, in their entirety, by revoking the designation of the planning and design services for the restoration of Old Fire House No. 2 as a Category "B" -3- 02-- 200 Project, the appointment of a Certification Committee of three (3) members consisting of the Director of the Department of Public Works, the Director of the Department of Planning, Building and Zoning and the Director of the Department of Fire, Rescue and Inspection Services or their appointed designees, the appointment of Chief W. Waters, Chief of Management Services, as Chairman of the Competitive Selection Committee, and the authority given the City Manager to advertise for professional services as part of a "Design Built" Request for Proposals (RFP) for the restoration project. Grant a. This grant shall encompass the following scope of work for the Old Fire House #2 Building: 1. Architectural documents; 2. Termite control; 3. New roofing; 4. Masonry repairs, including beams and floors; 5. Concrete work; 6. Steel reinforcing; 7. Millwork; 8. Insulation; 9., Iron work; 10. Stonework; and 11. Exterior trim repair. b. The amount of funds awarded under this grant is $241,500.00. The Department is not obligated or authorized to award any funds in addition to this amount. c. The Grantee shall., prior to the disbursement of funds, sign a grant award agreement agreeing to comply with these administrative and accounting requirements. d. Along with the grant award agreement, all Grantees shall complete.a "Request for Advanced Grant Payment" form and return it to the Bureau of Historic Preservation, R.A. Gray Building, Tallahassee, Florida 32399-0250. 2. Grant Period The grant period is effective on the date of the final signing of the Grant Award Agreement by all parties and ends on March 31, 1992. 3. -Cash Release If the Request for Advanced Grant Payment is approved, the Bureau shall request that the Department mail a warrant in accordance with the cash advance needs as specified by the Grantee. 92- 200 c� r 4. Accounting Requirements The Grantee shall maintain an accounting system which provides for a complete record of the use of all grant funds. This accounting system shall provide for: a. Accurate, current, and complete disclosure of the status of all grant funds. b. Records that identify adequately the application of funds for all activities related to the grant. in the absence - of a proper accounting system with amounts detailing the application of funds, a separate checking account may be used. c. Effective control over and accountability for all funds, property, and other assets. d. Accounting records that are supported by source documentation (i.e., invoices, bills, cancelled checks) and are sufficiently detailed to allow.for a proper preaudit and postaudit. .5. Retention of Accounting Records a. Financial records, supporting documents, statistical records, and all other records pertinent to a grant shall be retained for a period of three (3) years after the end of the grant period. If any litigation or audit is started, or claim made, before the expiration of the three (3) year period, the records shall be retained until the litigation, claim, or audit questions involving the records have been resolved. b. Grantee shall make all grant records of expenditures, copies of reports, books, and related documentation available to the Department of State or a duly authorized representative of the State of Florida for inspection at a reasonable time for the purpose of making audits, examinations, excerpts and transcripts. 6. Expenditures a. All expenditures must be directly related to the purpose of this grant and must be easily identified as such. b. Project costs may not include any expenditure or cost not directly related to the purpose of this grant. c. Grantee may temporarily invest the grant funds advanced, provided that any interest -income shall either be returned to the State of Florida General Revenue Fund or be applied against the State obligation to pay the grant amount. See note below. g. Standards The Grantee is advised to carry out all project work in compliance with the Secretary of theIior's Stand rds for porar,;i;tation or the secret ry of the Intexior's Standards for Archaeoloc[ical Documentation. 9. Review I Pursuant to s.267.061(3)(i), Florida Statutes, the Grantee should provide the Bureau an opportunity to review and comment on architectural documents for the Project at the following points in their development: a. on completion of schematic design; b. on completion of design development and outline specifications; and c. on completion of working drawings and specifications, prior to execution of the construction contract. 10. Notices, schedules, and sponsorships All publications, media productions, and exhibit graphics shall include the following statement in the same size, type style, and location as the organization name: "Sponsored in part by the State of Florida, Department of State". 11. in the event of a State revenue shortfall, the total grant may be reduced accordingly and in the event such funds are withdrawn this agreement is terminated and the State has no further liability to the Grantee. 12. The Department and the State of Florida are not liable for any claim for personal injury or property damage resulting or occurring in connection with any activities conducted under this grant. The Grantee hereby agrees to indemnify and hold the Department and the State harmless from any and all such claims. 92-- 200 s� c 13. The Grantee agrees that all acts to be performed by it in connection with this agreement shall be performed in strict conformity with all applicable laws and regulations of the State of Florida and local governments. 14. Any interest that accrues if the funds were temporarily invested shall be returned to the Department of State at the end of the grant period in lump sum; accompanied by documentation and confirmation of interest amount from the investment institution. 15. Bills for any travel expenses will be submitted in accordance with Section 112.061, Florida Statutes. 16. This contract may be unilaterally cancelled by the Department for refusal by the Grantee to allow public access to all documents, papers, letters, or other materials subject to the provisions of'Chapter 119, Florida Statutes, and made or received by the Grantee in conjunction with the agreement. 17. The State of Florida's performance and obligation to pay under this agreement are contingent upon an annual appropriation by the Legislature. 18. It is recommended that any articles which are the subject of, or required to*carry out, this agreement should be purchased from the corporation identified under Chapter 946, Florida Statutes, in the same manner and under the procedures set forth in Section 946.515(2) and (4), Florida _ Statutes; and for the purpose of this agreement.the person, firm,*or other business entity carrying out the provisions of this agreement shall be deemed to be substituted for this agency insofar as dealing with such corporation. 19. If the Grantee should fail to fulfill their obligations under this agreement in a timely manner, or if the same violates any of the covenants, agreements or stipulations of this agreement, the Department shall thereupon have the right to terminate this agreement, demand the return of monies delivered and/or withhold subsequent payments due under this or other grants.. If notice of termination is given, the Department shall not be liable for services rendered, expenses incurred or goods delivered after receipt of the notification of termination. g2--- 200 a Note: Chapter 86-268, Section 8 (HB1381). Any agency that has been expressly authorized by other law to make advances for program start-up or advances for contracted services, in total or periodically, shall limit such disbursements to other governmental entities and not -for -profit corporations. The amount which may be advanced shall not exceed the expected cash needs of the contractor or recipient within the initial 3 months. Thereafter, disbursements shall only be made on a reimbursement basis. Any agreement that provides for advancements may contain a clause that permits the contractor or recipient to temporarily agency's obligation to pay the contract amount This provision shall not be construed as lawful authority to make any advance payment not otherwise authorized by laws relating to a particular agency or general laws relating to the expenditure or disbursement of public funds. The Comptroller may, after consultation with the Legislative Appropriations Committees, waive the requirements of this section if it is determined to be consistent with the intent of the General Appropriations Act or the Letter of Intent. 92- 200 i{{ I i l i 1 -i HISTORIC PRESERVATION GRANT AWARD AGREEMENT — AMENDMENT NUMBER ONE _ This AMENDMENT dated this 36 day of _0, 1990 to the Historic Preservation Grant Award Agreement dated , hereinafter referred to as the Agreement, between the State of Florida, Department of State, Division of Historical Resources, and the City of Miami, relative to the Old Fire House #2 Project, shall be effective when properly executed ....by the parties thereto, and shall be made a part of the original. WHEREAS, the Office of the Comptroller has requested revision to the Agreement, and WHEREAS, the requested revision has been reviewed and found to be in accordance with current regulations. The herein allocation also serves as the local match contribution of the City for the existing grant of $229,425 from the Florida Department of State, Division of Historic Resources and Preservation Grants, for the implementation of said project. SUBJECT : Resolution Approving Letter of Understanding for Old Fire House #2 REFERENCES : Preservation & Restoration ENCLOSURES: It is respectfully recommended that the City Commission adopt the attached resolution, approving the execution of a Letter of Understanding and Binding Agreement between the Department of Fire, Rescue and Inspection Services and the Department of Public Works for services of general contracting, project management, and architectural/engineering consulting on the Old Fire House #2 Project, including revocation of Resolution No. 90-271, adopted April 12, 1990, designating planning and design services for the Old Fire House as a Category "B" Project. The Department of Fire, Rescue and Inspection Services has been notified by the Florida Department of State, Division of Historical Resources that the grant period for a 1990-91 Special Category Grant for preservation and restoration of Old Fire House #2, ends on March 31, 1992. All grant funds ($229,425) must be expended or under binding construction contract by this date, or will revert back to the State. Inasmuch as receipt of funding from the State was delayed and funds earmarked by the City from the Omni Area Redevelopment Tax Increment Trust Fund were not forth coming, delaying the implementation of the Project, it is recommended that the Project be completely administered by the Department of Public Works for expeditious handling and meeting the State's grant requirements for entering into binding construction agreement by March 31, 1992. Funding for Phase I Restoration in the amount of $459,425 is now in place, consisting of: $229,425 State Grant -In -Aid / Resolution No. 91-05 $ 30,000 Fire G.O.B. Bonds / C.I.P.
