A RESOLUTION WAIVING, PURSUANT TO CITY
CHARTER SECTION 29-B, COMPETITIVE BIDDING
PROCEDURES, AS PROVIDED FOR IN SAID CHARTER
AND CITY CODE; AUTHORIZING THE OFF-STREET
PARKING BOARD: 1) TO ADVERTISE FOR PROPOSALS
FOR THE RENOVATION AND USE OF THE OLYMPIA
BUILDING, LOCATED AT 174 EAST FLAGLER STREET,
MIAMI, FLORIDA, AS HOUSING TO BENEFIT PERSONS
OF LOW AND/OR MODERATE INCOME; 2) TO EVALUATE
ANY PROPOSALS SUBMITTED IN RESPONSE TO SUCH
ADVERTISEMENT AND SELECT AND NEGOTIATE A
PROPOSED CONTRACT WITH THE PROPOSER OF THE
PROPOSAL DEEMED BY THE OFF-STREET PARKING
BOARD TO BE MOST ACCEPTABLE; AND 3) TO BRING
THE NEGOTIATED CONTRACT TO THE CITY
COMMISSION FOR ITS REVIEW, AND, IF
ACCEPTABLE, ITS APPROVAL, PRIOR TO SUCH
CONTRACT BEING EXECUTED; FURTHER SPECIFYING
THAT THE ACTIONS TAKEN BY THE OFF-STREET
PARKING BOARD SHALL NOT CONSTITUTE ANY
APPROVAL OF A PROPOSAL OR PROPOSER.
WHEREAS, the City of Miami is interested in exploring the
use of the Olympia Building as a housing project to benefit
persons of low and/or moderate income;
WHEREAS, Section 29-B of the City Charter authorizes the
City Commission to waive competitive bidding procedures
concerning disposition where the intended use of such property or
interest therein is in furtherance of the objective of providing
rental or sales housing within the economic affordability range
of low and/or moderate income families and/or individuals;

NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set forth in this
Section.
Section 2. Competitive bidding procedures, as provided
for in the City Charter and City Code, are hereby waived pursuant
to Section 29-B of the City Charter.
Section 3. The Off -Street Parking Board is hereby
authorized: 1) to advertise for proposals for the renovation and
use of the Olympia Building, located at 174 East Flagler Street,
Miami, Florida, as housing to benefit persons of low and/or
moderate income; 2) to evaluate any offers submitted in response
to such advertisement and select and negotiate a proposed
contract with the proposer of the proposal deemed by the Off -
Street Parking Board to be most acceptable, and 3) to bring the
negotiated contract to the City Commission for its review, and,
if acceptable, its approval, prior to such contract being
executed; further specifying that the actions taken by the Off -
Street Parking Board shall not contstitute any approval of a
proposal or proposer.
Section 4. This Resolution shall become effective
immediately upon its adoption.

The subject Resolution contains an error in the title and
in Section 3 as it presently reads:
"Further, requiring that each proposer submit with its
proposal a $15,000 cashier's check which shall be
nonrefundable to the entity with which the City ultimately
executes a contract."
That entire sentence should be deleted both from the title and
from Section 3.
Please substitute the attached pages for the ones you now
have.
You may wish to keep this memorandum on file with any back-
up material you have regarding the items.

Dear W.Cook:
The purpose of this letter is to express the desire by the Downtown Miami Community
Development Corporation to enter into negotiations with you for the renovation of the Olympia
Building. The Downtown Mami Community Development Corporation is a non-profit
organization created to .provide Affordable Housing within the Downtown area. It is our desire
to convert the Olympia Building to Affordable Housing units within the general definition of
Affordable Housing that be for persons earning in less than 60% of median income. If we are able
to obtain your concurrence and that of the City Commission to undertake redevelopment of the
Olympia Building, we will seek Low Income Housing Tax Credits and other forms of subsidies
including historic preservation tax credits that will permit us to renovate the Olympia Building and
provide Affordable Housing for Downtown service workers and others.
I look forward to your response and to negotiating with you for the renovation of the Olympia
Building.

Dear Mr. Clark:
We would like to obtain a purchase contract to acquire the rights to renovate the Olympia
Building.
We intend to convert the building into rental apartments for low and moderate income tenants.
The building would be financed with a conventional first mortgage, a low interest second
mortgage from local county or city government, and Federal Low Income Housing Tax Credits.
At a minimum, the Affordable Housing requirements would be in effect for 15 years, but would
most likely be extended for an additional 15 years.

The purpose of this letter is to register my cc pipany's interest in the rehabilitation of the
Olympia Building as an affordable housing projeat.
As you may know, The Related Group of Florida 3s the leading developer of affordable housing
in the Southeastern United States. We are very interested in participating in rehabilitation of
affordable housing in the Downtown corridor. Please keep us advised as to all developments
regarding the Olympia Building and other similar rehabilitation projects for this area.
Should you determine to bypass the request for proposal process, please include our company
in any informal process utilized. If the formal process is used, please notify us as to when
request will be solicited.

Olympia Building
Renovation
You have asked me to review the City Charter and
advise you what steps must (I) DOSP take in order
to negotiate with two groups interested in the
renovation of the Olympia Building; and (II) to
advise you as to the possibility of transferring
the Gusman Cultural Center to Dade County.
I.
City Charter, Sections 29-A(d) and 29-B deal with the
disposition of city owned property. Section 29-A(d) prohibits
the conveyance of any interest in city -owned real property unless
the following conditions are met:
1. Prior public notice;
2. Prior opportunity for the public to compete;
3. Conveyance must be made to the highest responsible
bidder. (This last condition may be waived upon the
City Manager's written finding that a valid emergency
exists which finding must be ratified by an affirmative
vote of two-thirds (2/3) of the City Commission after a
properly advertised public hearing.)
(NOTE: 29-A(d) does not apply to transfers to the
United States or any department or agency thereof or to the State
of Florida or any political subdivision or agency thereof.)
Section 29-B prohibits the sale or lease of city -owned
property unless the following conditions are met:
A. A return to the city of fair market value;
B. Prior advertisement soliciting proposals for said sale
or lease;
C. Receipt of at least three (3) written proposals from
prospective purchasers or Lessees (if less than three
(3) proposals are received and the guaranteed return

under the proposal being considered is equal to fair
market value and the City Commission determines that
the contemplated sale or lease will be in the City's
best interest, the sale or lease may be consummated
subject to the approval of the majority of the votes
cast by the electorate at a referendum). *.•
NOTE: a) The above conditions do not apply to the
conveyance of city property implementing city
assisted housing projects to benefit persons
with low and/or moderate income or
implementing projects of any governmental
agency or instrumentality.
b) Both the above conditions and any other
requirements for competitive bidding may be
waived by the City Commission where the
intended use of the property is in
furtherance of the objective of providing
housing within the affordability range of low
and/or moderate income households, as
provided under federal and state standards.
With regard to the two groups that would like to negotiate
with DOSP and the City for the renovation of the Olympia
Building, you have advised us that both entities have indicated
they are interested in converting said building into rental
apartments for low and moderate income tenants. Provided that
both proposals meet the federal or state guidelines for
determination of low and/or moderate income households, the City
Commission may waive the conditions of Sections 29-A(d) and 29-B
of the City Charter and may instruct DOSP to negotiate with one
or both proposers to obtain the most advantageous deal for the
City, or may elect not of waive said conditions and ask DOSP to
go out for bids again.
II.
A transfer of the subject property to Dade County or to any
department or agency of the federal government or any agency or
political subdivision of the state government would not be
subject to the conditions of 29-A(d) or 29-B of the City Charter.
We strongly suggest that these and any other proposals you
may receive be presented to the board of directors of DOSP for
said board's recommendation before they are submitted to the City

Commission. Furthermore, prior to negotiating with any
proposers, the Board should adopt policies to govern the process.
The Board should remain cognizant of its fiduciary responsibility
to the City to examine all proposals and recommend that which is
in the best interests of the City.
