RESOLUTION NO. .94
A RESOLUTION, WITH ATTACHMENTS, AUTHORIZING
THE CITY MANAGER TO EXECUTE AN AGREEMENT OF
PURCHASE AND SALE, IN A FORM ACCEPTABLE TO
THE CITY ATTORNEY, FOR CERTAIN PROPERTIES
LOCATED NORTH OF THE LYRIC THEATER IN THE
SOUTHEAST OVERTOWN/PARK WEST REDEVELOPMENT
DISTRICT, MIAMI, FLORIDA, BETWEEN THE CITY OF
MIAMI AND STEPHEN R. SONSON, FOR A TOTAL
PURCHASE PRICE OF $239,134.40 (PLUS PAYMENT
OF THE 1993 TAXES OF $3,045.29, AN
OUTSTANDING DEMOLITION LIEN OF $3,584.67, AND
THE SELLER'S PORTION OF THE DOCUMENTARY STAMP
TAX); ALLOCATING FUNDS THEREFOR FROM INDEX
CODE NO. 550108, PROJECT NO. 689001, ENTITLED
"SOUTHEAST OVERTOWN/PARK WEST REDEVELOPMENT
DISTRICT TRUST FUND", FOR THE PURPOSE OF
i DEVELOPMENT OF THE SOUTHEAST OVERTOWN/PARK
WEST REDEVELOPMENT PROJECT; FURTHER
AUTHORIZING THE CITY ATTORNEY TO TAKE THE
NECESSARY ACTIONS TO CLOSE THE TRANSACTION
WITH THE SELLER AS EARLY AS PRACTICABLE.
WHEREAS, the Development Division of the Department of
Development and Housing Conservation has initiated the
development of the Historic Village and adjoining pedestrian
promenade located within the Southeast Overtown/Park West
Redevelopment Project; and
WHEREAS, the city contracted with two independent appraisers
and two independent appraisals for the properties were prepared
by Florida Service Appraisal Team, Inc., and Ralph Ross Real

(� Estate Co., Inc., with the resulting appraised value being $18.75
per square foot and $17.75 per square foot respectively; and
WHEREAS, through negotiation, the property owner has agreed
to an offer of $239,134.40, plus payment of the 1993 taxes of
$3,045.29, an outstanding demolition lien of $3,584.67, and the
seller's portion of the documentary stamp tax; and
WHEREAS, funds for the acquisition of the aforementioned
properties have been appropriated in Index Code No. 550108,
Project No. 689001, entitled "Southeast Overtown/Park West
Redevelopment District Trust Fund";

NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings set forth in the
Preamble to this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set forth in this
Section.
Section 2. The City Manager is hereby authorized/ to
execute an Agreement of Purchase and Sale, in a form acceptable
to the City Attorney, for the purchase and sale of certain
properties located north of the Lyric Theater in the Southeast
Overtown/Park West Redevelopment District, Miami, Florida,
between the City of Miami and the property owner, Stephen R.
Sonson, for the total purchase price of $239,140.40 plus payment

with all requirements that may be imposed by the City
Attorney, including but not limited to those prescribed by
applicable City Charter and Code provisions.

of the 1993 taxes of $3,045.29, an outstanding demolition lien of
$3,584.67 and the seller's portion of the documentary stamp tax.
Section 3. Funds for the acquisition of said properties
are hereby allocated from funds appropriated in Index Code.
No. 550108, Project No. 689001, entitled "Southeast Overtown/Park
West Redevelopment District Trust Fund".
Section 4. The City Attorney is hereby authorized to
take the necessary steps to close the transaction with the
property owner as early as practicable.
Section 5. This Resolution shall become effective
immediately upon its adoption.

Dear Mr. Sonson:
This letter serves as an understanding of our telephone conversation on today's date
(November 1, 1994) regarding the acquisition of the following described lots:

The South 9 feet 8 inches of lot 12, all of lot 13, all of lot 20, 21 and 28 in block 36 of
R. W. Whites Resubdivision of North City of Miami, according to the plat thereof,
recorded in plat book B at page 34. (Tax Folios 010103 0601051 ) ( 010103 060 1181)
(01 0103 0601130).
As agreed, the City of Miami is offering to pay $19.80 per square fee, fee simple title for
all land described above owned by you in an amount of $239,134.40.
In addition, the City will pay the existing demolition lien of $3,584.67; 1993 taxes of
$3,045.29 as of the date of closing and the seller's portion of the Documentary Stamp
Tax.
This offer is contingent upon approval by the City of Miami City Commission and will
be brought before them at the November 17, 1994 City Commission meeting for their
authorization.

Dear Sir:
Our corporations are willing to sell to the City of Miami the below
described lands.
The South 9 feet 8 inches of lot 12 all of lot 13 all of lot 20, 21
and 28 in block 36 of R.W. Whites Resubdivision of North City of
Miami, according to the plat thereof, recorded in plat book B at page
34. ( Tax Folios 01 0103 060 1051-) ( 01 0103 060 1181 )( 01 0103
060 1130 ).
The above description covers an area of 12,045 square feet which we
are willing to accept $19.80 per square foot. Additionally the City
of Miami will pay all real estate taxes that are due on the property
till the date of closing. The City of Miami also agrees to pay the
demolition lien on the property as well as any other liens held by
the City of Miami till the date of closing.1—
The City of Miami also
agrees :o pav to_the sellers $19.80 per square foot for the alley in
the rear of the property. The lenth of the alley in the rear o the
property is 109 feet 8_inches by 10 feet, being 1096.70 square feet._
Based on $19.80 per foot the 1096.70 comes to $21,714.66.�
The above offer shall be open for 30 days starting November 1, 1994.

RECOMMENDATION:
It is respectfully recommended that the City Commission adopt the attached Resolution
authorizing the City Manager to execute an agreement of purchase and sale, in a form acceptable
to the City Attorney, for certain properties located north of the lyric theater in the Southeast
Overtown/Park West Redevelopment District, Miami, Florida, between the City of Miami and
Stephen R. Sonson, for a total purchase price of $239,134.40 (plus payment of the 1993 taxes of
$3,045.29, an outstanding demolition lien of $3,584.67, and the seller's portion of the
documentary stamp tax); allocating funds therefor from Index Code No. 550108, Project No.
689001, entitled "Southeast Overtown/Park West Redevelopment District Trust Fund", for the
purpose of development of the Southeast Overtown/Park West Redevelopment Project; further
authorizing the City Attorney to take whatever steps are necessary to close the transaction with
the seller as early as practicable.
BACKGROUND:
The Development Division of the Department of Development and Housing Conservation
recommends that the City Commission adopt the attached Resolution in order to further
development efforts within the Southeast Overtown/Park West Redevelopment District,
specifically the Ninth Street Promenade Extension and the Lyric Theater Projects. The
properties would be used to create a public plaza as a link between the Ninth Street Pedestrian
Promenade and the Lyric Theater. This would result in a consistent and continuous improvement
linking the major development projects within the area.
After repeated purchase offers were made to the owner based on independent appraisals
performed by independent contractors for the City, the Law Department began work on the early
stages of the condemnation process to acquire these properties in advancement of the
development efforts in the area. At that time, the owner of the properties, Stephen R. Sonson,
approached the City with counteroffers and negotiations commenced. The result of these
negotiations is the purchase price and terms set forth herein.
