A RESOLUTION, WITH ATTACHMENT, AUTHORIZING TiE CITY MANAGER TO ENTER INTO AN AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, WITH METROPOLITAN DADE COUNTS, FOR TI3L SALE OF "PROPERTY NO. 2" (AS DESIGNATED IN "ATTACHMENT NO. 1 " ATTACHED HERETO AND MADE A PART HEREOF AND AS MORE PARTICULARLY DESCRIBED IN THE AGREEMENT), FOR THE SUM OF SIX MILLION DOLLARS ($6,000,000), TO BE PAID AS MORE PARTICULARLY SET FORTH HEREIN AND SUBJBCT` TO CONDITIONS CONTAINED HEREIN INCLUDING THOSE AFFECTING THE JAC KSON MEMORIAL FOUNDATION AND TO PROVISIONS RELATED TO POTENTIAL ENVIRONMENTAL CZ -BEAN -UP COSTS; FURTHER RBQUZRING THAT, IN THE EVENT THE CITY RESOLVES TO SELL THE PROPERTIES DESIGNATED AS "PROPERTY NO. 3" AND "PROPERTY NO. 4" IN "ATTACHMENT NO. 1 " , (ATTACHED HERETO AND MADE A PART HEREOF AND AS MORE PARTICULARLY DESCRIBED IN SAID AGREEMENT), THE CITY OF MIAM7. SHALL OFFER METROPOLITAN DADE COUNTY THE RIGHT OF FIRST REFUSAL FOR A PERKED NOT TO EXCEED TEN (10) YEARS FROM THE DATE OF EiCDCUTION OF SAID AGREEMENT. . BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to enter into an agreement (the "Agreement"), in a form acceptable to the City Attorney, with Metropolitan Dade County (the "County"), for the sale of "Property No. 2" (as designated in "Attachment No. 1", attached hereto and made a part hereof, and as more particularly described in the Agreement) , for the sum of Six Mill -ion Dollars ($6,000,000) (the "Purchase Price") to be paid at closing. Section 2. As additional consideration and as a condition precedent to the sale of Property No. 2, the County shall cause the Jackson Memorial Foundation (the "Foundation") to release the City from any obligation it may have to contribute Three Hundred Thousand Dollars ($300,000) to the !!4 i; 73 t CITY C: 0'0 11:3 SSIOX Rogobition No. 94-- 516 Foundation in the year 1994 as contemplated by Resolution No. 89-830 of the City Commission. Section 3. The Property shall be sold in "as is" condition, except that the County shall pay any environmental clean-up costs up to the sum of Five Hundred Thousand Dollars ($500,000), and any such costs exceeding said sum shall be borne equally by the County and the City. Section 4. In the event the City of Miami resolves to sell "Property No. 3" and "Property No. 4", (as designated in "Attachment No. 1", attached hereto and made a part hereof and as more particularly described in the Agreement), the City of Miami shall offer the County the right of first refusal for a period not to exceed ten (10) years from the date of execution of the Agreement. Section 5. This Resolution shall became effective immediately upon its adoption. CITY OF MIAMt{, FLORIDA INTER -OFFICE MEMORANDUM 34 i TO : Honorable Mayor and Members BATE MAY 3 ! 1994 FILE of the City Commission suWECT Agenda Item for City Commission Meeting of June 9, 1994 FROM : Ce REFERENCES CiVe ENCLOSURES: �c41Mt1gt�'an It is respectfully recommended that the City Commission approve the attached Resolution in its entirety authorizing the City Manager to enter into a purchase and We agreement with Metropolitan Dade County for the sale of the City -owned property more commonly known as the "Motor Pool Property". ]Back- und The City Manager and the Office of Asset Management recommend the adoption of the attached Resolution authorizing the City Manager to execute a Purchase and Sale Agreement with Metropolitan Dade County. The terms and conditions are as follows: Purchase Price: $6,000,000 Payment Terms: All cash Promises Offered: The City offers the premises described as arcs "2" in the attachment in an "as is" condition, except that the City of Miami agrees to pay one-half (1/2) of any environmental clean-up cost that exceeds S500,000. Dade County shall bear the sole cost of the first $500,000 of any such clean-up cost. Additional Consideration: Metropolitan Dade County agrees to waive the last year of the City of Miami's remaining two you pledge to the Ryder Trauma Center in the amount of W0,000. The City agrees to offer Metropolitan Dade County the right of fast refusal on those parcels owned by the City of Miami described as area "3" and area "4" in the attachment. Other Terms: This Purchase and Sale Agreement will be in a form acceptable to the City Attorney and subject to any additional terms and conditions as may be deemed necessary. 94- 516 3V-P
