RESOLUTION NO. 9 4- 262
A RESOLUTION AUTHORIZING THE CITY
MANAGER TO EXECUTE AN AMENDMENT, IN A
FORM ACCEPTABLE TO THE CITY ATTORNEY, TO
THE PROFESSIONAL SERVICES AGREEMENT WITH
MRA INTERNATIONAL, INC., INCREASING THE
MAXIMUM AMOUNT OF THE COMPENSATION TO AN
AMOUNT NOT TO EXCEED ONE HUNDRED
THOUSAND DOLLARS ($100,000.00);
ALLOCATING FUNDS THEREFOR FROM SPECIAL
PROGRAMS AND ACCOUNTS.
WHEREAS, the City Commission, by adopting Resolution
No. 94-76 on February 17, 1994, authorized the City Manager to
execute a professional services agreement (the "Agreement") with
MRA International, Inc. ("Consultant"), to provide expert
planning and economic analysis for the Bicentennial Park/FEC
Tract Project ("Project") at a cost not to exceed $50,0000.00;
and
WHEREAS, the Agreement was executed on March 15, 1994; and
WHEREAS, the services of the Consultant continue to be
necessary in order for the City to refine the concepts for site
uses, infrastructure improvements, site design and economic
feasibility of the Project;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:

Section 1.
The recitals and findings contained in the
Preamble to this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set forth in this
Section.
Section 2. The City Manager is hereby authorized`/ to
execute an amendment, in a form acceptable to the City Attorney,
to the Agreement increasing the amount of the funds available to
fund the cost of the Consultant's services to an amount not to
exceed ONE HUNDRED THOUSAND DOLLARS ($100,000), such funds hereby
allocated from Special Programs and Accounts.
3. This Resolution shall become effective upon its
adoption.

It is respectfully recommended that the City Commission adopt the attached resolution authorizing the City
Manager to execute an amendment to the professional services agreement with MRA International, Inc.
increasing the fee by fifty thousand dollars ($50,000) and extending the term of the agreement.
BACKGROUND
The Port of Miami has proposed certain improvements to the downtown waterfront properties known as
Bicentennial Park and the FEC property that would constitute implementation of the Miami Downtown
Waterfront Master Plan adopted by the City Commission on May 28, 1987 (Resolution 87-515).
The consultanting firm of MRA International was contracted with on February 17th, 1994 (Resolution 94-76)
to provide expert assistance to the City of Miami in developing and refining Master Plan development
concepts to provide the basis for an Interlocal Agreement with Dade County to implement the project.
The scope of work for the contract has been completed but the continuing negotiations with Dade County
and development of the final terms of the Interlocal Agreement to implement the project will require additional
work to complete. It is considered essential to the City's efforts to complete the Interlocal Agreement that
MRA be retained to provide professional assistance.

This will confirm my notice to you today that the Parks Preservation Article of the
Metro Charter applies to Bicentennial Park and prohibits its reconveyance to the City of
Miami under the conditions contemplated. At the time the Amendment was adopted the
title to Bicentennial Park resided in Dade County. The Parks Charter Article specifically
applies to parks lands owned by the County within any municipality even though the
municipality rejected the Parks Article.
The Parks Preservation Article provides:
"No park facilities shall. . . .be
converted to or used for non -park
offices, purposes, or uses."
"The provisions of this Article shall
be liberally construed in favor of
the preservation of all park lands,
aquatic preserves, and preservation
lands.

A conveyance by the County is clearly a conversion and in view of the Pre -
Development Agreement proposed between the County and the City of Miami the lands are
proposed to be reconveyed for use for a number of non -park purposes.
