HomeMy WebLinkAboutR-94-00831 2/17/94 f, RESOLUTION NO. 4 " 3 t A RESOLUTION APPOINTING INDIVIDUALS TO THE BOARD OF DIRECTORS OF THE PERFORMING ARTS CENTER TRUST (PACT) FOR TERMS AS MORE PARTICULARLY DESIGNATED HEREIN; FURTHER, AMENDING RESOLUTION NO. 93-168, ADOPTED MARCH 11, 1993, TO REFLECT AND EFFECTUATE ONE OF THE APPOINTMENTS. WHEREAS, on April 2, 1991, the Metropolitan Dade County; Commission approved a Governance Plan which provides that the "new" Performing Arts Center Trust (PACT) will consist of a 34-member board operating in the "sunshine"; and WHEREAS, the Governance Plan further provides that the City of Miami Commission shall appoint three members to the Board of Directors of said Trust; and WHEREAS, one vacancy currently exists on said Board of Directors to be filled by a City of Miami Commission appointee; and WHEREAS, the City Commission also desires to appoint Commissioner Wifredo Gort to the position held by former Commissioner Miriam Alonso, who was appointed pursuant to Resolution No. 93-168, adopted March 11, 1993; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Seotion. s ,�t se + PREPARED AND APPROVED BY.- qy . The nominations process, which Involved public advertisements and pro -active recruitment by the Trust, resulted In the submission of 52 nominations providing an authentic representation of the diversity of our community. Pursuant to the appointments process in the Trust's Articles of Incorporation, we would appreciateyour forwarding these recommendations to the City Commission for consideration and formal action. Wo CULTURAL AFFAIRS COUNCIL SUITE 625 Ill N.W. 1st STREET MIAMI, FLORIDA 331281984 TELEPHONE: (305) 375.4634 FAX: 375.3068 EXCERPT FROM PACT ARTICLES OF INCORPORATION OUTLINING THE APPOINTMENT PROCESS 4.8 Filling of Vacancies: Upon the occurrence of any vacancies of a Designated Director the corresponding Designated Primary Artistic Organization shall designate a replacement to fill such vacancy. The City of Miami or City .of Miami Beach Commiss'lons shall appoint a person to fill any vacancy of either of their respective Director positions, the Dade County Public School Board shall appoint a. person to fill the vacancy of their Director position, and the Board of County Commissioners shall appoint a person to fill any other vacancy. Appointments by the City Commissions, the School Board and by the County Commission shall follow the ,procedures of Section 6.6. Each person selected to fill such vacancy shall hold office for the unexpired term of his/her predecessor In office. 6.6 - Nominating Committee: The Nominating Committee shall consist of five voting members of the Corporation. At least thirty days prior to each annual meeting of the Corporation, ..and as frequently as is necessary to fill vacancies in unexpired terms of Directors, the Nominating Committee shall prepare and submit to the Board of County Commissioners and to the appropriate City Commissions or to the School Board a slate of nominees for the election of Directors. Other candidates whose consent has-been obtained may be placed in nomination for expired terms by the written petition of any five voting members of the Corporation. Any such petition shall be filed with the Secretary at least fifteen days prior to the annual meeting and shall be announced with the Nominating Committee's slate to the Board of County Commissioners. For each vacancy the Nominating Committee shall submit the names of three nominees. The Board of County Commissioners, and each City Commission and the School Board will select one Director from the three names submitted by the. Nominating Committee or other names duly submitted by petition. If the. Board of County Commissioners, or either City Commission or the School Board does not hind the Nominating Committee's slate acceptable or any of the other names submitted to It by written petition acceptable, it may request the Nominating Committee to submit a new slate. 94" 83
