FROM : Ce s i o Cit ager Recommendation DATE : APR 2 6 1994 FILE Discussion Item SUBJECT : Recommendations for Future Composition of DDA Board of Directors REFERENCES: ENCLOSURESPor April 28, 1994 City Commission Meeting It is respectfully requested that the City Commission review and discuss the attached Resolutions containing recommendations from the Downtown Development Authority. (DDA) Board of Directors and the Downtown Property Owners Ad Hoc Committee regarding the future structure and composition of the DDA Board of Directors. Background At its meeting of March 22, 1994, the DDA Board of Directors passed Resolutions requesting that the City Commission defer action on restructuring the DDA Board to allow time for preparation of recommendations from the Board and for scheduling a Town Meeting of Downtown property owners to solicit their input as to the future structure and composition of the Board. At its meeting of March 24, 1994, the City Commission granted the DDA 30 days to solicit recommendations from DDA Board and its constituent property owners as to the future structure and composition of the DDA Board of Directors. The DDA Board of Directors met on Monday, April 4► 1994 and passed a Resolution presenting its recommendations as to future size, composition and process for selection of members to the Board (See Attachment A). A total of 53 Property Owners met at a Town Meeting on Tuesday, April 5, 1994 to discuss the future structure and composition of the DDA Board and established an Ad Hoc Committee to review the DDA Board's recommendations and to prepare Committee Recommendations as to the future Board. on Monday, April ill 1994, the Ad Hoc Committee met and formulated its recommendations for presentation to the DDA Board for consideration (See Attachment B). �4- The Honorable Mayor and Members of the City Commission page 2 { On Tuesday, April 12, 1994, the DDA Board met to consider the recommendations of the Ad Hoc Committee. The Board rejected the recommendations of the Committee and reaffirmed its original recommendations. On Monday, April 18, 1994, the Ad Hoc Committee met to consider the action of the DDA Board of Directors and to review its position. The Committee reaffirmed its previous recommendations and elected to contact other property owners for additional input and to meet again on Tuesday, April 19, 1994 to formulate final recommendations for presentation to the City Commission. The final recommendations of the DDA Board and the Ad Hoc Committee will be submitted prior to the April 28, 1994 City Commission Meeting. The DDA Board recommends a 19-member board composed of one (1) appointment from the State of Florida Cabinet, one (1) appointment from the Metro Dade County Commission, six (6) recommended appointments from the Miami City Commission [one (1) of said six (6) to be a member of the City Commission and shall serve as Chairperson of the Board], at least one (1) froin each of the Brickell, Core, Park West and Omni areas and seven (7) from the DDA District at large, representative of, or reflecting the, diversity of business and geographic interests within the existing DDA District. Nominations for membership on the DDA Board of Directors shall continue to be made by the DDA Board of Directors and confirmed by the Miami City Commission. Future DDA Board members shall be property owners, or reside, or work, or have a place of business within the DDA District. The attached resolution was adopted by the DDA board at a meeting held on April 12, 1994. The Board also had held a meeting to discuss this topic on April 4, 1994. Members of the Board also attended a town meeting called by downtown property owners on April 5, 1994, at which more than 50 people attended to discuss the future of the DDA Board. A representative of the property owners also attended the Board's April 12th meeting at which the DDA Board requested that this resolution be submitted to the members of the City Commission. c: Members of the DDA Board 3 �:�4- 320 RESOLUTION NO. /94 A RESOLUTION OF THE BOARD OF DIRECTORS OF THE. The DDA Board of Directors shall be down -sized from its present twenty-nine (29) members to a total of nineteen (19) . Section 2. The DDA Board of Directors requirements for membership shall be enforced; including participation, residence or place of business. Section 3. Any DDA Board Member absent from a regularly scheduled Board Meeting on Three (3) consecutive or Four (4) total occasions within a Twelve (12) month period shall be considered removed from the DDA Board of Directors. The following property owners and/or representatives (including other interested parties) were in attendance: Loretta Cockrum (Foram Group/600 Brickell) Barry Cohen (Barry R. Cohen & Assoc./Park West Property Owner) Chuck Dunn (Miami. Center) Robert Gusman (Ingraham Building) Sharon Haines (Miami Center) Abbas Kassem (Flagler 251 Inc.) Lynn B. Lewis (Lynn B. Lewis, PA/Brickell Area Association) Jack Lowell (Summa Properties) Dale Marcellus (Jaymont Management/One Biscayne Tower) Tim Prunka (Gerald Hines/First Union Financial Center) Nancy Restrepo (Burdines/General Manager) Mark Smith (Winthrop Management/International Place) Johnny Winton (WynCo Realty) Bob Zoeller (Omni International Mall) Upon consideration and discussion of the three main issues (size, composition of the Board and how Board Members would be selected), the committee recommends the following: A DDA Board of Directors to be composed of 11 members representing the following: One Member to be named by the State of Florida 9 4 - 320 One Member to be named by Metro Dade County One Member to be named by the City of Miami (A Member of the City Commission who would also serve as Chairman of the Board) DDA Board of Directors/Recommendations page 2 i One Member from the Brickell Area One Member from the Central Business District i One Member from the Park West Area One Member from the Omni Area Four Members "At Large" to be chosen from the DDA District as a whol e The eight members chosen from the four major areas of Downtown and from the District at large would be required to be property owners or property owner representatives. In formulating the recommendations, the committee discussed the merits of having representatives from various Downtown sectors, i.e, retail, hotel and the like or based on the percentage of tax dollars contributed. It was the consensus of the committee that future board members be selected on the basis of their broad base of involvement in Downtown and Downtown issues, general knowledge of Downtown as a whole and a philosophy that, regardless of individual orientation and background, the primary prerequisite would be a global vision and commitment to issues affecting the entire DDA _D_is_t_rict; support and promotion of economic development, without prejudice, for every area or neighborhood of Downtown Miami. The selection of members from each of the four Downtown areas (Brickell, Core, Park West and Omn-0. would come from a Town Meeting Format conducted, in conjunction with the DDA, by the Brickell .Area Association, Downtown Miami Inc., the Park West Association and the Omni Venetia Committee/Greater Miami Chamber of Commerce; respectively. All property owners within the subject area would be notified. Each area/representative group would nominate one member and 2 or more alternates. The four recommended members and the three public officials (State, County and City) would then select the remaining four "at large" members from among the group of alternates. As a result of these meetings, the Committee recommends a DDA Board of Directors to be comprised of up to, but no more than 15 members as follows: -1 Member to be named by the State of Florida -1 Member to be named by Metro Dade County -1 Member to be named by the City Commission -2 Members from the Brickell Area -2 Members from the Central Business District -2 Members from the Park West Area -2 Members from the Omni Area -4 Members "At Large", to be chosen from the DDA District. The 12 members chosen from the four major areas of Downtown and from the District at large would be required to be property owners or property owner representative and be representative of the business and ethnic make up of the district. It should be clearly noted that size of the Board was not a major issue to the Committee. The critical issue was that future Board Members should be property owners/representatives. The property owners, by virtue of their responsibility to all their tenants, which include all business classifications within the District, have a significant financial interest in assuring the success of all tenants, regardless of their business classifications. All Property owners who pay the DDA assessment would be notified. Each area/representative group would nominate two members and two alternates. The eight area representatives names would be submitted to the Miami City Commission for confirmation. The eight confirmed members and the three public officials (State, County and City) would then select the remaining four "At Large" members from the group of alternates. It should be noted that the eight members from four major Downtown areas/associations would be organization seats, representing their respective groups and not appointed as individuals. The twelve Board members would serve two year staggered terms and their reappointment would be evaluated by the active Board Members, as the case may be. The Ad Hoc Committee Members (property owners/representatives listed on the following pages), respectfully request that the Miami City Commission adopt the preceding recommendations of the Ad Hoc Committee as the basis for future composition and structure of the DDA Board of Directors.
