AFFIRMATIVE VOTE OF THE MEMBERS OF THE -
CITY COMMISSION, AFTER A DULY ADVERTISED
PUBLIC.' HEARING, RATIFYING, APPROVING AND
CONFIRMING THE CITY MANAGER'S FINDING OF
SOLE SOURCE, WAIVING THE REQUIREMENTS
FOR COMPETITIVE SEALED BIDS AND APPROVING
THE ENGAGEMENT OF JOHNSON CONTROLS, INC.,
200 OAKWOOD LAND, HOLLYWOOD, FLORIDA, ON
A CONTRACT BASIS FOR A PERIOD OF ONE (1)
YEAR, RENEWABLE ANNUALLY, SUBJECT TO AN
ANNUAL FINDING OF SOLE SOURCE BY THE CHIEF
PROCUREMENT OFFICER, AND CONFIRMED BY
THE CITY MANAGER, TO PROVIDE PREVENTIVE
MAINTENANCE AND REPAIR SERVICES FOR THE
EXISTING JOHNSON CONTROLS META SYSI"
BUILDING MANAGEMENT SYSTEM AT THE CITY -
OWNED BUILDING LOCATED AT 400 SOUTHWEST
2 AVENUE, MIAMI, FLORIDA, AT A PROPOSED
FIRST YEAR COST OF $14,400, AUTHORIZING THE
CITY MANAGER TO EXECUTE A PROFESSIONAL
SERVICES AGREEMENT, IN A FORM ACCEPTABLE
WITH THE CITY ATTORNEY, WITH JOHNSON
CONTROLS, INC. FOR THIS PURPOSE, ALLOCATING
FUNDS THEREFOR FROM ACCOUNT CODE NO.
921135-772; FURTHER AUTHORIZING THE CITY
MANAGER TO INSTRUCT THE CHIEF
PROCUREMENT OFFICER TO ISSUE A PURCHASE
ORDER FOR THIS SERVICE.
WHEREAS, the City of Miami recently purchased the building located at 400
Southwest 2 Avenue, Miami, Florida; and

WHEREAS, this building contains a Johnson Controls Metasys"" Building
Management System which monitors fire alarms, security and HVAC systems; and
WHEREAS, Johnson Controls, Inc. is the sole manufacturer of the existing
Metasysbuilding management system, and
WHEREAS, the operating and maintenance software for the system is proprietary
to Johnson Controls, Inc., and
WHEREAS, it is in the best interest of the City of Miami to have a preventive
maintenance contract including parts and labor for this system in order to: 1) ensure the
Metasyssystem and the systems it monitors are operating effectively and efficiently, 2)
ensure the Metasyssystem is operational at all times, 3) protect the Metasys'T'
system's warranty, and 4) protect the City's investment in the property, and
WHEREAS, funding for said service is available from Account Code
No. 921135-772,
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA,
Section 1. The recitals and findings contained in the Preamble to this
Resolution are hereby adopted by reference thereto and incorporated herein as if fully set
forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote of the members of the City
Commission, after a duly advertised public hearing, the City Manager's finding that
Johnson Controls, Inc. is the sole source provider of certain professional services as
required to operate and maintain the Metasys'"4 Building management system, is hereby
ratified, approved and confirmed.

Section 3. The requirement for competitive sealed bids is hereby waived and
the engagement of Johnson Controls, Inc., a sole source provider, to provide maintenance
and repair services of the Metasys""' building management system is hereby approved,
with funds therefor, in an amount not to exceed $14,400, hereby allocated from Account
Code No. 921 135-772.
Section 4. The City Manager is hereby authorized' to execute a professional
services agreement, in a form acceptable to the City Attorney, with Johnson Controls, Inc.
for this purpose and thereafter to extend said agreement under the same terms and
conditions, subject to annual price increases, if any, for additional one year periods,
subject to the availability of funds and an annual written finding by the Chief Procurement
Officer, confirmed by the City Manager, that Johnson Controls, Inc. is the sole source for
said service.
Section 5. The City Manager is hereby further authorized to instruct the Chief
Procurement Officer to issue a purchase order for these services.
Section 6. This Resolution shall become effective immediately upon its
adoption.
' The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City
Charter and Code provisions.

It is hereby requested that the City Commission adopt the attached Resolution, by a four -fifths (4/5ths) affirmative
vote of the members of the City Commission, after a duly advertised public hearing, ratifying, approving and
confirming the City Manager's finding of sole source; waiving the requirements for competitive sealed bids and
approving the engagement of Johnson Controls, Inc., 200 Oakwood Land, Hollywood, Florida, on a contract basis
for a period of one (1) year, renewable annually, subject to an annual finding of sole source by the Chief
Procurement Officer, confirmed by the City Manager, to provide maintenance and repair services for the existing
Johnson Controls Metasys M Building Management System at the City -owned building located at 400 Southwest 2
Avenue, Miami, Florida, at a proposed first year cost of $14,400; authorizing the City Manager to execute a
professional services agreement, in a form acceptable with the City Attorney, with Johnson Controls, Inc. for this
purpose; allocating funds therefor from account code no. 921135-772; further authorizing the City Manager to
instruct the Chief Procurement Officer to issue a purchase order for these services.
BACKGROUND
The Office of .Asset Management has prepared the attached resolution for consideration by the City Commission.
On October 16, 1995, the City of Miami purchased the building located at 400 SW 2 Avenue, Miami, Florida. This
building contains a Johnson Controls MetasysTM Building Management System which monitors fire alarms, security
and HVAC systems. Johnson Controls, Inc. is the sole manufacturer of the existing MetasysTnt building
management system and the operating and maintenance software for the system is proprietary to Johnson Controls,
Inc.
In order to: 1) ensure the Metasysr"i system and the systems it monitors are operating effectively and efficiently, 2)
ensure the MetasysTM system is operational at all times, 3) protect the MetasysTM system's warranty, and 4) protect
the City's investment in the property, it is recommended that the City enter into an agreement with Johnson Controls
for maintenance and repair services for this equipment.
It is therefore recommended at this time that the City Commission ratify the City Manager's finding of sole source
and authorize the City Manager to execute an agreement with Johnson Controls, Inc. for maintenance and repair
services for this equipment at a proposed first year cost of $14,400 and thereafter to extend said agreement under
the same terns and conditions, subject to annual price increases, if any, for additional one year periods, subject to
the availability of funds and an annual written finding by the Chief Procurement Officer, confirmed by the City
Manager, that Johnson Controls, Inc. is the sole source provider. The agreement shall provide that either party may
terminate the agreement upon providing thirty days notice to the other party.

This memorandum serves to request that you approve a finding that Johnson Controls, Inc. is the
sole source provider of products and services for the existing Johnson Controls MetasysTM
Building Management System located within the building at 400 SW 2 Avenue, as allowed by
Florida Statute 255.04 on Public Property and Publicly Owned Buildings.
Johnson Controls, Inc. is the sole manufacturer of the existing MetasysTM building management
system. The engineering, original design and installation of the system was executed by Johnson
Controls. In addition, the operating and maintenance software for the system is proprietary to
Johnson Controls. Johnson Controls is the only service provider in South Florida with factory
trained and licensed technicians capable and authorized to service the system.
The proposed agreement with Johnson Controls, Inc. will be for an initial one year period at a
total cost of $14,400 payable in twelve equal monthly installments of $1.200. The agreement
provides for scheduled service visits of the building management system, schedule service
materials, repair materials, labor and training. The agreement will be automatically renewed for
additional one year periods unless either party notifies the other party in writing at least 30 days
prior to the end of the term, that it does not want to renew. Johnson Controls will provide the City
of any price adjustments for a renewal period at le days prior to the comme cement of the
renewal period. n

An investigation was conducted by the Procurement Management staff to determine whether
Johnson Controls, Inc. a non-minority/non-local vendor is the sole source supplier of the products
and services for the existing Johnson Controls Metasys Building Management System located within
the newly acquired building. This building contains a Johnson Controls Metasys Building
Management System which monitors fire alarms, security and HVAC Systems.
The engineering, original design and installation of the system was executed by Johnson Controls.
In addition, the operating and maintenance software for the system is proprietary to Johnson
Controls. Johnson Controls is the only service provider in South Florida with factory trained and
licensed technicians capable and authorized to service the system.
The proposed agreement with Johnson Controls, Inc. will be for an initial one year period at a

A public hearing will be held by the City Commission of the Miami, Florida on November 16,
1995 at AM in the City of Miami Commission Chambers at City Hall, 3500 Pan
American Drive, Miami, Florida, for the purpose of considering a waiver of the requirements of
obtaining sealed bids for the engagement of Johnson Controls, Inc. on a contract basis for one
year, renewable annually, subject to an annual finding of sole source by the Chief Procurement
Officer, confirmed by the City Manager, to provide maintenance and repair services for the
existing Johnson Controls MetasysTM Building Management System at the City -owned building
located at 400 SW 2 Avenue, Miami, Florida at a first year cost of $14,400.
