A RESOLUTION APPOINTING TWO INDIVIDUALS TO SERVE AS MEMBERS OF THE BOARD OF DIRECTORS OF THE PERFORMING ARTS CENTER TRUST (PACT) TO FILL UNEXPIRED VACANCIES EXPIRING DECEMBER 31, 1995. BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The following individuals are hereby appointed to serve as members of the Board of Directors of the Performing Arts Center Trust (PACT) to fill unexpired vacancies expiring December 31, 1995: NAME: J.L. Presently, two vacancies exist on the Performing Arts Center Trust (PACT) which are to be frtted by two City of Miami representatives. These two seats may be filled by -City of Miami Commissioners and were formerly occupied by Commissioner Dawkins and former Commissioner Miriam Alonso. The City of Miami has a total of three seats on PACT. Currently, the only City of Miami member serving on PACT is Henry Courtney, Esq. On May 5, 1994, the City Commission adopted Resolution 94-319 confirming Commissioner Dawkins' appointment and appointing Commissioner Gott to the seat previously occupied by Mrs. Alonso. However, Commissioner Gort's appointment was not accepted by PACT because under PACT's_Articles of Incorporation, the process for removal of an existing member (at this time, Mrs. Alonso) had not been complied with by the City. However, as of April 11, 1995, both Commissioner Dawkins and Mrs. Alonso were removed from PACT by Its board due to noncompliance with attendance requirements to board meetings. Under PACT's Articles of Incorporation, the appointment of new members must be made from a slate of nominees proffered by the Performing Arts Center Trust Nominating Committee and approved by the board of the PACT. The following slates are being forwarded for consideration by the City Commission for appointment to the PACT: Slate #1 Slate #2 Wifredo (Willy) Gort Victor H. De Yurre Eleanor Kluger Eleanor Kluger Peter Loblack Janet M. Smiljanic The City Commission is to make two at -large appointments, picking one name from each one of the two slates. At least thirty days prior to each annual meeting of the Corporation, and as frequently as is necessary to fill vacancies in unexpired terms of Directors, the Nominating Committee shaU prepare and submit to the Board of County Commissioners and to the appropriate City Commissions or to the School Board a slate ofnominees for the election'ofDirectors. Other candidates whose consent has been obtained may be placed is nomination for expired tmm. s by the written petition of any five voting members of the Corporation. Any such. petition shall he filed with the Secretary at least fifteen days prior to the annual meeting and shall be announced with the Nominating Committee's slate to the Board of County Commissioners. For each vacancy the Nominating Committee shall submit the nowes of three nominees. The Board of County Commissioners, and each City Commission and the School Board will select one Director from the three names submitted by the Nominating Committee or other names duly submitted by petition. If the Board of Cotuity Commissioners, or either City Commission or the School Board does not find the Nominating Committee's slate acceptable or any of the other names submitted to it by written petition auceptablo, it way request the Nominating Committee to submit a new slate. 9c;— 610 nq;V
