Section 1. The following individuals are hereby

As a result of work done by representatives from the City of Miami,
the City of Miami Beach and Metro Dade County, the Board of County
Commissioners, on October 7, 1994, adopted Dade County Ordinance
No. 94-187, creating the Dade County Visitor Industry Voluntary
Educational Service Training Trust.
The Governing Body of the Trust is composed of 28 voting members of
which 2 members shall be appointed by the City of Miami Commission.
A non -voting ex officio member shall also be appointed by the City
of Miami. The Board of County Commissioners has already appointed
the 15 representatives nominated by the Greater Miami & The Beaches
Hot al Association and we anticipate the .ather 8 members will be
appointed soon. In order for the Trust to have its full
composit a, we need your City Commission to name your
represer. =fives. For your convenience, refer to Section 2-B,
Paragraphs 3 and 4 of the enclosed Ordinance for the eligibility
recuirements for these members.
Since time is of the essence in this matter, please submit to me
the names of your representatives once they are appointed.

AND TENURE, POWERS, DUTIES AND FUNCTIONS •AND _
STAFF SUPPORT; , PROVIDING .SRVERABILITY,
INCLUSION IN THE CODE, AND AN EFFECTIVE DATE
BE IT ORDAINED BY THE BOARD OF COUNTY COMMISSIONERS OF DADE
COUNTY, FLORIDA:
section I. Section of. the Code of Metropolitan Dade
County, Florida, is -hereby created to read as follows:
Sec. 1. Creation of the Dade County Visitor Industry
Voluntary Educational Service Training Trust.
There is hereby created and established as an agency and
instrumentality of Dade County a revocable trust which
shall be named and known as the Dade County Visitor
Industry Voluntary Educational Service Training Trust
"the Trust"). The Trust shall be a public body through
which its governing body may exercise all those powers
either specifically granted herein or necessary in the
exercise of the powers herein enumerated.
Sec. 2. Governing Body.
A. The governing body of the Trust shall be a Board of
Trustees composed of twenty-eight (28) voting
members and three (3) non -voting ex off icio members.
Upon execution by a local jurisdiction other than
the jurisdictions specifically clamed herein of the
interlvcal agreement hereinafter described, one (1)
voting member from that jurisdiction shall be added
to the Trust. Upon the withdrawal of a local
jurisdiction from participation in such interlocal'
agreement, the voting member representing that local
jurisdiction shall be removed from the Trust.
Trustees shall serve without compensation but shall
be entitled to reimbursement for necessary expenses
incurred in the discharge of their duties.
B. Composition. The voting membership of the Board of
Trustees shall be ethnically, racially and gender
balanced and shall be composed of the following r�

(1) Fifteen (15) members of the visitor industry,
all of whom shall be owners or operators of tourist
accommodations in the county, and all of whom shall
be nominated by the Greater Miami and The Beaches
Hotel' Association and selected by the Board of
County Commissioners;
(2) Eight (8) members, at least one of whom is a
member of'organized labor and at least four of
whom are .iotherwise involved in the tourist
industry, and who have demonstrated an interest in
tourist. development, but who are not directly
involved in the -ownership or operation of tourist
accommodations, and who are not County
Commissioners, who shall be appointed by the Board
of County Commissioners;
(3) Three (3) me*ers to be appointed by the City of
Miami Beach, and two (2) members to be appointed by
the City of Miami, all* of whom shall be nominated
and selected by their respective city commissions,
and who .shall .have demonstrated an interest in
tourist development, but who are not directly
involved in...the ownership or operation of tourist
accommodations and who are not employees or Commis-
sioners of their respective municipalities; and
(4) One representative each from the professional
staff - with -•responsibility for tourism issues from
each of .the following:
a. City. •of !Miami Beach; -
b. City of - Miami;
C. Metropolitan Dade County;
all of whom shall be ex officio, non -voting members.
(5) -.Members who fill positione created pursuant to
subsection .--(A) shall be nominated and selected by
the governing body of the, local jurisdiction that
has executed the interlocal agreement described
below. -
Vacancies on the Board of Trustees shall be filled
in the -same manner by which the original Trustees
were appointed.
The requirements of Section 2-11.38 of the Code of
Metropolitan Dade County, with respect to membership
on more than one -county Board, shall not apply to
the Trust.

Qualifications. Except as provide•. ,y subsection
(8) (S) above, each member of the Board of Trustees
must comply with requirements of Chapter 2-11.36 of
the Code -of Metropolitan Dade County.

2. Meetings. The -Board of Trust*es shall hold
regular meetings at least qua wrly and such
other meetings as it deems .itcessary. A
majority of the voting members of the Trust
shall constitute* a -quorum. Minutes shall be
kept of all mt. •.:tinge of the Trust and all
,meetings shall be public.
3. Committees. The Trust. shall appoint any
committees it deems necessary.
F. Applicability of County rules and procedures. The
Trust shall at all times operate under.the Florida
open Government laws, including the "Sunshine Laww,
public meeting laws and public records laws and
shall be governed by all State and County conflict
of interest laws, as applicable, including the
Metropolitan Dade County Conflict of Interest and
Code of Ethics Ordinance, Sec. 2-11.1 of the Code of
Metropolitan Dade County. G%

G. Voting requirements. Only those members specifi-
cally appointed and selected to serve as voting
Trustees may vote. Trustees may not designate or
appoint alternates .to serve or vote on their behalf.
Sec. 3. Powers and Auties of the Trust.
The Trust shall have the following powers, duties,
functions and responsibilities:
A. To serve in an advisory capacity to the Board of
County Commissioners with respect to all issues
affecting or relating to service training programs
for personnel in the visitor service industry;
B. To submit•.to the Board of County Commissioners an
annual budget and plan for use of the 'Voluntary
Educational Service Training Fund. The Trust Fuud
shall consist of all funds collected from whatever
sources for the purpose of creating and administer-
ing educational service training programs for
personnel in the visitor industry, and shall .be
administered- ;by - the- Trust' pursuant to an- adopted
annual budget and plan.
C. To enter into. contracts and grants .from. -the Trust
Fund to organizations, entities and agencies
providing. ' services pursuant* to -the - app-roved plan,
and to receive other such funds, grants and
-donations as •>may be given to,- the Trust. ' '
M.. To : summit.: annually to all participating
jurisdictions a report summarizing and evaluating
all :programs end .activi'ties underta:k6w.by the Trust
during the previous fiscal year. The report shall
include an audit -and accounting; in`accordance with
generally accepted accounting principles, of all
funds received and expended.
Sec. 4. Staff support.
The participating jurisdictions shall provide appro-
priate staff support to.. enable the Trust to carry
out its duties and responsibilities, in accordance
with interlocal agreements. The Visitor Industry
shall also provide appropriate support in accordance
with the interlbcal'agreement.
Sec. S. Funding sources of the Trust Fund.
Initially the Trust Fund shall be established as
follows:

Section 2.
If any section, subsection, sentence, clause or
provision of this
ordinance is held invalid, the remainder of this
ordinance shall not be affected by,such invalidity.
Section 3. It is the intention- of ..the Board of County
Commissioners, and is hereby ordained that 'the -provisions of this

ordinance shall become and be made -a: part -of the code of
Metropolitan Dade County, Florida. The sections of this ordinance
may be renumbered or relettered'to accompl-lsh such intention, and
the word "ordinance" may be 'changed to "section," "article or
other appropriate word.
Section 4. This ordinance shall become effective then (10)
days after the date of enactment.
