Article V of The Minority Participation _ Componont of tail co�ztractual _agrn_ement_....(.entit1.ed "Foundation") required The Rouse Company to establish and fund a Foundation which is known as Miami Bayside Foundation, Inc. (The Foundation). The purpose of the Foundation was to create and administer a loan guaranty program for venture capital loans to Minority Business Enterprises, provide technical assistance to local community development corporations engaged in economic development, and create a vocational/educational scholarship fund for minorities. Pursuant to the agreement The Foundation was to be governed by a Board of Trustees comprised of 15 members with one-third (5) of the directors appointed by the City of Miami, one-third (5) appointed by The Rouse Company and one-third (5) of the directors representing community organizations and elected by the balance of the board. Miami Bayside Foundation, Inc. has been in existence since 1985 and is a contractual, requirement of The Rouse Company's contract. We have discovered that the City adopted an ordinance abolishing several of its boards, including the Miami Bayside Foundation Board. It is requested that the City rescind the decision to abolish the Miami Bayside Foundation Board.
