A RESOLUTION, WITH ATTACHMENTS, APPROVING THE
DESIGNATION OF WIND & RAIN, INC. ("PROJECT SPONSOR"), A
FOR -PROFIT CORPORATION, AS SPONSOR TO UNDERTAKE THE
DEVELOPMENT OF SIX (6) NEW SINGLE FAMILY HOMES
AFFORDABLE TO FAMILIES AND INDIVIDUALS OF LOW AND
MODERATE INCOME ON FIVE (5) CITY -OWNED VACANT
PARCELS LOCATED IN THE COCONUT GROVE
NEIGHBORHOOD, WHICH ARE MORE PARTICULARLY AND
LEGALLY DESCRIBED IN EXHIBIT "A", ATTACHED HERETO,
SUBJECT TO SAID CORPORATION PROVIDING EVIDENCE
ACCEPTABLE TO TIIE CITY OF FIRM COMMITMENTS FOR
PROJECT CONSTRUCTION AND PERMANENT FINANCING;
DIRECTING THE AFOREMENTIONED PROJECT SPONSOR TO
FINALIZE HOUSING PLANS AND SPECIFICATIONS,
CONSTRUCTION SCHEDULE FOR COMPLETION WITHIN
TWELVE (12) MONTHS FROM THE DATE OF CONVEYANCE OF
PARCELS BY THE CITY; ESTABLISHING $24,900 AS THE
REIMBURSEMENT AMOUNT TO BE PAID BY WIND & RAIN, INC.
TO THE CITY OF MIAMI FOR SAID PARCELS FOR ITS COST OF
SITE ACQUISITION; FURTHER ESTABLISHING $80,990.00 AS THE
MAXIMUM SALE PRICE FOR EACH NEWLY CONSTRUCTED
SINGLE FAMILY HOME TO BE SOLD TO THE PROSPECTIVE
HOMEBUYER; AUTHORIZING TIIE CITY MANAGER TO
EXECUTE THE APPROPRIATE LEGAL DOCUMENTS IN FORMS
ACCEPTABLE TO THE CITY ATTORNEY, CONVEYING SAID
PARCELS, SUBJECT TO CERTAIN TERMS AND CONDITIONS.
WHEREAS, there exists in the City of Miami, a severe shortage of housing within
the affordability range of families and individuals of low and moderate income; and
WHEREAS, the City Commission recognizes that participation of both the public
and private sector is necessary to foster the development of housing affordable to low and
moderate income families and individuals in the City; and

WHEREAS, on July 25, 1996, through Resolution No. 96-576, the City
Commission approved the designation of Wind & Rain, Inc., as the sponsor for the
development of six (6) new single family biomes, on five (5) city -owned vacant parcels
located in the Coconut Grove neighborhood, affordable to low and moderate income
homebuyers; and
WHEREAS, pursuant to Resolution No. 96-576, the aforementioned action was
subject to Wind & Rain, Inc. constructing a comparable housing unit to that of Palmetto
Homes of Miami, Inc., for two thousand dollars ($2,000) less, in addition to the City
Commission's review and approval of the housing plans and specifications; and
WHEREAS, in an effort to promote the development of affordable housing in the
City, the City Administration recommends the granting of development rights to Wind &
Rain, Inc., for the development of six (6) new single family homes on the city -owned
parcels in the Coconut Grove neighborhood, subject to certain terms and conditions;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution
are hereby adopted by reference thereto and incorporated herein as if fully set forth in this
Section.
Section 2. Wind & Rain, Inc., a for profit corporation, is hereby designated, as
Sponsor to undertake the development of six (6) new single homes affordable to low and
moderate income families and individuals on five (5) vacant City -owned parcels located
in the Coconut Grove, neighborhood, more particularly described in Exhibit A, subject to

said corporation providing evidence acceptable to the City of firm commitments for
project construction and permanent financing.
Section 3. Wind & Rain, Inc., is hereby directed to prepare and finalize housing
plans and specifications, construction and permanent financing, construction schedule for
the obtaining of building permits within six (6) months and construction to be completed
within twelve (12) months from the date of site conveyance. Subject parcels to revert -
back to the City if construction is not completed within twelve (12) months from the date
of conveyance.
Section 4. The City Commission hereby establishes $24,900 as the acquisition
amount to be paid by the Sponsor to the City of Miami for said parcels for the subsequent
development of the six (6) new single family homes being planned.

Section 5. The City Commission hereby establishes $80,990 as the maximum
sales price for the new single family homes being planned for construction by Wind &
Rain, Inc. in the Coconut Grove neighborhood.

Section 6. The City Manager is hereby authorized to execute the appropriate f

documents, in forms acceptable to the City Attorney, conveying said parcels, more

particularly and legally described in the attached Exhibit "A.", to the Sponsor. The
acquisition amount for said parcels to be paid the City, shall be placed in the form of a
first or second mortgage lien and satisfied at the consummation of each purchase
transaction. Subordination of said lien shall be subject to review and acceptable by the

City Manager of any further financing provided for the development of the proposed
single family homes.
Section 7. This Resolution shall become effective immediately upon its
adoption.

RE: RESPONSE OF WIND & RAIN TO REQUEST FOR DETAILS
OF HOUSES TO BE BUILT BY WIND & RAIN ON CITY OWNED
LOTS IN WEST COCONUT GROVE, FL.
Honorable Mayor and Honorable Commissioners:
At the July 25, 1996 Meeting of the Commission, Wind & Rain was voted by resolution
(Resolution No.96-576 not available as of this date) to have the opportunity to build single
family homes for purchase by low to moderate Income families on six (6) City owned lots in West
Coconut Grove (Exhibit "A" attached). It is my understanding that you have asked for Wind & Rain
to specify exactly what Wind & Rain will build on these City lots, and for how much and when they
will be sold, and what remuneration the City shall receive upon sale. Fortunately, recently
having built and sold the first three new single family homes constructed by private enterprise
"on spec" (Le., not by the City, or by a not -for -profit, or by someone for their own use) in the
West Grove in several decades, all to low to moderate income first time homebuyers, Wind & Rain
is very happy and confident to say that it is willing to do the following:
1. SALE PRICE Each house will be sold upon completion for $80,990.00. Wind & Rain will be
responsible for any and all cost overruns so that this sale price is a fixed price.
2. HOUSE TO BE CONSTRUCTED. Each house will be the Wind & Rain Model House that has
previously been built and sold at 3416 Frow Avenue, 3618 Charles Avenue, and 3792 Frow
Avenue. These houses are all 3 BR/2 BA concrete block and masonry homes complying with the
latest City building codes. The new houses will have central heat and air conditioning, and come
equipped with a new refrigerator and new range. All Wind & Rain model houses measure 48 ft X
32 ft (1536 sq. ft. under roof) with a front porch measuring 8 ft X 32 ft. Each new homeowner
will be able to select their own carpet (all bedrooms and living room) and the (both baths,
kitchen, and dining roam if desired). All bedrooms, exclusive of closets, are not less than 10ft X
11ft, and the roaster bedroom is 11'2" X 12"8". Full. Blueprints are available for inpgctio a

3. FINANCING FOR NEW HOMEBUYERS . As with the previous three new houses sold by Wind &
Rain, Wind & Rain will assist all prospective homeowners to obtain a first mortgage with a
private bank and a second mortage through the City of Miami's HOME program.

4. EREFERENCES FOR CITY EMPLOYEES. While Wind & Rain's target market remains low and
moderate income first-time homebuyers, Wind & Rain will, if requested by the City, give first
preference to City of Miami employees who wish to buy any of the homes to be built on the City of
Miami's lots.
5. REMUNERATION TO CITY . Upon completion and sale of each house, Wind & Rain shall from the
proceeds at closing pay to the City of Miami the greater of (a) $4,150.00 per lot, or (b) Five
(50%) Percent of the Sales Price of each house.
6. TIME FOR COMPLETION . Wind & Rain shall be obligated to complete and sell (or have under
' contract for sale) each house to be built upon a City lot within One (1) year of the date that the
City provides good and marketable title to each lot to Wind & Rain, with the sole exceptions being

7. INTENT OF WIND & RAIN . it is Wind & Rain's intent to comply fully with all requirements of
City Resolution No. 56-576, which is not available at time of this writing. If this letter has
failed to address any concern or requirement, I respectfully request the opportunity to address
and/or rectify such concern or requirement. Finally, Wind & Rain's architect, Marilyn Avery, in
conjunction with the University of Miami's Center for Urban Community Design headed by Dean
Elizabeth Plater-Zyberk, is in the process of designing several new model homes incorporating
the recommendations of the recent Coconut Grove Design Study ("the Charette') made for the West
Grove. Wind & Rain respectfully requests, when ready , that it be allowed to submit for approval
the plans for one or more of these new models to the Commission for possible approval and
substitution on one or more of the City lots.

It is respectfully recommended that the City Commission adopt the attached resolution,
approving the designation of Wind & Rain, Inc. ("Project Sponsor"), a for profit
corporation, as sponsor to undertake the development of six (6) new single family homes
on five (5) parcels of vacant land under city -partnership, located in the Coconut Grove
neighborhood.
The attached resolution further establishes $24,900 as the reimbursement amount to be
paid to the City by Wind & Rain, Inc., for the aforementioned city -owned parcels where
the proposed housing unit will be constructed.
The attached resolution further authorizes the City Manager to execute the appropriate
legal documents for conveyance of the subject parcels, subject to certain terms and
conditions.
At the July 25, 1996 City Commission meeting, two (2) proposals for the development of
affordable housing units on vacant city -awned parcels were presented for City
Commission consideration by Mr. Jose Aleman, a representative of Housing Initiative
Group, Inc. and Palmetto Homes of Miami, Inc., (Partnership) in addition, to Mr.
Anthony R. Parrish, Jr., President of Wind & Rain, Inc.
Based on the presentations of both developers, the City Commission through Resolution
No. 96-576, approved Housing Initiative Group, Inc. and Palmetto Homes of Miami, Inc.,
as sponsor for the development of ten (10) new single family homes or, nine (9) vacant
city -owned parcels located in the Model City and Edison/Little River neighborhoods. In
addition; through Resolution No. 96-576, the City Commission also approved the
designation of Find & Rain, Inc., as sponsor for the development of six (6) new single

family homes targeted for low and moderate income families on city -owned parcels
located in the Coconut Grove neighborhood, subject to City Commission approval of
the construction drawings and specifications. Moreover, City Commission approval of
Wind and Rain, Inc., was also predicated on the sponsor developing a housing unit
comparable to the Palmetto Homes of Miami, Inc. proposal at a selling price of $2,000
less.
Based on Palmetto Homes of Miami, Inc.'s proposal, the 3 bedroom/2 bath/family room
unit consisting of approximately 1.528 sq. ft. w711 be marketed at $82,990. The Wind &
Rain, Inc. proposal calls for the construction of a 3 bedroom/2 bath unit consisting of
approximately 1,536 sq. ft. which will be marketed at $80,990.
The City is in a position to assist the private sector in the development of new
homeownership housing, affordable to low and moderate income families in the Coconut
Grove neighborhood, by making five (5) parc,,ls of vacant land currently under city -
ownership, available for such development. In an attempt to fimher promote the
development of new single family homes in the aforementioned neighborhood, it is
respectfully requested that the City Commission ratify the attached resolution.
