A RESOLUTION, WITH ATTACHMENT, AUTHORIZING
THE CITY MANAGER TO EXECUTE A SECOND
AMENDMENT AND EXTENSION TO AN EXISTING
AGREEMENT, IN SUBSTANTIALLY THE ATTACHED
FORM, WITH THE PUBLIC HEALTH TRUST OF DADE
COUNTY, FLORIDA, WHICH OPERATES JACKSON
MEMORIAL HOSPITAL, FOR THE COORDINATION OF
EMERGENCY MEDICAL SERVICES PROVIDED BY THE
RESCUE DIVISION OF THE CITY OF MIAMI FIRE -RESCUE
DEPARTMENT, THEREBY EXTENDING THE TERM OF
SAID AGREEMENT FOR A PERIOD OF TWO (2) FISCAL
YEARS, 1995/96 AND 1996/97, WITH AN ANNUAL
COMPENSATION OF $88,000 FOR THE FIRST YEAR
AND $94,000 FOR THE SECOND YEAR; ALLOCATING
FUNDS THEREFOR FROM FIRE -RESCUE DEPARTMENT'S
GENERAL OPERATING BUDGET, ACCOUNT CODE NO.
280501-260.
WHEREAS, the City and the Public Health Trust of Dade County, Florida,
entered into an Agreement, pursuant to Resolution No. 91-522 , adopted July 11,
1991, which provides for the coordination of services in connection with the
Emergency Medical Services provided by the Emergency Response Division of the
City of Miami Fire -Rescue Department; and
WHEREAS, the Agreement provides that it may be extended for two (2)
additional periods of two (2) years each, and
WHEREAS, a First Amendment extended said Agreement for two fiscal
years ending September 30, 1995; and

WHEREAS, the parties desire to extend the term of the Agreement for an
additional period of two fiscal years ending September 30, 1997;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this
Resolution are hereby adopted by reference thereto and incorporated herein as if
fully set forth in this Section.
Section 2. The City Manager is hereby authorized to execute a Second
Amendment and Extension, in substantially the attached form, to the agreement
between the City and the Public Health Trust of Dade County, Florida, for the
coordination of the Emergency Medical Services provided by the Rescue Division
of the City of Miami Fire -Rescue Department, to extend the term thereof for a
period of two (2) fiscal years, 1995/96 and 1996/97, at an annual compensation
to be paid to the Trust of $88,000 for the first year and $94,000 for the second
year, with funds therefor hereby allocated from the Fire -Rescue Department's
General Operating Budget, Code No. 280501-260.
Section 3. This Resolution shall become effective immediately upon its
adoption.

SECOND AMENDMENT AND EXTENSION TO AGREEMENT
BETWEEN THE CITY OF MIAMI AND PUBLIC HEALTH TRUST OF DADE
COUNTY, FLORIDA
This Second Amendment and Extension Agreement is made and entered into
as of the 29th day of Se tep mber, 1995, by and between the City of Miami, a
municipal corporation of State of Florida (hereinafter referred to as the "CITY"), and
the Public Health trust of Dade County, Florida, an agency and instrumentality of
Dade County, Florida (hereinafter referred to as the "TRUST") which operates
Jackson memorial Hospital (hereinafter referred to as "HOSPITAL").
RECITAL:
WHEREAS, the CITY and the TRUST have entered into an Agreement dated
August 9, 1991 for the provision of certain services by the CITY's Rescue Division
of the Fire -Rescue Department, including designation of a qualified physician on the
medical staff of the HOSPITAL to be the CITY's Fire Rescue Medical Director (the
"Agreement"); and
WHEREAS, the original term of the Agreement was for two (2) years from
October 1, 1991 to September 30, 1993 ; and
WHEREAS, the term of the Agreement may be extended for two (2)
additional two (2) year periods by mutual agreement of the parties and with the rate
of compensation to be renegotiated for each of the optional two (2) year extension
periods; and
WHEREAS, on September 29, 1993, the parties amended the agreement by
that certain First Amendment and extension to Agreement which, among other
things, extended the term of the agreement from October 1, 1993 to September 30,
1995 the ("First Amendment"); and

WHEREAS, the parties at this time desire to extend the term of the
Agreement, for one (1) additional two (2) year period;
NOW, THEREFORE, in consideration of the foregoing and the mutual
covenants contained in the agreement, the CITY and TRUST hereby agree to amend
the Agreement as modified by the First Amendment.
1. Section "13.1" is deleted in its entirety and amended to read:
The CITY agrees to pay to the TRUST as compensation for services, the
amount of Eighty Eight Thousand dollars ($88,000) for the first year of this second

extension, and Ninety Four Thousand Dollars ($94,000) for the second year of this
second extension."
Section "C.5" is amended to extend the termination date of the
Agreement from September 30, 1995 to September 30, 1997.
3 Except as specifically provided herein, all of the terms and conditions of
the Agreement, as amended by the First Amendment shall remain in full force and
effect throughout the extended term of the Agreement.
IN WITNESS WHEREOF, the parties hereto have caused this AGREEMENT to
be executed by their respective duly authorized officers.

It is respectfully recommended that the City Commission adopt a Resolution
authorizing the City Manager to extend the existing contract between the City and
Jackson Memorial Hospital (JMH) for the designation of a qualified physician on the
medical staff of the HOSPITAL to be the CITY's Fire -Rescue Medical Director,
thereby extending the period of said contract from September 30, 1995 through
September 30, 1997.
BACKGROUND
The Department of Fire -Rescue has reviewed the attached documents and have
determined that they are now in order for acceptance by the City Commission.
This contract allows the City to continue to receive certain services of a qualified
physician on the medical staff of Jackson Memorial Hospital, to be the CITY's Fire -
Rescue Medical Director. The original contract allows the terms of the Agreement
to be extended by two (2) additional two year periods by mutual agreement of the
parties, with a rate of compensation to be renegotiated for each of the optional two
year extension periods. At this time both parties desire to extend the term of the
Agreement for one (1) additional two (2) year period.
There are two modifications in the terms of the agreement:
1. Section "13.1" is deleted in its entirety and amended to read:
"The City agrees to pay to the TRUST as compensation for services, the amount
of Eighty Eight Thousand ($88,000) dollars for the first year of this second
extension and Ninety Four Thousand ($94,000) dollars for the second year of
this second extension."
2. Section "C.5" is amended to extend the termination date of the Agreement from
September 30, 1995 to September 30, 1997.

The Department of Fire -Rescue requests an extension of the existing agreement with

medical staff of the HOSPITAL to be the CITY's Fire -Rescue Medical Director,
thereby extending the period of said contract from September 30, 1995 to
September 30, 1997.
This agreement was awarded by Resolution No. 91-522, adopted August 9, 1991,
which further authorized the City Manager to extend the term for two additional
two year periods by mutual agreement of the parties.
The proposed cost for FY '95-96 is $88,000. Funds are available in the Fire -Rescue
Budget, Account No. 280501-260.
