'9� 6 - 8 C I A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE A CONSENT AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, WHEREBY THE CITY SHALL CONSENT TO A SUBLEASE BETWEEN GROVE KEY MARINA, INC. AND COCONUT GROVE YACHT AND BROKERAGE, INC., FOR THE SALE OF NEW AND USED BOATS, OUTBOARD MOTORS AND THE SALE OF RELATED ITEMS, SUBJECT TO (1) CITY MANAGER REVIEW AND APPROVAL OF THE SUBLEASE AGREEMENT AND(2) THE CITY RECEIVING COLLECTIVELY FROM THE ABOVE REFERENCED SUBLEASE AND THE SHIP'S STORE SUBLEASE A MINIMUM ANNUAL RENT OF NOT LESS THAN $18,000 AND NO MORE THAN $40,000. WHEREAS, the City of Miami ("City") and Grove Key Marina, Inc. ("GKM") entered into a lease agreement on April 1, 1976 (the "Lease Agreement"), as amended, whereby GKM leases the City -owned property located at 3385 Pan American Drive, Miami, Florida, from the City; and WHEREAS, in accordance with Paragraph 14 of the Lease Agreement, the City Commission approved the Second Addendum to the Lease Agreement consenting to the sublease between GKM and Grove Key Ship's Store, current assignee (hereinafter the "Ship's Store Sublease"); and WHEREAS, GKM has advised the City that it now wishes to sublet to Coconut Grove Yacht and Brokerage, Inc. approximately 100 square feet of space located in the northeast portion of the south hanger for the sale of new and used boats, outboard motors and related items; and CITY COISSIOi)i MEETING OF MAY 2 9 1996 Resolution No. r WHEREAS, GKM has advised the City that simultaneous with the execution of a sublease for the sale of boats, GKM will consent to the assignment of the Ship's Store Sublease, from Grove Key Ship's Store, current assignee, to Coconut Grove Yacht and Brokerage, Inc.; and WHEREAS, Paragraph 14 of the Lease Agreement requires City Commission approval of the sublease to Coconut Grove Yacht and Brokerage, Inc.; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby adopted by reference thereto and incorporated herein as if fully set forth in this Section. Section 2. The City Manager is hereby authorized11 to execute a consent agreement, in a form acceptable to the City Attorney, whereby the City shall consent to a sublease between Grove Key Marina, Inc. and Coconut Grove Yacht and Brokerage, Inc. for the sale of new and used boats, outboard motors and the sale of related items, subject to (1) City i Manager review and approval of the sublease agreement, and (2) the City receiving collectively from the above referenced sublease and the Ship's Store Sublease a minimum annual rent of not less than $18,000 and no more than $40,000, Section 3. This Resolution shall become effective immediately upon its adoption. '-� The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. 2 _ 96- 361
