A RESOLUTION, WITH ATTACHMENT, AUTHORIZING THE
CITY MANAGER TO EXECUTE AN AGREEMENT, IN
SUBSTANTIALLY THE ATTACHED FORM, WITH THE UNITED
STATES DEPARTMENT OF HOUSING AND URBAN
DEVELOPMENT ("HUD"), ACCEPTING THE AWARD OF A
SECTION 108 LOAN GUARANTEE IN THE AMENDED
AMOUNT OF $5 MILLION TO ASSIST WITH THE
DEVELOPMENT OF THE S.W. 8TH STREET SHOPPING
CENTER PLAZA, LOCATED IN THE EAST LITTLE HAVANA
TARGET AREA; FURTHER AUTHORIZING THE CITY
MANAGER TO EXECUTE A LOAN AGREEMENT, 1N A FORM
ACCEPTABLE TO THE CITY ATTORNEY, WITH S.W. 8TH
STREET VENTURE, L.P., FOR DEVELOPMENT OF THE
PROJECT.
WHEREAS, the City of Miami is committed to assisting private investors create new
jobs and remove slum and blight in the designated community development target areas;
and
WHEREAS, in April, 1996, the City, on behalf of S.W. 8th Street Venture, L.P.
("Developer"), submitted an application to HUD for a $5.6 million Section 108 Loan
Guarantee; and
WHEREAS, the Developer proposes to construct a strip shopping center between
Second and Third Avenues along S.W. 8th Street in the East Little Havana Neighborhood
("Project"); and
WHEREAS, HUD has approved the City's request to assist in financing this Project
and awarded a Section 108 Loan Guarantee in the amount of $5.6 million; and

WHEREAS, the Developer has now indicated that the amount required for the
Project has been reduced from $5.6 million to 5 million; and
WHEREAS, the City is now accepting the said Loan Guarantee in the amended
amount of $5 million for development of the Project;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution
are hereby adopted by reference thereto and incorporated herein as if fully set forth in this
Section.
Section 2. The City Manager is hereby authorized to execute an Agreement, in
substantially the attached form, with the United States Department of Housing and Urban
Development (HUD) accepting the award of a Section 108 Loan Guarantee, in the
amended amount of $5 million, to assist with the development of the S. W. 8th Street
Shopping Center Plaza ("Project"), located in the East Little Havana target area.
Section 3. The City Manager is hereby further authorized' to execute a loan
agreement, in a form acceptable to the City Attorney, with S.W. 8th Street Venture, L.P.,
for development of the Project.
Section 4. This Resolution shall become effective immediately upon its adoption.
The herein authorization is further subject to compliance with all requirements that may be imposed by the City
Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions.

,is Grant Agreement between the Department of Housing and Urban Development (HUD) and the above named Grantee is made
rsuant to the authority of Title I of the Housing and Community Development Act of 1974, as amended, (42 U:S.C. 5301 et seq).
•e Grantee's submissions for Title I assistance, the HUD regulations at 24 CFR Part 570 (as now in effect and as may be amended
tm time to time), and this Funding Approval, including any special conditions, constitute part of the Agreement. Subject to the
visions of this Grant Agreement, HUD will make the funding assistance specified here available to the Grantee upon execution of
Agreement by the parties. The funding assistance specified in the Funding Approval may be used to pay, costs incurred on or
