A RESOLUTION AUTHORIZING THE CITY MANAGER TO
ACCEPT A DONATION FROM THE METROPOLITAN MIAMI
FLOWER SHOW, INC., ("FLOWER SHOW") CONSISTING
OF IMPROVEMENTS TO THE CHARLES TORREY SIMPSON
MEMORIAL GARDEN CENTER ("GARDEN CENTER"),
LOCATED IN SIMPSON PARK, 55 SW 17TH ROAD,
MIAMI, FLORIDA, WITH AN ESTIMATED VALUE OF
$54,600; SAID IMPROVEMENTS TO CONSIST OF THE
DESIGN AND CONSTRUCTION OF WALKWAYS, DECKING,
ROOFING, SCREENING, LIGHTING, AND AN ENCLOSED
STORAGE AREA; FURTHER AUTHORIZING THE CITY
MANAGER TO NEGOTIATE AND EXECUTE AN
AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY, WITH THE FLOWER SHOW TO PROVIDE FOR
THE CONSTRUCTION OF SAID IMPROVEMENTS.
WHEREAS, on July 17, 1940, the City of Miami entered into an
Agreement with the Charles Torry Simpson Memorial Association
(the "Association"), authorizing the Association to construct a
building, known as the Garden Center, on City -owned property
located in Simpson Park, at 55 SW 17th Road, Miami, Florida, to
be used by the Association in perpetuity, as a clubhouse, library
and garden center open to the public, with title to the structure
remaining with the City; and
WHEREAS, the Association was formed for the sole purpose of
raising funds to build the garden center and having accomplished
this task was absorbed by the Council of Garden Club Presidents
on March 10, 1942; and
WHEREAS, the Metropolitan Miami Flower Show, Inc., ("Flower

Show") is a committee under the auspices of the Council of Garden
Club Presidents of Dade County Florida, Inc., (the "Council");
and
WHEREAS, the Flower Show would like to donate to the City
and to the Council improvements made to the Garden Center, valued
at approximately $54,600, consisting of the design and
construction of new walkways, decking, roofing, screening,
lighting, and an enclosed storage area; and
WHEREAS, immediate acceptance of this donation will allow
for completion of the improvements prior to the presentation of
the Youth Flower Show and the Metropolitan Miami Flower Show
scheduled for March, 1999;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set forth in this
Section.
Section 2. The City Manager is hereby authorized to
accept a donation from the Metropolitan Miami Flower Show, Inc.,
("Flower Show") consisting of improvements to the Garden Center
located at Simpson Park, 55 SW 17th Road, Miami, Florida, with an
estimated value of $54,600, said improvements to consist of the
design and construction of walkways, decking, roofing, screening,

lighting, and an enclosed storage area.
Section 3. The City Manager is hereby authorizedll to
negotiate and execute an agreement, in a form acceptable to the
City Attorney, with the Flower Show to provide for the
construction of said improvements.
Section 4. This Resolution shall become effective
immediately upon its adoption and signature of the Mayor.Z/

requirements that may be imposed by the City Attorney, including but not
limited to those prescribed by applicable City Charter and Code
provisions.
If the Mayor does not sign this Resolution, it shall become effective at
the end of ten calendar days from the date it was passed and adopted.
If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.

The Administration recommends that the City Commission adopt the attached Resolution,
authorizing the City Manager to accept a donation from the Metropolitan Miami Flower Show
(the "Flower Show"), of improvements to be made to the Charles Torrey Simpson Memorial
Garden Center, located in Simpson Park, 55 SW 1 r Road, Miami, Florida. The improvements
to be made by the Flower Show, with an estimated value of $54,600, consist of the design and
construction of walkways, decking, roofing, screening, lighting and an enclosed storage area.
BACKGROUND:
On July 17, 1940 the City of Miami entered into an Agreement with the Charles Tony Simpson
Memorial Association (the "Association"). This Agreement authorized the Association to
construct a building structure, known as the garden center, on City -owned property located in
Simpson Park, to be used by the Association, in perpetuity, as a clubhouse, library and garden
center open to the public, with title to the structure remaining with the City. The Association was
formed for the sole purpose of raising funds to build the garden center and having accomplished
this task was absorbed by the Council of Garden Club Presidents on March 10, 1942.
The Metropolitan Miami Flower Show, Inc. (the "Flower Show") is a committee under the
auspices of the Council of Garden Club Presidents of Dade County Florida, Inc. and the Flower
Show would like to donate to the City, improvements to the garden center, at an approximate
cost of $54,600, consisting of the design and construction of new walkways, decking, roofing,
screening, lighting and an enclosed storage area.
The immediate acceptance of this donation will allow for the construction of the improvements to
be completed prior to this year's Youth Flower Show and the Metropolitan Miami Flower Show
which are scheduled for March, 1999.

For the past fifty-one (51) years the Metropolitan Miami Flower Show, Inc. has been affiliated with the
Council of Garden Club Presidents of Dade County, Florida, Inc. The members of each organization have
worked together to provide the community at large with educational programs that promote high standards
of horticulture and conservation of natural resources.
The Annual Metropolitan Miami Flower Show has been one objective to reaching these goals. We have
held aamlal flower shows at various temporary locations throughout Miami -Dade County, i.e. the Dinner
Key Auditorium, Tropical Fairchild Garden, the Coconut Grove Convention Center, Tropical Park, and
USDA at Chapman Field. Another, goal has been to build a garden center for the purpose of having a
permanent home for our annual flower shows. A building fund was started in the mid-1980s and, in recent
years, a site has been sought to build a permanent home for the Metropolitan Miami Flower Show.
Although, there have been a few sites that have sparked our mterest, after much thought and discussion, the
Board has come to a mutual consensus that investing in the Charles Torrey Simpson Memorial Garden
Center at Simpson Paris is a better choice for the Garden Center, Simpson Park and the community at large.
Metropolitan Miami Flower Show, Inc. is prepared to make a sizable investment in the Garden Center
through financing a structural addition that consists of a wrap -around, covered screened deck with an
enclosed storage area, a connecting open boardwalk and a pavilion constructed on a free form deck in a
clearing within the hammock and adjacent to the Garden Center. The project will be completed in three
phases. The description with a completion or start date and estimated cost for each phase is, as follows:

The Metropolitan Miami Flower Show, Inc. Board of Directors is aware that the estimated cost could be
more or less than appears in the fore mentioned estimate. We are prepared to assume the total cost of the
structural addition to the Carden Center, as a donation to the City of Miami. It is essential, however, that
the Board of Directors know whether this donation will be accepted by the City of Miami prior to
proceeding with finalizing pre -construction drawings and expenses. There is, also, the matter of insuring
that proper parking will be available at the Emanuel Lutheran Church.
The funds for this project are in an interest bearing account in the form of Certificates of Deposits, some of
which have matured and are available immediately. Others will mature in March 1999. Please, be assured
that we have enough funding to complete Phase I and Phase H by the scheduled completion date and will
be in the financial position to begin Phase III by the scheduled start date.
It is most important to begin the project as soon as possible. We have planned to hold the Youth Flower
Show during March 4-6, 1999 and the Metropolitan Miami Flower Show during March 19-21, 1999.
As you can see, we will be using Simpson Park and the Garden Center just a few days of the year for our
annual flower shows. During the remainder of the year, the area will be used to promote horticulture and
environmental education through programs created and developed by the City of Miami Parks and
Recreation Department, the Council of Garden Club Presidents of Dade County, Florida, Inc. and the
Metropolitan Miami Flower Show, Inc. When it is not being used for previously scheduled events, it may
be used by park visitors and for community events. It is truly a very beneficial endeavor for all concerned
and one that is receiving support from the immediate neighbors and local community based organizations
in the Brickell-Roads area. A copy of a letter of support from the Simpson Park Protection Committee is
attached and others are forthcoming.
The City of Miami Parks and Recreation Department has mairnained a fifty-eight year partnership with our
affiliate, the Council of Garden Club Presidents of Dade County, Florida, Inc. We are certain that flower
shows will attract a greater share of the community at large to the building and the natural wonders of the
hammock.

Civic Association has worked to increase the appropriate
usa.ge of Simpson Park as a community resource.
The proposal to hold the Metropolitian Miami Flower Show at
Simpson Park, and the modifications to the Garden Center
needed to accomidate this, certainly would advance this
goal. I will bring this issue to our board of directors on
October 28th for formal approval, and anticipate no
objection.
