A RESOLUTION RATIFYING, APPROVING AND
CONFIRMING THE ACTION OF THE CITY MANAGER IN
ACCEPTING THE PROPOSAL FROM HYDROLOGIC
ASSOCIATES U.S.A., INC. (HYDROLOGIC) TO
PROVIDE ENVIRONMENTAL TESTING AND CONSULTANT
SERVICES IN CONNECTION WITH THE SALE TO WINN
DIXIE STORES, INC. OF THE PROPERTY LOCATED AT
1145 NORTHWEST 11 STREET, MIAMI, FLORIDA, AT
A TOTAL COST OF $7,744.75; ALLOCATING FUNDS
THEREFOR FROM ACCOUNT CODE NO. 660201-240;
FURTHER, AUTHORIZING THE CITY MANAGER TO
EXECUTE A PROFESSIONAL SERVICES AGREEMENT, IN
A FORM ACCEPTABLE TO THE CITY ATTORNEY, WITH
HYDROLOGIC FOR SAID SERVICES.
WHEREAS, pursuant to Resolution No. 97-817, adopted November
26, 1997, the City Commission accepted the bid of Winn Dixie
Stores, Inc. ("Winn Dixie") for the purchase by Winn Dixie of the
property located at 1145 NW 11 Street, Miami, Florida (the
"Property") and authorized the City Manager to execute a Purchase
and Sale Agreement; and
WHEREAS, in accordance with the Purchase and Sale Agreement,
Winn Dixie was provided an opportunity to conduct an
environmental inspection of the Property; and
WHEREAS, Winn Dixie's environmental consultant discovered
certain hazardous materials on the Property and estimated the
cost of clean-up to be in excess of $900,000; and
WHEREAS, the City Manager determined it to be in the best
interest of the City to procure the professional services of

Hydrologic Associates USA, Inc. ("Hydrologic"), an environmental
consultant, at a cost not to exceed $4,500, to review and
evaluate the environmental report submitted by Winn Dixie and
conduct additional testing and provide findings; and
WHEREAS, during negotiations with Winn Dixie, it became
necessary to increase the scope of work to be performed by
Hydrologic to conduct the testing and review the data and
increase the compensation therefor in the amount of $3263.50; and
WHEREAS, the procurement of these environmental services
resulted in a reduction of the cost to remediate, saving the City
in excess of $725,000; and
WHEREAS, funds to cover the cost of these services are
available in Account Code No. 660201-240;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA;
Section 1. The recitals and findings contained in the
Preamble to this Resolution are hereby adopted by reference
thereto and incorporated herein as if fully set forth in this
Section.
Section 2. The City Manager's action in accepting the
proposal from Hydrologic Associates USA, Inc. to provide
environmental testing and consultant services in connection with
the sale to Winn Dixie Stores, Inc. of the property located at
1145 Northwest 11 Street, Miami, Florida, at a total cost of
$7, 744. 75 is hereby ratified, approved and confirmed, with funds

therefor hereby allocated from Account Code No. 660201-240.
Section 3. The City Manager is hereby authorizedY to
execute a Professional Services Agreement, in a form acceptable
to the City Attorney, with Hydrologic for the above purpose.
Section 4. This Resolution shall become effective upon
its adoption and signature of the Mayor.Z/

1� The herein authorization is further subject to compliance with all
requirements that may be imposed by the City Attorney, including but not
limited to those prescribed by applicable City Charter and Code
provisions.
If the Mayor does not sign this Resolution, it shall become effective at
the end of ten calendar days from the date it was passed and adopted.
If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.

The administration recommends the City Commission adopt the attached Resolution
ratifying the City Manager's finding of emergency in authorizing Hydrologic Associates,
Inc. to perform environmental testing and consultant services in connection with the sale
to Winn Dixie Stores, Inc. ("Winn Dixie") of the property located at 1145 NW 11 Street,
Miami, Florida. Funds to cover the cost of these services in a total amount of $7,744.75 are
available in Account No. 660201-240.
BACKGROUND:
On November 26, 1997, the City Commission adopted a resolution accepting the bid of
Winn Dixie for the purchase by Winn Dixie of the property located at 1145 NW 11 Street,
Miami, Florida (the "Property") and authorized the City Manager to execute a Purchase
and Sale Agreement. In accordance with the Purchase and Sale Agreement, Winn Dixie
was provided an opportunity to conduct an environmental inspection of the Property.
Winn Dixie's environmental consultant discovered certain hazardous materials on the
Property and estimated the cost of clean-up to be in excess of $900,000.
As a means of refuting the findings of Winn Dixie, then City Manager, Mr. Garcia -Pedrosa,
determined it to be in the best interest of the City to procure the professional services of
Hydrologic Associates USA, Inc. ("Hydrologic"), an environmental consultant, at a cost not
to exceed $4,500, to review and evaluate the environmental report submitted by Winn
Dixie and conduct additional testing as necessary. During negotiations with Winn Dixie it

It is respectfully requested that you designate the acquisition of environmental
consultant services provided by Hydrologic Associates USA, Inc. in connection with
the sale of the property located at 1145 NW 11 Street (the "Property") to Winn Dixie
as an emergency.
In accordance with the Purchase and Sale Agreement, Winn Dixie was provided an
opportunity to conduct an environmental inspection of the Property. Winn Dixie's
environmental consultant discovered certain hazardous materials on the Property
and estimated the cost of clean-up to be in excess of $900,000. At that time, then
City Manager, Jose Garcia -Pedrosa, authorized this office to procure the
professional services of Hydrologic Associates USA, Inc. ("Hydrologic"), an
