HomeMy WebLinkAboutR-98-0751J-98-740 7/ 17/98 RESOLUTION NO. 9 8 751 A RESOLUTION, WITH ATTACHMENTS, AUTHORIZING THE CITY MANAGER TO EXECUTE TWO QUITCLAIM DEEDS, IN SUBSTANTIALLY THE FORM ATTACHED HERETO, CONVEYING THREE RIGHT-OF-WAY PARCELS OF LAND FROM THE CITY OF MIAMI TO GROVE MIAMI HOLDINGS, INC. AND GROVECOMPCO, INC., SUBJECT TO CONDITIONS, AND DECLARING THAT THE PARCELS ARE TOO SMALL IN SIZE TO HAVE FAIR MARKET VALUE OR TO BE UTILIZED BY THE CITY OR TO BE DEVELOPED BY ANYONE OTHER THAN THE ABUTTING PROPERTY OWNERS IN CONJUNCTION WITH THE ABUTTING PROPERTIES, AND DECLARING THAT THESE QUIT -CLAIM CONVEYANCES ARE NECESSARY FOR THE PLATTING OF THE SUBDIVISION ENTITLED "RITZ CARLTON." WHEREAS, the City Commission, upon application by Grove Miami Holdings, Inc., a Florida corporation, GroveCompco, Inc., a Florida corporation, and Coconut Grove Bank, a state banking association, and pursuant to Resolution No. 98-447, closed, vacated, abandoned and discontinued for public use a portion of Cornelia Drive and a portion of Greenwood Road in Coconut Grove, in connection with the replatting of property for the development of the Ritz Carlton Hotel; and WHEREAS, the City of Miami owns three right-of-way parcels of land along �jATTACNMENT (S) t0lOiA1NED CITY CobUMSION MEETING OF J u L 2 1 1998 Resoiatioc N 98- 7�1 Cornelia Drive, described as follows: 1. The Southwesterly 10 feet of Lot 54, DAY GROVE TERRACE, according to the plat thereof, as recorded in Plat Book 9, Page 180, of the Public Records of Miami -Dade County, Florida, containing 554.6f square feet (hereinafter referred to as "Parcel No. 1"); 2. The Northeasterly 10 feet of Lot 22, DAY GROVE TERRACE, according to the plat thereof, as recorded in Plat Book 9, Page 180 of the Public Records of Miami -Dade County, Florida, containing 1188.0± square feet (hereinafter referred to as "Parcel No. 2"); 3. The Northeasterly 10 feet of Lot 27 and the Northeasterly 10 feet of the Northwesterly 10 feet of Lot 28, DAY GROVE TERRACE, according to the plat thereof, as recorded in Plat Book 9, Page 180, of the Public Records of Miami -Dade County, Florida, containing 653.1f square feet (hereinafter referred to as "Parcel No. 3"); and WHEREAS, the property owners have requested that the city convey to them by quit claim deed the city's remaining interest in Parcel Nos. 1, 2 and 3, if any; and WHEREAS, Parcel Nos. 1, 2 and 3 are each too small in size to have a fair market value for sale or lease, are of insufficient width and length to be utilized by the City of Miami, and are of insufficient lot size for anyone to develop except for the abutting property owners in conjunction with the abutting properties; and WHEREAS, Grove Miami Holdings, Inc., and GroveCompCo., Inc., have concerns as to how the Parcel Nos. 1, 2 and 3 will affect title to their adjacent properties when the plat of RITZ 2 9 8 -- 751 CARLTON is approved by the City Commission and recorded in the Public Records of Miami - Dade County Florida; and WHEREAS, Grove Miami Holdings, Inc., has requested the conveyance of Parcel No. 1 and GroveCompCo, Inc., has requested the conveyance of Parcel No. 2 and Parcel No. 3; and WHEREAS, the City of Miami Department of Public Works recommends that the City convey, by quit claim deed, Parcel No. I to Grove Miami Holdings, Inc., and Parcel No. 2 and Parcel No. 3 to GroveCompCo., Inc., to provide for the orderly replatting of the land encompassed by the plat of RITZ CARLTON, subject to the condition that these three parcels of land are conveyed "AS IS" and "WHERE IS" to Grove Miami Holdings, Inc., and GroveCompco., Inc., and are accepted by the two grantees "AS IS" and "WHERE IS"; and WHEREAS, the City Commission finds it is in the best interest of the City of Miami and its residents to convey the properties as set forth above, subject to the conditions of the Public Works Department, thus placing them on the tax rolls, protecting the City from any liability with respect to these properties, and further implementing the purposes of the platting ordinance by providing for the orderly assemblage of land; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble of this Resolution are hereby adopted by reference thereto and incorporated herein as if fully set forth in this Section. Section 2. The City Manager is hereby authorized to execute two (2) quit -claim deeds as follows: 1) one quit -claim deed, in substantially the form attached hereto as Exhibit "A", conveying Parcel No. 1 to Grove Miami Holdings, Inc., and 2) one quit -claim deed, in 3 5 8 - 751 substantially the form attached hereto as Exhibit "B", conveying Parcel No. 2 and Parcel No. 3 to GroveCompCo., Inc. Section 3. The City of Miami does not warrant the sufficiency of its title or any interest it may have in Parcels 1,2 and 3, nor does it make any covenant whatsoever as to these parcels of land which are being conveyed to Grove Miami Holdings, Inc., and GroveCompCo, Inc., "AS IS" and "WHERE IS" and which parcels of land Grove Miami Holdings, Inc., and GroveCompCo, Inc., accept "AS IS" and "WHERE IS". Section 4. Grove Miami Holdings, Inc., shall record said Exhibit "A" and furnish the City Attorney and City Clerk with a duly certified and recorded copy thereof, and GroveCompCo., Inc., shall record said Exhibit "B" and furnish the City Attorney and City Clerk with a duly certified and recorded copy thereof. Section 5. Grove Miami Holdings, Inc., shall pay any intangible taxes, documentary and stamp taxes and any other taxes or charges upon lands described in said Exhibit "A" from this day forth, and GroveCompCo., Inc., shall pay any intangible taxes, documentary and stamp taxes and any other taxes or charges upon lands described in said Exhibit "B" from this day forth. Section 6. These conveyances are not intended to alter nor abridge any agreements between the parties nor any other requirements imposed on either Grove Miami Holdings, Inc., or GroveCompCo, Inc. In that regard, we are involved in the re -platting of the subject property and in the vacation of Cornelia Drive, together with the sidewalks adjacent thereto. In the course of our work, we discovered that the existing plat (the Plat of Day Grove Terrace recorded in Official Records Book 9, Page 180, of the Public Records of Dade County, Florida; a copy of which is enclosed as Exhibit "1" for your reference) provides as follows: "And we do hereby dedicate to the Perpetual use of the Public for street purposes, the Roads and Streets shown on said Plat reserving unto ourselves, our heirs, executors, administrators and assigns, the reversion or reversions therein, whenever discontinued by Law. The strips of land indicated by broken lines along Main St. and Cornelia Drive are reserved for side -walk purposes, and when side- walks shall have been constructed over and upon said strips of Land, the same shall become dedicated to the perpetual use of the public with reversions as aforesaid." Nevertheless, three deeds were provided to the City of Miami conveying certain portions of those lands previously dedicated by plat (copies of said deeds have been enclosed for your reference as Exhibits "2", " 3" and "4"). The vacation of Cornelia Drive and the sidewalks adjacent thereto was approved through appropriate public hearing (a copy of Resolution No. 98-447 is attached as Exhibit "5" for your reference). Thus, title to the lands formerly making up said street and sidewalks have reverted to the adjacent property owners. However, the three aforementioned deeds may constitute a cloud on; the title to the lands described therein. Accordingly, in order to clear title to those lands formerly making up Cornelia Drive and the sidewalks adjacent thereto, it is imperative that we ob#ain Quit Claim Deeds from the City of Miami in the forms provided by the Assistant City Attorney (copies of which are attached hereto as Exhibit "A" and "B" for your reference). This will also clear any issues the City of Miami may have regarding its future liability on the site resulting from those three unnecessary deeds that were previously provided to the City.
