A RESOLUTION, WITH ATTACHMENT, AUTHORIZING
THE CITY MANAGER TO EXECUTE AN AMENDMENT, IN
SUBSTANTIALLY THE ATTACHED FORM, TO THE
PROFESSIONAL SERVICES AGREEMENT WITH WILLIAM
M. MERCER, BY INCREASING COMPENSATION IN AN
AMOUNT NOT TO EXCEED $15,000, FOR AN ANNUAL
FIRST YEAR TOTAL OF $60,000, FOR ADDITIONAL
ACTUARIAL SERVICES, AS HEREIN SPECIFIED;
ALLOCATING FUNDS THEREFOR FROM ACCOUNT
CODE NO. 001000.921122.6.270; FURTHER
AUTHORIZING THE OPTION TO EXTEND SAID
PROFESSIONAL SERVICES AGREEMENT FOR TWO (2)
ADDITIONAL ONE (1) YEAR PERIODS.
WHEREAS, Resolution No. 98-32, adopted January 13, 1998, authorized a
Professional Services Agreement with William M. Mercer for actuarial services for
one year; and
WHEREAS, the agreement grants the City the option to extend the term for
two additional one-year periods; and
WHEREAS, it is anticipated that additional work will be necessary of the
City's actuary for the remainder of the fiscal year as a result of renegotiations of

the Gates settlement, further negotiations with FIPO, FOP, IAFF, and elected
officials retirement plan; and
WHEREAS, the increase in actuary services necessitates an increase in the
maximum amount of compensation from $45,000 to $60,000; and
WHEREAS, funding is available for the increase in the amount of $15,000.00
from the Account Code No. 001000.921 122.6.270; and
WHEREAS, it is anticipated that there will be a need to exercise the options
to extend the term of the contract; and
WHEREAS, the City Manager and the Director of Labor Relations recommend
that the agreement be amended to authorize an increase in the maximum amount of
compensation for the remaining of FY '97-98 from $45, 000 to $60,000 and that
the City Manager be authorized to exercise the option to extend the term of this
Agreement if, in the discretion of the City Manager, such extension is needed;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this
Resolution are hereby adopted by reference thereto and incorporated herein as if
fully set forth in this Section.
Section 2. The City Manager is hereby authorized to amend a Professional
Services Agreement with William M. Mercer as to the terms of the attached
agreement for one year with the option to renew for an additional one year, at an
amount of $45,000, for the Department of Labor Relations, and thereby increasing
said contract for additional services in the amount of $15,000 for the remaining of

FY '97-98, with funds therefor hereby allocated from Account Code No.
001000.9 2112 2.6.2 70 .
Section 3. This Resolution shall become effective immediately upon its
adoption and signature of the Mayor'

date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon
override of the veto by the City Commission.

AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN
THE CITY AND WILLIAM M. MERCER
This Agreement is entered into this day of
1998, by and between the City
of Miami, a municipal corporation of the State of Florida (the "CITY"), and WILLIAM M. MERCER, a
Delaware corporation (the "Consultant") for the purpose of amending Section 5B of that certain
agreement between the CITY and WILLIAM M. MERCER, dated March 27, 1998 (the "Agreement"),
to increase the amount of compensation due thereunder from $45,000.00 to $60,000.00.
This Amendment is made pursuant Section 5B of the Agreement. Except as specifically provided
herein, all of the terms and provisions of the Agreement shall remain in effect.

Agreement for Actuarial Services

It is recommended that the City Commission amend Resolution 98-32 increasing the contract
amount with William M. Mercer for actuarial services for an additional $15,000 for the 1997/98
Fiscal Year and provide for an extension of the contract for an additional two (2) years upon City
Commission approval.
BACKGROUND
On January 13, 1998, the City Commission passed Resolution 98-32 authorizing a Professional
Services Agreement with William M. Mercer for actuarial services for the 1997/98 Fiscal Year.
Through May 1998, the City has expended $30,292 of the approved contractual amount of
$45,000. Fiscal Year 1998 has become a very active year for consulting services as a result of
• Renegotiation of the Gates Settlement for the GESE plan which included review of
various benefit improvements and structuring of COLA benefits for general
employees of the City
• Interest negotiations with the FIPO board
• Upcoming negotiations for FOP and IAFF, and
• Bringing the elected officials' retirement plan into state compliance
It is anticipated that additional work will be necessary of the City's actuary for the remainder of
the fiscal year resulting in costs to the City above the previously approved fee cap of $45,000.
The increase of the fee cap by $15,000 would bring the total to $60,000.
Although the Professional Services Agreement included a provision for an extension of the
contract for an additional two (2) years, the Resolution passed by City Commission on January
13, 1998, did not specify said provision. The attached Resolution includes the provision for
extending the contract an additional two (2) years.
