HomeMy WebLinkAboutR-98-0224J-98-253 2/24/98 RESOLUTION NO. 9 8— 224 A RESOLUTION AUTHORIZING THE EXTENSION OF THE DATE TO OPEN THE COMPOSTING FACILITY (FACILITY), SUBJECT OF THE AGREEMENT BETWEEN THE CITY OF MIAMI AND BEDMINSTER SEACOR SERVICES (BEDMINSTER) FROM OCTOBER 20, 1998 UNTIL OCTOBER 20, 2000, SUBJECT TO: (1) THE CITY MANAGER OBTAINING AN AGREEMENT FROM BEDMINSTER THAT IT WILL PAY TO THE CITY AN AMOUNT EQUIVALENT TO THE CITY'S RECYCLING COSTS FOR FISCAL YEARS 1998-1999 AND 1999-2000, (2) THE POSTING OF A PERFORMANCE BOND OR LETTER OF CREDIT BY BEDMINSTER GUARANTEEING THE OPENING OF THE FACILITY BY OCTOBER 20, 2000, (3) THE AGREEMENT BY BEDMINSTER THAT THE $1,000,000, HELD BY THE CITY PENDING PERFORMANCE BY BEDMINSTER UNDER THE TERMS OF THE AGREEMENT, BE IMMEDIATELY RELEASED TO THE CITY'S GENERAL FUND FOR USE AT THE CITY'S DISCRETION, AND (4) APPROVAL BY MIAMI-DADE COUNTY. WHEREAS, the City of Miami and Bedminster Seacor Services, a Miami corporation ("Bedminster") entered into a Restated Compost Recycling Agreement dated as "Agreement"); and of November 30, 1995, (the WHEREAS, the Agreement requires that the composting facility contemplated therein commence operation no later than October 20, 1998, (the "Commencement Date"); and ENT CD�II�II3SI0�1 FETING OF FEB 2 4 1998 Resolution No. 98- 224 WHEREAS, Bedminster has requested that the City extend the Commencement Date to October 20, 2000.; and WHEREAS, the City Commission wishes to extend the Commencement Date to October 20, 2000, subject to the conditions set forth herein; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby adopted by reference thereto and incorporated herein as if fully set forth in this Section. Section 2. The City Commission hereby extends the Commencement Date to October 20, 2000, subject to the conditions set forth below. Section 3. The City Manager is to negotiate an agreement (the Extension Agreement") with Bedminster pursuant to which Bedminster will agree to pay to the City an amount equal to the City's recycling costs for each of the two years of the extension granted herein. Section 3. The Extension Agreement shall also stipulate that the $1,000,000 currently held by the City to guarantee Bedminister's performance by the current October 20, 1998 deadline shall be released immediately to the City's general fund for the City to use as it deems necessary. Section 5. The Extension Agreement shall further stipulate that Bedminster will post a new performance bond or letter of credit to guarantee the performance of its obligations -2- 98- 224 under the Agreement by the new October 20, 2000 opening date of the composting facility. Section 6. The Extension Agreement shall be subject to approval by Miami -Dade County in accordance with the terms of the relevant interlocal agreement between the City and the County. Section 7. Agreement with the City of Miami to extend the Restated Compost Recycling Agreement for a period of two years from October 1, 1998 to October 1, 2000 in exchange for payment of $788,306 each year to continue the present household recycling. The one million dollars performance deposit may be transferred into the general fund to use by the City of Miami on an as needed basis. However, as payment, they will be credited $788,306 and $211,694 on October 1, 1998 and October 1, 1999, respectively. Further, $576,612 must be deposited by October 1, 1999 to complete total payment. Also, either a letter of credit or a one million dollar bond must be presented to the City of Miami as of October 1, 1998. 98- 224
