ORDINANCE NO.
AN ORDINANCE AMENDING SECTION 14-52(c) OF THE
CODE 'OF THE CITY OF MIAMI, FLORIDA, AS
AMENDED, TO ESTABLISH THE EXPIRATION DATE FOR
TERMS OF OFFICE FOR MEMBERS OF THE BOARD OF
DIRECTORS OF THE DOWNTOWN DEVELOPMENT
AUTHORITY; CONTAINING A REPEALER PROVISION
AND A SEVERABILITY CLAUSE; PROVIDING FOR AN
EFFECTIVE DATE; AND PROVIDING FOR INCLUSION
IN THE CITY CODE.
WHEREAS, on September 9, 1997, the Miami City Commission
adopted Ordinance No. 11538 amending the procedure for the
appointment of members of the Board of Director of the Downtown
Develop Authority ("DDA"), and providing for said members to
serve staggered terms; and
a
WHEREAS, the proposed certain amendments to the procedure
are required to implement the provisions related to staggered
terms; and
WHEREAS, the Board of Directors of the DDA wishes to
establish August 31 as the expiration date for the term of office
of each board member in order that subsequent board members will
serve from September 1 to August 31; and
WHEREAS, the proposed amendments will provide uniformity in
the term of office of board members and will better serve the

needs of the DDA district; and
WHEREAS, Chapter 14, Article II, of the Code of the City of
Miami, Florida, as amended (the "Code"), governs the constitution
and operations of the DDA;
NOW, THEREFORE, BE IT ORDAINED BY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the
Preamble to this Ordinance are, hereby adopted by reference
thereto and incorporated herein as if fully set forth in this
Section.
Section 2. Section 14-52. of the Code of the City of
Miami, Florida, as amended, is hereby amended as follows:1/
"Sec. 14-52. Downtown development authority board --
Composition; appointment and terms of
office of members and executive board;
filling of vacancies.
(c) Within 120 days from the effective date
hereof, the board of directors of the authority, the
city commission, the board of county commissioners of
M amp -Dade County and the cabinet of the state shall
make their respective. nominations for the board of
directors of the authority. The 12 members nominated by
the board of directors and confirmed by the city
commission shall participate in a lottery, to be
conducted by the board of directors, or such other
procedure as may be agreeable to the board, to
determine the term of their offices, it being the
intent of this section that four of the initial 12
members shall serve one-year, until August 31, 1999,
four shall serve two years, until August 31, 2000, and
four shall serve three years, until August 31, 2000.
All other members shall serve for a term of three

Section 3. All ordinances or parts of ordinances insofar
as they are inconsistent or in conflict with the provisions of
this Ordinance are hereby repealed.
Section 4. If any section, part of section, paragraph,
clause, phrase or word of this Ordinance is declared invalid, the
remaining provisions of this Ordinance shall not be affected.
Section 5 This Ordinance shall become effective thirty
(30) days after final reading and adoption thereof2l.

Recommendation
It is respectfully requested that the City Commission approve the attached Ordinance amending
the Miami City Code as recommended by the Downtown Development Authority Board of
Directors to provide for provisions of the expiration date of the term of office.of the members of
the Board of Directors of the Downtown Development Authority.
Background
The Downtown Development Authority Board of Directors appointed a by-laws committee to
evaluate the composition, membership qualifications, rules of procedure and other matters
concerning the DDA. In September 1997 the Miami City Commission passed Ordinance No.
11538 amending the composition, qualifications, appointment procedure and term of office of
said board. The members of the DDA Board of Directors are to serve staggered terms under the
Ordinance. The Board of Directors of the DDA wishes to establish August 31 as the expiration
date of the expiration date of the term of office of each Board member in order that subsequent
Board members will serve from September 1 to August 31
The changes being recommended require that the Miami City Code be amended by Ordinance
adopted by the Commission of the City of Miami. The DDA Board finds that the amendment
recommended will further the objectives of the DDA and will better serve the needs of the DDA

A RESOLUTION OF THE BOARD OF DIRECTORS OF
THE DOWNTOWN DEVELOPMENT AUTHORITY
("DDA') OF THE CITY OF MIAMI, FLORIDA
REQUESTING THE CITY COMMISSION OF THE CITY
OF MIAMI, TO ADOPT AN ORDINANCE AMENDING
SECTION 14-52(c) AND (d) OF THE CODE OF THE
CITY OF MIAMI, TO PROVIDE FOR THE EXPIRATION
DATE OF THE TERM OF OFFICE OF THE MEMBERS
OF THE BOARD OF DIRECTORS OF THE DOWNTOWN
DEVELOPMENT AUTHORITY.
WHEREAS, in September, 1997 the Miami City Commission passed Ordinance
No. 11538 amending the procedure for the appointment of members to the Board of the
Downtown Development Authority and providing for said members to serve staggered
terms; and
WHEREAS, that appointment of the last member of the Board was confirmed by
the City Commission, as required in the Ordinance, in July, 1998; and
WHEREAS, the first Board of Directors appointment to serve staggered terms
under the Ordinance has been completely established as of July, 1998; and
WHEREAS, the Board of Directors of the DDA wishes to establish August 31 as
the expiration date of the expiration date of the term of office of each
Board member in order that subsequent board members will serve from September 1 to
August 31.
NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF
THE DOWNTOWN DEVELOPMENT AUTHORITY OF THE CITY OF MIAMI,
FLORIDA.
Section 1. The initial 12 members of the board who have been nominated by
the the Board and confirmed by the City Commission to serve staggered terms will serve as
follows: four (4) members will serve until August 31, 1999, four (4) members will serve

until August 31, 2000, and four (4) members will _ serve until August 31, 2001. Their
successors will serve from September 1 through August 31.
Section 2. The Commission of the City of Miami is hereby requested to adopt
an ordinance establishing the expiration date of the term of office of the members of the
Board of Directors of the Downtown Development Authority, as follows:
